2026年建筑施工项目管理协议三篇篇一PartiesThisManagementAgreement("Agreement")ismadeandenteredintoasof[Date],byandbetween:[FullLegalNameofClient/Owner]("Owner"),havingitsprincipalplaceofbusinessat[AddressofOwner],and[FullLegalNameofManagementCompany/Contractor]("ManagementCompany"),havingitsprincipalplaceofbusinessat[AddressofManagementCompany].BackgroundWHEREAS,theOwnerdesirestoengagetheManagementCompanytoprovideprofessionalprojectmanagementservicesfortheconstructionofthe[ProjectName]Projectlocatedat[ProjectAddress]("Project");andWHEREAS,theManagementCompanyiswillingtoprovidesuchprojectmanagementservicestotheOwnerinaccordancewiththetermsandconditionssetforthinthisAgreement.ProjectDescription1.ProjectName:[ProjectName]2.ProjectLocation:[ProjectAddress]3.ProjectOverview:TheProjectinvolvestheconstructionof[briefdescriptionoftheproject,e.g.,acommercialofficebuildingwithacertainnumberoffloorsandsquarefootage].TheconstructionphaseistheprimaryfocusoftheManagementCompany'sservices,commencingwith[StartDate]andexpectedtoconcludewith[CompletionDate].4.ScopeofManagementServices:TheManagementCompanyshallprovidecomprehensiveprojectmanagementservices,includingbutnotlimitedto:a.Establishingandmanagingtheprojectmanagementorganization.b.Developingandimplementingaprojectmanagementplanencompassingscope,schedule,cost,quality,resources,communications,risk,andprocurementmanagement.c.ProvidingleadershipandcoordinationofallaspectsoftheProject,includingdesignoversight(ifapplicable),contractorselectionandmanagement,subcontractoroversight,materialprocurement,equipmentmanagement,andscheduling.d.Activelyparticipatinginthepreparationandmanagementoftheprojectbudget,monitoringprojectexpendituresagainstthebudget,andcontrollingprojectcoststhroughouttheconstructionphase.e.Developing,monitoring,andcontrollingtheprojectschedule,ensuringprogressalignswiththeapprovedbaseline,andtakingnecessaryactionstokeeptheprojectontrack.f.Ensuringconstructionactivitiescomplywithallapplicabledesigndocuments,constructionstandards,buildingcodes,andregulationsthroughqualitycontrolandinspectioncoordination.g.Implementingandmanagingtheprojectsafetyprogramtoensureasafeworkingenvironment,includingconductingsafetymeetings,performingsafetyinspections,andmanagingincidentreporting.h.ManagingcontractadministrationforcontractsestablishedbytheOwnerwithsubcontractorsandsuppliers,includingreviewofcontractdocuments,changeorders,andclaims.i.Facilitatingeffectivecommunicationamongallprojectstakeholders,includingtheOwner,designprofessionals,contractors,subcontractors,suppliers,andregulatoryauthorities.j.Identifying,analyzing,anddevelopingresponsestoprojectrisks.k.CoordinatingwiththeOwnerandengineeringconsultantsduringthedesignphase(ifapplicable)tooptimizedesignforconstructabilityandcost-effectiveness.l.AssistingtheOwnerinobtainingnecessarypermitsandapprovalsfromregulatoryagencies.m.Coordinatingallphasesofconstruction,includinglogistics,resourceallocation,andsitesupervision.n.Preparingperiodicprogressreports,financialreports,andotherreportsasrequiredbytheOwner.o.AssistingtheOwnerwiththefinalinspection,walk-through,andcertificationofthecompletedProject.p.CoordinatingthehandoveroftheProjectfromtheconstructionteamtotheOwner.TermofAgreement1.ThisAgreementshallcommenceon[StartDate]andcontinueuntilthecompletionoftheProjectconstructionphase,asdefinedinSection3,andthefinalacceptanceoftheProjectbytheOwner,oruntilterminatedearlierinaccordancewiththeprovisionsofthisAgreement.2.TheAgreementmaybeextendedbymutualwrittenagreementofthepartiesupontheoccurrenceofeventsbeyondthecontroloftheOwnerorManagementCompanythatdelaythecompletionoftheProject.FeesandPayment1.ManagementFee:TheOwnershallpaytheManagementCompanyamanagementfeefortheservicesprovidedunderthisAgreement.Thefeeshallbecalculatedas[Specifythemethodofcalculation,e.g.,afixedfeeofUSD[Amount]/afeeequalto[Percentage]%ofthetotalconstructioncontractvalue/acombinationofafixedfeeplusasuccess-basedincentive].2.PaymentSchedule:Paymentsshallbemade[Specifytheschedule,e.g.,inmonthlyinstallments,uponcompletionofspecificprojectmilestones,oruponfinalacceptanceoftheProject],withthefirstpaymentdueon[Date],andsubsequentpaymentsdueonthe[Day]ofeachmonthfollowingtheendofeachcalendarmonth/uponsubmissionofvalidinvoicesbytheManagementCompanyandapprovalbytheOwner.3.Invoicing:TheManagementCompanyshallprovideinvoicesforeachpaymentperiodormilestonepayment,detailingtheservicesrenderedandtheamountdue.4.ValueAddedTax(VAT)/SalesTax:Themanagementfeeshall[Includeorexclude]valueaddedtaxorapplicablesalestax,asapplicable.TheManagementCompanyshallberesponsibleforanytaxesincurredinconnectionwiththeservicesprovided.5.OtherExpenses:TheManagementCompanyshallbereimbursedforallreasonableandnecessaryexpensesincurredbytheManagementCompanyintheperformanceofitsservicesunderthisAgreement,includingbutnotlimitedtotravelexpenses,communicationcosts,permits,insurancepremiums,andfeesforthird-partyconsultants.ReimbursementsshallbesubjecttopriorwrittenapprovalbytheOwnerandshallbesubmittedbytheManagementCompanywithin[Number,e.g.,30]daysfollowingtheincurrenceoftheexpense.Reimbursementrequestsshallbesupportedbydetailedreceiptsandexplanations.ResponsibilitiesofParties1.OwnerResponsibilities:a.ProvidetheManagementCompanywithallnecessaryinformation,documents,andaccesstotheprojectsiteasreasonablyrequiredtoperformitsservices.b.ApprovetheManagementCompany'sprojectmanagementplanandanysignificantmodificationsthereto.c.Providetimelyapprovalofnecessarydocumentation,includingchangeorders,payments,andreportssubmittedbytheManagementCompany.d.EnsurethattheOwner'srepresentativesandotherpartiesinvolvedintheProjectcooperatewiththeManagementCompany.e.Beresponsibleforsecuringallnecessarypermits,approvals,andinsurancesrequiredfortheProject,exceptasmaybespecificallyprovidedforinthisAgreement.f.Provideorarrangefortheprovisionofdesignservices,ifnotincludedwithinthescopeofmanagementservices.g.BeresponsibleforthepaymentofallconstructioncontractsawardedbytheOwner.h.Provideadequatesecurityandinsuranceasrequiredbytheconstructioncontracts.2.ManagementCompanyResponsibilities:a.Performallprojectmanagementserviceswithdiligence,skill,andcare,inaccordancewiththetermsofthisAgreementandapplicablelawsandstandards.b.ExercisereasonablecareandskilltoprotecttheOwner'sinterestsandassets.c.MaintainaqualifiedprojectmanagementteamcapableofperformingtheservicesunderthisAgreement.d.KeeptheOwnerfullyinformedofthestatusoftheProjectthroughregularreportsandmeetings.e.ExerciseduediligenceinmanagingtheProjecttoachievetheagreed-uponschedule,budget,andqualityobjectives.f.Complywithallapplicablelaws,regulations,andstandardsrelatingtotheconstructionindustry.g.Maintainproperrecordsofallprojectactivities,communications,andexpenditures.h.CoordinateandfacilitatecommunicationamongallpartiesinvolvedintheProject.i.AdvisetheOwneronmattersrelatingtotheProject,includingriskmanagement,disputeresolution,andcontractadministration.AuthorityandDelegation1.TheOwnerherebygrantstotheManagementCompanytheauthoritytoactontheOwner'sbehalfinmattersrelatingtotheProject,subjecttothelimitationsandconditionssetforthinthisAgreement.TheManagementCompanyshallhavetheauthorityto:a.EnterintoagreementswithsubcontractorsandsuppliersfortheperformanceofspecificportionsoftheProject,subjecttotheOwner'sapprovalofthesubcontractorsandsuppliersandtheagreementspriortoexecution.b.Issuechangeorderstotheconstructioncontractorsandsubcontractors,subjecttotheOwner'sapprovalforchangesinvolvinganincreaseincost.c.ApprovepaymentstosubcontractorsandsuppliersfromtheOwner'sconstructionfunds,subjecttothereviewandapprovalofthesubmittedinvoicesandpaymentapplicationsbytheManagementCompany.d.Engageindependentconsultantsandprofessionals(e.g.,engineers,architects,legalcounsel)asneededtoperformservicesrelatedtotheProject,subjecttotheOwner'sapprovaloftheconsultantsandthefeescharged.e.NegotiateandenterintoinsurancepoliciesrequiredfortheProject,subjecttotheOwner'sapprovalofthepolicytermsandcost.f.RepresenttheOwnerinnegotiationswithregulatoryauthorities,subjecttotheOwner'sdirection.2.TheManagementCompanyshallexerciseitsauthorityinamannerconsistentwiththebestinterestsoftheOwnerandinaccordancewiththetermsandconditionsofthisAgreement.PerformanceStandardsandCompliance1.TheManagementCompanyshallperformallservicesunderthisAgreementinaccordancewiththeapplicablelaws,regulations,ordinances,andstandardsoftheProjectlocation,includingbutnotlimitedtothe[Listrelevantbuildingcodes,zoningregulations,environmentalregulations,etc.].2.TheconstructionworkperformedundertheconstructioncontractsestablishedbytheOwnershallcomplywiththeapproveddesigndocuments,drawings,specifications,andapplicableconstructionstandardsandcodes.3.TheManagementCompanyshallensurethatallprojectdocumentationisproperlyprepared,reviewed,andarchived.CommunicationandReporting1.TheManagementCompanyshallmaintainopenandregularcommunicationwiththeOwnerregardingallaspectsoftheProject.2.TheManagementCompanyshallprovidetheOwnerwiththefollowingreportsonaregularbasis[Specifyfrequency,e.g.,monthly]:a.ProgressReport:Detailingthestatusofconstructionactivities,scheduleperformance,outstandingissues,andupcomingmilestones.b.FinancialReport:Summarizingprojectexpenditures,budgetstatus,andpaymentsmadeandreceived.c.OtherReports:AsrequiredbytheOwnerfromtimetotime.3.TheManagementCompanyshallholdregularprojectmeetingswiththeOwneranditsrepresentatives,andshallprovidetheOwnerwithaccesstotheprojectmanagementteam.4.AllreportsandcommunicationshallbeintheEnglishlanguageunlessotherwiseagreed.ChangeOrders1.AnychangestotheProjectscope,design,orconstructionmethodsshallrequireawrittenchangeorder,whichshallbesubmittedbytheManagementCompanytotheOwnerforapproval.2.TheOwnershallrespondtochangeorderrequestswithin[Number,e.g.,15]daysofreceipt.3.Thecostimpactofeachchangeordershallbedeterminedandagreeduponbythepartiespriortotheimplementationofthechange.4.ChangeordersshallbeincorporatedintotheprojectdocumentationandmanagedinaccordancewiththeproceduresestablishedbytheManagementCompany.RiskAllocation1.Eachpartyshallbeartherisksassociatedwithitsownactionsoromissions.2.TheManagementCompanyshallberesponsiblefortherisksassociatedwiththeperformanceofitsprofessionalservicesandthemanagementoftheProject.3.TheOwnershallberesponsiblefortherisksassociatedwiththeProject'sscope,funding,andultimateacceptance.4.Bothpartiesshallindemnifyandholdharmlesstheotherpartyfromandagainstanylosses,damages,claims,orliabilitiesarisingoutoftheindemnifyingparty'sbreachofthisAgreement.5.EachpartyshallobtainandmaintainadequateinsurancecoveragetocoveritsrespectiveliabilitiesunderthisAgreement.TheManagementCompanyshallprovidetheOwnerwithacopyofitsprimaryliabilityinsurancepolicyuponrequest.Confidentiality1.EachpartyacknowledgesthatitmayobtainconfidentialinformationfromtheotherpartyduringthetermofthisAgreement,includingbutnotlimitedtobusinessinformation,technicaldata,andfinancialinformation.2.Eachpartyagreestoholdsuchconfidentialinformationinstrictconfidenceandnottodiscloseittoanythirdpartywithoutthepriorwrittenconsentofthedisclosingparty,exceptasrequiredbylaworasnecessarytoperformitsobligationsunderthisAgreement.3.ThisconfidentialityobligationshallsurvivetheterminationofthisAgreementforaperiodof[Number,e.g.,five]yearsaftertheterminationdate.Termination1.TerminationforCause:ThisAgreementmaybeterminatedbyeitherpartyupon[Number,e.g.,30]days'writtennoticetotheotherpartyiftheotherpartycommitsamaterialbreachofanyprovisionofthisAgreementandfailstocuresuchbreachwithinthenoticeperiod.2.TerminationforConvenience:TheOwnermayterminatethisAgreementatanytimeupon[Number,e.g.,30]days'writtennoticetotheManagementCompanywithoutcause.TheManagementCompanymayterminatethisAgreementatanytimeupon[Number,e.g.,60]days'writtennoticetotheOwnerwithoutcause,providedthattheManagementCompanyhascompletedallservicesrequiredunderthisAgreementuptotheterminationdateandhasreceivedallpaymentsdueunderthisAgreement.3.ConsequencesofTermination:UponterminationofthisAgreementforanyreason,theManagementCompanyshall:a.ImmediatelyceaseallservicesunderthisAgreementexcepttotheextentnecessarytowinddownandcompletetheProjectasmutuallyagreedupon.b.DelivertotheOwnerallprojectdocumentation,records,andothermaterialscreatedorobtainedbytheManagementCompanyinconnectionwiththeservicesunderthisAgreement.c.CooperatewiththeOwnerinthetransitionoftheProjecttoanewmanagerorcontractor,ifapplicable.d.Beentitledtoreceiveallmanagementfeesandexpensesincurredpriortotheterminationdate,aswellasanyoutstandingpaymentsdueunderthisAgreement.4.FinalAcceptance:TheOwner'sfinalacceptanceofthecompletedProjectshallnotreleasetheManagementCompanyfromitsobligationsunderthisAgreementforservicesrenderedpriortosuchacceptance.DisputeResolution1.AnydisputearisingoutoforinconnectionwiththisAgreementshallfirstbeattemptedtoberesolvedthroughgoodfaithnegotiationsbetweentheparties'authorizedrepresentatives.2.Ifthedisputecannotberesolvedthroughnegotiationwithin[Number,e.g.,30]daysoftheinitiationofnegotiations,thepartiesagreetosubmitthedisputeto[Specifythemethodofdisputeresolution,e.g.,mediationadministeredbytheAmericanArbitrationAssociationunderitsrules,arbitrationbeforethe[NameofArbitrationInstitution],orlitigationinthefederalorstatecourtslocatedin[County],[State]].3.Thedecisionofthemediatorortheawardofthearbitratorshallbefinalandbindingupontheparties.Thecostsofmediationorarbitrationshallbesharedequallybytheparties,unlessotherwisedeterminedbythemediatororarbitrator.Indemnification1.TheOwnershallindemnifyandholdharmlesstheManagementCompanyfromandagainstanyandallclaims,losses,damages,liabilities,judgments,fines,penalties,andexpenses(includingreasonableattorneys'fees)incurredbytheManagementCompanyarisingoutof:a.TheOwner'sbreachofthisAgreement.b.TheOwner'sfailuretoprovidetheManagementCompanywithnecessaryinformation,access,orcooperation.c.TheOwner'sincorrectorincompleteinstructions.d.TheOwner'sdesignerrors,ifapplicable.2.TheManagementCompanyshallindemnifyandholdharmlesstheOwnerfromandagainstanyandallclaims,losses,damages,liabilities,judgments,fines,penalties,andexpenses(includingreasonableattorneys'fees)incurredbytheOwnerarisingoutof:a.TheManagementCompany'sbreachofthisAgreement,providedthattheManagementCompanyactedwiththeintenttoharmtheOwnerorwasgrosslynegligent.b.TheManagementCompany'sfailuretoexercisereasonablecareandskillinperformingitsservices.c.TheManagementCompany'sincorrectorincompleteadvice,providedthatsuchadvicewasnotthesoleordeterminingfactorincausingthelossordamage.GoverningLawandJurisdiction1.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsoftheStateof[State],withoutregardtoitsconflictoflawsprinciples.2.AnylegalactionorproceedingarisingoutoforinconnectionwiththisAgreementshallbeinstitutedexclusivelyinthefederalorstatecourtslocatedin[County],[State],andeachpartyherebyirrevocablyconsentstothepersonaljurisdictionandvenueofsuchcourts.EntireAgreement1.ThisAgreement,includingallattachmentsandexhibitsthereto,constitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,andunderstandings,wheth commenceon[StartDate]andcontinueuntilthecompletionoftheProjectconstructionphase,asdefinedinSection3,andthefinalacceptanceoftheProjectbytheOwner,oruntilterminatedearlierinaccordancewiththeprovisionsofthisAgreement.2.TheAgreementmaybeextendedbymutualwrittenagreementofthepartiesupontheoccurrenceofeventsbeyondthecontroloftheOwnerorManagementCompanythatdelaythecompletionoftheProject.FeesandPayment1.ManagementFee:TheOwnershallpaytheManagementCompanyamanagementfeefortheservicesprovidedunderthisAgreement.Thefeeshallbecalculatedas[Specifythemethodofcalculation,e.g.,afixedfeeofUSD[Amount]/afeeequalto[Percentage]%ofthetotalconstructioncontractvalue/acombinationofafixedfeeplusasuccess-basedincentive].2.PaymentSchedule:Paymentsshallbemade[Specifytheschedule,e.g.,inmonthlyinstallments,uponcompletionofspecificprojectmilestones,oruponfinalacceptanceoftheProject],withthefirstpaymentdueon[Date],andsubsequentpaymentsdueonthe[Day]ofeachmonthfollowingtheendofeachcalendarmonth/uponsubmissionofvalidinvoicesbytheManagementCompanyandapprovalbytheOwner.3.Invoicing:TheManagementCompanyshallprovideinvoicesforeachpaymentperiodormilestonepayment,detailingtheservicesrenderedandtheamountdue.4.ValueAddedTax(VAT)/SalesTax:Themanagementfeeshall[Includeorexclude]valueaddedtaxorapplicablesalestax,asapplicable.TheManagementCompanyshallberesponsibleforanytaxesincurredinconnectionwiththeservicesprovidedunderthisAgreement.5.OtherExpenses:TheManagementCompanyshallbereimbursedforallreasonableandnecessaryexpensesincurredbytheManagementCompanyintheperformanceofitsservicesunderthisAgreement,includingbutnotlimitedtotravelexpenses,communicationcosts,permits,insurancepremiums,andfeesforthird-partyconsultants.ReimbursementsshallbesubjecttopriorwrittenapprovalbytheOwnerandshallbesubmittedbytheManagementCompanywithin[Number,e.g.,30]daysfollowingtheincurrenceoftheexpense.Reimbursementrequestsshallbesupportedbydetailedreceiptsandexplanations.ResponsibilitiesofParties1.OwnerResponsibilities:a.ProvidetheManagementCompanywithallnecessaryinformation,documents,andaccesstotheprojectsiteasreasonablyrequiredtoperformitsservices.b.ApprovetheManagementCompany'sprojectmanagementplanandanysignificantmodificationsthereto.c.ApprovetheManagementCompany'sselectionofkeypersonnelfortheprojectteam.d.ApprovetheManagementCompany'srequestforadditionalfundsrequiredfortheperformanceofitsservices,providedtherequestisreasonableandsupportedbydocumentation.e.ReviewandapprovemajorcontractsenteredintobytheManagementCompanyonbehalfoftheOwner,includingcontractsformaincontractors,majormaterialsuppliers,andkeysubcontractors.f.EnsurethattheManagementCompanyhasthenecessaryauthoritytoactonitsbehalfasspecifiedinthisAgreement.g.Provideorarrangefortheprovisionofdesignservices,ifnotincludedwithinthescopeofmanagementservice
