AGENTAGREEMENT

RECITALS

WHEREAS,theAgentpossessesthenecessaryexpertise,resources,andestablishedrelationshipstomarket,promote,and/orsellthePrincipal's[Products/Services]inthe[Territory,ifapplicable,orgenerally];

1.APPOINTMENTANDAUTHORITY

1.1Appointment:ThePrincipalherebyappointstheAgentasits[exclusive/non-exclusive]agentto[specificactivities,e.g.,market,promote,solicitordersfor,and/ordistributetheProducts(asdefinedbelow)andtoperformsuchotherrelatedservicesasmaybemutuallyagreedupon](the"Services")inthe[Territory,ifapplicable,e.g.,geographicalareaorspecificmarketsegment](the"Territory").

1.2ScopeofAuthority:TheAgentisauthorized,subjecttothetermsofthisAgreement,toactonbehalfofthePrincipalinconnectionwiththeServices.ThisauthorityshallnotincludethepowertoenterintoanybindingcontractsonbehalfofthePrincipalunlessexplicitlyauthorizedinwritingbythePrincipalforspecifictransactions.TheAgentshallactinamannerconsistentwiththePrincipal'sreasonableinstructionsandinthebestinterestsofthePrincipal.

2.TERMANDTERMINATION

2.2Renewal:ThisAgreementmayberenewedforsubsequenttermsof[e.g.,one(1)]yeareach(eacha"RenewalTerm")uponmutualwrittenagreementofbothParties,suchagreementtobereachedatleast[e.g.,thirty(30)]dayspriortotheexpirationofthethen-currentterm.

2.3TerminationforCause:EitherPartymayterminatethisAgreementwithimmediateeffectbygivingwrittennoticetotheotherPartyif:

c)TheotherPartyengagesinfraudulentorillegalactivitiesinconnectionwiththeperformanceofthisAgreement.

2.4TerminationforConvenience:[Optional:EitherPartymayterminatethisAgreementwithoutcauseupon[e.g.,sixty(60)]days'priorwrittennoticetotheotherParty.]

2.5EffectofTermination:UponterminationofthisAgreementforanyreason:

a)TheAgentshallimmediatelyceasetoactasanagentofthePrincipalandshallreturnallconfidentialinformation,documents,andmaterialsbelongingtothePrincipal;

b)ThePartiesshallsettlealloutstandingpaymentsandobligationsaccrueduptothedateoftermination;

3.3Expenses:Unlessotherwiseagreedinwriting,theAgentshallberesponsibleforallexpensesincurredintheperformanceofitsobligationsunderthisAgreement,includingbutnotlimitedtotravel,advertising,andofficeexpenses.

4.OBLIGATIONSOFTHEPRINCIPAL

4.1ThePrincipalshallprovidetheAgentwithnecessaryinformation,marketingmaterials,andreasonablesupporttoenabletheAgenttoperformtheServiceseffectively.

5.OBLIGATIONSOFTHEAGENT

5.1TheAgentshalluseitsbesteffortstopromotethe[Products/Services]anddiligentlyperformtheServiceswithintheTerritory.

6.CONFIDENTIALITY

6.1EachPartyagreestokeepconfidentialallnon-publicinformation("ConfidentialInformation")disclosedbytheotherPartyinconnectionwiththisAgreement,includingbutnotlimitedtocustomerlists,pricingstrategies,productspecifications,andbusinessplans.

7.INTELLECTUALPROPERTY

7.2TheAgentshallnotacquireanyrightstothePrincipal'sintellectualpropertyexceptforthelimitedrighttousesuchintellectualpropertysolelyforthepurposeofperformingitsobligationsunderthisAgreement.

7.3AnyintellectualpropertydevelopedbytheAgentspecificallyforthePrincipalinthecourseofperformingtheServicesshallbeownedbythePrincipal,andtheAgentherebyassignsallsuchrightstothePrincipal.

8.INDEMNIFICATION

9.FORCEMAJEURE

9.2IntheeventofaForceMajeureEvent,theaffectedPartyshallpromptlynotifytheotherPartyinwritingofthenatureandextentofthedelayandshallusereasonableeffortstomitigatetheeffectsofsuchevent.IftheForceMajeureEventcontinuesforaperiodexceeding[e.g.,sixty(60)]days,eitherPartymayterminatethisAgreementuponwrittennotice.

10.GOVERNINGLAWANDDISPUTERESOLUTION

10.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction,e.g.,StateofDelaware,USA/EnglandandWales/People'sRepublicofChina].

10.2AnydisputearisingoutoforinconnectionwiththisAgreement,includinganyquestionregardingitsexistence,validity,ortermination,shallfirstbeattemptedtoberesolvedamicablythroughnegotiationsbetweenthePartieswithin[e.g.,thirty(30)]daysofthedisputearising.

11.GENERALPROVISIONS

11.1EntireAgreement:ThisAgreement,togetherwithanyattachedschedules,constitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallpriordiscussions,negotiations,andagreements,whetheroralorwritten.

11.3Assignment:ThisAgreementshallnotbeassignablebyeither
