2026年标准版合伙协议鉴于甲、乙、丙desiretoengageinabusinessactivitytogetherundertheformofapartnership,theyhavereachedthefollowingagreement(hereinafterreferredtoasthe"Agreement"):Article1:BasicProvisions1.1ThisAgreementismadeandenteredintoon[Date]byandbetween[PartnerAName],residingat[AddressA],[IDNumberA](hereinafterreferredtoas"PartnerA"),[PartnerBName],residingat[AddressB],[IDNumberB](hereinafterreferredtoas"PartnerB"),and[PartnerCName],residingat[AddressC],[IDNumberC](hereinafterreferredtoas"PartnerC").1.2ThePartnersherebyformapartnershipunderthename[PartnershipName](hereinafterreferredtoasthe"Partnership")withitsregisteredofficeat[RegisteredAddress],andengageinthebusinessof[BusinessScope]asstipulatedinthisAgreement.1.3ThetermofthePartnershipshallbe[Term],commencingfrom[StartDate]andendingat[EndDate],unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreementorlaw.Article2:CapitalContributions2.1ThetotalcapitalofthePartnershipisRMB[Amount].2.2PartnerAcontributesRMB[Amount]incash,PartnerBcontributesRMB[Amount]incash,andPartnerCcontributesRMB[Amount]in[FormofContribution](e.g.,property,intellectualpropertyrights),withatotalvalueofRMB[Amount].Thecontributionsshallbepaidby[PaymentDeadline].2.3ThecapitalcontributionsshallbeusedforthecapitalofthePartnership,andthePartnersshallhavetherighttoinspecttherelevantaccountsandfinancialstatements.Article3:RightsandObligationsofthePartners3.1EachPartnerhastherightto:(a)Participateinthedecision-makingofpartnershipaffairs;(b)Executepartnershipaffairsasagreedorappointed;(c)InspectandcopythePartnership'saccountingrecordsandfinancialstatements;(d)ShareintheprofitsofthePartnershipinaccordancewiththeagreedratio;(e)TransferallorpartoftheirinterestinthePartnershiptoathirdpartywiththeconsentofallotherPartners;(f)WithdrawfromthePartnershiporbeexpelledinaccordancewiththeprovisionsofthisAgreement.3.2EachPartnerhastheobligationto:(a)Paytheircapitalcontributioninatimelyandcompletemanner;(b)ComplywiththeprovisionsofthisAgreementandexecutepartnershipaffairs;(c)MaintaintheinterestsofthePartnershipandnotengageinanyactivitythatharmstheinterestsofthePartnership;(d)IndividuallyandjointlybearthelossesofthePartnershipaccordingtotheagreedratio.Article4:ExecutionofPartnershipAffairs4.1ThePartnershipshallbemanagedbythePartnerscollectively.MajordecisionsregardingthePartnership,asdefinedby[SpecificDefinitionofMajorDecisions],shallrequiretheconsentof[PercentageorNumber]ofthetotalPartners.4.2Partner[NameofDesignatedPartner](ifany)shallbedesignatedastheExecutivePartnerresponsiblefortheday-to-daymanagementofthePartnershipaffairs.TheExecutivePartnershallhavetheauthorityto[SpecificAuthority],andshallberemovablebyaresolutionpassedby[PercentageorNumber]ofthetotalPartners.4.3Non-executivePartnersshallhavetherighttosuperviseandinspecttheexecutionofpartnershipaffairsandmakesuggestions.Article5:FinancialManagementandProfit/lossDistribution5.1ThePartnershipshalladopttheaccountingstandardsapplicableinthePeople'sRepublicofChina.ThePartnershipshallmaintaincompleteandaccurateaccountingrecordsandshallkeepbooksofaccountatthe[LocationofBooks].5.2ThenetprofitsofthePartnershipshallbedistributedtothePartnersintheratioof[Ratio]afterpaying:(a)Salaries(ifany)tothePartners(intheamountof[Amount]per[Period]);(b)Reservesanddevelopmentfunds(intheamountof[PercentageorAmount]);(c)AnyotherexpensesagreedbythePartners.5.3ThelossesofthePartnershipshallbesharedbythePartnersintheratioof[Ratio].5.4AnyaccumulatedlossesshallbemadeupfromfutureprofitsorbythePartnerscontributingpersonally(ifagreed).Article6:AdmissionandWithdrawalofPartners6.1NewPartnersmaybeadmittedtothePartnershipupontheagreementofallexistingPartners.Thetermsandconditionsforadmissionshallbespecifiedintheadmissionagreement.6.2APartnermaywithdrawfromthePartnershipunderthefollowingcircumstances:(a)ThePartner'sconsentortheconsentofallotherPartners;(b)TheoccurrenceofaeventasstipulatedinthisAgreementorlawthatentitlesthePartnertowithdraw;(c)ThePartner'sdeath,bankruptcy,orlegalincapacity.6.3ThewithdrawalofaPartnershallbesubjecttothefollowingprocedures:(a)ThewithdrawingPartnershallgivenoticetoallotherPartnersinwritingatleast[Number]daysinadvance;(b)ThePartnershipshallsettlethewithdrawingPartner'sshareofprofitsandlosses,anddistributethecorrespondingassets;(c)ThevalueofthewithdrawingPartner'sinterestshallbedeterminedby[MethodofValuation].6.4APartnermaybeexpelledbyaresolutionpassedby[PercentageorNumber]ofthetotalPartnersfor[SpecificReasons],andtheexpelledPartnershallbesubjecttothesamesettlementproceduresasawithdrawingPartner.Article7:DisputeResolution7.1IncaseofanydisputearisingoutoforinconnectionwiththisAgreement,thePartiesshallfirstattempttoresolvethedisputethroughfriendlynegotiation.7.2Ifthedisputecannotberesolvedthroughnegotiation,thePartiesmayagreetosubmitthedisputeto[NameofArbitrationInstitution]forarbitrationinaccordancewiththerulesof[NameofArbitrationRules].Thearbitrationshallbeheldin[City].7.3IfthePartiesdonotagreetoarbitration,thedisputeshallbesubmittedtothepeople'scourthavingjurisdictionin[City]forlitigation.Article8:DissolutionandLiquidation8.1ThePartnershipmaybedissolvedunderthefollowingcircumstances:(a)ThetermofthePartnershiphasexpiredandthePartnershavenotagreedtoextendit;(b)AllPartnershaveagreedtodissolvethePartnership;(c)ThePartnershipisunabletocontinueitsbusinessactivitiesduetointernaldisputesorotherreasons;(d)ThePartnershiphasbeenlegallydissolvedordeclaredbankrupt.8.2Upondissolution,thePartnershipshallappointaliquidatortoliquidateitsassets.Theliquidatorshall:(a)TakeinventoryofthePartnership'sassetsandliabilities;(b)NotifyandpayoffthedebtsandtaxesowedbythePartnership;(c)DistributetheremainingassetstothePartnersinaccordancewiththeircapitalcontributionratio.Article9:LiabilityforBreachofContract9.1AnyPartnerwhobreachesanyprovisionofthisAgreementshallbeliableforthedamagescausedtotheotherPartners.9.2Incaseofamaterialbreach,thenon-breachingPartner(s)shallhavetherighttoterminatethisAgreementandclaimdamages.Article10:Confidentiality10.1EachPartnershallkeepconfidentialallconfidentialinformationofthePartnershipobtainedduringthetermofthisAgreement,includingbutnotlimitedtobusinesssecrets,customerlists,andtechnicalinformation.10.2TheconfidentialityobligationshallsurvivetheterminationorexpirationofthisAgreement.Article11:ForceMajeure11.1IfanyPartyisunabletoperformitsobligationsunderthisAgreementduetoforcemajeureevents(suchasnaturaldisasters,wars,orgovernmentactions),suchPartyshallnotbeliableforthefailuretoperformitsobligations,providedthatithastakenreasonablemeasurestopreventormitigatethedamagecausedbytheforcemajeureeventandhaspromptlynotifiedtheotherPartiesoftheevent.Article12:GoverningLawandJurisdiction12.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina.12.2AnydisputearisingoutoforinconnectionwiththisAgreementshallbesubmittedtothepeople'scourthavingjurisdictionin[City]forlitigation.Article13:AmendmentsandSupplements13.1AnyamendmentorsupplementtothisAgreementshallbevalidonlyifmadeinwritingandsignedbyallPartners.Article14:EntireAgreement14.1ThisAgreement,togetherwiththeattachments
