2026年酒店管理服务合同范本含客房清洁责任条款PartiesThisContract(“Contract”)ismadeandenteredintoasof[Date],byandbetween:[TheFullLegalNameoftheHotelOwner](“Owner”),havingitsprincipalplaceofbusinessat[Owner’sAddress],and[TheFullLegalNameoftheHotelManagementCompany](“Manager”),havingitsprincipalplaceofbusinessat[Manager’sAddress].RecitalsWHEREAS,theOwnerownsandoperatestheHotellocatedat[HotelAddress](“Hotel”);andWHEREAS,theOwnerdesirestoengagetheManagertoprovideprofessionalmanagementservicesfortheHotel;andWHEREAS,theManagerhastheexperience,expertise,andresourcesnecessarytoprovideeffectivemanagementservicesfortheHotel.NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereincontained,thepartiesheretoagreeasfollows:1.DefinitionsandInterpretationsForthepurposesofthisContract,thefollowingtermsshallhavethemeaningssetforthbelow:(a)“Hotel”meanstheHotellocatedat[HotelAddress]describedmorefullyinExhibitAattachedhereto.(b)“ManagementServices”meanstheservicessetforthinSection3ofthisContract.(c)“GoverningLaw”meansthelawsoftheStateof[StateName]withoutregardtoitsconflictoflawprinciples.(d)“EffectiveDate”meansthedatefirstsetforthabove.(e)“OperationalStandards”meansthestandardsofcleanliness,maintenance,servicequality,andguestcaresetforthinthisContractandanyamendmentsthereto.2.ScopeofManagementServicesTheManagershallprovidethefollowingManagementServicestotheHotel:(a)OperationalManagement:(i)Formulationandimplementationofannualoperatingplans,budgets,andfinancialforecasts.(ii)Developmentandexecutionofmarketingandsalesstrategies.(iii)Managementofguestrelationsandloyaltyprograms.(iv)Overseeingtheprocurementofgoodsandservices.(b)HumanResourcesManagement:(i)Recruitment,selection,training,anddevelopmentofmanagementandstaff.(ii)Establishmentandadministrationofperformanceappraisalsystems.(iii)Developmentandadministrationofcompensationandbenefitsprograms.(iv)Employeerelationsmanagement.(c)FinancialManagement:(i)ManagementofallHotelrevenuesandexpenses.(ii)MaintenanceofaccuratefinancialrecordsandpreparationofperiodicfinancialreportsfortheOwner.(iii)ManagementofHotelbankingandcashflow.(d)FacilityandEquipmentManagement:(i)DevelopmentandoversightofpreventativemaintenanceprogramsforallHotelfacilitiesandequipment.(ii)Managementofrepairandreplacementoffacilitiesandequipment.(iii)Ensuringthesafety,security,andfunctionalityofallHotelsystemsandequipment.(e)SafetyandSecurityManagement:(i)Implementationandmaintenanceoffiresafetyandsecurityprocedures.(ii)Oversightofbuildingsecuritypersonnelandprocedures.(iii)Developmentandmaintenanceofemergencyresponseplans.(f)HousekeepingManagement:(i)ProvisionofallhousekeepingservicesasdescribedinSection4.(ii)Ensuringcompliancewithallapplicablehealthandsanitationregulations.(g)PropertyManagement:(i)MaintenanceandrepairoftheHotel’sphysicalstructureandgrounds.(ii)ManagementofminorimprovementsandmodificationstotheHotel.(h)OtherServices:(i)Managementofrelatedservicessuchaslaundry,eventcoordination,andcatering,ifapplicable.3.ManagementAuthorityandObligations(Manager)TheManagershallhavetheauthoritytomanagetheHotelconsistentwiththetermsofthisContractandoperationalstandards.TheManager’sobligationsinclude,butarenotlimitedto:(a)ActinthebestinterestsoftheOwneratalltimes.(b)OperatetheHotelwithduediligenceandgoodfaith.(c)Complywithallapplicablelaws,regulations,andordinances.(d)MaintaintheHotelinaclean,safe,andattractiveconditionatalltimes.(e)ProtecttheOwner’spropertyandmaintainitsvalue.(f)RenderallreportstotheOwnerasrequiredunderthisContract.(g)UsereasonableeffortstomaximizetheHotel’sprofitability.(h)MaintaininsuranceasrequiredbythisContract.4.HousekeepingManagementTheManagershallberesponsiblefortheprovisionofallhousekeepingservicesattheHotel,includingbutnotlimitedto:(a)CleaningFrequencyandScope:(i)Dailycleaningandturnoverofallguestrooms,includingmakingbeds,changinglinensandtowels,andcleaningbathrooms.(ii)Dailycleaningandsanitizationofpublicareas,includinglobbies,corridors,diningrooms,restrooms,andcommonareas.(iii)Weeklydeepcleaningofguestroomsandpublicareas,includingcleaningofwindowpanes,baseboards,andupholstery.(iv)Regularcleaningandmaintenanceoflaundryfacilitiesandequipment.(v)Regulardisposaloftrashandrecycling.(b)CleaningStandards:(i)GuestRooms:Floorsshallbeclean,dry,andfreeofdebris,dust,stains,andhair.Walls,ceilings,andfixturesshallbecleanandfreeofdirt,grease,andstains.Beddingshallbeclean,neatlymade,andfreeofstainsorodors.Bathroomsshallbeclean,dry,andwell-stockedwithtoiletpaper,soap,andshampoo.Toiletsshallbecleanandfreeofdebris.Showersandbathtubsshallbecleanandfreeofsoapscum,hair,andresidue.Windowsshallbecleanandclear.Allsurfacesshallbefreeofdustandsmudges.(ii)PublicAreas:Floorsshallbeclean,dry,andfreeofdebris,stains,andspills.Wallsandceilingsshallbefreeofdustandstains.Allsurfaces,includingtables,chairs,andcounters,shallbecleanandfreeofdebris.Restroomsshallbeclean,well-stocked,andodor-free.Entrywaysandlobbiesshallbewell-lit,clean,andpresentableatalltimes.(iii)GeneralStandards:TheHotelanditsfacilitiesshallbemaintainedinaclean,sanitary,andattractiveconditionatalltimes,providingapleasantandcomfortableexperienceforguests.(c)CleaningProceduresandOperatingStandards:(i)TheManagershalldevelopandimplementstandardoperatingprocedures(“SOPs”)forallhousekeepingtasks,whichshallbeprovidedtotheOwneruponrequest.(ii)Allhousekeepingstaffshallbeproperlytrainedintheuseofcleaningchemicals,equipment,andprocedures.(iii)Allhousekeepingstaffshallberequiredtowearappropriateuniformsandidentificationatalltimes.(d)InspectionandMonitoring:(i)TheOwneroritsdesigneeshallhavetherighttoconductunannouncedinspectionsofguestroomsandpublicareasatanytimetoensurecompliancewiththecleaningstandardssetforthinthisContract.(ii)TheManagershallberesponsibleforaddressinganyissuesordeficienciesidentifiedduringinspectionswithinareasonableperiodoftime,asdeterminedbytheOwner.(iii)TheManagershallprovidetheOwnerwithaccesstohousekeepingrecordsandreports,includingcleaningschedulesandinspectionresults.(e)GuestSupplies:(i)TheManagershallberesponsibleforensuringthatallguestroomsareadequatelystockedwithessentialhousekeepingsupplies,includingbutnotlimitedtotoiletpaper,soap,shampoo,conditioner,hairdryers,andcoffee/teasupplies.(ii)TheManagershallmonitorguestroominventoryandreplenishsuppliesasneededtomeetguestexpectations.(f)ResponsibilityforDamage:(i)TheManagershallberesponsibleforanydamagetotheHotel’spropertycausedbythenegligenceor故意行为ofitshousekeepingstaff.5.OwnerRightsandObligations(Owner)TheOwnershallhavethefollowingrightsandobligations:(a)TherighttoreceivemanagementreportsasspecifiedinthisContract.(b)TherighttoinspecttheHotelanditsoperations,includinghousekeepingstandards,atreasonabletimes.(c)TherighttoapproveorrejectanysignificantchangesproposedbytheManager.(d)TheobligationtoprovidetheManagerwithfullaccesstotheHotelanditsfacilities.(e)TheobligationtopaytheManagementFeetotheManagerinaccordancewiththetermsofthisContract.(f)TheobligationtoprovidetheManagerwithanynecessaryinformationandassistancerequiredtoperformitsdutiesunderthisContract.(g)TheobligationtomaintainallinsurancerequiredbythisContract.6.ManagementFeeandPaymentTerms(a)ManagementFeeCalculation:TheManagershallbeentitledtoamanagementfeeequalto[Percentage]%oftheHotel’sannualgrossoperatingrevenue,calculatedbasedonthemonthlyfinancialstatementsprovidedbytheManager.(b)PaymentSchedule:TheManagementFeeshallbedueandpayablemonthly,onthe[Day]dayofeachmonth,followingtheendofeachcalendarmonth.(c)PaymentMethod:PaymentsshallbemadebycheckorelectronictransfertotheManager’saccount,asfollows:Name:[Manager’sAccountName]AccountNumber:[Manager’sAccountNumber]Bank:[Manager’sBankName]Address:[Manager’sBankAddress](d)PrepaidExpenses:TheOwnershallberesponsibleforpayingallprepaidexpensesincurredbytheManageronbehalfoftheOwner,asevidencedbyinvoicesprovidedbytheManager.(e)ReservationCancellationFees:TheManagershallbeentitledtoacancellationfeeequalto[Percentage]%ofthegrossroomrevenueforanyreservationcancelledbytheguestwithin[Number]daysofcheck-in,asdocumentedinthereservationsystem.7.ServiceQualityStandardsandDeposit(a)ServiceQualityStandards:TheManagershallmaintaintheHotelanditsservicesinaccordancewiththeoperationalstandardssetforthinthisContract,includingthehousekeepingstandardsdescribedinSection4.(b)Deposit:TheOwnershallpayadepositof[Amount]totheManagerupontheEffectiveDateofthisContract.ThedepositshallbeheldbytheManagerassecurityfortheperformanceoftheManager’sobligationsunderthisContract.ThedepositshallbereturnedtotheOwnerwithin[Number]daysoftheterminationofthisContract,providedtheOwnerhaspaidalloutstandingobligationstotheManager.8.ReportingRequirementsTheManagershallprovidethefollowingreportstotheOwneronaregularbasis:(a)Monthlymanagementreport,includingfinancialstatements,guestcounts,occupancyrates,andotheroperationaldata.(b)Quarterlymarketanalysisreport,includingcompetitorperformanceandindustrytrends.(c)OtherreportsasmaybereasonablyrequestedbytheOwnerfromtimetotime.9.TermoftheContractThisContractshallcommenceontheEffectiveDateandshallcontinueforatermof[Number]years(“InitialTerm”).UpontheexpirationoftheInitialTerm,thisContractshallautomaticallyrenewforsuccessive[Number]yearterms(eacha“RenewalTerm”),unlesseitherpartyprovideswrittennoticeofitsintentionnottorenewatleast[Number]monthspriortotheendofthethen-currentterm.10.TerminationThisContractmaybeterminatedbyeitherpartyasfollows:(a)TerminationforCause:EitherpartymayterminatethisContractimmediatelyupontheoccurrenceofamaterialbreachbytheotherparty,whichbreachisnotcuredwithin[Number]daysofwrittennoticefromthenon-breachingparty.(b)TerminationforConvenience:TheOwnermayterminatethisContractatanytimeupon[Number]months’writtennotice.TheManagermayterminatethisContractatanytimeupon[Number]months’writtennoticeiftheOwnerfailstopaytheManagementFeeorotheramountsowedtotheManager.(c)EffectsofTermination:UponterminationofthisContract,theManagershallceasetoprovideManagementServicesandshalldeliverallpropertyoftheOwnertotheOwner.TheManagershallcontinuetoperformitsobligationsunderthisContractforaperiodof[Number]monthsfollowingtermination,includingtheobligationtocompleteanyoutstandingworkandtoreturnanyremainingdeposits.11.LiabilityforBreachofContract(a)LimitationofLiability:TheliabilityofeachpartyunderthisContractshallbelimitedtotheamountsactuallypaidorpayablebytheOwnertotheManagerunderthisContract.(b)Indemnification:TheManagershallindemnifyandholdharmlesstheOwnerfromandagainstanyandallclaims,losses,damages,andexpensesarisingoutoforinconnectionwiththeManager’sperformanceofitsobligationsunderthisContract,providedtheOwnerhasexercisedreasonablecareandisnotatfault.12.ForceMajeure(a)“ForceMajeure”meansaneventorcondition,beyondthereasonablecontroloftheparties,includingbutnotlimitedtoactsofGod,war,terrorism,riots,strikes,civilcommotion,andpandemics,whichpreventsordelaystheperformanceofitsobligationsunderthisContract.(b)NeitherpartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisContractduetoForceMajeure.TheaffectedpartyshallnotifytheotherpartyinwritingoftheForceMajeureeventandshallusereasonableeffortstomitigateitseffects.13.GoverningLawandDisputeResolution(a)ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsoftheStateof[StateName]withoutregardtoitsconflictoflawprinciples.(b)AnydisputearisingoutoforinconnectionwiththisContractshallberesolvedbyarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution](“ArbitrationRules”),administeredby[ArbitrationInstitution].Thearbitrationshallbeconductedin[City],[State]andshallbeconductedintheEnglishlanguage.The仲裁panelshallconsistof[Number]arbitrator(s).14.ConfidentialityEachpartyshallkeepconfidentialallinformationdisclosedbytheotherpartytoitinconnectionwiththisContractandshallnotusesuchinformationforanypurposeotherthantoperformitsobligationsunderthisContract.15.IntellectualPropertyAllintellectualpropertycreatedbytheManagerinconnectionwiththeperformanceofitsobligationsunderthisContractshallbeownedbytheOwner.16.EntireAgreementThisContract,includingtheexhibitsattachedhereto,constitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,andnegotiationsbetweentheparties.17
