公司保密协议英文版参考范本ConfidentialityAgreementThisConfidentialityAgreement(the"Agreement")isenteredintoasof[Date](the"EffectiveDate")byandbetween:Collectively,theDisclosingPartyandtheReceivingPartymaybeindividuallyreferredtoasa"Party"andcollectivelyasthe"Parties."1.BackgroundandPurposeWHEREAS,theReceivingPartyacknowledgesthatsuchinformationisofsignificantvaluetotheDisclosingPartyandthatunauthorizeddisclosureorusewouldcauseirreparableharm;2.DefinitionofConfidentialInformation2.1"ConfidentialInformation"shallmeananyandallnon-publicinformation,data,ormaterial,whethertangibleorintangible,disclosedbyoronbehalfoftheDisclosingParty(includingitsemployees,agents,representatives,oraffiliates)totheReceivingParty(includingitsemployees,agents,representatives,oraffiliates)before,on,oraftertheEffectiveDate,inconnectionwiththePurpose.Thisshallinclude,butnotbelimitedto:a)Technicalinformation,includingresearchdata,designs,specifications,algorithms,softwarecode,prototypes,andknow-how;c)Intellectualproperty,includingpatents,copyrights,trademarks,tradesecrets,andapplicationstherefor;d)Anyinformationmarkedoridentifiedas"Confidential,""Proprietary,"orwithwordsofsimilarimport;e)InformationtheReceivingPartykneworreasonablyshouldhaveknown,underthecircumstances,tobeconfidentialorproprietarytotheDisclosingParty;andf)ThetermsandconditionsofthisAgreementitself.2.2Exclusions:Theterm"ConfidentialInformation"shallnotincludeinformationthat:b)WasrightfullyknowntotheReceivingPartypriortothedisclosurebytheDisclosingParty,asevidencedbywrittenrecords;c)IsindependentlydevelopedbytheReceivingPartywithoutreferencetooruseoftheDisclosingParty'sConfidentialInformation,asevidencedbywrittenrecords;e)Isrequiredtobedisclosedbyapplicablelaw,regulation,ororderofacourtorothergovernmentalauthority,providedthattheReceivingPartygivestheDisclosingPartypromptwrittennoticeofsuchrequirement(totheextentlegallypermissible)andreasonablycooperateswiththeDisclosingPartyinseekingaprotectiveorderorotherappropriateremedy.3.ObligationsoftheReceivingPartyTheReceivingPartyagreesto:3.2RestrictAccess:LimitaccesstotheConfidentialInformationsolelytothoseofitsemployees,agents,andrepresentatives(collectively,"Representatives")whohavealegitimateneedtoknowsuchinformationforthePurposeandwhoareboundbyconfidentialityobligationsnolessstringentthanthosesetforthherein.TheReceivingPartyshallberesponsibleforanybreachofthisAgreementbyitsRepresentatives.3.3ProperUse:UsetheConfidentialInformationsolelyforthePurposeandnotforanyotherpurposewhatsoeverwithoutthepriorwrittenconsentoftheDisclosingParty.4.TermandTermination4.2SurvivalofObligations:TheobligationsofconfidentialityandlimitedusesetforthinSection3shallsurvivetheterminationofthisAgreementforaperiodof[Number,e.g.,"three(3)"or"five(5)"]years,orforsuchlongerperiodasmayberequiredbyapplicablelawtoprotecttradesecrets.5.ReturnorDestructionofConfidentialInformation6.NoLicenseGranted7.Remedies8.GeneralProvisions8.1EntireAgreement:ThisAgreementconstitutestheentireunderstandingbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallpriororcontemporaneousoralorwrittenagreements,understandings,orrepresentationsrelatingthereto.8.3Assignment:ThisAgreementshallbebindinguponandinuretothebenefitofthePartiesheretoandtheirrespectivesuccessorsandassigns.ThisAgreementmaynotbeassignedbyeitherPartywithoutthepriorwrittenconsentoftheotherParty;provided,however,that[Optionally:theDisclosingPartymayassignthisAgreementwithoutconsentinconnectionwithamerger,acquisition,orsaleofallorsubstantiallyallofitsassets].8.5IndependentContractors:ThisAgreementdoesnotcreateapartnership,jointventure,agency,oremploymentrelationshipbetweentheParties.8.7GoverningLaw:ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsoftheStateof[State](orCountryof[Country]),withoutregardtoitsconflictoflawsprinciples.8.10Counterparts:ThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.FacsimileorelectronicsignaturesshallbedeemedvalidforthepurposesofexecutingthisAgreement.INWITNESSWHEREOF,thePartiesheretohaveexecutedthisConfidentialityAgreementasoftheEffectiveDate.[DisclosingPartyName]By:_________________________Name:______________________Title:_______________________Date:_______________________[ReceivingPartyName]By:_________________________Name:______________________Title:_______________________Date:_______________________GuidanceforUtilizationTheprecedingtemplateisafoundationaltoolintendedtoassistinstructuringaConfidentialityAgreement.Itseffectivenessiscontingentuponcarefulcustomizationtoreflectthespecificcontextandrequirementsofthepartiesinvolved.Keyconsiderationsinclude:*Parties:Clearlyidentifyallentitiesorindividualsenteringintotheagreement.*Purpose:The"Purpose"shouldbespecificenoughtolimitthepermissibleuseofthedisclosedinformation,preventingitsexploitationforunrelatedendeavors.*Duration:Theterm
