海运代理合同-中英文对照(范本)本海运代理合同（以下简称“本合同”）由以下双方于[合同订立日期]订立：甲方（委托方）：名称：___________________________地址：___________________________联系人：_________________________联系电话：_______________________邮箱：___________________________乙方（代理方）：名称：___________________________地址：___________________________联系人：_________________________联系电话：_______________________邮箱：___________________________THISMARINESHIPPINGAGENCYCONTRACT(hereinafterreferredtoas"theContract")ismadeandenteredintoon[DateofSigning]byandbetween:PartyA(Principal):Name:___________________________Address:___________________________ContactPerson:_________________________ContactTelephone:_______________________Email:___________________________PartyB(Agent):Name:___________________________Address:___________________________ContactPerson:_________________________ContactTelephone:_______________________Email:___________________________1.委托事项甲方委托乙方作为其进出口货物海运运输的独家代理人，负责办理以下全部或部分海运代理事务：（1）代为向船公司或其代理人订舱、安排货物装箱、转运及仓储；（2）代为办理货物报关、报检、报验及相关海关手续；（3）代为制作、审核及签发海运提单、提货单及其他运输单证；（4）代为收取或支付海运运费、港口杂费、代理费及其他相关费用；（5）代为处理货物运输过程中的异常情况及纠纷协调；（6）甲方委托的其他与海运运输相关的事务。1.EntrustedMattersPartyAherebyappointsPartyBastheexclusiveagentfortheoceantransportationofitsimportandexportgoods,andauthorizesPartyBtohandleallorpartofthefollowingmarineshippingagencymatters:(1)Bookingspacewithshippingcompaniesortheiragents,arrangingcargostuffing,transshipmentandwarehousing;(2)Handlingcustomsdeclaration,inspection,quarantineandrelatedcustomsproceduresforthegoods;(3)Preparing,reviewingandissuingoceanbillsoflading,deliveryordersandothertransportationdocuments;(4)Collectingorpayingoceanfreight,portsurcharges,agencyfeesandotherrelatedexpenses;(5)Handlingabnormalsituationsandcoordinatingdisputesduringcargotransportation;(6)OthermattersrelatedtooceantransportationentrustedbyPartyA.2.代理权限2.1乙方应在甲方明确授权范围内开展代理事务，未经甲方书面同意，乙方不得超越权限行事，不得擅自更改甲方的运输要求或与第三方签订任何涉及甲方利益的合同。2.2对于甲方委托的紧急事务，乙方可在合理范围内先行处理，事后及时向甲方汇报并补充书面授权。2.AgencyAuthority2.1PartyBshallcarryoutagencymatterswithinthescopeofexpressauthorizationfromPartyA.WithoutPartyA’swrittenconsent,PartyBshallnotactbeyonditsauthority,norshallitarbitrarilyalterPartyA’stransportationrequirementsorsignanycontractinvolvingPartyA’sinterestswiththirdparties.2.2ForurgentmattersentrustedbyPartyA,PartyBmayhandlethemwithinareasonablescopefirst,andshallpromptlyreporttoPartyAandsupplementthewrittenauthorizationafterwards.3.费用及支付方式3.1双方约定，乙方的代理服务费按以下标准收取：（1）每票货物代理服务费为人民币[XX]元（大写：____________________）；或（2）按货物海运运费的[X]%收取代理服务费。具体收费标准以双方每次确认的委托单为准。3.2除代理服务费外，乙方代甲方垫付的海运运费、港口杂费、报关费、检验检疫费等相关费用，由甲方据实承担，乙方需提供合法有效的费用凭证。3.3甲方应在收到乙方费用结算清单及相关凭证后的[X]个工作日内，将全部费用支付至乙方指定账户：账户名称：___________________________开户银行：___________________________银行账号：___________________________3.4若甲方逾期支付费用，每逾期一日应按应付未付金额的[X]‰向乙方支付违约金；逾期超过[X]日的，乙方有权暂停提供代理服务，并追究甲方的违约责任。3.FeesandPaymentMethod3.1BothpartiesagreethatPartyB’sagencyservicefeeshallbechargedaccordingtothefollowingstandards:(1)TheagencyservicefeepershipmentisRMB[XX](inwords:____________________);or(2)Theagencyservicefeeischargedat[X]%oftheoceanfreightofthegoods.Thespecificchargingstandardshallbesubjecttothecommissionformconfirmedbybothpartieseachtime.3.2Inadditiontotheagencyservicefee,relevantexpensesadvancedbyPartyBonbehalfofPartyA,suchasoceanfreight,portsurcharges,customsdeclarationfees,inspectionandquarantinefees,shallbebornebyPartyAaccordingtotheactualamount,andPartyBshallprovidevalidlegalexpensevouchers.3.3PartyAshallpayallfeestoPartyB’sdesignatedaccountwithin[X]workingdaysafterreceivingPartyB’sexpensesettlementlistandrelevantvouchers:AccountName:___________________________BankName:___________________________AccountNumber:___________________________3.4IfPartyAdelaysinpayingthefees,itshallpayapenaltyof[X]‰oftheunpaidamounttoPartyBforeachdayofdelay;ifthedelayexceeds[X]days,PartyBhastherighttosuspendtheprovisionofagencyservicesandpursuePartyA’sliabilityforbreachofcontract.4.双方责任4.1甲方责任：（1）向乙方提供真实、准确、完整的货物信息、运输要求及相关单证，包括但不限于货物名称、数量、重量、体积、价值、收发货人信息、报关资料等；（2）按时足额支付本合同约定的所有费用；（3）及时配合乙方处理运输过程中的各类问题，提供必要的协助和授权；（4）因甲方提供的信息错误、单证不全或迟延提供导致的损失，由甲方自行承担。4.2乙方责任：（1）按照本合同约定及甲方的委托要求，勤勉、尽责、高效地完成代理事务；（2）及时向甲方反馈货物订舱、报关、装船、到港等运输动态信息；（3）妥善保管甲方提供的所有单证和资料，不得泄露甲方的商业秘密；（4）因乙方故意或重大过失导致甲方遭受损失的，乙方应承担相应的赔偿责任。4.ResponsibilitiesofBothParties4.1ResponsibilitiesofPartyA:(1)ProvidePartyBwithtrue,accurateandcompletecargoinformation,transportationrequirementsandrelevantdocuments,includingbutnotlimitedtocargoname,quantity,weight,volume,value,consignorandconsigneeinformation,customsdeclarationmaterials,etc.;(2)Payallfeesstipulatedinthiscontractinfullandontime;(3)CooperatewithPartyBinhandlingvariousproblemsduringtransportationinatimelymanner,andprovidenecessaryassistanceandauthorization;(4)Lossescausedbyincorrectinformation,incompletedocumentsordelayedprovisionprovidedbyPartyAshallbebornebyPartyAitself.4.2ResponsibilitiesofPartyB:(1)Completeagencymattersdiligently,responsiblyandefficientlyinaccordancewiththeprovisionsofthiscontractandPartyA’sentrustedrequirements;(2)PromptlyfeedbacktoPartyAthetransportationdynamicinformationsuchascargobooking,customsdeclaration,loading,arrivalatport,etc.;(3)ProperlykeepalldocumentsandmaterialsprovidedbyPartyA,andshallnotdisclosePartyA’stradesecrets;(4)IfPartyAsufferslossesduetoPartyB’sintentionalorgrossnegligence,PartyBshallbearcorrespondingcompensationliabilities.5.违约责任5.1任何一方违反本合同约定，给对方造成损失的，应赔偿对方因此遭受的全部直接损失，包括但不限于货物损失、运费损失、代理费损失、违约金、律师费、诉讼费等。5.2若因不可抗力（包括但不限于自然灾害、战争、政府禁令、港口罢工等）导致一方无法履行本合同义务，该方应及时通知对方，并在[X]个工作日内提供相关证明，双方可协商暂停或解除本合同，互不承担违约责任。5.LiabilityforBreachofContract5.1Ifeitherpartyviolatestheprovisionsofthiscontractandcauseslossestotheotherparty,itshallcompensatetheotherpartyforalldirectlossessuffered,includingbutnotlimitedtocargolosses,freightlosses,agencyfeelosses,liquidateddamages,attorneyfees,litigationfees,etc.5.2Ifeitherpartyisunabletoperformitsobligationsunderthiscontractduetoforcemajeure(includingbutnotlimitedtonaturaldisasters,wars,governmentbans,portstrikes,etc.),thepartyshallpromptlynotifytheotherpartyandproviderelevantproofwithin[X]workingdays.Bothpartiesmaynegotiatetosuspendorterminatethiscontract,andneitherpartyshallbearliabilityforbreachofcontract.6.争议解决因本合同引起或与本合同有关的任何争议，双方应首先通过友好协商解决；协商不成的，任何一方均有权提交[仲裁机构名称，如中国国际经济贸易仲裁委员会]，按照申请仲裁时该会现行有效的仲裁规则进行仲裁。仲裁裁决是终局的，对双方均有约束力。6.DisputeResolutionAnydisputearisingfromorrelatedtothiscontractshallfirstberesolvedthroughfriendlynegotiationbetweenthetwoparties;ifnegotiationfails,eitherpartyhastherighttosubmitthedisputeto[NameofArbitrationInstitution,e.g.ChinaInternationalEconomicandTradeArbitrationCommission]forarbitrationinaccordancewithitseffectivearbitrationrulesatthetimeofapplyingforarbitration.Thearbitrationawardisfinalandbindingonbothparties.7.合同期限与终止7.1本合同自双方签字盖章之日起生效，有效期为[X]年。有效期届满前[X]个月，若双方均未提出书面终止通知，本合同自动续期[X]年，续期次数不限。7.2任何一方如需提前终止本合同，应提前[X]个月向对方发出书面通知，双方结清所有费用后，本合同终止。7.TermandTerminationoftheContract7.1Thiscontractshalltakeeffectonthedatewhenbothpartiessignandsealit,andshallbevalidfor[X]years.Ifneitherpartygivesawrittentermin
