建设项目合同执行合同执行质量保证合同协议鉴于甲方拟建设[项目名称]项目（以下简称“本项目”），甲方与乙方就本项目的建设施工事宜签订了《建设项目合同》（以下简称“主合同”），并于[日期]签订了《建设项目合同执行管理协议》（以下简称“执行管理协议”）。为furtherensurethequalityoftheProjectConstructionasstipulatedintheMainContract,thePartiesherebyenterintothisQualityGuaranteeContractAgreement(hereinafterreferredtoasthe"Agreement").Article1:DefinitionsandInterpretationsForthepurposesofthisAgreement,unlessotherwisedefined,thetermsshallhavethemeaningsasfollows:1.1"Project"referstotheprojectmentionedabove,[ProjectName].1.2"MainContract"referstotheConstructionProjectContractsignedbetweenPartyAandPartyBfortheProject.1.3"ExecutionManagementAgreement"referstotheAgreementonExecutionManagementoftheConstructionProjectsignedbetweenPartyAandPartyBfortheProject.1.4"QualityGuaranteePeriod"referstotheperiodfromthedateofcompletionacceptanceoftheProjectasstipulatedintheMainContractto[number]years,duringwhichPartyBshallbeartheresponsibilityforthequalityoftheProjectasstipulatedintheAgreement.1.5"WarrantyPeriod"referstotheperiodasstipulatedintherelevantlawsandregulationsofthePeople'sRepublicofChinaorasagreedintheMainContractduringwhichPartyBshallbeartheresponsibilityfortherepairofqualityproblemscausedbynon-negligentuseoftheProject.1.6"QualifiedStandard"referstothequalitystandardagreedintheMainContract,includingbutnotlimitedtonational,industry,localstandards,andspecificqualityrequirementsagreedintheMainContract(e.g.,excellent,qualifiedgrade).1.7"DesignRequirements"referstothequalityrequirementsthatshallbemetbyPartyBintheconstruction,asapproveddesigndocumentsanddrawings.1.8"Defect"referstoanydeviationfromthequalifiedstandardordesignrequirementsidentifiedintheProject.1.9"Inspection"referstotheprocessofexaminingtheProjecttoensureitmeetsthequalitystandards.1.10"Acceptance"referstotheprocessofformallyacknowledgingthattheProjectmeetsthequalitystandards.1.11"Third-PartyInspectionAgency"referstoanindependentagencyengagedbyPartyAorPartyBtoconductinspectionsontheProject.1.12"SupervisionUnit"referstotheunitorindividualdesignatedbyPartyAtosupervisetheconstructionprocessoftheProject.1.13"QualityManagementSystem"referstothesystemestablishedbyPartyBtoensurethequalityoftheProject.1.14"PersonnelQualification"referstothequalificationsrequiredforpersonnelinvolvedintheconstructionoftheProject.1.15"MaterialandEquipmentInspection"referstotheprocessofinspectingmaterialsandequipmentbeforetheyareusedintheProject.1.16"ConstructionProcessControl"referstothemeasurestakenbyPartyBtocontrolthequalityoftheProjectduringtheconstructionprocess.1.17"Non-DeliberateUse"referstotheuseoftheProjectinamannerconsistentwithitsintendedpurpose.1.18"Notices"shallmeananynotice,request,instruction,orothercommunication,whetherwrittenororal,sentbyregisteredpost,email,orothermeansofcommunication.1.19"Agreement"referstothisQualityGuaranteeContractAgreement.1.20Allreferencestothe"Parties"meanPartyAandPartyBcollectively.1.21Allreferencestothe"ProjectSite"meanthelocationwheretheProjectislocated.1.22Allreferencesto"hereinafter"or"herein"mean"inthisAgreement".Article2:ScopeandStandardsofQualityGuarantee2.1ThescopeofqualityguaranteeunderthisAgreementshallcovertheentireProjectasstipulatedintheMainContract,unlessotherwiseagreedinwritingbytheParties.2.2ThequalitystandardoftheProjectshallcomplywiththeQualifiedStandardagreedintheMainContract.2.3PartyBshallensurethattheconstructionoftheProjectmeetstheDesignRequirements.2.4PartyBshallestablishandimplementaQualityManagementSysteminaccordancewiththerelevantlaws,regulations,andindustrystandards.2.5PartyBshallensurethatallpersonnelinvolvedintheconstructionoftheProjectpossesstherequiredPersonnelQualification.2.6PartyBshallconductMaterialandEquipmentInspectiononallmaterialsandequipmentbeforetheyareusedintheProject.2.7PartyBshallimplementConstructionProcessControlmeasuresduringtheconstructionprocesstoensurethequalityoftheProject.2.8PartyBshallmaintainallquality-relatedrecordsanddocumentsinaccordancewiththerelevantrequirements.Article3:ResponsibilitiesforQualityGuarantee3.1PartyBshallbearthesoleresponsibilityforthequalityoftheProject.PartyBshallconstructtheProjectinaccordancewiththeMainContract,theExecutionManagementAgreement,andthisAgreement.3.2PartyBshallestablishandimplementacomprehensiveQualityManagementSystemtoensurethequalityoftheProject.TheQualityManagementSystemshallinclude,butnotbelimitedto,qualityplanning,qualitycontrol,qualityassurance,andqualityimprovement.3.3PartyBshallconductregularqualityinspectionsandtestsontheProjecttoensureitmeetsthequalitystandards.3.4PartyBshallpromptlycorrectanyDefectsidentifiedintheProject.3.5PartyBshallcooperatewithPartyA,theSupervisionUnit,andanyThird-PartyInspectionAgencyintheirinspectionsandacceptanceactivities.3.6PartyBshallberesponsibleforallcostsassociatedwiththerepairofDefectsidentifiedduringtheQualityGuaranteePeriod.3.7PartyAshallhavetherighttosupervisetheconstructionprocessoftheProjecttoensurethequalityoftheProject.3.8TheSupervisionUnitshallhavetherighttoconductinspectionsandissueacceptanceopinionsontheProject.3.9PartyAshallprovidePartyBwithallnecessaryconditionstoensurethequalityoftheProject.Article4:MeasuresandProceduresforQualityGuarantee4.1Beforetheconstructionbegins,PartyBshallprepareaQualityGuaranteePlanandsubmitittoPartyAandtheSupervisionUnitforapproval.4.2PartyBshallconducttechnical交底toallpersonnelinvolvedintheconstructionoftheProjecttoensuretheyunderstandthequalityrequirements.4.3PartyBshallconductregularqualitytrainingforallpersonnelinvolvedintheconstructionoftheProjecttoimprovetheirqualityawarenessandskills.4.4PartyBshallconductMaterialandEquipmentInspectiononallmaterialsandequipmentbeforetheyareusedintheProject.Onlymaterialsandequipmentthatpasstheinspectionshallbeused.4.5PartyBshallconductinspectionsandtestsonallconstructionprocessestoensuretheymeetthequalitystandards.4.6PartyBshallpromptlyreportanyqualityproblemstoPartyAandtheSupervisionUnit.4.7PartyBshallimplementthenecessarymeasurestocorrectanyqualityproblemsidentifiedduringtheconstructionprocess.4.8PartyBshallmaintainallquality-relatedrecordsanddocumentsinasystematicmanner.4.9PartyAortheSupervisionUnitmayconductunannouncedinspectionsoftheProjectatanytime.4.10AnydisputesarisingfromthequalityoftheProjectshallberesolvedthroughnegotiationbetweenPartyAandPartyB.Article5:QualityGuaranteePeriodandWarrantyPeriod5.1TheQualityGuaranteePeriodoftheProjectshallbe[number]yearsfromthedateofcompletionacceptanceasstipulatedintheMainContract.5.2TheWarrantyPeriodoftheProjectshallbeasstipulatedintherelevantlawsandregulationsofthePeople'sRepublicofChinaorasagreedintheMainContract.5.3DuringtheQualityGuaranteePeriod,PartyBshallbeartheresponsibilityforthequalityoftheProjectasstipulatedinthisAgreement.5.4DuringtheWarrantyPeriod,PartyBshallbeartheresponsibilityfortherepairofqualityproblemscausedbynon-negligentuseoftheProject.5.5PartyBshallpromptlyrespondtoanyqualityproblemsreportedbyPartyAduringtheWarrantyPeriodandrepairthematPartyB'sexpense.5.6PartyBshallberesponsibleforallcostsassociatedwiththerepairofqualityproblemsduringtheWarrantyPeriod.Article6:QualityInspectionandAcceptance6.1PartyBshallconductself-inspectionsontheProjectatallstagesofconstructiontoensureitmeetsthequalitystandards.6.2PartyAortheSupervisionUnitshallconductinspectionsontheProjectatregularintervalstoensureitmeetsthequalitystandards.6.3PartyBshallberesponsibleforallcostsassociatedwiththeinspectionsconductedbyPartyAortheSupervisionUnit.6.4PartyBshallpromptlycorrectanyqualityproblemsidentifiedduringtheinspections.6.5PartyAortheSupervisionUnitshallissueacceptanceopinionsontheProjectaftereachinspection.6.6PartyBshallberesponsibleforallcostsassociatedwiththere-inspectionsconductedbyPartyAortheSupervisionUnitiftheacceptanceopinionisnotmet.6.7ThefinalacceptanceoftheProjectshallbeconductedbyPartyAinaccordancewiththeMainContract.6.8PartyBshallberesponsibleforallcostsassociatedwiththere-constructionoftheProjectifthefinalacceptanceisnotmet.Article7:LiabilityforBreachofContract7.1IfPartyBfailstocomplywiththetermsandconditionsofthisAgreement,PartyBshallbeliableforbreachofcontract.7.2PartyBshallcompensatePartyAforanylossescausedbythebreachofcontract.7.3IfPartyAfailstoprovidePartyBwiththenecessaryconditionstoensurethequalityoftheProject,PartyAshallbeliableforbreachofcontract.7.4PartyAshallcompensatePartyBforanylossescausedbythebreachofcontract.7.5ThePartiesshallnegotiateandsettleanydisputesarisingfromthebreachofcontractthroughfriendlyconsultation.7.6IfthePartiescannotreachanagreementthroughnegotiation,thedisputeshallbesubmittedtothecompetentadministrativedepartmentformediation.7.7Ifthedisputecannotberesolvedthroughmediation,thedisputeshallbesubmittedto[仲裁委员会名称]forarbitrationinaccordancewiththerelevantlawsandregulations.7.8Ifthedisputecannotberesolvedthrougharbitration,thedisputeshallbesubmittedtothepeople'scourthavingjurisdictioninaccordancewiththerelevantlawsandregulations.Article8:Effectiveness,Amendment,andTermination8.1ThisAgreementshallbecomeeffectiveonthedateofsigningbybothParties.8.2ThisAgreementshallremainineffectuntiltheQualityGuaranteePeriodexpiresortheProjectisfinallyacceptedbyPartyA.8.3ThisAgreementmaybeamendedbythePartiesinwriting.8.4T
