藏 、矽 硕士学位论文 m a s t er st h e s i s 内容摘要 土地储备制度是适应我国土地使用制度改革不断深化和城市土地市场发育而 产生的一种新型的土地管理制度，也是土地有偿使用制度及管理制度的创新制度。 土地储备制度的建立代表了我国土地制度改革的方向。是我国城市用地制度的又一 次重大突破，有人将其誉为我国解放后“第二次土地管理革命”。实践证明，土地 储备制度对政府调控土地市场，实施土地利用总体规划和城市规划，保证国有土地 资产的保值、增值，促进社会经济全面协调发展发挥了重要作用。然而，由于土地 储备制度在我国建立和实施的时间较短，实践中出现了很多问题，如土地储备制度 法律法规支撑体系缺失，土地储备机构性质不明、职能定位不清，土地供应方式不 规范，土地储备制度基本程序缺失，地方政府规章与现行法律法规相冲突，缺乏政 府对土地储备机构的监管等。这些问题的存在，一方面导致了社会对土地储备制度 的合理性与合法性的质疑，另一方面在一定程度上影响了土地储备制度的社会经济 目标的实现，同时也说明了我们对这一制度建立与运作的理论关注和研究不够，而 从法理角度来审视和论证的工作就更显薄弱。鉴于这种情况，本文试从法理、理论 基础的角度对该制度进行剖析，揭示其产生的必然性、合理性与合法性以及与整个 土地法律制度的总体协调性，尝试构建其理论基础体系，然后结合几种具体模式的 分析结果和目前存在的问题，提出了相应的立法建议、政策配套措施与完善制度的 构想。基于这种思路，除前言外，全文分四个部分来展开论述。 前言主要介绍了选题的背景、研究的意义、理论研究的现状、本文所使用的主 要研究方法和研究的目的等内容。 第一部分：土地储备制度的法理分析。法理分析这一部分可以说是全文的关键 之处。其“关键”之义，就在于从法学理论的角度来审视和论证土地储备制度建立 与实际运作的合法性问题。合法性与否，关系该制度的存废。如能通过合法性的检 验，那么该制度才谈得上继续发展和完善。否则，制度建立就没有法理依据，制度 运作就是处于脱法运行状态。因此，本文首先对土地储备制度的概念和法律特征进 行了考察，认为土地储备铝0 度是指土地储备机构依法将其通过征收、收回、收购、 置换等方式取得的土地，予以储存、整理与开发利用，合理配置土地资源的行为， 而有关这种行为的一系列规则便组成了土地储备制度。该制度具有两个法律特征： 土地征购及其供应主体的特定性；法律关系的双重性。接着分析土地储备制度的价 值观，指出了该制度的创新之处就在于制度的属性体现了市场经济的价值效率 、矽 硕士学位论文 m a 5 t e st h e 5 1 5 与公平，并且将公平与效率有机的结合在一起，使两者在一个多层次运转制度结构 中达到统一。最后，考察了土地储备制度与土地产权制度、土地流转制度、城市土 地管理制度三者的关系，指出土地储备制度在整个土地制度中处于一种不可或缺的 地位，其和上述三种具体的制度在总体上呈和谐状态的。这样，通过对该制度的概 念、法律特征、价值与相关制度的比较，完成了对土地储备制度的合法性检验。 第二部分：土地储备制度的理论基础。该部分着重从土地产权理论、土地发展 权理论与市场失灵和政府管制理论三个方面，对土地储备制度建立与运行的理论基 础进行了考察。主要试图阐述其产生的合理性问题，同时由于在上述理论中，有的 具有强烈的法律特征，相应地又可对土地储备制度的合法性作进一步的揭示。对于 土地产权理论，文章认为其理论价值在于说明了国有土地所有权和集体土地所有权 是土地储备制度创建的根本煎提，雨建立其之上的土地产权则是土媳储备制度运行 的基础，具有实现土地民事流转的功能。因而文章先对土地产权理论的概念、基本 点作了介绍。然后，对土地储备制度建立的根本前提和运行基础分别作了相应的论 述；对于土地发展权理论，文章认为其理论价值就在于对土地储备制度的社会公共 利益的目的能够给予充分的印证，并且能对土地储备升值的增值来源及其归国家所 有的法理及理论基础做出令人信服的解释。因此，文章先对土地发展权的概念、基 本内容等作了介绍，然后从土地发展权创设的目的和内容，以及其与土地储备制度 运行之问的关系这两个角度来论述，印证了土地储备制度社会公共利益的目的。最 后对其运行中的诸现象，例如土地储备升值的增值来源及其归国家所有等作了解 释；对于市场失灵与政府管制理论，文章认为其理论价值就在于能够用它来说明国 家为什么要用公权力介入土地市场以及在市场经济条件下如何介入等问题。而土地 储备制度则是实现这种“介入”的制度安排。文章首先介绍了市场失灵与政府管制 的一般理论，然后指出我国土地市场失灵的特性以及政府管制的内容和手段，最后 以此为基础，提出了土地储备铋度是贯彻国家管制土地市场，克服土地市场失灵制 度安排的观点。 另外，在通过对土地产权理论和土地发展权理论的有关论述过程中，其作为土 地储备制度的法理依据的特性也昭然若揭了。这也更进一步论证了土地储备制度的 合法性问题。 第三部分：土地储备制度的模式考察。土地储备制度的创设和土地制度、法德 法规与政策的大背景是分不开的。文章先从社会主义的土地公有制、社会主义市场 经济体制的确立与法律法规与政策环境三个角度阐述了土地储备制度创设的大背 景。认为土地储备制度是适应经济体制改革目标的确立，在地公有制和现行法律 i i 硕士学位论文 m a s t e r st h e 5 i s 法规与政策的框架下应运而生的产物。接着，以上海、杭州、南通、武汉四地土地 储备制度的运作模式为例，从土地储备性质、机构职能、储备权力、储备范围以外 的土地交易、储备范围以内的土地交易、用地者自行交易、供应土地的主体及其权 力、市场垄断方式与效果、储备土地供应方式、资金需求、储备土地供应、政府优 先购买权、基本程序等1 3 个方面加以比较与分析，并对四地模式作了评价。最后， 据此概括出目前土地储备制度存在的主要问题，具体表现为土地储备制度法律法规 支撑体系缺失，土地储备机构性质不明、职能定位不清，土地供应方式不规范，土 地储备基本程序不完善，地方政府规章与现行法律法规相冲突，缺乏政府对土地储 备机构监管等7 个方面，基本上涵盖了该制度的方方蔼面。这些为下一步的法律对 策部分提供了可借鉴之素材。 第四部分：完善地储备制度的法律对策。这部分主要是在前面理论阐述和四 种土地储备制度模试考察的基础上，针对土地储备制度存在的主要问题，就如何完 善土地储备制度提出了相应的对策建议。首先，文章旗1 9 只鲜明地明确了我国应建立 政府主导型土地储备制度模式的观点，并相应地分析了制度建立的可行性与必要性 问题。然后，从立法建议与政策配套、土地储备制度具体设计两个方面入手，比较 全面系统地提出了完善土地储备制度的建议。 。 总之，土地储备制度在中国的建立不是偶然的，而是有其历史的必然性。虽然 目前立法并没有明确规定这项制度，但其仍然没有违背法理和法律法规的基本原 则，并在现行的法律法规框架内运行。因而原则上是合理和合法的，但同时也要看 到，该制度目前存在的问题，我们不能忽视这些问题，而是要采取积极应对的态度， 在理论和现实两个层面加以完善与改进。
