consultations and mutual agreement, hereby enter into the contract under the labor laws and rules of the peoples republic of china.一、劳动合同期限1. term of the labor contract第一条 甲乙双方选择以下第 contract signing date is inconsistent with the date of part b to start to work, the labor relationship is established from the date of actual work.二、工作内容和工作地点 2. job description and location第四条 根据甲方工作需要及乙方的能力和表现,经甲、乙双方协商同意,可以变更工作岗位(工种)或工作内容。乙方必须遵守甲方制定的各项规章制度,履行岗位职责,按时、按质、按量完成生产和工作任务。article5 according to party as work needs and party bs capacity and performance, party a and party b with mutual consent, can change party bs jobs (jobs) or job content. party b must comply with party as established rules and regulations, fulfill the duties, and complete the production and work tasks in conformity with the specific quality, quantity and time.第六条 乙方的工作地点在 。根据甲方的工作需要,经甲乙双方协商同意,可以变更工作地点。article6 party b agrees to work at (office location and city). according to the needs of party as business, party bs work location may be changed after consultations and mutual agreement.三、工作时间和休息休假3. working hours/rests/vacation第七条 甲方安排乙方执行以下第 种工作制。article7 party b agrees to execute the_type of weekend.2、综合计算工时工作制:在 (日/月/年)内平均日和平均周工作时间不超过法定标准工作时间。2. integrated work system: the summation of party bs working hours within _ (day/month/year) shall not exceed the legal standard working hours.3、不定时工作制:在保证完成甲方工作任务情况下,工作和休息休假的时间由乙方自行安排。3. irregular working hours: party b may arrange her/his own working hours, rests and vacation after completing the job arranged by party a.第八条 甲方安排乙方延长工作时间或在休息日、法定休假日工作的,甲方应安排乙方补休或支付相应劳动报酬。乙方加班须征得甲方确认同意,否则不视为加班。article8 according to the needs of production and management, party a may extend party bs working hours and party b shall obey. however, party a shall provide compensating leaves or relevant remuneration for party b. if party b intends to work overtime, party b shall obtain the relevant supervisors approval in advance. if party b works overtime without the approval of party a, party b shall not have the right to ask party a for compensating leaves or overtime compensation.第九条 乙方享有规定的双休日、法定节假日、婚丧假、计划生育及女工孕产假、哺乳假、公休假、病假、事假、带薪年休假等假期,具体规定详见员工手册或公司相关政策制度;乙方的病假、事假工资支付按甲方公司规定执行。article9 party b is entitled to all vacations such as two-day weekend, legal holidays, marriage leave, funeral leave, family planning and maternity leave, lactation leave, sabbatical leave ,sick leave, private affair leave, paid annual leave, etc, in accordance with “staff handbook” and the related rules and regulations of the company . the payment of party bs sick leave and private affair leave is stipulated by party as bylaws.四、劳动报酬和支付4. labor remuneration and payment第十条 乙方的月基本工资为:_ _(币种: ,税前),乙方的浮动薪酬(含绩效奖金和其他所有薪酬),年终进行考核发放。经协商一致,甲方可依据乙方工作能力、工作表现、岗位变动、身体因素等情况调整乙方工资水平。薪资发放的其他约定(如汇率等):_ _ _ 。article10 party bs pre-tax salary shall be per month(currency: ). party bs performance salary and all other reward will be paid after the performance appraisal in the end of the year. party b agrees that party a may adjust party bs salary according to party bs professional abilities, performance at work, position, physical conditions, which shall be confirmed after consultations and mutual agreement of both parties. other agreements about labor remuneration(such as exchange rate,etc): _ _ _ _.第十一条 甲方可根据经营效益和乙方工作表现和业绩酌情发放奖金。article11 party a shall pay party bs bonus according to party as business benefits and party bs performance at work. 第十二条 乙方应当依法向税务部门缴纳个人所得税,由甲方每月按规定从乙方工资中代扣代缴。article12 party b shall pay individual income tax to the tax authorities. party a will handle the monthly formalities of paying individual income tax from party bs salary in accordance with the related tax laws of the peoples republic of china.第十三条 每月5日为甲方发薪日,发放上月工资,如因不可抗力等特殊原因可以延迟支付(最迟不超过5个工作日),但必须及时向乙方说明。article13 party a pays party bs wage monthly on the 5th of the following month. the payment can be delayed at most 5 working days under special circumstance such as force majeure events. however, party a must inform party b in time.五、劳动保险和福利待遇5. labor insurance and welfare第十四条 甲方为乙方提供商业保险,详见公司相关政策制度。article14 party a shall provide commercial insurance to party b, for details, please refer to the related rules and regulations of the company.第十五条 乙方患病或非因工负伤,在合同期内,需要停工医疗的,按国家和当地相关规定,给予相应的医疗期。乙方在医疗期的工资待遇、医疗费用等按照国家和当地有关规定执行。article15 during the period of the contract, if party b needs to stop working for medical treatment when he/she falls ill or is injured for a non-work-related reason, party a shall provide party b the medical period according to relevant national and local regulations. remuneration during the medical period shall be in accordance with the national/local relevant regulations.第十六条 乙方在患职业病或因工负伤后的工资和医疗保险待遇按国家和当地有关规定执行。article16 in case that party b gets occupational disease or work-related injuries, remuneration and medical insurance shall be executed in accordance with the national/local relevant regulation.第十七条 其他福利待遇详见员工手册或公司相关政策制度。article17 party bs other welfare can refer to “staff handbook” and related rules and regulations of the company.六、劳动保护、劳动条件和职业危害防护6. labor protection, working conditions and occupational injuries protection第十八条 甲方应根据国家规定和乙方岗位的需要,为乙方提供必要的劳动条件和劳动工具及良好的工作环境和劳动保护设施。article18 party a shall provide party b a safe and healthy working environment and working conditions which are equipped with necessary production facilities for ensuring the safety of party b according to the national relevant regulations and position needs.第十九条 甲方按照国家或当地相关部门的规定组织安排乙方进行健康检查。 article19 party a shall arrange party b to have healthy examination according to the national/local relevant regulations.第二十条 乙方在劳动过程中必须严格遵守安全操作规程。乙方对甲方管理人员违章指挥、强令冒险作业,有权拒绝执行;对危害生命安全和身体健康的行为,有权提出批评、检举和控告。article20 party b must strictly comply with all safety operation rules during work process. party b is entitled to refuse commands which violate the safety operation rules, as well as to criticize and impeach about the action which is harmful to safety and health.第二十一条 甲方应按女职工劳动保护规定、女职工禁忌劳动范围的规定和未成年工劳动保护规定,对女职工和未成年工实行特殊劳动保护。article21 party a shall implement special labor protection to women staff and minor staff according to relevant regulations including “provisions of female labor protection”, “provisions of scope of female labor taboo”, “provisions of minor labor protection”.七、劳动纪律7. labor disciplines 第二十二条 甲方根据经营需要,依法制定规章制度和劳动纪律。乙方违反甲方的劳动纪律和规章制度,甲方有权根据规章制度进行处理,直至解除本合同。article22 party a shall make the company bylaws according to relevant laws and regulations and give rewards to or take disciplinary actions against party b according to such bylaws until the dissolution of contract.第二十三条 乙方应遵守甲方的规章制度;爱护甲方的财产,遵守职业道德;积极参加甲方组织的培训,提高自身素质。 article23 party b must comply with all rules and regulations made by party a, treasure party as belongings,comply with occupational morality, and actively take part in training to improve diathesis by self.第二十四条 未经甲方事先同意,在本合同有效期内,乙方不得以任何形式在其他单位兼任任何有偿工作。article24 during the term of this contract, party b can not take any paid part-time job in other employer without party as approval in advance.第二十五条 甲方为乙方配备的办公、通讯设备、交通工具及其他用品,在任何时间均归甲方所有,乙方不得擅自处理。article25 at any time, all the facilitate which are prepared for party b by party a, such as office facilitate, communication facilitate, traffic facilitate, etc, belongs to party a, and shall not be disposed by party b.八、劳动合同的变更、解除、终止及续订8. change, termination, renewal and cancellation of the labor contract第二十六条 订立本合同所依据的客观情况发生重大变化,致使本合同无法履行的,经双方协商同意,可以变更本合同相关内容。article26 when changes have occurred in objective circumstances upon which this contract is entered into, rendering the original labor contract impossible to implement, both parties may amend relevant clauses of this contract.第二十七条 经甲、乙双方协商一致,可以解除本合同。article27 this contract could be ended after negotiation between party a and party b .第二十八条 乙方有下列情形之一的,甲方可以随时解除本合同,且乙方无权得到任何经济补偿:article28 under any of the following circumstance of party b, party a can cancel this contract at any time without any compensation:1、在试用期内被证明不符合录用条件的。所谓试用期不符合录用条件包括但不限于乙方体检结果不适合岗位要求、乙方的用工手续不完备、乙方不能胜任所担任岗位的指标或者相应的要求、乙方不能通过甲方进行的背景调查或者在履历中有弄虚作假行为;1. during the probation period, party b is proved to fail to satisfy the recruitment conditions. the cases of failing to satisfy the recruitment conditions includes but not limited to the following circumstances: when party bs physical examination result fails to satisfy the position requirement, when party b fails to finish the employment formalities, when party b is not competent to the position, when party b can not pass background research carried out by party a, or when party b conducts fraudulent behaviors during the recruitment process;2、严重违反劳动纪律或者甲方规章制度的;2. when party b commits a serious breach of rules and regulations of party a;3、严重失职、营私舞弊,对甲方利益造成重大损害的;3.when party b commits a serious breach of duty and damages party as reputation or exposes party a to potential business or legal risks;4、被依法追究刑事责任的;4. when party b is subject to criminal liabilities;5、泄漏商业秘密,给甲方造成重大经济损失的;5.when any action committed by party b violates the confidential agreement or its confidential duties, which harms party as benifits;6、乙方同时在其他地方兼职,对甲方的工作任务造成严重影响的,或者经过甲方提出后仍不改正;6.when party b simultaneously establishes an employment relationship with other employers so as to seriously affect party bs completion of the tasks of party a, or refuses to make a correction though party a has pointed it out;7、法律、法规、规章规定的其他情形。7.any other circumstances in violation of prc laws or this contract.第二十九条 有下列情形之一的,甲方可以解除本合同,但是应当提前30日以书面形式通知乙方或者额外支付乙方一个月工资,并按法律规定给予经济补偿:article29 under any of the following circumstances, party a may terminate this labor contract by notifying party b in writing thirty days in advance or paying party b one extra months wage instead of the notification,and provide party b severance pay according to the legal rules:1、乙方患病或者非因工负伤,医疗期满后不能从事原工作,也不能从事由甲方另行安排适当工作的;1.when party b is unable to perform its original duties or appropriate alternative duties when the medical period has ended due to his/her illness or non-work-related injuries;2、乙方不能胜任工作,经过培训或者调整工作岗位,仍不能胜任工作的;2. when party b is incapable of performing its duties competently, even after the training has been provided or the position adjustments have been made;3、本合同订立时所依据的客观情况发生重大变化,致使本合同无法履行,经当事人协商不能就变更本合同达成协议的。3.when changes have occurred in objective circumstances upon which the contract is entered into, rendering the original labor contract impossible to implement; besides, both parties are unable to reach an agreement on amendments of the labor contract after consultations.第三十条 有下列情形之一,需要裁减人员二十人以上或者裁减不足二十人但占企业职工总数百分之十以上的,甲方应当提前三十日向工会或者全体职工说明情况,听取工会或者职工的意见后,裁减人员方案经向劳动行政部门报告,可以裁减人员:article30 under any of the following circumstances, when party a need to reduce more than 20 staff or less than 20 but more than 10% of the total number employees, party a shall explain the situation to labor union or all staff thirty days in advance. after listening to the opinions of labor union or all staff and reporting the reduce staff plan to the labor administrative department, party a may reduce the staff:1、依照企业破产法规定进行重整的;1.when party a need to restructure in accordance with the provisions of the enterprise bankruptcy law;2、生产经营发生严重困难的;2. when party a has serious difficulties in maintaining business;3、企业转产、技术革新、经营方式调整、经变更本合同后,仍需裁减人员的;3. when party a still needs to reduce its workforce, after it has already shift its business scope, innovate its technology, adjust its operation pattern, and change this contract;4、因防治污染搬迁的;4.when party a has to relocate due to pollution prevention;5、其他因本合同订立时所依据的客观经济情况发生重大变化,致使本合同无法履行的。5when other changes have occurred in objective circumstances upon which this contract is entered into, rendering the original labor contract impossible to implement.第三十一条 有下列情形之一且乙方无其他过失行为的,甲方不得解除本合同:article31 under any of the following circumstances of party b without other misfeasance, party a shall not terminate this labor contract arbitrarily:1、乙方从事接触职业病危害作业的未进行离岗前职业健康检查,或者乙方被疑似职业病病人在诊断或者医学观察期间的;1. when party b has not implemented physical examination before leave his/her job, which may lead to occupational illness, or when party b is suspected as a occupational illness patient or is under medical observation period;2、在甲方处患职业病或者因工负伤并被确认丧失或者部分丧失劳动能力的;2. when party b has contacted an occupational illness or suffered from a work-related injury and is confirmed to have lost its labor capacity wholly or partially;3、患病或者非因工负伤,在规定的医疗期内的;3. when party b is ill or suffers from a non-work-related injury, and the designated medical period is still in effect;4、女职工在孕期、产期、哺乳期的;4、when a female employee is pregnant, in childbirth or breast-feeding;5、在本单位连续工作满十五年,且距法定退休年龄不足五年的;5when party b has worked for party a for no less than fifteen years continuously but will reach the legal retiring age within less than 5 years;6、法律、行政法规规定的其他情形。6.other circumstances stipulated by laws and administrative regulations.第三十二条 有下列情形之一的,乙方可以随时通知甲方解除本合同:article32 under any of the following circumstances, party b may notify party a to terminate the labor contract at any time:1、未照本合同约定提供劳动保护和劳动条件的;1. when labor protection or working conditions are not provided as promissory in this contract;2、甲方未及时足额支付劳动报酬的;2. when the payment is not made in time and in full;3、甲方未依法为乙方缴纳社会保险费的;3.when the social insurance fee is not paid for the employee according to the law;4、甲方的规章制度违反法律、法规的规定,损害乙方权益的;4.when rules and regulations made by party a violating the provisions of laws or regulations, do harm to the employees rights and interests;5、甲方以欺诈、胁迫或者非法限制人身自由的手段强迫乙方劳动的,或者甲方违章指挥、强令作业危及乙方人身安全的,乙方可以立即解除本合同,无需事先告知甲方。5.party a forces labor through measures of violence, threats or unlawful restriction of personal freedom, or party a command illegally, force the operating in risk and endanger the personal safety of party b, party b could end the labor contract immediately without noticing party a in advance.第三十三条 乙方提前三十日以书面形式通知甲方,试用期内提前3天通知甲方,可以解除本合同,但双方有服务期约定的除外。article33 in case that party b terminates the labor contract before the expiration, party b shall notify party a in writing thirty days in advance, except for party a and party b having provisions on the service term.第三十四条 有下列情形之一的,本合同终止:article34 under any of the following circumstances, this contract shall terminate automatically:1、本合同期满;1.when the term of this contract expires;2、甲乙双方约定的本合同终止条件出现;2.when the conditions of termination agreed by both parties occur;3、乙方已开始依法享受基本养老保险待遇的;3.when party b has started to enjoy the endowment insurance pursuant to the law;4、乙方死亡或者被人民法院宣告死亡或者宣告失踪的;4.when party b is dead, or is declared dead or missing by the court;5、甲方被依法宣告破产的;5.when party a is declared bankrupt pursuant to the law;6、甲方解散、被吊销营业执照或者责令关闭的;6.when party as business license is revoked, or it is ordered to close down or be revoked,
