set out the terms under which XXXXXX will supply services and Products to Client in a systems integration project The specific services and or Products to be delivered for the Project are set out in a Statement of Work and the Schedules which are incorporated in the Agreement 2 定义 DEFINITIONS 2 1 验收测试 是指依照双方同意并规定于 需求定义 内的客 观标准 证明 系统 或 模块 符合规格的测试 Acceptance Test means tests based on objective criteria agreed and documented in the Requirements Definition demonstrating that the System or Modules meet the Specifications 2 2 修改 是指将非 XXXXXX 公司所提供零件 电路板及次装 配与 设备 组合 或修改其它非 XXXXXX 公司制作的设备或 软件 Alterations means the incorporation of non XXXXXX supplied components boards and subassemblies into 3 Equipment as well as modifications to equipment or Software other than those made by XXXXXX 2 3 附加装置 是指 但不限于 任何非 XXXXXX 公司所提供的 设备 软件 零件或装置 且其由 XXXXXX 公司以外的人将 其与 XXXXXX 公司的 产品 相连接 Attachments means but is not limited to any equipment software components or devices not provided by XXXXXX which are connected to XXXXXX Products by anyone other than XXXXXX 2 4 变更请求 是指任一当事人用来请求变更 工作说明书 的 文件 Change Request means a document used by either party to request changes to the Statement of Work 2 5 客户审查期 是指 工作说明书 内所规定应交付工作项目 送交客户后的审查期 如 工作说明书 内未就个别应交付的 工作项目订定审查期 则 客户审查期 应为五 5 日 Client Review Period means the period for review set out in the Statement of Work following delivery to Client of a deliverable If no period is set out in the Statement of Work for a particular deliverable then the Client Review Period shall be five 5 working days 2 6 客户化软件 是指于 项目 期间依据约定 规格 所开发 的软件及 或先前存在软件的修订版 Customized Software means software and or modifications to pre existing software prepared during a Project according to agreed Specifications 2 7 设备 是指本合同 附件 所规定提供作为 项目 一部份 的设备 Equipment means the equipment supplied as part of a Project as specified in a Schedule to the Agreement 4 2 8 安装日期 是指 XXXXXX 公司完成 产品 安装的日期 或 如 产品 将由客户自行安装 则为 产品 装运后第十 日 Installation Date means the date XXXXXX completes installation of a Product or if Products are to be installed by Client the tenth day following shipment 2 9 模块 是指 系统 其可分离且可辨识部份 Module means a discrete and identifiable part of the System 2 10 验收后支持期间 是指 验收测试 完成后 XXXXXX 公 司将以收费方式派遣 项目团队 成员提供客户顾问与协助 服务约定期间 Post Acceptance Support Period means an agreed period of time following completion of Acceptance Tests when XXXXXX makes available at a charge members of the Project Team to provide consultancy and assistance to Client 2 11 产品 是指 设备 软件 文件 包括手册 及培训教材 Products means Equipment Software documentation including manuals and training materials 2 12 产品支持服务 是指就标准 产品 所提供的各种类型安 装 维护及支持服务 Product Support Services means various forms of installation maintenance and support for standard Products 2 13 项目 是指 项目服务 订购单或 工作说明书 及相关 附件 内所规定 经 XXXXXX 公司于本合同下接受的 产品 服务 工作及应交付工作项目 Project means the Products services tasks and deliverables described in an order for Project Services or 5 Statement of Work and related Schedules which is accepted by XXXXXX under this Agreement 2 14 项目管理计划 是指为管理 项目 而依据 工作说明书 所订定的详细计划 项目管理计划 于 项目 进行期间将 斟酌考虑条件变化因素而更新 项目管理计划 的修改不得增 加 项目 范围 Project Management Plan means the detailed plan based on the Statement of Work for administering a Project The Project Management Plan is updated during the course of the Project to take account of evolving circumstances Amendment of the Project Management Plan cannot increase the scope of the Project 2 15 项目范围审查 是指设计阶段结束时所进行 项目 剩余工 作范围的审查 Project Scope Review means the review of the scope of the remaining tasks in a Project conducted at the end of the design phase 2 16 项目服务 是指 项目团队 提供符合约定 规格 的应 交付工作项目服务 Project Services means the Project Team s efforts to provide deliverables which meet the agreed Specifications 2 17 项目团队 是指受 XXXXXX 公司管理指挥以提供 项目 服务 的团队 项目团队 可能包括客户的人员及经 XXXXXX 公司同意或指派的次承包商 Project Team means the team managed by XXXXXX which provides Project Services The Project Team may include Client personnel and subcontractors approved or appointed by XXXXXX 2 18 专有信息 是指 软件 诊断 文件 包括手册 及任何其 它经书面注明为对 XXXXXX 公司 其授权人或客户具机密 6 性的信息 Proprietary Information means Software diagnostics documentation including manuals and any other information identified in writing as confidential to XXXXXX its licensors or Client 2 19 需求定义 是指就新系统的需求为文档 包括验收标准及 验收程序 需求定义 可能包含于 工作说明书 之内或 于 项目 初期以应交付工作项目报告的形式呈现 Requirements Definition means the document defining the requirements for the new system including the acceptance criteria and Acceptance Test procedures The Requirements Definition may be included in the Statement of Work or may be produced as a deliverable report at an early stage of the Project 2 20 附件 是指议定的 工作说明书 及规范供应作为 项目 一部份的 产品 服务 工作及应交付工作项目的其它附 件 Schedule means the agreed Statement of Work and other attachments specifying Products services tasks and deliverables to be supplied as part of the Project 2 21 软件 是指计算机程序的计算机语言及与其相关文件 但不 包含维修诊断法 XXXXXX 公司所提供的原始码亦包含于 软件 范围内 此外 使设备依照公布的规格运作但未嵌入 电路的微码 亦包含于 软件 范围内 Software means the object code version of computer programs and any related documentation excluding maintenance diagnostics Software also means the source code version where provided by XXXXXX Software also means microcode not embedded in a circuit element that enables equipment to function according to its published 7 specifications 2 22 软件处理器 SPU 是指控制及执行 软件 的设备 Software Processing Unit SPU means equipment which controls and executes Software 2 23 规格 是指双方就 客户化软件 及 需求定义 所规定的 项目 其它组件所约定规格 规格 应依照本合同中的变更控 制条款进行修改 Specifications means the agreed specifications for Customized Software and other elements of the Project set out in the Requirements Definition as modified in accordance with the change control provisions of this Agreement 2 24 工作说明书 是指双方同意就需求 工作及应交付 产品 及服务所议定界定 项目 范围的明确说明 Statement of Work means a specific agreed statement of requirements tasks and deliverable Products and services defining the scope of a Project 2 25 系统 是指 XXXXXX 公司所交付 且将于客户化及集成服 务后依照 规格 进行测试的 产品 组合 System means the combination of Products delivered by XXXXXX which are to be tested following customization and integration services for compliance with the Specifications 3 生效日 EFFECTIVE DATE 本合同自双方当事人正式授权的代表签署本合同之时起生效 本合 同于其依本合同条款终止前均继续有效 This Agreement will become effective when signed by duly authorized representatives of both parties and will continue in 8 effect until terminated according to its terms 第一部份 项目组织 系统集成及客户化服务 PART I PROJECT ORGANIZATION SYSTEMS INTEGRATION AND CUSTOMIZATION SERVICES 4 系统集成服务 工作说明书 订购程序 SYSTEMS INTEGRATION SERVICES STATEMENT OF WORK ORDERING PROCEDURES 4 1XXXXXX 公司将提供 附件 所列服务及 产品 XXXXXX 公司于 项目 所提供服务的种类 依个案而有所不同 但一 般应包含如下服务 XXXXXX will provide the services and Products listed in the Schedules The nature of services provided by XXXXXX in a Project will vary from project to project but examples of such services include 将客户需求书面化 Documenting the Client s requirements 系统功能设计及技术设计 Functional and technical design of systems 场地需求审查及提供建议 Review and recommendation of site requirements 协调 产品 提供与客户场地 Coordination of the supply of Products to Client s site 产品 开发 Development of Products 由 XXXXXX 公司非专属 项目 人员进行品质管理审 核 Quality assurance reviews by XXXXXX personnel not 9 involved in the Project on a full time basis 产品 安装与集成 Installation and integration of Products 支持或进行 验收测试 Support for or conducting of Acceptance Tests 评估培训需求 并培训客户员工 Evaluation of training requirements and training of Client s staff 于 验收后支持期间 内支持 客户化软件 及集成服 务 Support of Customized Software and the integrated system during a Post Acceptance Support Period 产品 持续性维护及支持服务 On going maintenance and support of Products 项目管理 Project Management 4 2 工作说明书 及其它 附件 界定 项目 的范围 其内 容包含 Each Project is defined in a Statement of Work and the other Schedules which include XXXXXX 公司所提供而客户支付对价的 产品 及服 务 The services and Products to be supplied by XXXXXX and paid for by Client 参与 项目 的当事人责任 The responsibilities of the parties participating in the Project 协助当事人计划 项目 的预定时间表 10 An estimated timetable to assist the parties in planning the Project XXXXXX 公司就某些应交付工作项目所必须达到的特 殊标准 若有特殊标准的话 例如通过 验收测试 的 特殊标准 Special criteria if any such as passage of Acceptance Tests that XXXXXX must meet for certain deliverables 价格与付款程序 The prices and payment procedures 4 3 客户应提出参照本合同一般条款填妥并签名的 XXXXXX 公 司追加订单 向 XXXXXX 公司订购以时间及材料为定价基 准的其它标准 产品 及服务 若客户订购客户化 产品 或服务不以时间及材料为定价基准者 应依照 变更请求 程序提出订购需求或另以 工作说明书 进行约定 所有订 单 XXXXXX 公司有权决定接受与否 XXXXXX 公司以书 面通知客户后 该订单方因 XXXXXX 公司之接受而生效力 XXXXXX 公司收受客户首付款或以之为保证金的行为并不做 为 XXXXXX 公司接受订单的效力 若 XXXXXX 公司不接受 该订单 XXXXXX 公司将返还其所收收到的首付款 Client may order additional standard Products and services priced on a time and materials basis by submitting properly completed XXXXXX supplemental schedule orders referencing these general terms and conditions and signed by Client Orders for customized Products or services priced on any basis other than time and materials should be submitted in accordance with the Change Request procedures or through agreement of an additional Statement of Work All orders are subject to acceptance by XXXXXX Acceptance by XXXXXX will be effective 11 when communicated in writing to Client The receipt or deposit by XXXXXX of a Client down payment will not constitute acceptance of an order Any down payment received from Client will be returned if the order is not accepted by XXXXXX 4 4 项目按特定完成标准 划分里程碑及阶段 客户认同一些行 为须同时履行 并同意如能有效利用 项目团队 所拥有资 源 以及达成预定时间表的目标 则后阶段的行为也可以提 前于前阶段开始 A project may be divided into milestones and phases with specific criteria for completion Client recognizes that some activities may be performed concurrently and that efficient use of the resources available to the Project Team and the goal of meeting the planned timetable may mean that activities in subsequent phases are commenced during an earlier phase 5 项目管理 PROJECT ADMINISTRATION 5 1 双方当事人承认 合作进行项目管理是 项目 成功所不可或 缺的 双方当事人同意使用经双方议定的程序及格式报告工作 进展 并确认 追踪及解决问题 争议及难题 除非另有约定 进行程序将依据 XXXXXX 公司的方法 并记录于 项目管理 计划 内 The parties acknowledge that cooperative project administration is essential to the success of a Project Both parties agree to use mutually agreed processes and forms to report progress and to identify track and resolve problems issues and questions Unless otherwise agreed the processes will be based on XXXXXX methodologies and 12 will be recorded in the Project Management Plan 5 2 任一当事人均应指派项目经理 作为其管理及其它有关 项目 技术性事务的主要代表 任一当事人均须相信他方当事人的项 目经理有权代表其公司 但任一项目经理均无权修改或更改本 合同或订购单明示条款 Each party shall appoint a project manager who shall be the primary representative of the party in relation to administration and other matters relative to the technical activity of the Project Each party may rely on the authority of the other party s project manager to represent its respective company provided that neither project manager shall have the authority to amend or modify this Agreement or the express terms of an order 5 3 除另有双方当事人的授权代表书面约定外 任一当事人均不得 于 项目 进行期间及 验收后支持期间 结束后十二 12 个 月内 请求他方参与 项目 人员以受雇或其它方式为其服务 Unless otherwise agreed in writing by authorized representatives of the parties neither party may solicit the services by way of employment or otherwise of the other party s personnel involved in a Project during a Project and for the period ending twelve months after the end of the Post Acceptance Support Period 6 需求定义及设计阶段 REQUIREMENTS DEFINITION AND DESIGN PHASES 6 1 需求定义阶段 需求定义 定义 项目 的范围 规格 验收标准及验收程序 如 项目 开始时 双方当事人同意 工作说明书 内所规范的最初 需求定义 是不完整的 则 项目 的第一阶段将为 XXXXXX 公司依据客户意见准备 13 需求定义 的阶段 如客户认可该 需求定义 则该 需 求定义 报告应构成将被执行以满足客户需求的功能及系统规 格的完整说明 且取代所有先前的需求叙述或说明 Requirements Definition Phase The Requirements Definition defines the scope of the Project the Specifications the acceptance criteria and the procedures for Acceptance Tests If at the start of the Project the parties agree that the initial Requirements Definition reflected in the Statement of Work is incomplete then the initial phase of the Project will be the preparation of a Requirements Definition by XXXXXX based upon input from the Client When accepted by Client the Requirements Definition report shall constitute the complete statement of the functional and system specifications to be implemented in satisfaction of the Client s requirements and shall supersede all previous descriptions or statements of requirement 6 2 系统设计阶段 于设计阶段 需求定义 将被转换为文档形 式 该文档确认及描述将被提供其特定信息处理功能 集成系 统的相关软件和设备成分 及个别技术成分的叙述 该叙述应 详尽至足以使 项目团队 去制作 取得 开发及测试该被需 求的成分 System Design Phase In the design phase the Requirements Definition is converted into documents which identify and describe the specific information processing functions to be provided and the associated software and equipment components of the integrated system and descriptions of individual technology components in a level of detail sufficient to allow the Project Team to produce acquire develop and test the required components 6 3 需求及规格应在应交付工作项目中说明 如先前需求及规格说 明与之后被认可的交付工作项目内容有所抵触 冲突或矛盾 14 则该抵触 冲突或矛盾将依据较后经认可的交付工作项目得以 解决 Requirements and specifications may be interpreted in deliverables In the event of a contradiction conflict or inconsistency between prior statements of requirements and specifications and a later approved deliverable the contradiction conflict or inconsistency will be resolved in favor of the latest approved deliverable 7 项目范围审查 PROJECT SCOPE REVIEW 7 1 于需求定义及设计阶段完成前 项目 的范围 包括人力 设备 软件 及规模 尚未完全被界定 因此 于设计阶 段结束时 如 XXXXXX 公司通知客户表示其认为 项目 范 围已经变更 则 XXXXXX 公司须开始进行 项目范围审查 Prior to the completion of the requirements definition and design phases the scope of the Project including manpower Equipment Software and sizings is not fully defined Therefore at the end of the design phase if XXXXXX informs Client that it believes that the scope of the Project has changes XXXXXX may commence a Project Scope Review 7 2 作为 项目范围审查 之一部份 双方当事人应决定以固定价 格报价方式或以时间及材料估价方式 继续 项目 剩余工作 双方当事人同意任何时间及材料价格的预估并不具拘束效力 且完成剩余工作的实际价格应当高于或低于预估的价格 As part of the Project Scope Review the parties may decide to continue on the basis of either a fixed price quote or a time and materials estimate for the remaining tasks in the Project The parties recognize that any estimates of time 15 and materials prices are not binding and that the actual price for completing the remaining tasks may be higher or lower than the estimates 7 3 如 XXXXXX 公司开始 项目范围审查 且 XXXXXX 公司采 取收费方案高于先前预估 而客户不同意该提案的 则客户应 要求缩减 项目 范围 如 XXXXXX 公司提供新方案 且于 诚信协商后 双方当事人不同意有关 规格 既定时间表及 价格变更 则任一当事人应就 项目 剩余部分终止本合同 除应支付终止前已提供服务及已采购的 产品 所发生费用外 终止合同的当事人不对他方当事人负任何责任 If XXXXXX commences a Project Scope Review and the pricing proposal made by XXXXXX is higher than previous estimates and if the Client does not agree to the proposal then Client may request a reduction in the scope of the Project In the event that XXXXXX provides a new proposal and the parties cannot agree following good faith negotiations to changes in the Specifications planned timetable and price then either party may terminate the Agreement for the remaining parts of the Project with no liability to the other party except for the payment for services performed and Products procured prior to termination 8 客户化及开发 CUSTOMIZATION AND DEVELOPMENT 如 工作说明书 要求交付 客户化软件 则 项目团队 将根据 规格 提供服务以制作 客户化软件 为完成 客户化软件 而 从事的修改或开发工作 将于 项目 中拟提供予客户的客户设备 软件及 产品 上进行 或使用为 项目 所租用的计算机使用时 间 XXXXXX 公司可以用 模块 形式交付 客户化软件 If the Statement of Work requires the delivery of Customized 16 Software then the Project Team will provide services to produce Customized Software developed in accordance with the Specifications Modifications or development work to prepare Customized Software will be conducted on Client s equipment and software Products to be supplied to Client in the Project or using computer time rented for the Project XXXXXX may deliver Customized Software in the form of Modules 9 控制变更 CHANGE CONTROL 9 1 如任一方当事人希望变更 规格 或 工作说明书 应遵守 以下程序 If either of the parties wish to alter the Specification or the Statement of Work the following procedure will apply a 要求变更者 以下简称 发起方 应发送 变更请求 予 他方当事人 以下简称 接受方 变更请求 应包含以 下内容 The person who requests the change the Originator will forward to the other party the Recipient a Change Request which will include the following 项目 确认 Project identification 发起方 的名称及职称 Originator s name and title 变更请求 的日期 The date of the Change Request 提议变更内容的叙述 A description of the proposed change 提议变更的理由 The reason for the proposed change 17 b XXXXXX 公司将为 变更请求 编号并记录 XXXXXX will assign a number to and log each Change Request c 所有 变更请求 将由 发起方 依照优先级一 紧急 优先级二 普通 及优先级三 验收后 分类 All Change Requests will be categorized by the Originator as Priority 1 urgent Priority 2 ordinary or Priority 3 post acceptance d XXXXXX 公司应依据 项目管理计划 规定其优先级分 类表 以合理的努力调查 变更请求 在价格 时间表 工作说明书 规格 及本合同相关义务层面所造成的 影响 以下简称 影响研究 XXXXXX will make reasonable efforts to investigate the impact of the Change Request on the price timetable Statement of Work Specifications and relevant obligations under the Agreement the Impact Study in accordance with the schedule set out in the Project Management Plan for each priority category e 若 发起方 为客户 XXXXXX 公司应通知客户 XXXXXX 公司进行 影响研究 的服务是否将有任何收 费 而客户应决定 XXXXXX 公司是否应进行 影响研究 If Client is the Originator XXXXXX will inform the Client if there will be any charges for XXXXXX services in conducting the Impact Study and Client will decide whether XXXXX
