after friendly negotiations The Buyer hereby agrees to purchase from the Seller and the Seller hereby agrees to sell to the Buyer the following set of metal building system hereinafter the Metal receipt and approval of the design drawings for the Metal Building System the Buyer shall pay to the Seller a prepayment amount equal to 20 of the Contract Price i e Rmb 4 4 3钢结构制造完成后 并经买方验收后五个工作日内 买方应付予卖方合同总价之 60 即人民币 元 Within 5 working days after the manufacture of the Metal Building System has been completed and the Buyer has accepted the Metal Building System the Buyer shall pay to the Seller 60 of the Contract Price i e Rmb 4 4买方支付卖方的所有款项均以银行汇票或电汇方式汇至卖方指定在中信实业银行 南京西路分理处虹桥分理处所开之帐号 号码 086861 10224020560 所有付款日 期均以卖方收款之银行收款凭证日期为准 如买方逾期五天付款 须从第六天起 按日支付该笔逾期款项 0 1 的滞纳金 若买方之逾期付款超过应付款日三十天后 卖方有权单方面取消整个合同 并没收买方已支付之定金 预付款和其他款项作 为赔偿 若该笔款项不足弥补卖方之损失 则买方还需就不足部分支付赔偿金 All payments to be made by the Buyer to the Seller hereunder shall be made by bank draft or wire transfer to the Seller s designated account at the Hongqiao sub office of West Nanjing Road office of Citic Industrial Bank Shanghai Branch account no 086861 10224020560 The date of payment for all amounts shall be the official date of receipt by the seller s receiving bank If the Buyer s payment is late for five days it shall pay a penalty on the late sum from the sixth day at a rate of 0 1 per day If the Buyer s payment is late for more than 30 days the Seller has a right to unilaterally terminate this Contract and forfeit the deposit prepayment and any other sums as compensation If such sums are not sufficient to compensate the Seller s losses the Buyer shall pay the Seller the amount of such deficiency 第五条 设计 制造进度及期限 Article5 Progress and Time Limit on Design and Manufacture 5 1卖方收到定金后四周内 应向买方提供设计所需的反力图及地脚螺栓布置图 买 方应尽快将以上资料提交负责设计地基和基础的设计院 有关设计院的所有费用 包括图签费用 均由买方承担 Within four weeks after it received the deposit the Seller shall provide to the Buyer the reaction drawings and the drawings for the placement of the anchor bolts required for the design of the Metal Building System The Buyer shall give this information to the design institute responsible for the design of the foundation as soon as possible All costs related to the design institute including the cost of signing the drawings shall be borne by the Buyer 5 2收到预付款后 周 卖方应完成钢结构制造并通知买方派员到卖方工厂进行交 货发运前检验 Within weeks after it received the prepayment the Seller shall complete the manufacture of the Metal Building System and notify the Buyer to send its representative to the Seller s plant to inspect the goods before their delivery and shipment 5 5 3买方验收后已付卖方第 4 3 条货款后一周内 卖方应将产品运至工地现场 Within one week after the Buyer has inspected and accepted the goods and paid Seller the amount set forth in article 4 3 hereof the Seller shall have the goods shipped to the Site 5 4买方若要求变更钢结构规格或设计 应以书面方式通知卖方 卖方在可能的情况 下尽量满足买方要求 但卖方可视增加之工时和材料调整本合同价格及期限 经 买卖双方同意后才生效 所有钢结构规格或设计之变更 若因买方未能于两天内 签置卖方所提供的有关确认文件 均视为买方取消变更要求 回复原本规格或设 计 如因此而造成钢结构设计或制造之延误 则买方须承担一切责任 Should the Buyer request any changes to the specifications or design of the Metal Building System it shall notify the seller in writing The Seller shall try to satisfy the Buyer s request as best as possible but may adjust the Contract Price or the time frame for performance based on the additional amount of work time and materials required as a result of such changes Such adjustments shall be effective upon agreement by both the Buyer and the Seller If the Buyer shall fail to sign the relevant confirmation provided by the Seller relating to such adjustments within 2 days thereof such adjustments shall be deemed to be cancelled by the Buyer The Buyer shall not be responsible for any delays in the design or manufacture of the Metal Building System as a result thereof 5 5除天灾人祸等不可抗力因素及因买方未尽本合同责任之情形以外 如卖方逾期完 成以上任何一项义务 须从逾期第四天起按日支付该笔逾期款项 0 1 的罚款 但 该罚款不应超过本合同总价之 3 Except for force majeure or a failure by the Buyer to perform its obligations under this Contract if the Seller fails to complete on time any of its tasks set forth above it shall pay a penalty of 0 1 per day on the late amount commencing on the fourth day of such delay provided that such penalty shall not exceed 3 of the Contract Price 5 6第 5 2 及 5 3 条所提到的交货时限是以买方在收到钢结构设计图后七天内把确认图 还给卖方和买方在收到验收通知后七天内派员到卖方工厂进行货物检验为根据 买方每逾期一天确认设计图或到卖方工厂验货 无论什么原因 卖方的交货时限 会延迟两天 如该逾期超过七天 卖方有权根据其当时的业务要求重新安排交货 时间 The delivery schedule referred to in Sections 5 2 and 5 3 hereof is subject to the Purchaser returning the approved design drawings to the Seller within 7 days of receipt thereof and inspecting the goods at Seller s plant within 7 days of notice thereof from the Seller Each day of delay in the return of such approved drawings to the Seller or such inspection of the goods for whatever reasons will result in a two day postponement of the date of delivery If any such delay shall exceed 7 days the Seller shall be entitled to re schedule the delivery date based on its then existing business Metal Building System caused by the Purchaser including 6 without limitation the cost of storage which shall be charged at the rate of Rmb 83 per ton per day 第六条 装运和清点 Article 6 Packing Shipping and Inventory 6 1钢结构制造完毕 经买方验收后方能装运到工地现场 卖方应提前一周前通知买 方其发运日期以便买方为卖方提供工作条件上的方便 例如提供现场物资存放的 道路 场地及水电供应等 The Metal Building System may be packed and shipped to the Site only after the manufacture of the Metal Building System is completed and the Buyer has inspected and accepted the goods The Seller shall notify the Buyer one week in advance of the shipment date so that the Buyer can provide the working convenience for the Seller such as the roads and place for the storage of the goods and water and electricity etc 6 2货物到达工地现场后 买方应即时清点及验查货物质量并签收 如有损坏 买方 应即时通知卖方 After the goods arrived at the Site the Seller shall immediately inventory and inspect the quality of the goods and accept them If there is any damage thereto the Buyer shall immediately notify the Seller 6 3工地现场的卸货由买方负责 如有延误 所有费用由买方负责 The Buyer shall be responsible for the unloading of the goods at the Site The costs of any delays shall be borne by the Buyer 第七条 产品检验 Article7 Inspection of Goods 7 1如在验收过程中 买方发现货物的质量 规格 性能与合同不符合 卖方可按买 方的要求退换或修复 达到合同要求 如有争议 买方可申请上海进出口商品检 验局就产品质量 规格及性能进行检验 所有费用由买方承担 If during the course of inspection the Buyer discovers that the quality quantity specifications of nature of the goods do not meet with the requirements in the Contract it may request to return the goods or have them repaired or replaced so as to meet the requirements in the Contract If there is any dispute the Buyer may apply to have shall provide the Buyer with the following invoices and receipts 9 2 1A tax receipt the content of which shall include the number of this Contract the name of the project etc 9 2 2 Four copies of the inventory list of the goods delivered 9 2 3 The quality and quantity certificate issued by the manufacturer and 8 第十条 不可抗力 Article10 Force Majeure 10 1 买卖双方中任何一方 由于人力不可抗力事故而影响合同执行时 则延迟履行合 同的期限 延迟的时间相当于事故所影响的时间 受事故影响一方应于事故发生 后三天内将所发生的不可抗力事故的情况用传真方式通知对方 并在十天内递交 有关证明交件给另一方确认 当不可抗力事故终止后 受事故影响的一方应于事 故终止后三天内用以传真方式通知对方 并以信件证实 任何不可抗力事故影响 合同执行超过 12 周以上的 双方应应合同执行的有关问题进行协商 If the performance of the Buyer or Seller under this Contract is affected by a force majeure then the period for such performance shall be postponed during the duration of such event The affected party shall notify the other party by fax within 3 days of the occurrence of such event and shall provide the other party evidence of such event within 10 days of the occurrence of such event After the force majeure event has terminated the affected party shall notify the other party by fax within 3 day after the termination of such event followed by a latter to evidence such termination The parties shall discuss the problems of this Contract if any force majeure event shall affect such performance for more than 12 weeks 10 2 不可抗力事故包括任何预料之外事件 如战争 叛乱 暴动 骚动 火灾 罢工 自然灾害 禁运及任何其他卖方控制范围以外之事件 For purposes hereof force majeure means any unforeseeable event such as war insurrection mob action civil commotion fire strike natural disaster embargo and any other event outside the control of the Seller 第十一条 仲裁 Article 11 Arbitration 11 1 凡因执行本合同所产生的或与本合同有关的一切争议 双方应通过友好协商解决 如协商不成 任何一方可提交上海市经济贸易仲裁委员会进行仲裁 仲裁裁决是 最终的 对双方都有约束力 仲裁费用由败诉方承担 All disputes arising out of or in connection with this Contract shall be resolved by the parties through friendly negotiations If the parties are unable to resolve such disputes either party may submit such disputes to arbitration by the China International Economic and Trade Arbitration Commission which arbitral award shall be final and binding on both parties The costs of arbitration shall be borne by the losing party 第十二条 其他条款 Article12 Other Provisions 12 1 本合同经双方签字及盖章后生效 买卖双方之所有责任和义务完毕时 本合同自 9 然终止 This Contract shall be effective after both parties have signed and sealed it When the duties and obligations of the Buyer and Seller are completed this contract shall automatically terminate 12 2 本合同的附件为本合同不可分割之组成部门 与本合同具有同等法律效力 The appendices to this Contract constitute an inseparable part of this Contract and shall have the same legal effect of this Contract 12 3 本合同包含双方所有谈判内容及协商的条款 并取代双方以往对合同项目的一切 协议 This Contract sets forth the entire understanding and agreement of the parties and shall supersede all prior agreements between the parties
