Pursuant to General Principles of the Civil Law of the Peoples Republic of China, Contract Law of the Peoples Republic of China and other relevant regulations, Party A and Party B(collectively referred to as the “Parties” ) have willingly entered into this Service Contract (hereafter referred to as the “Contract”) after equal consultation and mutual agreements and shall comply with it. 第一条服务内容根据甲方业务需要，乙方同意向甲方提供与XXX相关的各种服务。Clause 1:Service ContentAccording to the business needs of Party A, Party B agrees to provide services to Party A concerned with .第二条 期限本服务协议约定的期限为 个月，自 年 月 日起至 年 月 日止。Clause 2:Term of the ContractThe Contract will be valid from _/_/_/ (M/D/Y) to _/_/_/ (M/D/Y), a period lasting for months. 第三条 双方权利义务Clause 3: Rights and Obligations of the Parties3.1乙方保证其为甲方提供服务的人员合法就业并具有符合服务要求的专业技能，遵守甲方的规章制度，按照甲方的要求和标准完成服务协议，并接受甲方的检查考核。3.1Party B promises that the labors who will provide services for Party A have legal work and qualified skills for finishing the services. Party B promises that the labors shall abide by regulations of Party A, finish the services and receive the inspection of Party A according to requirements of Party A.3.2甲方为乙方提供安全的工作环境，乙方人员在服务过程中应严格遵守甲方的安全操作规定，乙方人员因违反安全操作规定故意或过失导致受伤的，所有责任由乙方自己承担。3.2Party A shall provide safe working environment for Party B and Party B shall abide by safe operating regulations of Party A. In case that labors of Party B violate safe operating regulations intentionally or negligently and be injured, Party B shall burden all responsibilities.3.3 乙方工作时间根据甲方需要确定。3.3The working hours of Party B is implemented by Party A according to the business needs.3.4乙方在为甲方提供服务中知悉的甲方商业秘密，不得提供或泄露给任何第三方。3.4Party B shall not disclose to any third party any confidential information obtained because of services in Party A.3.5甲方按照乙方提供的服务，向乙方支付服务费。3.5Party A pays service remuneration to Party B for the services.第四条 服务费支付Clause 4: Payment of Service Remuneration4.1甲方支付乙方服务费的标准、方式、时间：4.1Party A pays service remuneration to Party B as the following standards: 4.2如需调整服务费，甲乙双方另行约定。4.2The remuneration may be adjusted by other agreements of both Parties.第五条 合同的终止与解除Clause 5: Rescission and Termination of the Contract5.1本合同期满如双方未续签，则合同自行终止。双方应及时办理交接手续。5.1If both Parties cannot agree to renew the agreement, the Contract terminates automatically when it expires. Both Parties shall implement handover procedures.5.2甲方有权视业务需要及乙方服务情况等随时解除本合同，甲方不向乙方支付任何补偿。5.2Party A is entitled to terminate the Contract whenever based on the business needs and performance of Party B. Party A burdens no responsibility to pay any financial compensation to Party B. 5.3本合同终止或解除后，双方应及时办理交接手续。5.3Both Parties shall implement handover procedures after rescission or termination of the Contract.第六条 违约责任Clause 6: Responsibility of Default6.1乙方未按照甲方要求提供相应服务的，应按照服务费金额的 当向甲方支付违约金。6.1In case that Party B provides services out of accordance with the requirements of Party A, Party B shall pay liquidated damages to Party A at the rate of of the service remuneration. 6.2甲方不按照本合同约定日期向乙方支付服务费的，每拖欠一日按照拖欠金额的 向乙方支付违约金。6.2 In case that Party A pays service remuneration out of accordance with the date agreed in the Contract, Party A shall pay liquidated damages to Party B at the rate of of arrears per late day. 6.3乙方在提供服务中因故意或过失给甲方造成损失的，按照损失的金额据实赔偿。 6.3In case that Party B causes damages to Party A because of intention or negligence in services, Party B shall compensate according to the damages. 第七条 争议解决甲乙双方在履行本合同过程中发生争议的，应当通过协商解决。协商不成的，任何一方均有权向甲方所在地有管辖权的人民法院提起诉讼。Clause 7: Settlement of DisputesIn case that any disputes arise from the performance of this Contract, such disputes shall be settled through consultations first.
