I.DurationofContract

IncasethatanypartyraisesanyobjectionspriortoexpiryoftheContract,thepartymayrequirenotrenewaloftheContract,andtheCo
ntractshallbeterminateduponitsexpiry.
II.PostofDuty,JobResponsibilitiesandWorkingHour
Basedonthestateofoperation,PartyAnowappointsPartyBtoth
e*Departmentasa/an*(Grade:*)(post/position).Theinitial workplac
eisinShanghai.Seethepositiondescriptionforspecificjobcontent.
InaccordancewiththeneedsofoperationandPartyB’scapacity(i
nprofession,workandhealth)andjobperformance,PartyAmayadjust
PartyB'sjobpost/positionorworkplace.PartyBshallhaveauthoritytosayhis/herownopinions,nevertheless,PartyBshallsubjecttotheneedsofoperationandthereasonablejobadjustmentmadebyPartyA.
PartyBshall,accordingtothejobresponsibilities,completecorrespondingtasksonscheduleandwithqualityandquantityguaranteed.
PartyAadopts40-hourperweekworkingsystem.Accordingtotheoperationalcharacteristicsofsomepositions,PartyAmay,afterobtainingtheapprovaloftheLaborAdministrationDepartment,adoptflexibleworkinghoursystemandtheworksystemwithintegrativecomputationofworkinghours.
III. LaborProtectionandWorkingConditions
PartyAshall,inaccordancewiththeregulationsoftheState,providetoPartyBagoodworkingenvironmentandlaborprotectionmeasures,
establishandimprovelaborsafetyandhygienesystemsandexecutethesameclosely.
PartyAshall,inaccordancewiththejobPartyBengagedin,provid
enecessarylaborprotectionarticlesandofferhealthexaminationregularlyforthelaborswhoengageinthejobswithoccupationalhazards.
IV.LaborRemuneration,InsurancesandWelfare
TheamountofPartyB’smonthlypretaxincomeisRMB*Yuaninc
lusiveofvarioussubsidiesandallowancesprovidedbytheStateandShanghaiMunicipalGovernment.PartyAmay,whenadoptingnewwagesystemoradjustingwagelevelbasedonPartyB’jobperformanceorthem
arketfactors,adjustPartyB’swagelevelinareasonableway.PartyAexecutesrelevantregulationsoftheStateandthemunicipalgovernmentontheminimumwagessystem;PartyAadoptsthesystemofadjustmentofwagesaccordingtotheposts.
ThepaydayofPartyAisthelastworkingdayofeachmonth.Part
yAshallpaytoPartyBhis/herlaborremunerationinmonetarytermsb
ythemonthandshall,throughbank,transferthepaymentdirectlytothe
Employee’saccount.OncePartyBfindsthatPartyAhasmiscalculated
anyofhis/herlaborremunerationforthecurrentmonth,PartyBmay,wit
hinthirty(30)dayssincethepaymentofthelaborremunerationofthec
urrentmonth.
PartyAshall,pursuanttotheregulationsoftheState,withholdand
remitPartyB’spersonalincometaxfromPartyB’swageincome.
PartyAshall,pursuanttotheregulationsoftheStateandofShanghaiMunicipalGovernment,effectsocialinsuranceandhousingfundforPartyB,andastothepartsthatshouldbepaidbyPartyB,PartyAshallwithholdandremitthemuponpayingthewagesonbehalfofPartyB.
Theleaves,expensesandtreatmentsentitledtoPartyBasaresultofwork-relatedinjuriesorsufferingofoccupationaldiseasesshallbeexecutedinaccordancewithrelevantregulationsoftheStateandofShanghaiMunicipalGovernment.
Themedicaltreatmentperiod,medicalexpenses,sickleavesandothe
rtreatmentsentitledtoPartyBasaresultofdiseasesornon-workrelate
dinjuriesshallbeexecutedinaccordancewiththeregulationsoftheStat
e,ofShanghaiMunicipalGovernmentandofPartyA.
PartyBshall,withinthedurationoftheContract,beentitledtoall
welfareandtreatmentsprovidedbytheStateandbyPartyA.
PartyBshall,withinthedurationoftheContract,beentitledtovari
ousleavesprovidedbytheState,andthetreatmentsduringvacationshallbeexecutedaccordingtorelevantregulationsoftheStateandoftheSh
anghaiMunicipalGovernment.
V.LaborDiscipline
1.PartyBmustabidebylaws,rulesandregulationsoftheStatean
dtheemployeemanualandotherrulesandregulationsformulatedbyPart
yA.
2.PartyAshall,pursuanttotherulesandregulationsofStateandofPartyA,haveauthoritytomanageorimposerewardsandpunishmento
nPartyB.PartyAmayimposerewardsorpunishmentonPartyBuntiltheContractisdissolvedincasethathe/shehasviolatedanyoftheaforesaidrulesandregulations;andPartyAmay,asperrelevantregulations,g
ivecorrespondingrewardstoPartyB,incasethathe/shehasobservetheaforesaidrulesandregulationsexemplarily.
VI.TerminationandDissolutionofContract
UponexpirationofthisContract,provisionsinParagraph4ofArticle
IofthisContractshallbeexecuted.
Incaseanyofthefollowing circumstancesoccurs,theContractshall
beterminated:
PartyAisdeclaredbankruptaccordingtolaw;
PartyAhasitsbusinesslicenserevoked,isorderedtoclosedownor
decidestodissolveaheadofschedule;
PartyBhasstartedreceivingbasicoldageinsurancepensioninacco
rdancewiththelaw;
PartyBdies,orisdeclareddeadormissingbyaPeople’sCourt;o
r
Othercircumstancesspecifiedinlawsorregulations.
TheContractmaybedissolvedincasethatbothpartieshereinhavereachedaconsensus.
PartyBmaydissolvetheContractbyinformingPartyAofhis/herintentofdissolutionoftheContractwithawrittennoticethirtydaysina
dvance.IncasePartyBisintheprobationperiod,he/shemaydissolvetheContractbyinformingPartyAofthedissolutionthreedaysinadvance.
Incaseanyofthefollowingcircumstancesoccurs,PartyBmaydissolvetheContractatanytimebyinformingPartyA.
WherePartyAfailstoprovidelaborprotectionandworkingconditionsinaccordancewiththeLaborContract;
WherePartyAfailstopaylaborremunerationinfullandonschedu
le;
WherePartyAfailstopaysocialinsurancepremiumsforPartyBac
cordingtolaw;
WherePartyA’srulesandregulationsviolatelawsandregulations,
therebyharmingPartyB’srightsandinterests;
WheretheContractisinvalidatedduetothereasonofPartyA;orOthercircumstancesasspecifiedinlawsoradministrativestatutesen
ablePartyBtodissolvetheContract.
Incaseanyofthefollowing circumstancesoccurs,PartyAmaydiss
olvetheContractbyinformingPartyBofthedissolutionwithawritten
noticethirtydaysinadvance,oronemonth’swageinlieuofnotice:
①Whereaftertheregulatedperiodofmedicalleaveforanillnesso
rnon-workrelatedinjuryexpires,PartyBisincapableofperforminghis/
heroriginalworkorisincapableofperforminganappropriatenewjobas
arrangedbyPartyA;
WherePartyBisprovedincompetentandremainsincompetentaftertrainingoradjustmentofhisposition;or
Whereamajorchangeintheobjectivecircumstancesreliedupon
atthetimeofconclusionoftheLaborContracthinderscontinuedfulfillmentoftheoriginalcontractand,afterconsultations,PartyAandPartyBareunabletoreachaconsensusonamendingtheLaborContract.
Incaseanyofthefollowingcircumstancesoccurs,PartyAmaydissolvetheContractatanytimebyinformingPartyBofthedissolution:
WherePartyBisprovedduringtheprobationperiodnottosatisfytherequirementsofemployment;
②WherePartyBmateriallybreachesPartyA’srulesandregul
ations;
WherePartyBcommitsseriousderelictionofdutyorpracticesgraftorcorruption,causingsubstantialeconomicdamagetoPartyA;
WherePartyBhasadditionallyestablishedalaborrelationshipwi
thanotheremployerwhichmateriallyaffectsthecompletionofhis/hertasksatPartyAorrefusestorectifythematterwhenbroughttohis/herattentionbyPartyA;
⑤WheretheContractisinvalidatedduetothereasonofPartyB;o
r
WherePartyBhashis/hercriminalliabilityinvestigatedinaccordingtolaw.
8.IncaseanyofthefollowingcircumstancestoPartyB,PartyAmaynotdissolvetheContractpursuanttoParagraph6ofthisArticle:
WherePartyBisengagedinoperationsexposinghis/hertooccupationalhazardsandhasnotundergoneapre-departureoccupationalheal
thcheck-up,orissuspectedofhavingsufferedanoccupationaldiseaseandisbeingdiagnosedorundermedicalobservation;
WherePartyBhasbeenconfirmedashavinglostorpartiallylosthiscapacitytoworkduetoanoccupationaldiseaseorawork-related
injury;
WherePartyBhassufferedanillnessorsustainedanon-workrelatedinjury,andthemandatorymedicaltreatmentperiodhasnotexpired;
WherePartyBisafemaleemployeeandinherpregnancy,deliv
ery,postpartum,orlactationperiod;
WherePartyBhasbeenworkingforPartyAcontinuouslyforno
lessthanfifteenyearsandislessthanfiveyearsawayfromhis/hermandatoryretirementage;
WherePartyBfindshimself/herselfinothercircumstancesstipulat
edinlawsoradministrativeregulations.
9.PartyAshallprovidetheeconomiccompensationsforterminationordissolutionoftheLaborContractaccordingtorelevantregulationsoft
heStateandofShanghaiMunicipalGovernmentonthescopeandstandardsofeconomiccompensation.
VII. Modification ofLaborContract
ModificationoftheLaborContractmeansthebehaviorofthepartiesherein,afterreachaconsensus,toamend,supplementorabolishtheter
msandconditionsoftheoriginallaborcontract.
WhenmodifyingtheLaborContract,bothpartiesshallconcludeandenterintoawrittenagreementforthemodification.
VIII. Confidentiality
PartyBshallhaveanobligationtomaintaintheconfidentialityofan
oftheproprietarydataandmaterialsoranyotherbusinessdocuments(hereinafterreferredtoas“BusinessSecrets”)thatPartyBdeemsassecretsorconfidences.PartyBshallnot,withoutPartyA’spriorwrittenconsent,discloseorprovideanyofPartyA’sBusinessSecretsoranyofbusinesssecretsthatPartyAhaspromisedathirtypartytokeepthemconfidentialthatPartyBhasknown,contactedorlearnedtoanyotherparty.PartyAmayhaveauthoritytodecideathisowndiscretionthatalltechnologiesandbusinessdataincludedintheBusinessSecretsshallalsobe
deemedasBusinessSecrets,includingbutnotlimitedtomeetingcontents,decisions,considerations,businesschannels,customerlists,financialtransactions,accountnumbers,documents,files,letters,samples,software,etc.
PartyBundertakesthathe/shewillneverusetheBusinessSecretsoranyofitsparttoanyotherpurposesbeyondPartyA’sneedsandrequirements.Intheeventofviolationofthepromiseorcausinganyeconomi
clossestoPartyA,PartyBshallbearcorrespondinglegalliabilities.
PartyAshallhaveauthoritytorequirealltheemployeeswhoaredeemedaskeyemployeesbyPartyAtosignaconfidentialityagreement.
IX.Liabilities forBreachofContract
AnyofthetwopartieshereincausesanyeconomiclossestotheotherpartyduetoviolationoftheContractshallmakecorrespondingcompensationsaccordingtothesubsequencesandthesizeofresponsibilities.
WherePartyBhasacceptedanyprofessionaltraining(includingabroadstudy)providedbyPartyAduringthecontractperiod,aparticularserviceperiodagreementshallbeconcludedandenteredintobyandbetwee
nbothpartieshereintodefinetherights,obligationsandliabilitiesforbreachofcontract.
TheparticularagreementforspecifyingthespecialtreatmentsmentionedaboveconcludedandenteredintobyandbetweenbothpartieshereinshallbetakenasanappendixtotheContractandbeequallyauthenticas
theContract.
X.MiscellaneousMattersNecessarytoDefine
XI.ConciliationandArbitrationofLaborDisputes
WhereadisputearisingfromtheperformanceoftheContractmayberesolvedbybothpartieshereinthroughmutualconsultations;incasethedis
