6.1甲方延期付款的，乙方交付产品的时间可相应顺延，甲方按照延期支付金额的/日向乙方支付滞纳金，直至款项付清之日。甲方延期支付超过三十日的，乙方有权选择解除合同，甲方按照合同滞纳金标准向乙方支付违约金（支付至乙方提出解除日），向乙方返还产品，甲方已经支付的款项作为赔偿，如不足以弥补乙方的损失的，由甲方另行赔偿。

6.2乙方按照本合同约定的时间、地点、质量要求和技术标准向甲方提供定购产品，如延期交付的，按照未交付产品金额的0.5%/日向甲方支付滞纳金。因乙方延期到货给甲方造成的损失由乙方赔偿。（因甲方未按期支付价款导致延期交货的除外）

第七条不可抗力：Art.7Theforcemajeure:

战争、动乱、瘟疫、地震、台风、洪水、物体坠落或其他非合同双方责任造成的'爆炸、火灾、意外事故和自然灾害。任何一方由于不可抗力原因不能履行合同时，应在不可抗力事件发生后3日内通知对方，尽力减少损失。不可抗力造成的损失，由双方自行承担。

9.1双方应对合同履行过程中的技术信息和商业秘密承担保密责任，如因任何一方未尽此义务导致他方经济损失，应予赔偿。

3押金Deposit:

3.1乙方须支付相当于两个月房租的押金（即RMB）,以人民币支票或转帐形式支付）。甲方应在收到押金后向乙方开具统一收据。

3.2押金在合同终止后10天内由甲方以相同币种全额退还给乙方（不计利息）。如果延期返还，则每延期一日，按每日万分之四支付给乙方利息。

3.3甲方应按时付清各种帐单。若以上出租房屋及其家具、设备等因乙方原因出现遗失或非正常的损坏，乙方应负责赔偿。

5出租人的责任PARTYA’sobligation:

5.13甲方声明及保证甲方为该出租房屋的合法拥有人，有合法地位出租此房屋，并就出租事宜已取得有关方面的批准。

PARTYAassurestobethelegalowneroftheleasedpremises,tohavethenecessarylegalcapacitytoleaseit,andPARTYA’actionhasbeenratifiedbytheauthoritiesconcerned.

5.2租赁期内，若甲方出售该出租房屋导致该出租房屋所有权发生转移,甲方须保证本合同能继续执行。

IncasePARTYAsellsthepremisesduringtheleasewhichleadstothepremisesownershipbetransferred,PARTYAshallensurethatthesaidcontractwillbeimplementedcontinuously.

5.3甲方须按时将清洁状况良好的出租房屋交付乙方使用，保证在租赁期内出租房屋内的各项设施能正常使用。PARTYAshallhandoverthesaidpremisestoPARTYBontimeandassurethesaidpremiseswillbecleanedandingoodstatusduringtheleaseterm.

5.4甲方有义务负责出租房屋及设施的正常维护和保养，如房屋或设施非因甲方原因出现故障，甲方应在收到乙方通知后二十四(24)小时内自行或通过其他方式解决故障，否则，乙方有权雇佣第三方进行维修，由甲方承担所有费用并承担相关责任。由于不可抗力（如地震、台风、洪水、非人为的火灾等）、自然损耗或乙方以外的原因造成的损坏，亦由甲方承担有关费用。

PARTYAshallbeartheresponsibilityofthesaidpremises’normalrepairsandmaintenance,andpaythecostrelated.IncasethepremisesorfacilitiesareinbadconditionsnotduetothereasonofPARTYB,PARTYAshallcompletetherepairworkwithin24hoursuponreceiptofthenoticefromPARTYB.Otherwise,PARTYBshallhavetherighttohireanythirdpartiesfortherepairworkatthecostofPARTYA.Thecostofrepairstothesaidpremises,ifdamagedbyForceMajeure(suchasearthquake,typhoon,floodnon-manmadefire,etc)reasonablewearandtearorbyaccidentsbeyondPARTYB’Scontrol,shouldalsobebornebyPARTYA.

5.5租赁期内，在乙方遵守合同及支付租金的前提下，未经乙方允许，甲方不得进入该出租房屋。

Duringthelease,PARTYAshallnotgetinthesaidpremiseswithoutPARTYB’SpermissionifPARTYBhasbeencarryingoutthecontractnormally.

5.6甲方应督促管理公司向乙方提供足够的服务，如冷水、热水、煤气,电的供应及各种设备的正常工作。PartyAshalldirectPropertyManagementCompanytoprovidesufficientandcontinuousservicestoPartyB,includingprovisionofcoldwater,hotwater,gasandelectricityandensurepropermaintenanceofequipmenttherein.

5.7房产税及与租赁有关的所有税费由甲方承担。

PremisestaxandotherleasingrelatedtaxesshallbepaidbyPARTYA.

6承租方的责任PARTYB’Sobligations:

6.1乙方申明及保证其在中国拥有合法居留权，并按有关规定办理必要的居住登记手续。

PARTYBassurestohavethelegalrightofresidenceinChina,andshallcompletetheresidentialformalitiescomplyingwiththelocalregulations.

6.2住客应按时支付电话费含上网费、水电煤气费。

Theoccupantshallpaythetelephonebillsandinternetfee,extrawaterelectricitygasfeeontime.

6.3乙方只能将出租房屋用做住宅，不得将之用作公司及代表处的注册地址，亦不可作为公开的办公室。ThepremisesarelimitedforresidentialuseonlybyPARTYB,andareprohibitedfromregisteringaslegaladdressforanycompanyoragency,orusingaspublicoffice.

6.4乙方不得在出租房屋内进行违反法律及政府对出租房屋用途有关规定的行为。

PARTYBshallnotcarryinthepremisesanyunlawfulorillegalactivitieswhicharenotallowedaccordingtotheleasingregulationsfromthegovernment.

6.5租赁期内，未经甲方书面同意，乙方不得将出租房屋部分或全部转租他人。

PARTYBshallnotpartlyortotallysubletthesaidpremiseswithoutthewrittenpermissionfromPARTYA.

6.6若因乙方使用不当或不合理使用，出租房屋及其内的设施出现损坏或发生故障，乙方应及时联络管理机构或甲方进行维修，并负责有关维修费用.

ThedamageofthepremisesorthefittingsthatarewithinthecontrolofPARTYBshallbebornebyPARTYB,andPARTYBshallcontactthemanagementofficeorPARTYAinstantly.

6.7租赁期内，乙方对出租房屋进行装修或增加水、电、消防等设施，须经甲方同意并经有关部门批准，并由甲方执行监理，所需费用由乙方承担。双方解约时，乙方不能移走自行添加的结构性设施，甲方亦不必对上述添加设施进行补偿。

PARTYB,uponwrittenpermissionofPARTYA,maymakeadditionsoralterationsdealingwithwater,

electricitysupplyorfireprotection,athisownexpense,subjecttonecessarypermitsorlicensesrequiredbytheauthoritiesconcernedandunderthesupervisionofPARTYA.Nostructuralalterationsoradditionscanberemovedfromthepremisesupontheexpirationofthiscontract.Noreimbursementforthesaidadditions.

6.8乙方有权在墙壁上悬挂画、图片或其他装饰性物品。合同履行期限届满或提前解约时，甲方应承担费用拔掉钉子、粉刷墙壁或使墙壁恢复原状，并承诺不以此为由扣留乙方的押金。

PARTYBisentitledtohangpictures,paintingsorotherdecorativearticlesonthewalls.Uponexpirationorearlyterminationofthecontract,PARTYAshallbearthecosttoremovethenails,repaintthewallorrestorethewalltotheoriginalstate,andPARTYAshallnotretainPARTYB’Sdepositforthereasonofdoingthingsabove.

6.9租赁合同期满的`前一个月内，经合理事先书面通知，乙方应允许甲方或其授权人引领潜在客人参观在出租房屋。

Duringthelastmonthofthecontract,afterreasonablepriorwrittennoticetoPARTYB,PARTYAorhisnomineeshallbeallowedtoshowthesaidpremisestothepotentialclients.

6.10租赁期满，若甲，乙双方未达成续租协议，乙方应于租期届满时或之前迁离出租房屋并将钥匙及清理干净的房屋归还甲方.

PARTYBshallreturnthepremisesinacleanconditiontoPARTYA(exceptwearandtear)attheexpirationofthecontractifthereisnorenewalthereupon.

7提前解约Earlytermination:

7.1六(6)个月后，乙方如要退租，应提前一(1)个月书面通知甲方终止本租约。在此情况下，甲方应在本租约终止后十(10)日内将押金全额退还乙方。

Aftersix(6)months,PartyBmay,uponone(1)monthadvancewrittennoticetoPartyA,terminatethis

TenancyAgreementwithoutanyliabilities.Underthiscircumstance,PartyAshallreturnthedepositinfulltoPartyBwithinten(10)daysafterthetermination.

7.2若因自然界的不可抗力，如火灾、洪水、台风、地震、战争等意外损害导致出租房屋无法居住，合同即自动终止，甲、乙双方互不承担责任。

Ifthesaidpremisesaresodamagedbyforcemajeure(fire,flood,typhoon,earthquake,war,andetc)thatit’snolongerhabitable,thecontractshallbeterminatedautomatically.NeitherPARTYAnorPARTYBshallbearanyresponsibilitytoeachother.

8续租Renewal:

租赁期满，乙方有优先续租权，但须提前一个月通知甲方，并安排签订续租合同。

PARTYBretainstheprioritytorenewthisleaseuponexpiration,whileone-monthpriornoticetoPARTYAisnecessary,andPARTYAshallarrangethesignaturefortherenewalcontract.

9争议的解决DisputeResolution:

汽油,有爆炸危险性的物品及挥发性之化工原料等等,另乙方不得在该物业内做任何

违反中国法律行为。否则，一切后果，由乙方负责。

oranyexplosiveorcombustiblesubstance,etc.inanypartofthesaidpremises,thetenantorinmateshallnotusethesaidpremisesforanyillegalpurposes,forviolationagainstthelawofPeople’sRepublicofChinainanypartofthesaidproperty,PartyBshallbeanswerableandresponsibleforanyconsequenceofanybreachoflocalordinance.

5、乙方须正确维护该物业内甲方所提供之家具、电器、装置及设备、该物业之原来一切设

备如有因非正当使用造成的损坏，乙方须负责修理或赔偿。

6、乙方不得拒绝甲方派谴之人员，在适当时间入屋检视该单位近况或进行任何修理工程。

7、当租约期满或终止前X个月，甲方有权在不骚扰原则下,张贴招租告示于该单位外,

乙方亦应准许甲方/代理人在合理时间内，带同新租客进入该物业视察。

8、租约期满，乙方如需延长租约，须在租约期满X个月前以书面方式通知甲方，经甲

方同意，乙方可以新订租金和租约继续入住该物业。

PartyBshallhimselfcoverinsuranceforhisownbelongingsagainstTyphoon,Depression,Storm,Flood,Fire,Theft,Accidents,etc.inrelationtothisTenancy.PartyAshallnotberesponsibleforanydamageorlossunderallcircumstances.

10、乙方不得于单位内制造或容许制造噪音,异味或任何滋扰邻居或业主安宁之举动,其中

包括拖欠租金。经警告后仍未有所改善,甲方有权终止租约。

PartyBshallnotpermitanynoiseorallowanymusictobeproducedinthepremisessoastogivecauseforreasonablecomplaintfromtheoccupantsofneighboringpremises,otherwise,PartyAhastherighttoterminatethetenancyimmediatelyifcasecontinuedafteradvised.11、

12、甲方须承担该物业的房产税、土地使用税。PartyAshallpayallpropertytax,landtaxandanyothertaxorchargeofthesaidpremises.租约期内，甲方有权将该物业出售给第三者，本合约对购得该物业之新业主仍然有效，

所有适用于甲、乙双方的条款，同样无条件适用于新业主和乙方。

两方经平等协商一致签订本合同，以确认各方权利与义务并共同遵守，商务咨询费合同范本。

一、甲方委托乙方服务事项

甲方因融资万元事宜，委托乙方就融资方式、对象选择、操作办法、风险防范措施等事宜，委托乙方提供咨询服务。

二、乙方服务内容

1、帮助甲方联系或者寻找适合甲方融资需求的对象;2、对甲方拟进行的融资方案进行可行性论证;3、帮助或者代理甲方与潜在的融资对象进行初步的商业谈判或者协商;4、根据融资意向两方的具体情况，为甲方拟定融资参考方案;5、帮助或者指导甲方准备融资方案执行过程中所需的基本资料。

三、咨询服务费

就乙方提供的'咨询服务，甲方向乙方支付的报酬为：甲方按实际取得融资额的%向乙方支付服务费。服务费在融资通过审批并取得前一次性向乙方支付。

四、乙方服务期限

乙方收取甲方按本合同约定支付的服务费后，为甲方提供的服务至以下条件之一出现时止：

⑴甲方与合作对方实现成功合作，即甲方与合作对方主要合作合同签订;⑵甲方以书面形式通知乙方放弃融资计划;⑶甲方已经实际失去融资条件;⑷甲方三次以上放弃与乙方联系的客户进行实质性谈判，合同范本《商务咨询费合同范本》。

五、保密

为履行本合同，甲方向乙方提供的融资信息、关于主体与资信情况的信息，经甲方特别明示为保密信息的，乙方应承担保密责任，未经甲方书面许可不得擅自向第三人提供或者泄露，但为履行本合同所必需的除外。

六、风险承担

1、乙方为履行本合同向甲方提供的所有信息、资料、方案与措施等均供甲方参考，对甲方使用后可能产生的风险不承担任何责任。2、乙方对帮助或者指导甲方所取得的合作对方的调查资料的真实性，对合作对象资信状况与承担责任的能力不作任何保证。3、乙方对所提供咨询服务是否能使甲方实现拟融资目的不作任何保证，甲方支付费用后，不得以任何理由要求乙方全部或者部分返还。4、对甲方与合作对方之间的合作合同的履行，乙方不承担任何责任。

七、违约责任

1、甲方逾期支付费用的，乙方有权在收到费用前暂停履行本合同约定义务。2、甲方逾期支付服务费的，应按逾期支付金额每日千分之二向乙方支付违约金。3、乙方收到甲方费用后拒不提供本合同约定服务的，应全额退还甲方已支付服务费。

八、争议解决方式

因履行本合同发生争议两方不能协商解决时，任何一方认为需通过诉讼方式解决的，由乙方所在地人民法院管辖。

十、其他

1、对本合同的修改需以书面方式进行，并且签名代表人及印章应与本合同签名与印章相符。2、本合同一式贰份，两方可执一份具有同等法律效力。3、本合同经两方签章生效。

1.演出节目：歌唱表演,乙方需要服从甲方的安排进行节目的配合演出。

2.每天工作时间为22:00至次日凌晨02:30，包括休息，化妆和换装的准备时间。每位艺人需化妆且着好演出服于演出前30分钟就位。

3.乙方每天演出2节，每节6首歌。每天演出时长总计30分钟内；必须配合甲方演出形式的安排；

4.演出现场待命（最终演出时间取决于场地方的具体情况）。

6.乙方在入境中国前必须准备好6套不同的演出服装，30首符合酒吧演出需求的演唱曲目，包括编舞，音乐，道具等，演员需自备演出高跟鞋，要求黑色同款，需自备黑色丝袜，内衣裤等。

PartyBshouldprovide6differentcostumesand30songswhichneededatClubsbeforecometoChina(includingFinishedchoreographer,costumes,music,propsandetc)andshallensuresexyandhotshinningstagecostumes,PartyBartistsshallpreparethehighheels,blacklongsocks,underwearforshow,whichmustmatchwiththecostumes.

7.签约后3日内，乙方须将办理工作签证所需的资料（45分钟排练视频，彩色护照及签证扫瞄件）及高清宣传照片传至甲方.

8.演出地点：全国，乙方需要配合工作地点的调动。

第三条：付款及薪酬Article3:Remuneration

（一）、演出报酬Performancesalary:

1、演出报酬：甲方同意支付乙方表演费用税后美金20xx美金/月/人。

2、乙方每月带薪休息2天。休息日不会为周五或周六及中国的重大节假日。每月的休息日不可沿用至下个月使用。计薪时间从演出之日起计算（如果没有演出，第五天起都应当计薪），到达中国当天为休息日，无薪；

3、员工做满一年可以享受6天带薪休假。

（二）、行程安排ScheduleArrangement

1、演出日行程：ScheduleforPerformancedays:

（1）甲方向乙方提供并支付所有演出相关的国际、国内经济舱机票，轮渡，大巴或火车票，乙方必须严格按照甲方预订的行程准时到达指定场所，否则视为乙方违约。甲方需要负责乙方艺人国际往返机票费用，乙方的双程机票为：AtoB.

（2）甲方允许乙方来华及在华演出期间携带一个属于私人的正常尺寸行李箱和一个装服装的行李箱，因私人原因产生的行李超重费用由乙方自行承担。

2、非演出日行程：非演出日，乙方进行与演出无关的旅行、游玩等活动的，乙方应当提前2周征得甲方同意，并确保能及时返回参加甲方安排的彩排和演出，以便甲方对演出安排做出合理调整。同时，在此期间，乙方发生任何意外事件，若涉及其应当承担法律责任的，由乙方自负，与甲方无关。导致甲方负连带责任的，甲方有权向乙方追偿。
