10%四、折扣方式：

经双方商定，2005年先以广告合同总金额350万，25%折扣率签定总合同，甲方各产品组均享受25%公司统一折扣。如在年底甲方不能达到广告合同总金额350万，应按其所达到的总额对应的折扣率收费，并支付差额部分费用。例如，甲方在2005年12月31日全年合同总金额为290万，实际折扣率应为20%，甲方因支付乙方总额5%，即十四万五千元的差价。五、乙方有权审查广告内容和表现形式，对不符合法律、法规的广告内容和表现形式，乙方应要求甲方作出修改，甲方作出修改前，乙方有权拒绝发布。六、该栏目为甲乙双方合办栏目。栏目内容以乙方提供为主，甲方也可提供学术性强的文章，经乙方编辑审核修改刊出七、付款时间及方式：以各产品合同为准

八、本合同具有法律效力，双方共同遵守，任何一方违约须向对方赔偿损失。九、其它：画面广告须按要求提供相关广告审批文件，刊出材料须提前30天交至报社广告部。本合同未述及之处，参照中国医学论坛报广告刊例执行.

DiscountUponthemutualconsultation,thegeneralcontractshallbefirstenteredintoin2005undertheconditionthatthetotalamountoftheannualadvertisementcontractsshallbeRMB3,500,000yuanandthediscountrateshallbe25%,andPartyAshallbeentitledto25%discountwithregardtoallofitsproductsgroups.Ifbytheendof2005,thetotalamountofPartyA’sadvertisementcontractsdoesnotreachRMB3,500,000yuan,itshallbechargedatthediscountratecorrespondingtothetotalamountofallofitsadvertisementcontracts,andpaydifferentialcharges.Forexample,ifthetotalamountofPartyA’sannualadvertisementcontractsisRMB2,900,000yuan,andthentheactuallydiscountrateshallbe20%,PartyAshallpayPartyB5%ofthetotalamountwhichamountstothedifferenceofRMB145,000yuan5.

PartyBshallhavetherighttoexaminethecontentsandformatofanadvertisement.PartyBshallrequirePartyAtomodifythecontentsandformatofanadvertisementthatfailtoconformwiththeprovisionsoflawsandregulations;PartyBshallhavetherighttodenytheadvertisementbeforePartymakessuchmodification.6.

ThecolumnisonethatPartyAandPartyBsponsoredjointly.PartyBismainlyresponsibleforprovidingthecontentsofthecolumn,butPartyAmayalsoprovidestronglyacademicarticlesthereinwhichmaybepublishedafterPartyB’sediting,examinationandmodification.7.

Paymenttimeandmethodshallbebasedoneachproductscontract.8.

ThisContractshallbelegallyeffective.BothpartiesshallperformthisContractmutually,andeitherpartybreachingthisContractmustindemnifyotherpartyforthelossarisingtherefrom.9.

Miscellaneous:Withregardtothepictureadvertisement,PartyAshallprovidetherelevantadvertisementapprovaldocumentthereforasrequired,andthematerialstobepublishedshallbesubmittedtotheAdvertisingDepartmentoftheChinaMedicalTribuneforprior30days.AnymattersthatthecontractdoesnotmentionedshallbegovernedbytheAdvertisementPublicationRulesoftheChinaMedicalTribune.
