日在某电机制造公司（此后称为甲方）和香港船舶机器公司（此后称为乙方）之间，通过友好协商，在平等互利的基础上签订。(当事方主体信息略)Article1Introduction第１条介绍A.PartyBagreestomanufacturetheproducts,usingtherawmaterialssuppliedbyPartyA,instrictcompliancewiththestandardsandspecificationsstipulatedintheagreement.乙方同意用甲方所提供的原料，严格按照本协议中的标准和规格，来生产下述产品。B.Commodityandquantitiesforprocessing加工产品和数量a.Commodity：shippingdynamotor产品船舶发电机b.Quantity2000sets数量2千套Article2Specifications第２条规格Onthebasisofdynamotorprototypes,drawingsandproductsamplesfurnishedtoPartyA,bothpartiesshalljointlyestablishallspecificationsinsufficientdetailnecessaryfortheproduction.Thespecificationsshalldealwiththequalityofthematerialsusedandstandardsoftheproducts.Thespecifications,onceestablishedbybothparties,shallbemodifiedonlyuponmutualwrittenagreementofbothparties.在提供给甲方的电动机原型机，图纸和产品样品的基础上，双方共同建立足以用于生产的必要的所有规格。这些规格将用于所用材料的质量和标准。这些规格，一旦由双方建立，只有通过双方的书面材料才能进行修改。Article3SupplyoftheRawMaterials第３条原材料供应A.Duringthetermoftheagreement,PartyAshalldelivertoPartyBsuchquantityoftherawmaterialsandconsumptionarticlesasmayberequiredforthemanufacturingoftheproductsnolaterthantwo(2)monthsbeforecalendarquarter.在本协议期间，甲方应在每个季度前不迟于2个月向乙方运送可能用于产品生产的以下数量的原材料和消耗品。B.PartyBshallinspecttherawmaterialsandconsumptionarticlessuppliedbyPartyAimmediatelyuponreceiptthereofinaccordancewiththemethodofinspectiontobeagreedbyPartyA,andshallsubmitinspectionreportstoPartyA,andwithinthirty（30）daysaftertheinspection.TherawmaterialsandconsumptionarticlesthatdonotmeetrequirementofPartyAshallnotbeusedintheprocessing(orassembly).乙方在收到由甲方所提供的原材料和消耗品之后，应立即根据甲方所同意的检验方法对其进行检验，并且应在检验的30天内，把检验报告递交给甲方。那些不符合甲方要求的原材料和消耗品不应用于加工（或装配）。Article4ProcessingandAssemblyFee第４条加工和装配费Theprocessingfeeforeachmodelasfollows:每种型号的加工费如下所示：a.ModelAatUSdollars500(SayUSdollarFivehundredonly)eachset.Ａ型号每套500美元。b.ModelBatUSdollars400(SayUSdollarFourhundredonly)eachset.B型号每只400美元c.Theprocessing(orassembly)feementioned-aboveshallremainunchangedforthefirstyear’speriod.Afterthesaidtwo（2）yearsperiod,PartyBmaychangethefeesbygivingPartyAawrittennoticeofchangenolessthanthree(3)monthspriortothechange.IncasethatPartyAdoesnotacceptsuchchangeoftheprocessingfeewithintwo(2)monthsfromthereceiptofthesaidnoticetheagreementshallbeterminated.以上所述的加工（或装配费）将在第一年内保持不变。在上述的2年期限内，乙方可以在变化前的3月之内以书面形式通知甲方改变事宜。万一甲方在收到上述通知的2个月内不接受加工费的改变，本协议将终结。Article5TermofPayment第５条付款方式Forpaymentoftheprocessing(orassembly)fee,PartyAshallopenaconfirmedirrevocableL/CinfavorofPartyBwithabankapprovedbyPartyB,fortheamountenoughtocovereachshipmentoftheproductsatleastfifteen(15)daysbeforesuchshipment.TheL/Cshallbenegotiatedagainstcommercialinvoices,fullsetofbilloflading,packinglist,inspectioncertificateand_____ofPartyB.关于加工（或装配）费的付款，甲方应在此装运前至少15日之内，通过由乙方所认可的银行，以乙方为受益人，开具一保兑的、不可撤销信用证，其金额足以满足每批产品的出运需要。此信用证应可以由商业发票，完整一套提单，装箱单，检验单和乙方的____进行议付。Article6TechnicalInformationandAssistance第６条技术技术和协助A.PartyAagreestofurnishPartyBwithprocessing(orassembly)drawings,processing(orassembly)instructionsandtestandinspectionstandardsnecessaryforprocessing(orassembly)oftheproducts.甲方同意给乙方提供必要用于产品加工（或装配）的加工（或装配）图纸，加工（或装配）指导，和测试和检验标准。B.PartyAagreestoprovidePartyBwithappropriateadviceagainstproblemsofPartyBrelatingtothetechnicalmattersforprocessing(orassembly)ofproducts.甲方同意给乙方提供和加工（或装配）产品的技术事宜有关的解决问题的适当建议。C.UponrequestofPartyBduringthetermsoftheagreement,PartyAmaydispatchitsownengineersandtechnicianstoPartyB’sfactorytogiveadviceandguidancewhichPartyAthinksappropriateinrelationtoassemblyoftheproducts.AlltheexpensesrelatingtotheengineersandtechniciansaretobebornebyPartyB.在协议期间，根据乙方的请求，甲方可以向乙方派遣其工程师和技术人员到乙方的工厂，给予甲方认为和产品加工有关的建议和指导。工程和技术人员的相关费用由乙方承担。D.UponrequestofPartyBduringthetermsoftheagreement,PartyAagrees,onceinall,amaximumof5engineersandtechniciansofPartyBtostayatPartyA’sfactoryforaperiodofnotexceeding10daysandgivethemtrainingwhichPartyAthinksappropriateinrelationtoassemblyoftheproducts.ThetravelingandlivingexpensesofthepersonnelofPartyBshallbebornebyPartyB.在本协议期间，根据乙方的要求，甲方同意，一次性的，乙方最多5名工程师和技术员到甲方的工厂，逗留时间不超过10日，给予他们甲方认为和产品装配有关的培训。乙方人员的旅行费用和居住费用应由乙方承当。Article7QualityControlandInspection第７条质量控制和检验A.Whentheprocessingiscompleted,thefinishedproductsshallbeinspectedbytheauthorityagreedbyPartyAtoverifythattheproductsareuptothequalitystandardsandspecificationsdesignatedbyPartyA.当加工完成时，成品应由甲方所认可的权威机构进行检验，来证实产品成本达到了甲方所确定的质量标准和规格。B.IncasetheproductsdoesnotmeetthestandardsofPartyA,PartyAcanrefusethedelivery.However,PartyAmayacceptthedeliveryoftheproductsatthediscountpricetobeagreedbetweenPartyAandPartyBonacase-by-casebasis.万一产品没有达到甲方的标准，甲方可以拒收此货物。然而，甲方可以在个别案例的基础上，以甲、乙双方都同意的打折的价格接受此批货物。C.AllchangesinthequalityandspecificationsshallbeinformedtoPartyAtwenty(20)dayspriortotheirincorporationintheproducts.PartyAshall,fromtimetotime,suggestchangesorimprovementsintheproducts.PartyBshallingoodfaithgiveconsiderationtotheintroductionofsuchchangesorimprovement.所有产品质量和规格上的变化，应在20天之前通知甲方。甲方应不时地建议产品中的变化和改进。乙方应真诚地考虑引进此变化或改进。Article8PackingandMarking第８条包装和唛头TheproductsshallbeproperlypackedfollowingthegeneralcommercialpracticeofexportinggoodsandinaccordancewiththeinstructionofPartyA.ThepackageshallbemarkedandPartyAshallgivethemarkinginstructionsatleastfive(5)dayspriortothedeliverydateofthefinishedproducts.产品应根据出口商品的总体商业实践和甲方的指示适当包装。包装必须有唛头并且甲方应至少于成品的出货日5天之前给予唛头指示。Article9DeliveryandShipment第９条交货和运输OntheCFRandCIFbasis,thePartyBshallinformthePartyAbyTelex/Faxofthename,nationalityandageofthevesselnolaterthanfive(5)daysbeforethetimeoftheshipment.TheshipmentshallnotbeeffectedwithouttheconfirmationfromthePartyA.ThePartyAshallconfirmthevesselwithinthree(3)workingdays,otherwisethevesselshallregardedasconfirmed.在CFR和CIF的价格基础上，乙方应通过电传／传真，在不迟于出运期前的5天内，通知甲方船只的名称，国籍和年龄。没有甲方的确认就不能装运。甲方应在3个工作日内确认此船只，否则此船只应被认为的确认过的。OntheFOBbasis,PartyAshallbookshippingspaceinaccordancewiththedateofshipment.PartyBshallten(10)daysbeforethedateofshipmentstipulatedintheagreementadvisethePartyAbyTelex/Faxofthenameofcommodity,quantity,totalamount,packagenumbers,totalweight,andvolumeandthedatefromwhichgoodsisreadyforloadingatportofshipment.PartyAshallfive(5)daysbeforethedateofshipment,notifyPartyBofnameofvesselandtheestimateddateofloadingPartyBtoeffectshipment.Incasethecarryingvesselorthedateofarrivalhastobechanged,PartyAoritsshippingagentshalladvisePartyBintime.Shouldthevesselfailtoarriveattheportofshipmentwithinthree(3)daysafterthearrivaldateadvisedbyPartyA,PartyAshallbearthestorageexpensecalculatedfromthedaysthereafter.在ＦＯＢ的价格基础上，甲方应该根据装运日期进行订舱。乙方应在协议中所规定的装运日期前的10天内以电传／传真的形式通知甲方以下信息，即产品名称，数量，总金额，包装数量，总重量和体积及在装运港口货物等待装运的日期。甲方应在装运期前的5天内通知乙方船只名称和预计装船日期以便出运。万一承运船只或到达日期必须更改，甲方或其船务代理应及时通知乙方。如果船只没有按照所通知的到达日期的3天内到达装运港口，甲方应承当从此装运日期起所计算的仓储费用。PartyBshallbeliableforanydeadfreightordemurrage,shouldtheyfailtohavethequantityofthegoodsreadyforloadingintimeasstipulated,whilethecarryingvesselhasarrivedattheportofshipmentasadvised.如果乙方没有根据规定，及时地把装运货物准备好，而装运船只已经到达所通知的港口，乙方应负责所有的空舱费和滞期费。UnderthetermsofFOB,CFRandCIF,PartyBshall,immediatelyuponthecompletionoftheloadingofthegoods,giveashippingnoticetoPartyAbyTelex/Fax.Thenoticeincludesthenameofcommodity,quantity,netandgrossweight,measurement,invoicedvalue,billofladingnumber,sailingdateandestimateddateofarrivalattheportofdestination.在ＦＯＢ，ＣＦＲ和ＣＩＦ的条款下，乙方在货物装运完成之时，应立即通过电传／传真，给甲方一装运通知，此通知包括：货名，数量，毛净重，尺寸，发票金额，提单号，装运日期，和预计到达目的港日期。Article10DamageRateofRawMaterials第１０条原材料的破损率Thedamagerateofthematerialsinprocessing(orassembly)is2%andsucharateofmaterialsshouldbesuppliedfreebyPartyA.Shouldthedamageratesurpass2%,PartyBwillsupplementtheadditionalrequiredmaterialsnecessaryforprocessing(orassembly).加工（或装配）的原材料破损率是2％并且此材料的破损率应由甲方免费提供。如果破损率超过了2％，乙方应弥补加工（或装配）所必需的额外所需的材料。Article11TransferoftheTitleandRisk第１１条所有权和风险转让ThetitletotherawmaterialsdeliveredtoPartyBandProductsmadetherefromandriskoflossofordamagestotherawmaterialsorproductsbelongexclusivelytoPartyA,ordamagestotherawmaterialsorproductsbelongexclusivelytoPartyA,provided,however,thatimmediatelyuponreceiptbyPartyBofshipmentsoftherawmaterialsanduntilthedeliveryoftheproductstoPartyA,PartyBshallpurchaseaninsuranceatPartyA’sexpensecoveringthefullvaluethereofagainstdamage,destructionandlossofeverykindfromaninsurancecompanyapprovedbyPartyA.PartyAshallbethebeneficiaryofsuchinsurance.发送给乙方的原材料的所有权和由此生产的产品和原材料的损失或破损的风险属甲方独家所有，或者对于原材料或产品的损失归甲方独家所有，如果，然而，一旦乙方收到原材料并且直到装运货物给甲方，乙方应通过甲方所认可的保险公司，由甲方出资，以甲方为受益人，来给损失，破坏和各类遗失进行全额投保。Article12Forcemajeure第１２条不可抗力EitherPartyshallnotberesponsibleforfailureordelaytoperformalloranypartoftheagreementduetoflood,fire,earthquake,drought,waroranyothereventswhichcouldnotbepredictedatthetimeoftheconclusionoftheagreement,andcouldnotbecontrolled,avoidedorovercomebytheparties.However,thePartyeffectedbytheEventofForceMajeureshallinformtheotherpartyofitsoccurrenceinwrittenassoonaspossibleandthereaftersendacertificateoftheeventissuedbytherelevantauthoritytotheotherpartybutnolaterthan15daysafteritsoccurrence.任何一方不应对由于水灾，火灾，地震，干旱，战争或在签约之日时不能预测到的，和不能由双方所控制，避免或克服的，所造成的任何失败或延误负责。然而，遭受不可抗力影响的一方应尽快以书面形式通知另一方其发生状况，并随后在事情发生不迟于１５日之内寄送由有关当局所签发的事件证明。IftheEventsofForceMajeurelastover120days,bothpartiesshallnegotiatetheperformanceortheterminationoftheagreement.如果不可抗力事件持续超过１２０天，双方应协商考虑协议的执行或终止。Article13Arbitration第１３条仲裁Alldisputesarisingfromtheperformanceofthisagreementshouldbesettledthroughfriendlynegotiations.Shouldnosettlementbereachedthroughnegotiation,thecaseshallthenbesubmittedforarbitrationtotheChinaInternationalEconomicandTradeArbitrationCommission(Beijing)andtherules
