1.ScopeofWork:

TheContractorshallperformtheWorkasdescribedintheattachedWorkDescription,whichisanintegralpartofthisAgreement.

2.DurationoftheContract:

a.PublicliabilityinsurancecoveringallrisksassociatedwiththeWork;

b.Workmen'scompensationinsurancecoveringallrisksassociatedwiththeWork;

TheContractorshallprovidetheFactorywithevidenceofsuchinsuranceuponrequest.

5.Liability:

TheContractorshallbeliableforanydamagecausedtotheFactory'spropertyortoanythirdpartyduringtheperformanceoftheWork.TheContractorshallindemnifyandholdtheFactoryharmlessagainstanyclaims,actions,damages,orliabilitiesarisingoutoforinconnectionwiththeWork.

6.Termination:

ThisAgreementmaybeterminatedbyeitherpartyupontheoccurrenceofanyofthefollowingevents:

a.BreachofanymaterialtermorconditionofthisAgreementbytheotherparty;

b.Theinsolvency,bankruptcy,orliquidationoftheotherparty;

c.Theotherparty'sfailuretoperformitsobligationsunderthisAgreementwithin[Number]daysofreceivingwrittennoticeofsuchfailure.

Intheeventoftermination,theContractorshallimmediatelyceaseallWorkandremoveallitsequipment,tools,andmaterialsfromtheFactory'spremises.

7.GoverningLawandJurisdiction:
