**Article1-Definitions**

4."TerritoryExclusivity"shallmeanthattheAgentshallhavetheexclusiverighttosell,market,anddistributetheProductswithintheTerritoryduringtheTerm,unlessotherwiseagreeduponinwritingbytheParties.

5."TerritoryNon-Exclusivity"shallmeanthattheAgentshallhavetherighttosell,market,anddistributetheProductswithintheTerritoryduringtheTerm,butshallnothavetheexclusiverighttodoso,subjecttotherightsofotherauthorizedagentsordistributorswithintheTerritory.

**Article2-GrantofRights**

1.PrincipalherebygrantstotheAgenttherighttosell,market,anddistributetheProductswithintheTerritoryduringtheTerm,subjecttothetermsandconditionssetforthinthisAgreement.

2.TheAgentshallhavetherighttousethePrincipal'strademarks,tradenames,andlogosinconnectionwiththesale,marketing,anddistributionoftheProductswithintheTerritory,subjecttothePrincipal'spriorwrittenapproval.

**Article3-TermandTermination**

1.ThisAgreementshallcommenceon[EffectiveDate],andshallcontinueineffectfortheTermspecifiedinExhibitAhereto,unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.

2.EitherPartymayterminatethisAgreementatanytimeuponwrittennoticetotheotherParty,providedthatsuchterminationshallnotrelievetheterminatingPartyofanyliabilityorobligationincurredpriortotheeffectivedateoftermination.

**Article4-FeesandCommissions**

1.TheAgentshallbeentitledtoreceiveacommissionof[CommissionPercentage]ofthenetsalesoftheProductswithintheTerritoryduringtheTerm.

2.TheAgentshallprovidethePrincipalwithmonthlysalesreportsdetailingthesalesoftheProductswithintheTerritory,andshallbepaidthecommissionwithin[Number]daysofthereceiptofsuchreport.

**Article5-IntellectualPropertyRights**

1.Allintellectualpropertyrights,includingbutnotlimitedtopatents,copyrights,trademarks,andtradesecrets,inandtotheProductsandrelatedmaterialsshallremainthesoleandexclusivepropertyofthePrincipal.

2.TheAgentshallnot,withoutthepriorwrittenconsentofthePrincipal,use,copy,ordiscloseanyofthePrincipal'sintellectualpropertyrightsorconfidentialinformation.

**Article6-Confidentiality**

1.ThePartiesherebyagreetomaintaintheconfidentialityofallconfidentialinformationdisclosedtothembytheotherPartyinconnectionwiththisAgreement.

2.ThePartiesshallnotuseordiscloseanyconfidentialinformationforanypurposeotherthantheperformanceoftheirobligationsunderthisAgreement.

**Article7-Indemnification**

1.ThePrincipalshallindemnifyandholdtheAgentharmlessfromandagainstanyandallclaims,damages,losses,liabilities,andexpenses(includingreasonableattorney'sfees)arisingoutoforinconnectionwiththeAgent'ssale,marketing,ordistributionoftheProductswithintheTerritory.

2.TheAgentshallindemnifyandholdthePrincipalharmlessfromandagainstanyandallclaims,damages,losses,liabilities,andexpenses(includingreasonableattorney'sfees)arisingoutoforinconnectionwiththeAgent'sbreachofanyofitsobligationsunderthisAgreement.

**Article8-GoverningLaw**

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthe[Jurisdiction],withoutgivingeffecttoitsconflictoflawsprinciples.

**Article9-Miscellaneous**
