5.ForceMajeure:

b.Ifaforcemajeureeventoccurs,theaffectedpartyshallnotifytheotherpartyimmediatelyandshallusereasonableeffortstomitigatetheeffectsofsuchevent.
6.GoverningLawandDisputeResolution:
a.ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
b.AnydisputearisingoutoforinconnectionwiththisContractshallberesolvedthroughamicablenegotiationsbetweentheparties.

7.Principal'sAdditionalInterests:
a.ThePrincipalhasaninterestinensuringthetimelydeliveryoftheGoodstoavoidanydisruptionsinitsbusinessoperations.
b.ThePrincipalhasaninterestinobtaininghigh-qualityGoodsthatmeetitsspecificationsandrequirements.
c.ThePrincipalhasaninterestinminimizingcostsassociatedwiththetransaction,includingshipping,handling,andadministrativeexpenses.
8.Seller'sAdditionalInterests:
a.TheSellerhasaninterestinmaintainingagoodrelationshipwiththePrincipaltosecurefuturebusinessopportunities.
b.TheSellerhasaninterestinreceivingtimelypaymentstoensureitsfinancialstability.
c.TheSellerhasaninterestinminimizingtheriskofdisputesorclaimsrelatedtotheGoods.
9.Seller'sAdditionalObligations:
a.TheSellershallprovidethePrincipalwithadetaileddescriptionoftheGoods,includingspecifications,qualitystandards,andwarrantyinformation.
b.TheSellershallpromptlyrespondtoanyinquiriesorrequestsfromthePrincipalregardingtheGoodsorthetransaction.

10.Seller'sAdditionalRights:

11.Principal'sAdditionalObligations:

14.Principal'sAdditionalInterests:
a.ThePrincipalhasaninterestinobtainingtheGoodsatthemostcompetitivepriceandterms.
b.ThePrincipalhasaninterestinensuringtheproperhandlingandtransportationoftheGoods.
c.ThePrincipalhasaninterestinobtainingpromptandefficientcustomerserviceandsupport.
15.Seller'sAdditionalInterests:
a.TheSellerhasaninterestinmaintainingapositivereputationandrelationshipwiththePrincipal.
b.TheSellerhasaninterestinsecuringrepeatbusinessandlong-termpartnershipswiththePrincipal.
c.TheSellerhasaninterestinminimizingtheriskofdisputesorclaimsrelatedtotheGoods.
16.Principal'sAdditionalObligations:
a.ThePrincipalshallpromptlypaytheSellerfortheGoodsaspertheagreedpaymentterms.
b.ThePrincipalshallcomplywithanyapplicablelawsandregulationsrelatedtotheimportationoruseoftheGoods.
c.ThePrincipalshallpromptlynotifytheSellerofanyissuesorconcernsregardingtheGoodsorthetransaction.

3.Seller'sRightsandObligations:
a.TheSellerhastherighttoreceivetheagreedpricefortheGoodsupondeliveryandacceptancebythePrincipal.
b.TheSellershalldelivertheGoodstothePrincipalinaccordancewiththeagreedspecifications,quality,andquantity.
c.TheSellershallprovideanynecessarydocumentationandcertificationsfortheGoods.
4.Principal'sRightsandObligations:
a.ThePrincipalhastherighttoreceivetheGoodsaspertheagreedspecifications,quality,andquantity.
b.ThePrincipalshallinspecttheGoodsupondeliveryandprovidewrittenacceptanceorrejectionwithin[number]days.
