1.2DescriptionoftheGoods
TheGoodsshallbeasdescribedintheListofGoods,includingbutnotlimitedtospecifications,quantity,quality,andotherrelevantdetails.
2.1PriceandPaymentTerms
ThepriceoftheGoodsshallbe__________(hereinafterreferredtoas"theContractPrice").Thepaymenttermsshallbeasfollows:
2.1.1TheBuyershallmakethefullpaymentoftheContractPricewithin__________daysfromthedateofthisContract.

3.DeliveryandAcceptance

4.QualityandWarranty
4.1TheSellerwarrantsthattheGoodsshallcomplywiththequalitystandardsasspecifiedintheListofGoods.
4.2TheSellershallprovideawarrantyperiodof__________daysfromthedateofdeliveryfortheGoods.Duringthewarrantyperiod,theSellershallberesponsibleforrepairingorreplacinganydefectiveGoods.
5.IntellectualPropertyRights
TheSellerherebyassignsallintellectualpropertyrightsassociatedwiththeGoodstotheBuyer,includingbutnotlimitedtopatents,trademarks,copyrights,andtradesecrets.
6.ForceMajeure
Intheeventofanyforcemajeurebeyondthereasonablecontrolofeitherparty,suchaswar,flood,earthquake,orotherunforeseeableevents,theaffectedpartyshallnotifytheotherpartyinwritingwithin__________days.TheperformanceofthisContractshallbesuspendedduringtheperiodofforcemajeure.Iftheforcemajeurecontinuesformorethan__________days,eitherpartymayterminatethisContractwithoutliability.
7.GoverningLawandDisputeResolution

6.RightsoftheBuyer
6.1TheBuyershallhavetherighttorequesttheSellertoreplaceorrepairanydefectiveGoodsduringthewarrantyperiod.
6.2TheBuyershallhavetherighttoterminatethisContractiftheSellerfailstodelivertheGoodswithintheagreedtimeframe.
6.3TheBuyershallhavetherighttoclaimcompensationfromtheSellerforanylossordamagesufferedduetotheSeller'sbreachofthisContract.
7.ObligationsoftheSeller
7.1TheSellershalldelivertheGoodstotheBuyerinaccordancewiththeagreedspecifications,quantity,andquality.

10.GoverningLawandDisputeResolution
