1.ScopeofServices:

2.Term:

3.Payment:

ThepartiesagreetomaintaintheconfidentialityofallinformationdisclosedtothemduringthetermofthisContract.Suchinformationshallnotbedisclosedtoanythirdpartywithoutthepriorwrittenconsentoftheotherparty.

5.Termination:

a.EitherpartymayterminatethisContractbygivingwrittennoticetotheotherpartyatleast[NoticePeriod]dayspriortotheterminationdate.

b.ThisContractmaybeterminatedimmediatelybyeitherpartyintheeventofabreachofanymaterialtermorconditionhereofbytheotherparty.

c.UponterminationofthisContract,thepartiesshallsettlealloutstandingobligationsandliabilitiesunderthisContract.

6.GoverningLawandJurisdiction:
