2025商务英语合同中常见的专业术语CONTRACTFORBUSINESSSERVICES2025ARTICLE1:PARTIESThisContract("Agreement")isenteredintoasof("EffectiveDate")byandbetween("Client"),acompanyincorporatedunderthelawsof,havingitsregisteredofficeat,and("ServiceProvider"),acompanyincorporatedunderthelawsof,havingitsregisteredofficeat.TheClientandServiceProvidermaybereferredtoindividuallyasa"Party"orcollectivelyasthe"Parties".ARTICLE2:SCOPEOFSERVICESTheServiceProvideragreestoprovidethefollowingservicestotheClient(the"Services"):1.2.1..1.2.2..1.2.3..TheServicesshallbeprovidedinaccordancewiththespecificationsoutlinedinExhibitA("ServiceSpecifications"),whichformsanintegralpartofthisAgreement.ARTICLE3:TERMANDTERMINATION3.1.ThetermofthisAgreementshallcommenceontheEffectiveDateandcontinueforaperiodof("InitialTerm"),unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.3.2.EitherPartymayterminatethisAgreementupondays'writtennoticetotheotherParty,providedthatsuchterminationdoesnotcontraveneanyapplicablelawsorobligationshereunder.3.3.ImmediateterminationshalloccurintheeventofanymaterialbreachofthisAgreementbyoneParty,whichremainsuncuredforaperiodofdaysafterreceiptofwrittennoticethereof.3.4.UponterminationofthisAgreement,theServiceProvidershallpromptlyreturnordestroyallConfidentialInformation(asdefinedinArticle5)initspossessionandceaseallfurtherprovisionofServices.ARTICLE4:PAYMENTTERMS4.1.TheClientshallpaytheServiceProviderthefees("Fees")asoutlinedinExhibitB("FeeSchedule")inaccordancewiththepaymenttermsspecifiedtherein.4.2.Allpaymentsshallbemadeinandanylatepaymentsshallincuraninterestchargeof%perannum,calculatedontheoutstandingamountfromtheduedateuntilthedateofpayment.4.3.TheServiceProvidershallissueinvoicestotheClientonabasis,andtheClientshallpaysuchinvoiceswithindaysofreceipt.4.4.TheFeesareexclusiveofanyapplicabletaxes,duties,orgovernmentalcharges,whichshallbepaidbytheClientinadditiontotheFees.ARTICLE5:CONFIDENTIALITY5.1.BothPartiesacknowledgethatinthecourseofperformingthisAgreement,theymayhaveaccesstocertainconfidentialinformation("ConfidentialInformation"),includingbutnotlimitedtobusinessplans,financialdata,technicalspecifications,andclientlists.5.2.EachPartyagreestomaintaintheconfidentialityoftheotherParty'sConfidentialInformationandnottodiscloseittoanythirdpartywithoutpriorwrittenconsent,unlessrequiredtodosobylaworbyagovernmentalauthority.5.3.ThisobligationshallsurvivetheterminationofthisAgreementforaperiodofyears.ARTICLE6:INTELLECTUALPROPERTY6.1.Allright,title,andinterestinandtoanyintellectualpropertycreatedordevelopedbytheServiceProviderinthecourseofprovidingtheServices("Works")shallvestintheClientuponpaymentoftheFees.6.2.TheServiceProviderrepresentsandwarrantsthatithasthenecessaryrightsandpermissionstocreateanddelivertheWorksandthattheWorksshallnotinfringeuponanythird-partyintellectualpropertyrights.6.3.TheClientmayusetheWorksforanybusinesspurpose,providedthattheServiceProviderretainsmoralrightsintheWorks,includingtherighttobeacknowledgedastheauthor.ARTICLE7:WARRANTIES7.1.TheServiceProviderwarrantsthat:7.1.1.Ithasthenecessaryexpertise,qualifications,andauthoritytoperformtheServicesinaccordancewiththetermsofthisAgreement.7.1.2.TheServiceswillbeprovidedinaprofessionalandworkmanlikemanner,incompliancewithapplicablelawsandregulations.7.2.TheClientwarrantsthat:7.2.1.AllinformationandinstructionsprovidedtotheServiceProviderareaccurateandcompletetothebestoftheClient'sknowledge.7.2.2.ItwillcomplywithallapplicablelawsandregulationsinconnectionwiththeServices.ARTICLE8:LIMITATIONOFLIABILITY8.1.NeitherPartyshallbeliableforanyindirect,special,incidental,orconsequentialdamagesarisingoutoforinconnectionwiththisAgreement,whetherbasedoncontract,tort,oranyotherlegaltheory.8.2.ThetotalaggregateliabilityofaPartyunderthisAgreementshallnotexceedthetotalFeespaidbytheClienttotheServiceProviderunderthisAgreement.ARTICLE9:GOVERNINGLAWThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof,withoutregardtoitsconflictoflawsprinciples.ARTICLE10:DISPUTERESOLUTION10.1.AnydisputesarisingoutoforinconnectionwiththisAgreementshallfirstberesolvedthrough友好协商foraperiodofdays.10.2.Ifthedisputesarenotresolvedthroughnegotiation,eitherPartymayreferthemattertoforarbitrationinaccordancewithitsrules.10.3.Thearbitraltribunal'sdecisionshallbefinalandbindingonbothParties.ARTICLE11:MISCELLANEOUS11.1.AmendmentstothisAgreementshallonlybevalidifmadeinwritingandsignedbybothParties.11.2.NowaiverofanyprovisionofthisAgreementshallbedeemedtobeawaiverofanyotherprovisionoracontinuingwaiverofthesameprovision.11.3.ThefailureofonePartytoenforceanyprovisionofthisAgreementshallnotbeconstruedasawaiverofsuchprovisionoroftherighttoenforcesuchprovisionatalatertime.11.4.ThisAgreementconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,representations,orunderstandings,whetherwrittenororal.11.5.IfanyprovisionofthisAgreementisfoundtobeinvalidorunenforceableby
