2025合同模板英文版示例ContractTemplateEnglishVersion2025ThisContractenteredintoonthisdayof,2025,byandbetween:Parties:PartyA:(hereinafterreferredtoas"PartyA"),aorganizedunderthelawsof,withitsprincipalplaceofbusinessat.PartyB:(hereinafterreferredtoas"PartyB"),aorganizedunderthelawsof,withitsprincipalplaceofbusinessat.Recitals:WHEREAS,PartyAandPartyBdesiretocollaborateinthefollowingmannerinaccordancewiththetermshereinaftersetforth;NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromisescontainedherein,thePartiesagreeasfollows:1.ScopeofWork1.1PartyAagreestoprovide(hereinafterreferredtoas"Services")toPartyBinaccordancewiththespecificationsoutlinedinExhibitAattachedhereto.1.2PartyBshallprovideallnecessarycooperationandassistancetoPartyAinordertofacilitatetheperformanceoftheServices.2.TermoftheAgreement2.1ThetermofthisAgreementshallcommenceon(the"EffectiveDate")andshallcontinueuntil(the"ExpirationDate"),unlessterminatedearlierinaccordancewiththetermshereof.2.2EitherPartymayterminatethisAgreementupondays'writtennoticetotheotherPartyiftheotherPartybreachesanymaterialprovisionofthisAgreementandfailstocuresuchbreachwithinsuchperiod.3.Compensation3.1PartyBshallpayPartyAthesumof(the"Fee")inaccordancewiththepaymentschedulesetforthinExhibitB.3.2PartyBshallpayallapplicabletaxes,levies,duties,andothergovernmentalchargesarisingfromorrelatedtothisAgreement.4.Confidentiality4.1EachPartyagreestomaintaintheconfidentialityofallnon-public,proprietary,orconfidentialinformation(hereinafter"ConfidentialInformation")disclosedbytheotherPartyduringthetermofthisAgreement.4.2NeitherPartyshalldiscloseConfidentialInformationtoanythirdpartywithoutthepriorwrittenconsentofthedisclosingParty,exceptasrequiredbylaw.5.IntellectualProperty5.1Allrights,title,andinterestinandtoanyinventions,designs,trademarks,copyrights,patents,tradesecrets,orotherintellectualpropertycreated,developed,orusedinconnectionwiththeServices(hereinafter"IntellectualProperty")shallremainthesolepropertyofPartyA.5.2PartyBacknowledgesthatithasnorightstouseanyIntellectualPropertyexceptasexplicitlypermittedunderthisAgreement.6.Indemnification6.1PartyBagreestoindemnify,defend,andholdharmlessPartyA,itsofficers,directors,employees,agents,andaffiliatesagainstanyandallclaims,damages,losses,costs,andexpenses(includingreasonableattorneys'fees)arisingoutoforrelatedtoanyactoromissionbyPartyBoritsemployees,agents,orcontractorsintheperformanceoftheirdutiesunderthisAgreement.6.2PartyAagreestoindemnify,defend,andholdharmlessPartyB,itsofficers,directors,employees,agents,andaffiliatesagainstanyandallclaims,damages,losses,costs,andexpenses(includingreasonableattorneys'fees)arisingoutoforrelatedtoanyactoromissionbyPartyAoritsemployees,agents,orcontractorsintheperformanceoftheirdutiesunderthisAgreement.7.WarrantiesandRepresentations7.1EachPartywarrantsandrepresentsthatithasthefullright,power,andauthoritytoenterintothisAgreementandtoperformitsobligationshereunder.7.2PartyAwarrantsthattheServiceswillbeperformedinaworkmanlikemanneraccordingtoapplicableprofessionalstandards.7.3PartyBwarrantsthatithasthefinancialcapacitytofulfillitsobligationsunderthisAgreement.8.LimitationofLiability8.1NeitherPartyshallbeliableforanyindirect,incidental,special,orconsequentialdamages,includingbutnotlimitedtolostprofits,lossofdata,orbusinessinterruption,arisingoutoforrelatingtothisAgreement.8.2ThetotalaggregateliabilityofeachPartyunderthisAgreementshallnotexceedthetotalFeespaidbyPartyBtoPartyAunderthisAgreement.9.DisputeResolution9.1Anydispute,claim,orcontroversyarisingoutoforrelatingtothisAgreementorthebreachthereofshallberesolvedthrougharbitrationinaccordancewiththerulesoftheArbitrationAssociation.9.2Thearbitrationshalltakeplacein,andtheawardshallbefinalandbindinguponbothParties.10.GoverningLaw10.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsoftheStateof,withoutregardtoitsconflictoflawsprinciples.11.Miscellaneous11.1EntireAgreement:ThisAgreementconstitutestheentireunderstandingbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,ornegotiations,whetheroralorwritten.11.2Amendments:AnyamendmentormodificationtothisAgreementmustbeinwritingandsignedbybothParties.11.3Waiver:ThefailureofeitherPartytoenforceanyprovisionofthisAgreementshallnotbeconstruedasawaiverofsuchprovisionoroftherighttoenforcesuchprovisionatalatertime.11.4ForceMajeure:NeitherPartyshallbeliableforanyfailureordelayinperformanceduetoeventsbeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,war,strikes,orgovernmentalactions.11.5Counterparts:ThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.INWITNESSWHEREOF,thePartieshaveexecutedthi
