WHEREASPartyAwishestoengagePartyBforthetransportationofgoods,andPartyBagreestoprovidesuchtransportationservicesunderthetermsandconditionssetforthherein,thepartiesheretoagreeasfollows:

1.DEFINITIONSANDINTERPRETATIONS

1.1"Goods"meanstheitemsspecifiedinClause2tobetransportedbyPartyBfromtheplaceoforigintothedestination.

1.2"Carriage"referstothetransportationofGoodsfromthepickuplocationtothedeliverylocationasspecifiedherein.

1.3"ForceMajeure"includesnaturaldisasters,wars,strikes,governmentregulations,andotherunforeseeable,unavoidable,andinsurmountableeventsbeyondthecontrolofeitherparty.

1.4HeadingsinthisContractareforreferenceonlyandshallnotaffecttheinterpretationofitsprovisions.

2.DESCRIPTIONOFGOODS

2.1NameandQuantity:TheGoodstobetransportedare[DescriptionofGoods],withatotalquantityof[Quantity]units.

2.2WeightandVolume:ThegrossweightoftheGoodsis[Weight]kg,andthetotalvolumeis[Volume]cubicmeters.

2.3Packaging:TheGoodsshallbepackedin[TypeofPackaging],markedwithconsigneeinformation,handlinginstructions,andwarninglabels(ifapplicable).

2.4SpecialRequirements:[Anyspecialhandlingrequirements,e.g.,"Fragile–HandlewithCare"or"Temperature-Controlled(2-8°C)"].

3.TRANSPORTATIONDETAILS

3.1ModeofTransport:PartyBshalltransporttheGoodsby[Sea/Air/Road/Rail]asmutuallyagreed.

3.2Route:Thetransportationrouteshallbefrom[PickupLocation]to[DeliveryLocation],via[TransitPoints,ifapplicable].

3.3TimeSchedule:

PickupDate:TheGoodsshallbepickedupbyPartyBonorbefore[Date].

EstimatedDeliveryDate:PartyBshalldelivertheGoodstothedestinationby[Date].

DelayNotification:PartyBshallnotifyPartyAinwritingwithin24hoursifanydelayisanticipated,providingreasonsandreviseddeliverytime.

4.FREIGHTANDPAYMENTTERMS

4.1FreightCalculation:Thefreightshallbecalculatedbasedon[Weight/Volume/FlatRate]atarateof[Currency][Amount]per[Unit],totaling[TotalFreightAmount](inclusiveofloading,unloading,andbasichandlingfees).

4.2AdditionalCosts:Anyadditionalcostsarisingfromcustomsclearance,storage,orspecialhandlingshallbeborneby[PartyA/PartyB]asspecifiedinwritingpriortoincurrence.

4.3PaymentMethod:PartyAshallpaythetotalfreightvia[BankTransfer/CreditCard]toPartyB’sdesignatedaccount:

4.4PaymentDeadline:Paymentshallbemade[Within7daysofcontractsigning/Beforepickup/Within3daysofdelivery].

5.OBLIGATIONSOFPARTIES

5.1ObligationsofPartyA:

ProvideaccurateinformationabouttheGoods,includingnature,value,andanyhazardousproperties.

EnsuretheGoodsareproperlypackedandmarkedincompliancewithapplicablelaws.

Submitallnecessarydocuments(e.g.,commercialinvoice,packinglist,andexport/importpermits)toPartyBatleast3daysbeforepickup.

Paythefreightandotheragreedcostsontime.

5.2ObligationsofPartyB:

Provideaseaworthy/airworthy/roadworthyvehicleingoodconditionfortransportation.

Load,unload,andhandletheGoodswithduecaretopreventdamageorloss.

Obtainandmaintainvalidtransportationlicensesandcomplywithallrelevantlawsandregulations.

TracktheGoodsduringtransitandprovidePartyAwithreal-timeupdatesuponrequest.

6.INSURANCE

6.1InsuranceCoverage:PartyBshallpurchasecargoinsurancefortheGoodswithcoverageagainstloss,damage,ortheftduringtransportation,withaninsuredamountof[InsuranceAmount](110%oftheGoods’declaredvalue).

6.2InsurancePremium:Theinsurancepremiumof[Amount]shallbeincludedinthetotalfreight.

6.3ClaimProcedure:Incaseoflossordamage,PartyBshallassistPartyAinfilinginsuranceclaimswithin15daysofdiscoveringtheincident,providingnecessarydocumentssuchasasurveyreportandproofofloss.

7.DELIVERYANDACCEPTANCE

7.1Delivery:PartyBshalldelivertheGoodsto[ConsigneeName]at[DeliveryAddress].Theconsigneeshallacknowledgereceiptbysigningadeliverynote.

7.2Inspection:TheconsigneeshallinspecttheGoodsupondelivery.AnyvisibledamageorquantitydiscrepancymustbenotedinwritingonthedeliverynoteandreportedtoPartyBwithin48hours.

7.3Non-Delivery:IftheGoodsarenotdeliveredwithin7daysoftheestimateddatewithoutvalidreason,PartyAshallhavetherighttoterminatetheContractandclaimcompensation.

8.LIABILITYANDINDEMNIFICATION

8.1LiabilityScope:PartyBshallbeliableforlossordamagetotheGoodscausedbyitsnegligence,improperhandling,orbreachofcontract,exceptincasesofForceMajeure,improperpackagingbyPartyA,oractsofthirdpartiesbeyondPartyB’scontrol.

8.2CompensationLimit:PartyB’sliabilityshallnotexceed[Amount]perkilogramofdamagedGoods,unlessotherwisespecifiedinwriting.

8.3Indemnification:PartyAshallindemnifyPartyBagainstclaimsarisingfrominaccurateinformationprovided,unauthorizedshipmentofprohibiteditems,orfailuretoobtainnecessarypermits.

9.DEFAULTANDTERMINATION

9.1DefaultbyPartyA:IfPartyAfailstopayfreightwithintheagreedperiod,PartyBmaysuspendtransportationorchargealatefeeof0.5%oftheunpaidamountperday.

9.2DefaultbyPartyB:IfPartyBcauseslossordamageduetonegligence,itshallcompensatePartyAwithin30daysofclaimconfirmation.RepeateddelaysorseriousbreachesshallentitlePartyAtoterminatetheContractimmediately.

9.3TerminationforForceMajeure:EitherpartymayterminatetheContractifaForceMajeureeventrendersperformanceimpossible,withwrittennoticewithin5daysoftheevent.

10.DISPUTERESOLUTION

10.1Negotiation:DisputesarisingfromthisContractshallfirstberesolvedthroughfriendlynegotiationwithin30daysofwrittennotice.

10.2Arbitration:Ifnegotiationfails,thedisputeshallbesubmitt
