本协议由以下双方：

根据《中华人民共和国律师法》和其他相关法律、法规的规定，经友好协商，双方

达成如下共识：

erfriendlynegotiation,PartyAandPartyBherebyagreetoenterintothisAgreementun

derthetermsandconditionssetforthbelow:

一、特别条款SpecialTermsandConditions

1.法律服务范围ScopeofLegalServices

乙方接受甲方委托指定经办律师，为甲方所提供1.2条所列法律服务。

ervicesunderArticle1.2.

2.服务内容ServiceContents

甲方与一有限公司（下称“CCC”）之间就一案（下称“案件”）,特委托乙方提

供法律服务；服务范围包括全部诉讼程序和申请执行程序。具体授权事项与范围见

授权委托书。

PartyAherebyappointsPartyBtoprovidelegalserviceunderthisAgreement,

forthedisputepertainingtothecontractbetweenPartyAandCCCHeavyIndustry

Co.,Ltd.

（"CCC”）.Thelegalservicehereofincludeslegalserviceunderalllegalproceedingsa

ndenforcementprocedure.Detailsandscopeoftheauthorizationshallbedefinedinthe

LetterofAuthorization.

3.律师Attorneys

乙方指派—律师、―律师作为本协议法律服务事项的经办律师（以下简称“律

师”）。

PartyBherebyappointsMr.andMs.tobetheattorneys（hereinafterreferredtoa

s“Attorneys"）underthisAgreement.

4.律师费和其他费用LegalFeesandDisbursement

根据《，海市律师服务收费政府指导价标准》，并双方经协商后确定，甲方委托乙

方办理的案件按以下方式收取律师费：

乙方的收费分两部分：固定费用和风险代理费用。

ThelegalfeeschargedbyPartyBshallincludethefollowingtwopartsunderthisAgree

ment:flatfeesandcontingencyfees.

第一部分固定费用为人民币（大写）一元（¥_）,该固定费用应在本协议签署

后的20个工作日内支付。

SectionIFlatFees:RMB,shallbepaidbyPartyAtoPartyB'saccountwithin20w

orkingdaysaftertheexecutionofthisAgreement.

第二部分风险代理费用：

SectionIIContingencyFees:

本通过乙方经办律师的弋理行为，无论是通过判决、裁决还是双方和解、调解、强

制执行，CCC向甲方支付或返还任意金额的款项，则甲方同意按照该等金额的

20%向乙方支付风险代理费用。

甲方应在收到款项后二十日内一次性向乙方支付风险代理费。

5.甲方应将上述律师费如期支付至以下账号：

6.其他费用Disbursement

经办律师在办理案件中所发生的以下其他费用并不包含在上述律师费内，应由甲方

另行承担：

PartyAshallpaythefollowingcostswhichshallnotbeincludedinaforesaidlegalfeesi

nconnectionwithAttorneysdealingwithcases:

（1）政府、法院以及相关职能部门、中介机构收取的费用；

ryagencies;

（2）异地差旅费（含交通、住宿以及餐费）。

二、一般条款GeneralTermsandConditions

1.甲方的义务ObligationsofPartyA

甲方应当承担以下的义务：

PartyAshallundertakethefollowingobligations:

（1）与乙方诚实合作，向乙方如实提供与案件有关的资料信息、如实陈述与案件

有关的情况；

CooperatingwithPartyBsincerely,includingprovidingmaterials,informationandrepre

sentationrelatedtothecase;

（2）如与案件有关的情况和事实发生变化，应及时告知乙方或经办律师；

InformingPartyBortheAttorneyspromptlyifthesituationrelatedtothecasechanges;

（3）如果甲方变更联系信息，当及时通知乙方和经办律师；

NoticingPartyBortheAttorneyspromptlyifPartyAchangescontactinformation;

（4）无论何时情况，甲方向乙方和经办律师提出的要求均不得违反律师职业道德

和执业纪律的规定；

PartyAshallnotrequirePartyBorAttorneystoviolatetheprofessionalethicsorpractici

ngdisciplinesofattorneys;

（5）在案件终结之前，除非本协议约定的经办律师严重失职，甲方不得单方面解

除其对案件的代理权和授权，亦不得单方面解除本协议。

Priortotheclosingofthiscase,unlesstheAttorneysbreachingdutiesoutofggrossncgli

gence.PartyAshallnotterminatetheauthorizationof（heattorneysunilaterally,andshall

notterminatethisAgreementunilaterally.

2.乙方的义务ObligationsofPartyB

乙方经办律师在向甲方提供法律服务时，承担以下的义务：

ThehandlingattorneysofParlyBshallundertakethefollowingobligationswhenprovidi

ngPartyAwithlegalservices:

（1）乙方经办律师必须遵守律师职业道德和执业纪律；

Adheringtotheprofessionalethicsandpracticingdisciplinesofattorneys;

（2）乙方经办律师应当勤勉尽责，维护甲方的最大利益；

BediligentandresponsiblefortheservicetoPartyAandshalltryitshardesttoservethe

rightsofParlyA;

（3）乙方经办律师应当及时向甲方报告有关案件的进展情况；

NoticingPartyAthecaseprogresspromptly;

（4）乙方经办律师无权超越甲方授权行事。如果确有需要，应当由甲方另行给予

明确的授权；

NotexceedingPartyA'sauthorization.Ifnecessary,PartyBshallobtainthespecificauth

orizationfromPartyA;

（5）乙方经办律师就本协议约定的律师费和其他费用以外，无权要求甲方支付任

何其他款项，但是如有必要需律师代缴代付予其他机构的费用除外；

NotrequiringPartyAtopayanycostsandexpensesotherthanthelegalfeesanddisburs

ementunderthisAgreementunlessthecostsandexpensesarerequiredbyotherbodiesto

bepaidonbehalf;

a.乙方或经办律师变更联系信息的，应当及时通知甲方；

PartyBshallnoticePartyApromptlyifPartyBchangescontactinformation;

b.乙方和经办律师对甲方负有保密义务。

PartyBandtheAttorneysshallkeepconfidentialitytoPartyA.

3.保密Confidentiality

（1）乙方和经办律师对于甲方的相关信息以及与案件有关的资料、文件和其他情

况（以下简称“甲方秘密”）应当保守秘密，在未征得甲方同意的情况下，不得向任

何第三方透露甲方秘密。

PartyBandtheattorneysshallkeepconfidentialityforallthematerialsorinformation,d

ocumentsetc.inconnectionwiththecase（hereinafterreferredtoasuPartyA'ssecretsM）.

PartyBshallnotdivulgePartyA'ssecretstoanyotherthirdpartywithoutpriorapproval

fromPartyA.

（2）根据甲方在本协议中的授权，乙方和经办律师可以将甲方秘密向与案件有关

的司法机构、行政机构或其他关联方（非利益冲突方）披露。

InaccordancewiththeauthorizationunderthisAgreement,PanyBandtheattorneysarc

entitledtodisclosePartyA'ssecretstotherelevantjudicialoradministrativegovernment

oraffiliatedparties（nottheconHictparty）.

（3）以下内容不可视为甲方秘密：

ThefollowingshallnotbedeemedasPartyA'ssecrets:

a.刑事犯罪证据；

Criminalevidence;

b.可以公开杳询或取得的信息和资料；

Informationandmaterialswhicharcavailabletothepublic;

c.本协议所约定的服务范围和授权权限的内容。

Contentswithinthescopeoflegalservicesandauthorization.

（4）甲方和乙方另签订有保密协议的，应以保密协议的约定为准。

TheConfidentialAgreementshallprevailifPartyAandPartyBenterintoaConfidential

Agreement.

4.利益冲突ConflictInterest

乙方和经办律师在提供法律服务时，应当就已经存在的或可能存在的，代理与甲方

有利益冲突方的情况如实告知甲方。在根据法律、法规或有效规章之相关规定确已

发生利益冲突的情况下，甲方有权撤销对乙方和经办律师的授权；乙方有权作出回

避的安排或解除本协议。发生以上情况均不视为任何一方违约。

PartyAshallbetoldtheexistingorpotentialconflictinterestinrelationtotherepresentat

ionofPartyBwhenPartyBanditshandlingattorneysrenderinglegalservices.Ifthecon

flictinterestdoesexistinaccordancewiththeeffectivelaws,regulationsorrules,PartyA

hastherighttorevoketheauthorizationtoPartyBanditshandlingattorney;andPartyB

hastherighttowithdrawtheconflictorterminatethisAgreement.Suchcasesshallnotb

edeemedasanyparty'sbreachofthisAgreement.

5.其他法律事务OtherLegalServices

乙方和经办律师均无义务代理甲方处理本协议约定的法律服务范围以外的其他法律

事务。甲方如确需要乙方提供有关其他法律服务的，应当与乙方另行签订法律服务

委托协议。

yorobligationtorenderanylegalservicetoPartyA.IfPartyAneedsanyotherlegalser

vice,anotherengagementagreementshallbeenteredbetweenbothparties.

6.完整的协议EntireAgreement

本协议作为甲方和乙方之间的最终的、完整的协议，取代之前双方作出的口头或书

面的约定。

ThisAgreementconstitutesthefinalandentireagreementbetweenthepartiesandsupers

edesallpreviousoralorwrittenagreementsbetweentheparties.

7.协议的可分性Severability

本协议中的任何条款如因任何原因导致全部或部分无效，本协议的其他条款仍保持

原有的效力，应当予以履行。

IfanyprovisionofthisAgreementisvoidorpartlyvoidduetoanyreason,theentirepro

visionistobeseveredfromthisAgreementwithoutaffectingthevalidityorenlorceabilit

yoftheremainingprovisionsofthisAgreement.

8.一致性Consistency

双方之间之前就本案签订的协议，如与本协议不一致，则以本协议的约定为准。

IfthereisanyinconsistencybetweenprioragreementssubjecttothiscaseandthisAgree

ment,thisAgreementshallprevail.

本协议由中英文书就，如中英文版本不一致，则以英文版本为准。

ThisAgreementiswritteninbothChineseandEnglish.Ifthereisanyconflictbetweenth

esetwoversions,theEnglishversionshallprevail.

9.通知Notice

与本协议履行有关的通知应当以书面方式提交对方，书面方式可以邮寄、挂号邮

寄、专人送达、传真、电子邮件等方式送达。甲方和乙方均应视需要选择合适的送

达方式。

AnynoticeinrelationtotheperformanceofthisAgreementshallbesentbywrittenform,

includingbypost,registeredpost,personalservice,faxandemail.PartyAandPartyBs

hallchoosetheappropriatewaytoserve.

10.法律适用和争议解决Applica
