引言本协议由以下双方于【日期】（以下简称“生效日”）签署，旨在明确双方就商标及其他相关法律事务的代理服务以及保密义务所达成的共识。双方本着平等互利、诚实信用的原则，经友好协商，达成如下协议，以资共同遵守。ThisAgreementisenteredintoasof[Date](the"EffectiveDate")byandbetweenthefollowingparties(collectively,the"Parties")forthepurposeofdefiningthetermsandconditionsgoverningtheagencyservicesfortrademarkandotherrelatedlegalmattersandtheconfidentialityobligationsthereunder.TheParties,adheringtotheprinciplesofequality,mutualbenefit,honestyandgoodfaith,havereachedthefollowingagreementthroughfriendlyconsultations,whichshallbebindingonbothParties.---一、双方当事人(Parties)甲方(PartyA):名称:【甲方法定全称】地址:【甲方注册地址】法定代表人/授权代表:【姓名及职务】PartyA:Name:[FullLegalNameofPartyA]Address:[RegisteredAddressofPartyA]LegalRepresentative/AuthorizedRepresentative:[NameandTitle]乙方(PartyB):名称:【乙方法定全称】地址:【乙方注册地址】法定代表人/授权代表:【姓名及职务】（乙方应具备提供相关法律服务的合法资质）PartyB:Name:[FullLegalNameofPartyB]Address:[RegisteredAddressofPartyB]LegalRepresentative/AuthorizedRepresentative:[NameandTitle](PartyBshallpossessthelegalqualificationtoproviderelevantlegalservices.)---二、鉴于条款(WhereasClauses)鉴于：1.甲方需要专业的法律服务以处理其商标及其他相关法律事务，并希望委托乙方作为其代理人。2.乙方是一家具备相应专业能力和资质的法律服务机构/专业人士，同意接受甲方的委托，按照本协议约定提供服务。3.双方在合作过程中可能会接触到对方的保密信息，为保护双方合法权益，有必要就保密事宜作出明确约定。Whereas:1.PartyAisinneedofprofessionallegalservicesforhandlingitstrademarkandotherrelatedlegalmattersandwishestoappointPartyBasitsagent.2.PartyBisalegalserviceprovider/professionalwithcorrespondingprofessionalcapabilitiesandqualifications,andagreestoacceptPartyA'sappointmenttoprovideservicesinaccordancewiththetermsofthisAgreement.3.ThePartiesmayhaveaccesstoeachother'sconfidentialinformationduringthecourseofcooperation,anditisnecessarytomakeclearagreementsonconfidentialitytoprotectthelegitimaterightsandinterestsofbothParties.---三、定义(Definitions)3.1“商标事务”指与甲方商标相关的各项事宜，包括但不限于商标的查询、申请、注册、续展、转让、许可、变更、异议、复审、撤销、无效宣告、行政诉讼、侵权调查及维权等。"TrademarkMatters"meansallmattersrelatedtoPartyA'strademarks,includingbutnotlimitedtotrademarksearch,application,registration,renewal,assignment,licensing,modification,opposition,review,cancellation,invalidation,administrativelitigation,infringementinvestigationandenforcement.3.2“其他法律事务”指甲方委托的、与知识产权相关的其他事务（如专利、著作权等咨询）或双方约定的其他一般性法律事务及咨询服务。"OtherLegalMatters"meansotherintellectualproperty-relatedmatters(suchasconsultationonpatents,copyrights,etc.)entrustedbyPartyA,orothergenerallegalmattersandconsultingservicesagreeduponbybothParties.3.3“代理服务”指乙方根据本协议约定，在甲方授权范围内，为甲方处理本协议3.1及3.2条所述事务的专业服务。"AgencyServices"meanstheprofessionalservicesprovidedbyPartyBforhandlingthemattersdescribedinClauses3.1and3.2onbehalfofPartyAwithinthescopeofauthorizationgrantedbyPartyAinaccordancewiththisAgreement.3.4“保密信息”指在本协议签订及履行过程中，一方（“披露方”）向另一方（“接收方”）披露的，与披露方业务、技术、财务、客户资料、商标及其他知识产权信息以及本协议内容相关的，且不为公众所知悉的任何形式的信息（包括但不限于书面、口头、电子数据或其他形式）。"ConfidentialInformation"meansanyinformation(includingbutnotlimitedtowritten,oral,electronicdataorotherforms)disclosedbyoneParty(the"DisclosingParty")totheotherParty(the"ReceivingParty")duringtheconclusionandperformanceofthisAgreement,whichisrelatedtotheDisclosingParty'sbusiness,technology,finance,customerinformation,trademarksandotherintellectualpropertyrights,andthecontentofthisAgreement,andisnotknowntothepublic.---四、代理服务范围与权限(ScopeandAuthorityofAgencyServices)4.1服务范围：乙方同意在本协议有效期内，根据甲方的书面指示，为甲方提供下列一项或多项服务：a)商标事务：包括但不限于第3.1条所列各项；b)其他法律事务：包括但不限于第3.2条所列各项。具体服务内容、数量及要求由双方根据实际情况另行协商确定，并可通过附件或书面补充协议的形式明确。4.1ScopeofServices:PartyBagreestoprovidePartyAwithoneormoreofthefollowingservicesduringthetermofthisAgreement,inaccordancewithPartyA'swritteninstructions:a)TrademarkMatters:includingbutnotlimitedtothoselistedinClause3.1;b)OtherLegalMatters:includingbutnotlimitedtothoselistedinClause3.2.Thespecificservicecontent,quantityandrequirementsshallbeseparatelynegotiatedanddeterminedbybothPartiesaccordingtotheactualsituation,andmaybespecifiedintheformofanannexorawrittensupplementaryagreement.4.2代理权限：除非本协议另有明确约定或甲方另有书面特别授权，乙方的代理权限仅限于代为处理本协议约定的服务范围内的事务，包括但不限于代为提交文件、参与程序、进行沟通等。乙方超出甲方授权范围的行为，其法律后果由乙方自行承担，除非甲方事后予以追认。---五、双方的权利与义务(RightsandObligationsofBothParties)5.1甲方的权利与义务：a)有权要求乙方按照本协议约定及甲方的书面指示提供专业、勤勉、高效的代理服务；b)应及时向乙方提供为完成代理服务所必需的真实、准确、完整的信息、文件和资料，并对所提供信息、文件和资料的真实性、准确性和完整性负责；c)应按照本协议约定及时足额向乙方支付服务费用；d)对于乙方在代理过程中提出的合理咨询和要求，应及时予以回复和配合；e)有权对乙方的代理行为进行必要的监督和检查。5.1RightsandObligationsofPartyA:a)HastherighttorequirePartyBtoprovideprofessional,diligentandefficientagencyservicesinaccordancewiththeagreementandPartyA'swritteninstructions;c)ShalltimelyandfullypaytheservicefeestoPartyBinaccordancewiththeagreement;d)ShalltimelyrespondtoandcooperatewithPartyB'sreasonableinquiriesandrequestsduringtheagencyprocess;e)HastherighttoconductnecessarysupervisionandinspectionofPartyB'sagencyactions.5.2乙方的权利与义务：a)有权按照本协议约定获得服务报酬；b)应指派具备相应专业资格和经验的人员负责处理甲方委托的事务；c)应在甲方授权范围内，遵循诚实信用原则，勤勉尽责地履行代理职责，维护甲方的合法权益；d)应及时向甲方报告代理事务的进展情况，并就重要事项及时征求甲方意见；e)对在代理服务过程中知悉的甲方的保密信息负有保密义务，该义务不受本协议期限的限制（详见本协议第七条）；f)不得从事任何有损甲方利益或声誉的行为；g)应妥善保管甲方交付的文件、资料，并在代理事务完成或本协议终止后，根据甲方要求返还或销毁（经甲方同意留存副本的除外）。5.2RightsandObligationsofPartyB:a)Hastherighttoreceiveserviceremunerationinaccordancewiththeagreement;b)ShallappointpersonnelwithcorrespondingprofessionalqualificationsandexperiencetoberesponsibleforhandlingthemattersentrustedbyPartyA;c)Shall,withinthescopeofPartyA'sauthorization,followtheprincipleofgoodfaith,diligentlyperformtheagencydutiesandsafeguardthelegitimaterightsandinterestsofPartyA;d)ShalltimelyreporttoPartyAontheprogressoftheagencyaffairsandtimelyseekPartyA'sopinionsonimportantmatters;e)ShallhavetheobligationtokeepconfidentialtheConfidentialInformationofPartyAlearnedduringtheagencyservices,andthisobligationshallnotbelimitedbythetermofthisAgreement(seeArticleVIIfordetails);f)ShallnotengageinanyactthatdamagestheinterestsorreputationofPartyA;---六、服务费用及支付(ServiceFeesandPayment)6.1服务费用：双方同意，乙方提供本协议项下的代理服务，甲方应支付的服务费用标准及具体金额，由双方根据服务的类型、复杂程度、工作量及市场行情等因素另行协商确定，并可在相关服务委托确认单或附件中列明。对于常规性商标事务，双方可预先约定收费标准；对于特殊或复杂的法律事务，可一事一议。6.2支付方式：甲方应按照双方约定的支付方式（如银行转账等）和期限向乙方支付服务费用。乙方在收到款项后，应根据甲方要求提供合法票据。6.2PaymentMethod:PartyAshallpaytheservicefeestoPartyBinaccordancewiththeagreedpaymentmethod(suchasbanktransfer)andtimelimit.PartyBshallprovidelegalinvoicesasrequiredbyPartyAuponreceiptofthepayment.6.3其他费用：乙方在提供代理服务过程中，如产生第三方费用（如官方收费、翻译费、公证费、差旅费等，若有），应由甲方承担。乙方应事先将此类费用的预估金额通知甲方，经甲方确认后方可支出，并凭有效凭证向甲方实报实销或按双方约定处理。6.3OtherExpenses:Iftherearethird-partyexpensesincurredbyPartyBinprovidingagencyservices(suchasofficialfees,translationfees,notarizationfees,travelexpenses,ifany),theyshallbebornebyPartyA.PartyBshallnotifyPartyAoftheestimatedamountofsuchexpensesinadvance,andmayonlyincurthemafterPartyA'sconfirmation,andshallbereimbursedbyPartyAbasedonvalidvouchersorhandledinaccordancewiththeagreementbetweentheParties.---七、保密义务(ConfidentialityObligation)7.1保密信息的范围：如3.4条所定义，接收方对于从披露方获得的所有保密信息均负有保密义务。7.1ScopeofConfidentialInformation:AsdefinedinClause3.4,theReceivingPartyshallhavetheobligationtokeepconfidentialallConfidentialInformationobtainedfromtheDisclosingParty.7.2保密义务的履行：接收方应采取合理的措施保护保密信息，使其不被泄露、未经授权使用或复制。接收方仅可将保密信息披露给其内部因履行本协议之目的而确有必要知悉该等信息的人员，并确保该等人员同样遵守本协议规定的保密义务。7.3保密义务的例外：以下情形下，接收方无需对保密信息承担保密义务：a)该信息在披露前已为公众所知悉（非因接收方过错导致）；b)该信息在披露后通过非接收方的渠道被公众所知悉（非因接收方过错导致）；c)接收方在未违反任何保密义务的情况下，从第三方合法获得的信息；d)接收方在披露方披露前已合法拥有或独立开发的信息；e)根据法律法规的强制性要求或有权监管机构的命令必须披露的信息，但接收方应在合理范围内事先通知披露方，并配合披露方采取合理措施以保护信息的保密性。7.3ExceptionstoConfidentialityObligation:TheReceivingPartyshallnotbeobligatedtokeepthefollowingConfidentialInformationconfidential:a)Informationthatwaspubliclyknownbeforedisclosure(notcausedbytheReceivingParty'sfault);c)InformationlawfullyobtainedbytheReceivingPartyfromathirdpartywithoutviolatinganyconfidentialityobligations;d)InformationlawfullyownedorindependentlydevelopedbytheReceivingPartypriortodisclosurebytheDisclosingParty;7.4保密期限：接收方的保密义务在本协议有效期内及本协议终止后持续有效，直至该保密信息为公众普遍知悉（非因接收方过错导致）。7.5责任：任何一方违反本协议项下的保密义务，给对方造成损失的，应承担相应的赔偿责任。---八、协议期限与终止(TermandTerminationofAgreement)8.1协议期限：本协议自双方授权代表签字并加盖公章（如适用）之日起生效，有效期为【期限】。期满前【时间】，如双方均无书面提出终止意向，本协议可自动续展【期限】，续展次数【可约定或无限制】。8.1TermofAgreement:ThisAgreementshalltakeeffectfromthedateofsignaturebytheauthorizedrepresentativesofbothPartiesandaffixingofficialseals(ifapplicable),andshallremainvalidfor[Term].[Time]beforetheexpiration,ifneitherPartyhasproposedterminationinwriting,thisAgreementmaybeautomaticallyrenewedfor[Term],with[numbero
