建筑机电安装fidic合同范本ThisContractismadeandenteredintoon[Date]between[Employer'sName],havingitsplaceofbusinessat[Employer'sAddress]("Employer"),and[Contractor'sName],havingitsplaceofbusinessat[Contractor'sAddress]("Contractor").Article1-CommencementandDefinitions1.1ThisContract,comprisingtheAgreement,theLetterofAcceptance,theBidAcceptance,theTechnicalSpecifications,theDrawings,theBillofQuantities,theProvisionalSumsSchedule,theItemsofEstimatedCostsSchedule,theSummaryofContractPrice,theListofEmployer'sFacilities,theCriticalDateSchedule,andtheGeneralConditionsandConditionsoftheParticularContract(hereinaftercollectivelyreferredtoasthe"ContractDocuments"),constitutestheentireagreementbetweentheEmployerandtheContractorconcerningthedesign,procurement,andconstructionoftheWorkshereinafterdescribed(the"Project").1.2TheEmployerengagestheContractortodesign,procure,construct,anddelivertheWorksasdescribedhereininaccordancewiththeContractDocuments.1.3TheContractoracceptstheengagementandagreestoperformtheWorkinaccordancewiththeContractDocuments.1.4Thefollowingtermsanddefinitionsshallhavethemeaningssetforthherein:"Agreement"meanstheContractAgreementsignedbybothEmployerandContractor."Employer'sStaff"meansthepersonnelemployedbytheEmployerdirectlyorindirectlytocarryouttheProject."Contractor'sStaff"meansthepersonnelemployedbytheContractordirectlyorindirectlytocarryouttheProject."Design"meansthedesignoftheWorksasrequiredbytheContractDocuments,includinganyrevisionsthereto."Works"meanstheProjectandtheWorkstobeconstructedthereon."Site"meansthelandandpremisesdescribedintheDrawings."Completion"meanstheWorksarefinished,passedtheCompletionTest,andacceptedbytheEmployer."DefectRectificationPeriod"meanstheperiodfollowingCompletionduringwhichtheContractorisresponsibleforrectifyingDefects."Defect"meansanyimperfectionintheWorksdiscoveredduringtheDefectRectificationPeriod."Warranty"meanstheguaranteeprovidedbytheContractorregardingthequalityoftheWorksaftertheDefectRectificationPeriod."Notification"meansanynotice,request,instruction,orothercommunicationrequiredorpermittedunderthisContract."PeriodicPayment"meansthepaymentmadebytheEmployertotheContractoratintervalsasprovidedherein."Variation"meansanychange,addition,ordeletionintheWorkoranyspecificationtherefor."ForceMajeure"meansaneventbeyondthereasonablecontroloftheaffectedparty,whetherornottheeventwouldhavebeenreasonablyforeseen."Law"meansthelawsandregulationsof[SpecifyJurisdiction,e.g.,thePeople'sRepublicofChina]asamendedfromtimetotime."Disputes"meansanydisputearisingoutoforrelatingtothisContract,whichshallberesolvedby[SpecifyArbitrationInstitution,e.g.,theInternationalChamberofCommerce(ICC)Arbitration]inaccordancewithitsRules.Article2-Language2.1ThelanguageofthisContractshallbe[SpecifyLanguage,e.g.,ChineseandEnglish].TheEnglishversionshallprevailincaseofanyconflictbetweenthetwoversions.Article3-LawandDisputes3.1ThisContractandanytransactionarisingtherefromshallbegovernedbyandconstruedinaccordancewiththeLawof[SpecifyJurisdiction].3.2Anydispute,controversy,orclaimarisingoutoforrelatingtothisContract,includinganyquestionregardingitsexistence,validity,ortermination,shallbereferredtoandfinallysettledbyarbitrationadministeredby[SpecifyArbitrationInstitution,e.g.,theInternationalChamberofCommerce(ICC)Arbitration]inaccordancewiththeRulesofArbitrationofsaidInstitutionasinforceatthetimeoftheinstitutionoftheaward.Theplaceofarbitrationshallbe[SpecifyCity,e.g.,Shanghai]andthelanguageofarbitrationshallbe[SpecifyLanguage,e.g.,English].Article4-TransferandSubcontracting4.1TheContractorshallnottransfer,assign,ormortgage,inanymannerwhatsoever,itsrightsorobligationsunderthisContractwithoutthepriorwrittenconsentoftheEmployer.4.2TheContractormaysubcontractanypartoftheWorktoaSubcontractorifpermittedbytheEmployerinwriting.TheContractorshallremainfullyresponsibletotheEmployerfortheperformanceoftheSubcontractorandforany违约行为ordefaultoftheSubcontractor.SubcontractorsshallbeselectedbytheContractorandshallpossessadequatequalifications,capacity,andreputation.TheContractorshallberesponsibleforensuringthatSubcontractorscomplywithallapplicablelawsandregulationsandwiththerequirementsofthisContract.Article5-Employer'sStaffandSubcontractors5.1TheEmployer'sStaffshallnotbedeemedtobetheContractor'sStaffforthepurposesofthisContract.5.2TheContractorshallnotbeliableforanyactoromissionoftheEmployer'sStaff.Article14-ForceMajeure14.1TheContractorshallnotbeliableforanydelayinperformanceoranyincreaseincostordamagesincurredbytheEmployerifsuchdelayorincreaseiscausedbyForceMajeure.14.2Theaffectedparty(whicheverpartyisaffected)shallpromptlygivenoticeoftheoccurrenceofForceMajeuretotheotherparty.Thenoticeshallbeaccompaniedbyrelevantsupportingdocuments.TheaffectedpartyshalltakeallreasonablemeasurestomitigatetheeffectsofForceMajeure.14.3IftheeffectsofForceMajeurecontinueforaperiodofmorethan[SpecifyNumber,e.g.,28]consecutivedays,eitherpartyshallhavetherighttoterminatethisContractbygivingnoticetotheotherparty.TheEmployershallbeliabletopaytheContractorforallcostsincurredandforthevalueofworkdoneuptothedateoftermination.Article24-NoticesandInstructions24.1AllNotificationsrequiredorpermittedunderthisContractshallbeinwritingandshallbeaddressedtothepartiesattheaddressessetforthintheAgreement.24.2ANotificationshallbedeemedtohavebeendulygiven:(a)onthedateofdeliveryifdeliveredpersonally;(b)onthedateofpostingifsentbyregisteredpostorcourier;(c)onthedateoftransmissionifsentbyemail,providedthataconfirmationofreceiptisreceivedbythesender;24.3AllInstructionsfromtheEmployershallbeinwritingandshallbeaddressedtotheContractorattheaddresssetforthintheAgreement.Article26-PerformanceSecurity26.1TheContractorshall,within[SpecifyNumber,e.g.,28]daysafterthedateoftheAgreement,submittotheEmployeraPerformanceSecurityintheformofabankguaranteeorasuretybondforanamountof[SpecifyPercentage,e.g.,10]%oftheContractPrice.26.2ThePerformanceSecurityshallremaininforceuntiltheDefectRectificationPeriodhasexpiredandallamountsdueunderthisContracthavebeenpaidinfull.26.3TheEmployershallreleasethePerformanceSecurityupontheexpirationoftheDefectRectificationPeriodandthesettlementofalloutstandingamountsduetotheContractor.Article33-AdvancePayment33.1UpontheContractor'ssubmissionofavalidapplicationandtheProductionSecurity,theEmployershallpayanadvancepayment,notexceeding[SpecifyPercentage,e.g.,10]%oftheContractPrice,totheContractorwithin[SpecifyNumber,e.g.,28]daysoftheapplication.33.2TheContractorshallprovideanAdvancePaymentGuaranteecoveringtheadvancepaymentreceived.33.3TheadvancepaymentshallberepaidbytheContractorinequalmonthlyinstallmentsstartingfromthefirstPeriodicPaymentduedate,providedthatthebalanceoftheContractPriceisnotinarrearsformorethan[SpecifyNumber,e.g.,60]days.Article34-PeriodicPayments34.1TheEmployershallpaytheContractorPeriodicPaymentsatintervalsof[SpecifyInterval,e.g.,monthly]basedontheContractor'ssubmittedPeriodicPaymentApplicationandtheEmployer'smeasurementcertificate.34.2ThePeriodicPaymentApplicationshallbesubmittedbytheContractortotheEmployerwithin[SpecifyNumber,e.g.,10]daysaftertheendofeachpaymentinterval.34.3TheEmployershallissueameasurementcertificatewithin[SpecifyNumber,e.g.,14]daysafterreceivingthePeriodicPaymentApplication.34.4TheEmployershallpayeachPeriodicPaymentwithin[SpecifyNumber,e.g.,28]daysafterthedateofthemeasurementcertificate.34.5TheamountofeachPeriodicPaymentshallbesubjecttoaretainedsumof[SpecifyPercentage,e.g.,5]%ofthetotalvalueoftheWorkcertifiedintherelevantmeasurementcertificate,tobepaiduponCompletion.34.6IftheEmployerfailstopayanyPeriodicPaymentontime,theContractorshallbeentitledtochargeinterestontheoverdueamountatarateof[SpecifyRate,e.g.,LIBORplus[SpecifyMargin]]perannumfromtheduedateuntilthedateofpayment.Article38-CompletionTest38.1TheContractorshallcarryoutaCompletionTestatitsownexpensetodemonstratethattheWorkshavebeencompletedinaccordancewiththeContractDocuments.38.2TheContractorshallnotifytheEmployerinwritingofitsreadinessfortheCompletionTestatleast[SpecifyNumber,e.g.,14]dayspriortotheproposeddate.38.3TheEmployershallappointarepresentativetowitnesstheCompletionTest.TheEmployershallbearthecostoftheCompletionTest.38.4IftheWorkspasstheCompletionTest,theContractorshallsubmitaCompletionApplicationtotheEmployer.UponacceptanceoftheWorksbytheEmployer,theWorksshallbedeemedtohavebeenCompleted.38.5IftheWorksfailtheCompletionTest,theContractorshallrectifythedefectswithinareasonabletimeperiodasdeterminedbytheEmployerandatitsownexpense.TheContractorshallbeentitledtorepeattheCompletionTest.IftheWorksstillfailtheCompletionTestafterrectification,theContractorshallbedeemedtobeindefault.Article40-DefectRectificationPeriod40.1TheDefectRectificationPeriodshallcommencefromthedatetheWorksareacceptedbytheEmployerandshallcontinueforaperiodof[SpecifyDuration,e.g.,12or24]months.40.2DuringtheDefectRectificationPeriod,theContractorshallrectifyallDefectsupontheEmployer'snotice.TheContractorshallbearallcostsincurredfordefectrectification.40.3TheContractorshallberesponsibleforanydamagecausedbyDefectsduringtheDefectRectificationPeriod.40.4TheContractorshallnotberequiredtocarryoutanyworkduringtheDefectRectificationPeriodthatisnotnecessaryfortherectificationofDefects.Article41-Warranty41.1TheContractorshallprovideawarrantyfortheWorksforaperiodof[SpecifyDuration,e.g.,2]yearsfromthedatetheWorksareacceptedbytheEmployer.41.2ThewarrantyshallcoveranyfailureordefectintheWorksarisingfromtheContractor'sdesignormaterialsused.41.3TheContractorshallrectifyanyfailureordefectcoveredbythewarrantyatitsownexpense.Article46-Employer'sAcceptance46.1TheEmployer'sacceptanceoftheWorksshallbedeemedtobefinalandbinding.46.2Uponacceptance,theEmployershallpaythefinalbalanceoftheContractPricetotheContractorwithin[SpecifyNumber,e.g.,28]days.Article53-Employer'sDefault53.1IftheEmployerfailstopayanyamountdueunderthisContracttotheContractorontime,theContractorshallbeentitledto:(a)chargeinterestontheoverdueamountatarateof[SpecifyRate,e.g.,LIBORplus[SpecifyMargin]]perannumfromtheduedateuntilthedateofpayment;(b)suspendtheWork;and(c)terminatethisContractinaccordancewiththeprovisionsofthisContract.Article60-ProvisionalSums60.1TheProvisionalSumssetforthintheProvisionalSumsScheduleformpartoftheContractPrice.60.2TheEmployershalldeterminehowtheProvisionalSumsaretobespent.60.3TheContractorshallbeentitledtopaymentfortheProvisionalSumsupontheactualexpenditurethereon.Article61-ItemsofEstimatedCosts61.1TheItemsofEstimatedCostssetforthintheItemsofEstimatedCostsScheduleformpartoftheContractPrice.61.2ThecostofeachItemofEstimatedCostshallbedeterminedbytheContractorupontheEmployer'srequestandshallbesubjecttotheEmployer'sapproval.61.3TheContractorshallbeentitledtopaymentfortheItemsofEstimatedCostsupontheactualexpenditurethereon.Article65-Variation65.1TheEmployermayvarytheWorkbygivingnoticetotheContractor.ThenoticeshallspecifythenatureoftheVariationandanyadditionalcostortimerequired.65.2TheContractorshallreviewtheVariationandshallnotifytheEmployerwithin[SpecifyNumber,e.g.,14]daysofthedateofthenoticeoftheadditionalcostortimerequired,ifany.65.3ThecostandtimeimpactoftheVariationshallbeadjustedinaccordancewiththeprovisionsofthisContract.Article69-AdjustmentofPrice69.1TheContractPriceshallbeadjustedifthereisachangeinthecostoftheCostIndexesspecifiedintheContractDocumentsduringtheContractPeriod.69.2TheadjustmentshallbecalculatedbasedonthechangeintheCostIndexesandtheformulasetforthintheContractDocuments.Article70-Claims70.1TheContractorshallhavetherighttosubmitaclaimtotheEmployerifanyeventoccurswhich,haditbeenreasonablyforeseen,wouldhaveentitledtheContractortoanextensionoftimeoranadditionalpayment.70.2TheContractorshallsubmittheclaimtotheEmployerinwritingwithin[SpecifyNumber,e.g.,28]daysaftertheeventgivingrisetotheclaimoccurs.70.3TheEmployershallreviewtheclaimandshallrespondtotheContractorwithin[SpecifyNumber,e.g.,28]daysofreceivingtheclaim.70.4IftheContractorisnotsatisfiedwiththeEmployer'sresponse,theContractormaysubmittheclaimtotheDisputesResolutionInstitution.Article72-PaymentGuarantee72.1TheContractorshall,within[SpecifyNumber,e.g.,28]daysafterthedateoftheAgreement,submittotheEmployeraPaymentGuaranteeintheformofabankguaranteeorasuretybondcoveringallamountsdueunderthisContract.72.2ThePaymentGuaranteeshallremaininforceuntilallamountsdueunderthisContracthavebeenpaidinfull.72.3TheEmployershallreleasethePaymentGuaranteeuponthesettlementofalloutstandingamountsduetotheContractor.Article73-Insurance73.1TheContractorshallprocureandmaintainduringtheContractPeriodthefollowinginsurancecoveragesatitsownexpense:(a)AllRisksInsurancecoveringtheWorksforthebenefitoftheEmployer;(b)ThirdPartyLiabilityInsurancecoveringtheContractor'sliabilitytotheEmployerforlossordamagetoanypersonorproperty;(c)[Specifyanyotherinsurancerequired].73.2TheContractorshallprovidetheEmployerwithcertificatesofinsurancewithin[SpecifyNumber,e.g.,14]daysoftheinsurancebeingprocured.Article79-UnexpectedSiteConditions79.1IftheContractorencountersUnexpectedSiteConditionsduringtheexecutionoftheWork,theContractorshallpromptlynotifytheEmployerinwriting.79.2TheContractorshalltakeallreasonablemeasurestoinvestigateandmitigatetheimpactoftheUnexpectedSiteConditions.79.3TheContractorshallsubmitareporttotheEmployerwithin[SpecifyNumber,e.g.,14]daysofthediscoveryoftheUnexpectedSiteConditions,detailingthenatureoftheconditions,theimpactontheWork,andtheproposedmeasuresforrectification.79.4TheEmployershallreviewthereportandshallconfirmwhethertheconditionsare,intheEmployer'sopinion,UnexpectedSiteConditions.79.5IftheconditionsareconfirmedasUnexpectedSiteConditions,theContractorshallbeentitledtoanextensionoftimeandanadditionalpaymentfortheincreasedcostincurredduetotheUnexpectedSiteConditions.Article84-Termination84.1ThisContractmaybeterminatedbyeitherpartyupontheoccurrenceoftheeventssetforthintheAgreement.84.2Intheeventoftermination,theEmployershallpaytheContractorforallcostsincurredandforthevalueofworkdoneuptothedateoftermination.84.3TheContractorshalldemobilizeitsStaffandequipmentfromtheSiteandreturnanymaterialsandequipmenttotheEmployer.84.4TheContractorshallbeliableforanydamagescausedbyits违约行为resultingfromthetermination.Article86-PaymentafterEndofDefectRectificationPeriod86.1UpontheexpirationoftheDefectRectificationPeriod,theContractorshallsubmittotheEmployerafinalpaymentapplication.86.2TheEmployershallreviewtheapplicationandshallpaythefinalbalanceoftheContractPricetotheContractorwithin[SpecifyNumber,e.g.,28]days.Article87-FinalSettlement87.1ThefinalsettlementshallbebasedontheContractDocumentsandtherecordsoftheWorkexecuted.87.2TheContractorshallsubmitthefinalpaymentapplicationtotheEmployerwithin[SpecifyNumber,e.g.,28]daysaftertheexpirationoftheDefectRectificationPeriod.87.3TheEmployershallreviewtheapplicationandshallissueafinalsettlementcertificatewithin[SpecifyNumber,e.g.,28]daysofreceivingtheapplication.87.4TheEmployershallpaythefinalbalanceoftheContractPricetotheContractorwithin[SpecifyNumber,e.g.,28]daysafterissuingthefinalsettlementcertificate.Article90-Commencement,SuspensionandTerminationofthisAgreement90.1ThisAgreementshallcommenceonthedateoftheAgreement.90.2ThisAgreementshallremaininforceuntilallamountsdueunderthisAgreementhavebeenpaidinfullandthePerformanceSecurityhasbeenreleased.Article92-Transfer92.1SubjecttotheprovisionsofArticle4,theContractorshallnottransferitsrightsorobligationsunderthisAgreementwithoutthepriorwrittenconsentoftheEmployer.Article93-Subcontracting93.1SubjecttotheprovisionsofArticle4,theContractormaysubcontractanypartoftheWorktoaSubcontractorifpermittedbytheEmployerinwriting.Article94-ForceMajeure94.1TheContractorshallnotbeliableforanydelayinperformanceoranyincreaseincostordamagesincurredbytheEmployerifsuchdelayorincreaseiscausedbyForceMajeure.94.2Theaffectedparty(whicheverpartyisaffected)shallpromptlygivenoticeoftheoccurrenceofForceMajeuretotheotherparty.Thenoticeshallbeaccompaniedbyrelevantsupportingdocuments.TheaffectedpartyshalltakeallreasonablemeasurestomitigatetheeffectsofForceMajeure.94.3IftheeffectsofForceMajeurecontinueforaperiodofmorethan[SpecifyNumber,e.g.,28]consecutivedays,eitherpartyshallhavetherighttoterminatethisContractbygivingnoticetotheotherparty.TheEmployershallbeliabletopaytheContractorforallcostsincurredandforthevalueofworkdoneuptothedateoftermination.Article95-NoticesandInstructions95.1AllNotificationsrequiredorpermittedunderthisContractshallbeinwritingandshallbeaddressedtothepartiesattheaddressessetforthintheAgreement.95.2ANotificationshallbedeemedtohavebeendulygiven:(a)onthedateofdeliveryifdeliveredpersonally;(b)onthedateofpostingifsentbyregisteredpostorcourier;(c)onthedateoftransmissionifsentbyemail,providedthataconfirmationofreceiptisreceivedbythesender;95.3AllInstructionsfromtheEmployershallbeinwritingandshallbeaddressedtotheContractorattheaddresssetforthintheAgreement.Article96-PerformanceSecurity96.1TheContractorshall,within[SpecifyNumber,e.g.,28]daysafterthedateoftheAgreement,submittotheEmployeraPerformanceSecurityintheformofabankguaranteeorasuretybondforanamountof[SpecifyPercentage,e.g.,10]%oftheContractPrice.96.2ThePerformanceSecurityshallremaininforceuntiltheDefectRectificationPeriodhasexpiredandallamountsdueunderthisContracthavebeenpaidinfull.96.3TheEmployershallreleasethePerformanceSecurityupontheexpirationoftheDefectRectificationPeriodandthesettlementofalloutstandingamountsduetotheContractor.Article97-AdvancePayment97.1UpontheContractor'ssubmissionofavalidapplicationandtheProductionSecurity,theEmployershallpayanadvancepayment,notexceeding[SpecifyPercentage,e.g.,10]%oftheContractPrice,totheContractorwithin[SpecifyNumber,e.g.,28]daysoftheapplication.97.2TheContractorshallprovideanAdvancePaymentGuaranteecoveringtheadvancepaymentreceived.97.3TheadvancepaymentshallberepaidbytheContractorinequalmonthlyinstallmentsstartingfromthefirstPeriodicPaymentduedate,providedthatthebalanceoftheContractPriceisnotinarrearsformorethan[SpecifyNumber,e.g.,60]days.Article98-PeriodicPayments98.1TheEmployershallpaytheContractorPeriodicPaymentsatintervalsof[SpecifyInterval,e.g.,monthly]basedontheContractor'ssubmittedPeriodicPaymentApplicationandtheEmployer'smeasurementcertificate.98.2ThePeriodicPaymentApplicationshallbesubmittedbytheContractortotheEmployerwithin[SpecifyNumber,e.g.,10]daysaftertheendofeachpaymentinterval.98.3TheEmployershallissueameasurementcertificatewithin[SpecifyNumber,e.g.,14]daysafterreceivingthePeriodicPaymentApplication.98.4TheEmployershallpayeachPeriodicPaymentwithin[SpecifyNumber,e.g.,28]daysafterthedateofthemeasurementcertificate.98.5TheamountofeachPeriodicPaymentshallbesubjecttoaretainedsumof[SpecifyPercentage,e.g.,5]%ofthetotalvalueoftheWorkcertifiedintherelevantmeasurementcertificate,tobepaiduponCompletion.98.6IftheEmployerfailstopayanyPeriodicPaymentontime,theContractorshallbeentitledtochargeinterestontheoverdueamountatarateof[SpecifyRate,e.g.,LIBORplus[SpecifyMargin]]perannumfromtheduedateuntilthedateofpayment.Article99-Completion99.1TheWorksshallbedeemedtobeCompletedupontheEmployer'sacceptancefollowingtheCompletionTest.Article100-DefectRectificationPeriod100.1TheDefectRectificationPeriodshallcommencefromthedatetheWorksareacceptedbytheEmployerandshallcontinueforaperiodof[SpecifyDuration,e.g.,12or24]months.100.2DuringtheDefectRectificationPeriod,theContractorshallrectifyallDefectsupontheEmployer'snotice.TheContractorshallbearallcostsincurredfordefectrectification.100.3TheContractorshallberesponsibleforanydamagecausedbyDefectsduringtheDefectRectificationPeriod.100.4TheContractorshallnotberequiredtocarryoutanyworkduringtheDefectRectificationPeriodthatisnotnecessaryfortherectificationofDefects.Article101-Warranty101.1TheContractorshallprovideawarrantyfortheWorksforaperiodof[SpecifyDuration,e.g.,2]yearsfromthedatetheWorksareacceptedbytheEmployer.101.2ThewarrantyshallcoveranyfailureordefectintheWorksarisingfromtheContractor'sdesignormaterialsused.101.3TheContractorshallrectifyanyfailureordefectcoveredbythewarrantyatitsownexpense.Article102-Employer'sAcceptance102.1TheEmployer'sacceptanceoftheWorksshallbedeemedtobefinalandbinding.102.2Uponacceptance,theEmployershallpaythefinalbalanceoftheContractPricetotheContractorwithin[SpecifyNumber,e.g.,28]days.Article103-Employer'sDefault103.1IftheEmployerfailstopayanyamountdueunderthisContracttotheContractorontime,theContractorshallbeentitledto:(a)chargeinterestontheoverdueamountatarateof[SpecifyRate,e.g.,LIBORplus[SpecifyMargin]]perannumfromtheduedateuntilthedateofpayment;(b)suspendtheWork;and(c)terminatethisContractinaccordancewiththeprovisionsofthisContract.Article104-ProvisionalSums104.1TheProvisionalSumssetforthintheProvisionalSumsScheduleformpartoftheContractPrice.104.2TheEmployershalldeterminehowtheProvisionalSumsaretobespent.104.3TheContractorshallbeentitledtopaymentfortheProvisionalSumsupontheactualexpenditurethereon.Article105-ItemsofEstimatedCosts105.1TheItemsofEstimatedCostssetforthintheItemsofEstimatedCostsScheduleformpartoftheContractPrice.105.2ThecostofeachItemofEstimatedCostshallbedeterminedbytheContractorupontheEmployer'srequestandshallbesubjecttotheEmployer'sapproval.105.3TheContractorshallbeentitledtopaymentfortheItemsofEstimatedCostsupontheactualexpenditurethereon.Article106-Variation106.1TheEmployermayvarytheWorkbygivingnoticetotheContractor.ThenoticeshallspecifythenatureoftheVariationandanyadditionalcostortimerequired.106.2TheContractorshallreviewtheVariationandshallnotifytheEmployerwithin[SpecifyNumber,e.g.,14]daysofthedateofthenoticeoftheadditionalcostortimerequired,ifany.106.3ThecostandtimeimpactoftheVariationshallbeadjustedinaccordancewiththeprovisionsofthisContract.Article107-AdjustmentofPrice107.1TheContractPriceshallbeadjustedifthereisachangeinthecostoftheCostIndexesspecifiedintheContractDocumentsduringtheContractPeriod.107.2TheadjustmentshallbecalculatedbasedonthechangeintheCostIndexesandtheformulasetforthintheContractDocuments.Article108-Claims108.1TheContractorshallhavetherighttosubmitaclaimtotheEmployerifanyeventoccurswhich,haditbeenreasonablyforeseen,wouldhaveentitledtheContractortoanextensionoftimeoranadditionalpayment.108.2TheContractorshallsubmittheclaimtotheEmployerinwritingwithin[SpecifyNumber,e.g.,28]daysaftertheeventgivingrisetotheclaimoccurs.108.3TheEmployershallreviewtheclaimandshallrespondtotheContractorwithin[SpecifyNumber,e.g.,28]daysofreceivingtheclaim.108.4IftheContractorisnotsatisfiedwiththeEmployer'sresponse,theContractormaysubmittheclaimtotheDisputesResolutionInstitution.Article109-PaymentGuarantee109.1TheContractorshall,within[SpecifyNumber,e.g.,28]daysafterthedateoftheAgreement,submittotheEmployeraPaymentGuaranteeintheformofabankguaranteeorasuretybondcoveringallamountsdueunderthisContract.109.2ThePaymentGuaranteeshallremaininforceuntilallamountsdueunderthisContracthavebeenpaidinfull.109.3TheEmployershallreleasethePaymentGuaranteeuponthesettle
