方：_签订日期：_年_月_日1definitionabcshallmeanabc（china）electronics，ltdcustomershallmeanthecustomernamedintheagreement；andproductshallcollectivelymeantheequipmentandsoftwarewhichabcandcustomeragreetobeservicedpursuanttothisserviceagreementsuchproductislistedonthefirstpageofthisagreement2acceptancethetermsandconditionssetforthonalltwelvepagesofthisagreementisanoffertopurchaseservicebycustomerwhichshallbecomeaserviceagreementwhenacknowledgedinwritingbyabcsservicedepartment；andthebanking，negotiationorotheruseofanypaymentshallnotconstituteanacceptancebyabcitisagreedthatserviceshallbeprovidedonlyonthetermsandconditionscontainedinthisagreementabcshallnotbeboundbytermsandconditionsincustomerspurchaseorderorelsewhereunlessexpresslyagreedtoinwritingbothpartiestothisagreementagreethatuponacceptancebyabcsservicedepartment，abcsinterestintheagreementisassignedtoabc，inc（minc）3servicedefinedabcagreestoprovideserviceforthecustomerfortheproductlistedonthefirstpageofthisagreementsuchproductsshallbeservicedaccordingtothetermsandconditionsonalltwelvepagesofthisagreement（service）theserviceshallbeginandendonthedatessetforthonthefirstpageofthisagreementabcshallalsoserviceotherproductmanufacturedbymincormincssubsidiariesandpurchasedbycustomerduringthetermofthisagreementonthesametermsandconditionssetforthinthisagreementatthethencurrentservicefeesforsuchproductupondeliveryofsuchotherproducttocustomer，servicefeesforserviceofsuchotherproductshallbeaddedtothebillingcyclefollowingexpirationofthelaborwarrantyonsuchotherproductintheeventofloss，damage，theftorremovalfromserviceofanyproduct，customershallimmediatelyreporttheloss，damage，theftorremovalinwritingtoabcinthisevent，customersobligationtopayservicefeeswithrespecttoanysuchproductshallterminateattheendofthemonthinwhichabcreceivessuchwrittenreportmobileproductshallberemovedandreinstalledindifferentvehiclesatcustomersrequestfortheservicefeeineffectatthetimeofcustomersrequestthisagreementdoesnotincludeserviceofanytransmissionline，antenna，towerortowerlighting，unlesssuchworkisdescribedonthefirstpageofthisagreementserviceshallincludethelaborandpartsrequiredtorepairproductwhichhasbecomedefectivethroughnormalwearandusagethisdoesnotincludeconsumableandtheirinstallationservicedoesnotincludetherepairorreplacementofproductwhichhasotherwisebecomedefective，including，butnotlimitedto，damagecausedbyaccidents，physicalorelectronicabuseormisuse，actsofgod，firesorothercasualtyserviceperformedfornon-coveredrepairsshallbebilledatabcsabovecontractrateapplicableforsuchserviceproductundercontractmustbemaintainedinenvironmentalconditionsassetforthintheproductspecificationsanddamageresultingfromenvironmentalconditionsnotconformingtothespecificationsisnotcoveredbythisagreementwheretelephonelinesandproductareusedinconjunctionwithabcmaintainedproduct，abcshallhavenoobligationorresponsibilityforsuchtelephonelinesorproductbutshall，uponrequest，assistthetelephonecompanyinrepairingsuchuponpaymentattheappropriateabovecontractratecustomershallindicateonthefirstpageofthisagreementanyproductwhichisintrinsicallysafesothatappropriatepartsandproceduresmaybeusedtomaintainsuchstatusattheexpirationoftwelve（12）monthsafterthecommencementofservicehereunder（oranytimethereafter），ifproductcannotinabcsopinionbeproperlyoreconomicallyrepaired，because（butnotlimitedto）excessivewear，deteriorationorunavailabilityofparts，abcatitssoleoption，uponthirty（30）dayspriorwrittennoticetocustomersentbycertifiedmail，mayeither：（1）removesuchproductfromthisagreement；or（2）mayincreasethepricetoservicesuchproductcustomershallhavethirty（30）daysfromreceiptofnoticeofpriceincreasetoobjecttosuchincreaseifcustomerproperlyobjectstosuchincrease，abcshallthenhavetheoptiontoremovesuchproductfromcoveragebythisagreementcustomersobligationtopayservicefeeswithrespecttoproductremovedfromthisagreementshallterminateattheendofthemonthduringwhichsuchproductisremovedtheproductshallbeservicedbyabcinaccordancewiththefollowingstandards：（i）abcpartsorpartsequalqualityshallbeused；（ii）theproductshallbeservicedatlevelssetforthinabcsproductmanuals；and（iii）routineserviceproceduresprescribedfromtimetotimebyabcforitsproductshallbefollowed5timeandplaceofserviceserviceshallbedoneatthelocationspecifiedonthefirstpageofthisagreementwhereserviceistobeperformedatthelocationoftheproduct，customershallfurnishshelter，heat，lightandpowerattheselocations，customershallnotifyabcimmediatelyofproductfailure，allowabcfullandfreeaccesstotheproduct，andcooperatefullywithabcinabcsservicingoftheproductwaiverofliabilitybyabcagainstcustomerorotherrestrictionsshallnotbeimposedbycustomerasasiteaccessrequirementcustomershallallowabcfullandfreeaccesstotheproductcustomershallallowabctousenecessarymachines，communications，facilities，featuresandotherproduct（exceptasnormallysuppliedbyabc）atnochargemobilesandremovableproductshallbedeliveredbycustomertotheabcservicecenterindicatedonthefirstpageofthisagreementhoursofserviceunderthisagreementshallbethenormalworkinghours，excludingholidays，ofabcsservicecenterunlessotherwiseindicatedonthefirstpageofthisagreement6payment/taxeseachpaymentisdueonorbeforethedatesetforthonthefirstpageofthisagreementabcmayterminatethisagreementbygivingcustomerten（10）daysnoticebycertifiedmailifcustomerdefaultsinitspaymenttoabccustomershallreimburseabcforallpropertytaxes，salesandusetaxes，excisetaxes，andthetaxesorassessmentsnoworhereafterimposedbyauthorityofanynationalorlocallaw，ruleorregulationwithrespecttotheserviceoftheproductexceptincometaxesorotherlegallyreimbursabletaxesofabc7righttosubcontractabcshallhavetherighttosubcontractinwholeorinparttheservicecalledforbythisagreementabcshallnotifycustomerofthenameandaddressofeachsubcontractor8revisionoffeespriortoananniversaryoftheexpirationdateindicatedonthefirstpageofthisagreement，abcmayrevisetheservicefeessetforthonthefirstpageofthisagreementbygivingcustomerwrittennoticeoftheamountoftheincreaseatleastsixty（60）daysinadvanceofthatanniversarydateuponreceiptofanysuchnotice，customermayterminatethisagreementontheexpirationdateoranyanniversaryofituponthirty（30）dayspriorwrittennoticetoabcsentbycertifiedmailtotheaddressindicatedinthisagreement；otherwisethenewfeesshallbecomeeffectiveontheanniversarydateintheeventofsuchtermination，allaccruedandunpaidchargesshallbedueandpayableimmediatelyupontermination9automaticrenewalaftertheexpirationdateindicatedonthefirstpageofthisagreement，thisagreementshallcontinueforsuccessiveadditionalperiodsofoneyear，providedthateitherabcorcustomermayterminatethisagreementontheexpirationdateoranyanniversaryofituponthirty（30）dayspriorwrittennoticetotheotherpartysentbycertifiedmailtotheaddressindicatedinthisagreement10interruptionofservicecustomershallnotifytheservicingagencyintheeventofthefailureofanyproductiftheservicingagencyfailstorepairtheproductwithinareasonabletime，customershallnotifytheabcofficedesignatedbyabcaftersaidnoticefromcustomertotheservicingagencyandtotheabcofficedesignatedbyabc，abcshallbeliableforanyinterruptionorinterferenceaffectingtheuseortransmissionthroughtheproductmaintainedtotheextentofaprorataallowancebasedonthemonthlyservicefeeforthetimesuchinterruptionorinterferenceisattributabletothefaultofabcoritssubcontractorabcdoesnotassumeandshallhavenoabilityunderthisagreementforfailuretoprovideordelayinprovidingservicefortheproductduedirectlyorindirectlytocausesbeyondthecontrolofabc，including，butnotrestrictedto，actsofgod，actsofthepublicenemy，actsoftheprc，theunitedstates，anystate，territoryoftheunitedstates，oranypoliticalsubdivisionoftheforegoing，orthedistrictofcolumbia，actsoffailuretoactofthecustomer，itsagents，employeesorsubcontractors，fires，floods，casualty，epidemics，quarantinerestrictions，strikes，freightembargoes，andunusuallysevereweatherconditionsordefaultsofabcsubcontractorsduetoanysuchcauses11warrantylimitationsexceptasspecifiedinthisagreementabcdisclaimsallwarranties，expressorimplied，including，withoutlimitation，theimpliedwarrantiesofmerchantabilityandfitnessforaparticularpurposeinnoeventshallabcbeliableforincidentalorconsequentialdamagestothefullextentsuchmaybedisclaimedbylaw12srrcormptandothergovernmentmattersalthoughabcmayassistinpreparationofthesrrcormptlicenseapplication，customerissolelyresponsibleforobtaininganylicensesorotherauthorizationsrequiredbythestateradioregulatorycommission（srrc）orministryofpostandtelecommunication，oranyothernationaland/orlocalgovernmentalagencycustomerissolelyresponsibleforcomplyingwithapplicablesrrcormptrulesandregulationsandtheapplicablerulesandregulationsofanyothernationaland/orlocalgovernmentalagencyneitherabcnoranyofitsemployeesisanagentofcustomerinsrrcormptorothergovernmentalmattersabc，however，mayassistinpreparationofthesrrcormptlicenseapplicationatnochargetocustomer13entireagreementcustomeracknowledgesthatithasreadandunderstandsthetermsandconditionsoftheagreementandagreestobeboundbythem，thatitisthecompleteandconclusivestatementoftheagreementbetweenthepartiesandthatthisagreementsetsforththeentireagreementandunderstandingbetweenthepartiesrelatingtothesubjectmatterhereofandallunderstandingsandagreements，oralandwritten，heretoforemadebetweenabcandcustomer，aremergedinthisagreementwhichalonefullyandcompletelyexpressestheiragreement14amendmentnomodificationoforadditionstothisagreementshallbebindinguponabcunlesssuchmodificationisinwritingandsignedbytheabcdivisionservicevicepresidentauthorizedtomakesuchrevisionsandanauthorizedagentofcustomer15validityifanytermorprovisionofthisagreementshalltoanyextentbeheldbyacourtorothertribunaltobeinvalid，voidorunenforceable，thenthattermorprovisionshallbeinoperativeandvoidinsofarasitisinconflictwithlaw，buttheremainingtermsandprovisionsofthisagreementshallneverthelesscontinueinfullforceandeffectandtherightsandobli
