内容摘要 股东大会决议瑕疵救济制度是一项世界性制度，为世界各国广泛 采用，其含义就是通过对股东大会决议形成过程和决议内容违反法律 法规或公司章程而产生的瑕疵进行法律救济的一项制度，其目的在于 保证股东大会决议的合法性和合理性。建立股东大会决议瑕疵救济制 度是股东大会这一制度存在的必然要求，是保障股东这一公司权益最 终所有人利益的必然要求。 本文通过介绍股东大会决议的重要意义展开全文，借股东大会决 议瑕疵救济制度的重要性说明本文的理论价值与现实意义；然后文章 深入探讨了股东大会决议瑕疵的事由、股东大会瑕疵决议的效力评价 以及股东大会决议瑕疵的主张问题；并在此基础上从非司法救济与司 法救济两个层面，构建股东大会决议瑕疵的救济制度；最后立足于我 国公司法对股东大会决议瑕疵救济的制度安排现状，提出完善意见， 落实本文写作意义。按照这一线索，本文由前言与五章组成。 前言部分按照著文惯例，对研究思路、分析框架、研究方法作了 交代并简单论述了股东大会决议对公司及股东的重要意义，并提出了 股东大会决议瑕疵救济制度的内涵，概括了本文的基本脉络。在此基 础之上，笔者运用多种研究方法对股东大会决议瑕疵救济制度进行深 入研究。 第一章先介绍了股东大会决议的意义。股东大会决议是指在公司 股东大会上，由股东依所持股份数行使表决权并按照多数决原则形成 的公司意思，是实现股东大会作为公司最高意思机关机能的方式。股 东大会决议作为公司意思机关形成的最终意思，视为公司本身形成的 意思。其一旦形成，便对公司内部法律关系具有约束力，或经董事会 遵照执行而转化为公司外部行为与外界发生法律关系，以体现股东大 会对公司事务决定的权力。股东大会决议的形成过程就是股东外部的 意志内部化为公司意志的过程。股东大会决议对于股东参与公司事 务、通过股东大会主张权利、维护权益具有重要意义。基于股东大会 决议的重要意义，股东大会决议一旦出现瑕疵，我们如何对其进行救 济，显得尤为重要。因此，本文随后推出股东大会决议瑕疵救济制度 这项世界性制度。该制度在我国目前尚处于比较落后阶段。针对目前 存在的“股东大会形式化”言论并进而怀疑股东大会存在必要性的观 点，本文提出了反对意见，并进一步阐述了在考虑维护股东会地位、 维持公司法的现有组织结构体系、保护中小股东的权益和我国上市公 司中“一股独大”易于产生瑕疵决议的现实的前提下，表明建立股东 大会决议瑕疵救济制度的必要性。 第二章论述了瑕疵决议的效力评价、股东大会决议瑕疵的事由以 及股东大会决议瑕疵的主张问题。股东大会瑕疵决议的效力学界存在 争议，问题焦点在于“二分法”与“三分法”之争，文章通过对“二 分法”与“三分法”基本逻辑原理、适用效果的分析、比较，指出“二 分法”存在难以克服的缺陷，同时，论证了“三分法”导入法律行为 理论的合理性，在此基础之上讨论了决议瑕疵的具体事由。决议瑕疵 的具体事由是直接影响决议效力的关键因素，各国的立法对不同的事 由导致的决议效力也有不同的规定，本章借鉴国外立法、判例所积累 的经验，分别就程序上的瑕疵、内容上的瑕疵进行了论述。最后就主 张决议瑕疵的权利人的范围和主张决议瑕疵的方式进行了论述，为构 建股东大会决议瑕疵的救济制度作了基础性的分析。 第三章从非司法救济层面探讨了股东大会决议瑕疵的救济途径， 即决议瑕疵的非司法救济。民法中法律行为的瑕疵是可以通过当事人 的积极行为救济的。基于同样的法理，决议同样可以通过行为主体的 积极行为来救济。本章分别论述了对可撤销决议和对无效决议的非司 法救济，并对消极的非司法方式、积极的非司法救济方式以及全体股 东出席股东大会的特殊问题进行了具体分析。最后就决议瑕疵非司法 救济与司法救济之间的关系，提出在以不影响利害关系人的诉讼利益 前提下，司法救济让位于决议的瑕疵非司法救济，这不仅是私法自治 的体现，也表现出公司法对于司法干涉股东大会决议这样复杂的多方 法律行为时应有的谨慎，以及尽量维持这种影响范围大的多方法律关 系的稳定性的努力。 第四章从司法救济层面探讨了股东大会决议瑕疵的救济途径，即 决议效力的否定之诉。分别对股东大会决议撤销之诉、确认决议无效 之诉、确认决议不成立之诉程序方面的问题进行论述，同时从诉讼经 济原则、多方法律关系的稳定性以及保护善意第三人的利益、维护交 易安全的角度出发，对与决议效力否定之诉相关的诉讼合并、不当诉 讼问题、否定决议效力判决的扩张性效力和溯及力问题进行了探讨。 第五章运用对比与联系的方法首先介绍了新公司法颁布前我 国股东大会决议瑕疵救济制度的相关规定，2 0 0 6 年1 月1 日实施的 新公司法对我国股东大会决议瑕疵救济制度有重大的影响，可以 说新公司法实施后，我国股东大会决议瑕疵救济制度的完善向前 迈出了坚实的一步。但与其他国家股东大会决议瑕疵救济制度的相关 立法进行比较，不难发现，我国这方面的立法仍显得比较简单。本文 在分析了我国现行股东大会决议瑕疵救济制度不足之处后，提出了我 国股东大会决议瑕疵救济制度的完善意见。 在论文的准备、构思及写作过程中，前辈的研究成果给了我很大 的启发，笔者选择股东大会决议瑕疵救济制度作为研究对象，力图阐 明股东大会决议应贯穿的理念，即程序、内容的公平、正义和正当性， 并试图以此理念为基础，对股东大会决议瑕疵效力的评价体系和救济 制度作有益的探索：对股东大会决议瑕疵在我国公司法上的制度安排 提出一些建议意见。 关键词：股东大会决议瑕疵救济 a 股东依持股比例行使表决权，并按多数决原则形成的。也就是说，决 议的形成是由股东组成公司的意思机关，并按照一定的规则将多数人 的意志内部化为公司意志的过程。 在股东大会权力削弱，并出现“股东大会形式化”趋势的今天， 公司法规定了严格的程序保障股东大会的召集、召开，以确保股东大 会能够发挥遏制大股东，监督、牵制经营者以保障公司经营的合法与 公正性，保护小股东权益的作用，维持股东大会在公司治理结构中利 益制衡机关的地位。但是现实中股东大会的运作往往不尽如意。如有 的公司歧视中小股东，设置障碍阻挠或是附加不合理的条件限制中小 股东参加股东大会，或是只召开由持有一定比例股份的股东参加的股 东代表大会。持有多数股份的股东利用其多数股东的优势地位滥用多 数决原则，形成利益偏向能够支配决议的大股东，却可能损害中小股 东利益或公司整体利益的决议。对少数股东的这种歧视与利益损害， 长远来看只会给控股股东和资本市场带来损害，因为资本的存在是公 司建立与生存的首要前提。 因此，少数股东对不公正的股东大会决议或是被不当阻挠参加股 东大会所形成的决议可以提出异议的救济途径就显得尤为重要了。建 立股东大会决议瑕疵救济制度是股东大会这一制度存在的必然要求， 是保障股东这一公司权益最终所有人利益的必然要求。少数股东对股 东大会决议提出异议的权利以及相应的救济制度对完善以股东利益 为主导的公司治理结构来说是至为重要的一环。 本文主要采用实证与规范相结合、理论联系实践、比较分析等多 种方法，遵循“由实践到认识再到实践”的规律，通过对各国及我国 台湾地区有关股东大会决议瑕疵救济制度立法研究的比较，对股东大 会决议瑕疵救济制度问题进行全面阐述。 本文所要构建的“股东大会决议瑕疵救济制度”，是指在股东大 会决议形成之后，如果股东大会决议的内容或形成决议的程序即股东 大会的召集、召开、表决程序、决议方法等存在瑕疵时，与决议有关 的利害关系人对该瑕疵提出异议从而质疑股东大会决议效力的时候， 可以采取的救济手段的制度。本文将从阐述股东大会决议与股东大会 决议瑕疵救济制度的意义入手，为接下来讨论股东大会决议的瑕疵救 济制度奠定价值基础。在论述股东大会决议瑕疵的司法救济制度之 前，本文对瑕疵决议的类型与效力进行论述与界定，提出个人观点。
