Material Supply and Consignment Agreement原材料供给及运输买卖此处consignment我理解应为“寄售”之义，是业务上的术语，为不引起混淆，此处笼统翻译成买卖合同合同This Material Supply and Consign Agreement (“Agreement”) is made and entered into as of , by and between XXXX Corporation of （） Taiwan R.O.C. having its principal place at _(“hereinafter “Supplier”) and AU Optoronics Corporation, a corporation of Taiwan, having its principal place of business at No.1, Li Hsin 2 Road, Hsinchu Science Park, Hsinchu, 300, Taiwan (hereinafter “AUO”)此原材料供给及运输合同自此原材料买卖合同（下文简称“本合同”）自_（日期）起，由位于_（国家、省份、地址）的台湾R.O.C，XXXX 公司(下文称“供应方”)，以及位于_的台湾友达光电股份 有限公司（下文称“AUO”）共同订立。Supplier and AUO hereby agree that certain XXX (Products) will be supplied and delivered, either directly or indirectly, by Supplier to AUOs warehouse in accordance with the terms and conditions of this Agreement.根据本合同以下条款，供应方和AUO特此协商同意XXX （下文称“产品”名称）将由供应方提供并负责直接或间接运送至AUO仓库。1. Supply and Delivery of Products产品的供给及运输1.1Subject to Article 1.6, and 1.7, Supplier agrees to supply and deliver Products to AUO in order for AUO to maintain a certain level of stock of the Products, which level shall be mutually agreed between Supplier and AUO by separate agreements.根据条款1.6及1.7，供应方同意提供及运送原材料产品至AUO，使得AUO足以维持一定的产品该产品的仓储量（该仓储量须由供应方及AUO共同商议决定，并单独签订合同）。1.2 Supplier will supply and deliver the Products to AUOs warehouse through an AUO-assigned forwarder. The delivery terms shall be KKK. 供应方必须通过按照AUO指定的运输途径运输方式，提供及运输原材料至AUO仓库。运输期限为_。1.3 The titles and/or ownership of products in the AUOs warehouse belongs to supplier, shall automatically transfer to AUO upon AUOs withdrawal of the product.供应方对产品的所有权利其放置于AUO仓库中的产品享有注明权和（或）所有权，产品所有权自应在AUO收到取出调取产品后自动转移至AUO处。Notwithstanding the foregoing, after XXX storage days, if there is no withdrawal from AUO, then the transferring of title and/or ownership of Products in the AUOs warehouse shall be subjected to further discussion and agreement between the parties. Such title shall transfer to AUO upon Suppliers reception of AUOs written consent in so doing. 尽管如前所述，经过XXX 存仓日存储后，若AUO尚未收取出调取产品，则AUO仓库内产品的注明权和（或）所有权移交问题应由合同双方进行进一步讨论并通过合同确认。在这样的情况下，该所有权将在供应方收到AUO的书面同意书后转移至AUO处。1.4 Every KKKK day, AUO will provide Supplier with a legally non-binding Product Requirement Planning covering three months rolling forecast of AUOs consumption of the Products as the basis of preparation on supply and delivery of the Product by Supplier.每个运输期每 日，AUO将应提供一份不具法律约束效力率的产品需求计划给供应方，作为产品货物供运准备的依据。此计划须包含AUO三个月的产品需求预估消耗预测。1.5 AUO may, from time to time, withdraw the Products from AUOs warehouse. AUO shall provide Supplier with a daily report informing the total number of Products remaining in the warehouse as of the previous day, and the total number of Products which title and ownership has transferred from Supplier to AUO on the previous day of such report in accordance with Article 1.3.AUO可应不时随时从仓库中收取出调取产品。AUO将需要应每日向供应方提供到前一日为止仓库中产品的存量，同时根据条款1.3，提供前一日从所有权从买供应方转移到AUO的产品的总量。1.6AUO shall issue a purchase order six weeks or more prior to the delivery date specifying the quantities and unit price, total amount, as well we other specification and details of Products ordered by AUO (PO).AUO应至少提前运送货日期六周提前六周发出给订货单。订货单应标明产品数量、单价、总量，以及AUO公司所订购产品的详细信息（下文称“订单PO”）。1.7 Every week, Supplier shall deliver the Products to AUO in order to maintain the agreed level of stock of the Products, provided however, that in the event the quantities of Products to be delivered by Supplier in order to maintain the agreed level of stock of the Products is less than the quantities of Products ordered by AUO under the relevant PO, Supplier may delivery the balance of the quantities of the Products to AUOs warehouse XX days upon discovery of such shortage.每周，供应方须每周向AUO交付运送产品以维持商定的产品仓储储存量。若供应方所运送的用以维持产品协定仓储量的产品数量低于AUO订购单上所订购的产品数量按照约定用以维持AUC库存的货物量少于AUC的订单量时，供应方在发现短缺的日起XXX 天内供应方须向AUO仓库补足全所缺产品数量。2. Storage of the Products产品的仓储2.1 AUO shall store the Products in AUOs warehouse in good conditions, under the following conditions: AUO须保证其仓库中的产品拥有良好的仓储条件，具体要求如下所述具体要求如下 ：a) The package in which the Products have been delivered to AUOs warehouse shall not be opened. 运送到在AUO仓库的产品，包装不能拆封。b) The temperature of the warehouse shall be kept from five degrees centigrade (5) to thirty five degrees (35)仓库须保持5摄氏度到35摄氏度的温度。c) The humidity of the warehouse shall be kept from fifteen per cent (15%) to eighty per cent (80%) 仓库的湿度须保持在15%到80%。In order to confirm the above (b) and (c), AUO shall periodically measure the temperature and humidity of the warehouse every morning, afternoon, and evening.为确保以上b、c两项，AUO应每日早、中、晚周期性地按时测量仓库的温度与湿度。2.2 Supplier may withdraw the Products from AUOs warehouse at own expense and upon AUOs prior consent, which shall not be unreasonably withheld.供应方不应不合理扣留AUO货仓库中的产品，撤走产品时须自费，并事先征得AUO同意。供应方必须自费将存放在AUO仓库中的产品调走，并且应事先征得AUO的同意，AUO方不得无理扣留该产品因为这时产品的所有权还属于供应商而且属于AUO的控制范围之内，所以我个人理解这里时说AUO不得不合理的扣留产品。2.3 Supplier may inspect AUOs warehouse and the conditions of the Products upon five working days prior notice to AUO.供应方应检查AUO仓库的仓储环境以及货物存储环境，并在五个工作日前内事先提前五个工作日通知AUO。2.4 Supplier shall bear the costs for the storage of the Products in AUOs warehouse, except that, under prior mutual arrangement, each party would maintain an adequate amount of insurance policy, to cover the loss and damages of such Products before the title was transferred to AUO under Article 1.3.供应方须承担AUO仓库存储在AUO仓库中的货物的仓储费。除事先共同约定外，除此之外，按照之前双方的约定，合同双方均须满足一定数额的保险单购买一定数额的保险，以弥补条款1.3条下（根据1.3）产品所有权转移至到AUO名下前产生的损失。2.5 Should there be any damage to or shortage of the Suppliers Products in AUOs warehouse, where as Supplier shall retain a self-insure system that covers any damages no great than the amount of ten million dollars New Taiwan Dollars CNY (NT$10,000,000RMB ), where as AUO would be legally liable for those portion that over the said amount, at whose fault attributable there to in the event that the damages were to be greater than the amount as above-stated. Both parties shall commence a friendly negotiation with regards to possible resolution and/or alternative against such event.为以防止AUO仓库中供应方的产品产生损毁或短缺，供应方应保有自我保险系统制度以弥补不高于10，000,000新台币 元人民币的损失供应方应办理不高于元（人民币）的财产损失险；若损坏害所需支付的额度赔偿损失超出该保险限额以上所述的金额，AUO应在法律上对超过保险以上金额规定的损失部分对超过部分有偿承担相应法律责任负责。合同双方应就这种情况友好协商的解决方案法和抉择形成友好的磋商。3. INSURANCE 保险3.1 Unless otherwise agreed upon by both parties, during the term of this agreement, AUO will not be liable for any loss or damage (including inventory shrinkage losses and mysterious disappearance) to Suppliers stocks and/or properties under AUOs care, custody and control unless the title and/or ownership of stocks and/or properties have been transferred from Supplier to AUO via AUOs written confirmation.除非合同双方另行约定，在合同期内，AUO对其看管、保管监护、掌控监控下，供应方所提供的物资供应方所提供的产品的损失或毁坏（包括存货耗损和不明原因的丢失）不负任何责任，直至产品物资的所有权已通过AUO的书面确认从供应方转移至AUO处。3.2 Supplier shall arrange appropriate insurance policy/ policies (including but not limited to Property Damage Insurance) in full force and effect throughout the term of this agreement, at its own expense. After the effective date of the agreement, Supplier shall deliver one or more certificates of insurance showing evidence of the insurance coverage to AUO as soon as practicable.合同期内供应方应在合同期内，自费准备恰当的完全有效的保险单自费投保相足额的保险（包括但不限于财产损失保险）。合同生效后，供应方应尽速递送供应方应尽快送达AUO一个或以上的保险证书投保证明，以显示告知保险责任范围。The deductible and/or self-insured retention and/or any kind of limitation/ subjectivities of the aforesaid policies arranged by the Supplier or any uninsured and/or uncovered loss or damage shall be the sole responsibility of the Supplier. 供应方所达成的可减免的和供应方所达成的免赔额和/或自己保险的自留额和/或供应方提供的上述保险中任何一种限制或主观性，或任何未参保所致的损失和毁坏，应为供应方单独承担的责任。供应方自愿达成或安排的免赔条款，或者自保保留，或者任何限制，以及任何未投保和超过保险额之外的损失，都由供应方独资承担责任。3.3 Supplier and its insurer/ insurers shall waive all rights of recovery or subrogation against AUO, its officers, directors, employees, agents, and insurers. 供应方以及它的保险公司应放弃对于AUO以及其高级官员高管、主管、雇员、代理和承保人的追索权与清代位求偿权。3.4 The policy/ policies provided under this agreement shall provide that Supplier s insurance will be primary to and noncontributory with any and all other insurance maintained or otherwise afforded to AUO. 此合同根据此合同所提供的保险单应保证供应方的保险与AUO所持有的或提供给其的任何其它保险无任何牵连。该保险与其办理的和提供给AUO其他任何保险业务没有资金牵连。4. Payment: 支付款项4.1 AUO shall make payment to Suppliers designated bank account in accordance with the actual quantities of Products which title has transferred to AUO under Article 1.3.AUO应根据条款1.3，以实际转入其名下的所有权所有权实际转入其名下的名下的产品数量为准，向供应方指定的银行账户付款。4.2 The price for the Products is based on the invoice price on individual POs. 产品价格基于各个订单的发票价目。5. Term and Termination 合同有效期和终止合同期限和合同终止5.1This agreement shall become effective upon signature seal of both parties and remain effective for one year therefrom and shall be automatically renewed thereafter for successive period of one year each up to three (3) terms, unless either party have otherwise notified to the other party in writing the intent not to extend the then current term of this Agreement at least three months prior to expiration of the this Agreement or any extension thereof. 本合同应应从合同双方均签字本合同应从合同双方均盖章后开始生效,有效期延续一年，此后自动续签分为三个延续时间段、总长为一年到期后自动续期一年， 除非合同一方至少提前合同失效期三个月在合同到期前三个月，另行书面通知另一方，无意愿延长当前合同有效期或做此后任何续签需要接触当前合同或不愿延续合同的有效期。5.2Either party may terminate this Agreement if any of the following events occurs to the other party: 若发生以下任一情形，合同任何一方有权应终止合同,若另一方发生以下任何一种情况：(a)failure to perform any provision of this Agreement or of any purchase order hereunder, and such failure not being cured within fourteen days after the date of notice thereof which shall be dispatched by the other party to such defaulting party requiring to remedy such failure;合同中任何条款或订购单未按约定执行的失败，而这种违约行为失败没有在违约方被另一方知会后违约方在非违约方告知后的十四日内未得以修正，应由一方处理错误方以补救；(b)institution of any proceeding against the party under the provisions of any insolvency or bankruptcy law or any law for relief of debtors; 根据任何破产法相关法律或财产清算法条款，对合同一方提起诉讼；合同任何一方因破产法及相关规定或债务人保护的相关法律接受诉讼时；(c)a substantial change in the control or management of the party; 合同方管理与掌控上发生重大的变化合同方经营管理发生重大的变化；(d)if official or government policy directives or rulings occur that substantially affect or change the economic value of this Agreement. 若官方、或政府政策导向或裁定决定对合同内容所带来的经济价值产生重大影响。6. Confidentiality 保密性Each party shall keep in confidence and prevent the use or disclosure to any third party all information and data (Confidential Information) in this Agreement, as well as the existence of this Agreement; provided however, that neither party shall be liable for disclosure of any Data if the same: (i) was in the public domain at the time it was disclosed; or (ii) was known to the party receiving it at the time of disclosure as evidenced by written documentation; (iii) becomes known to the receiving party from a source other than the disclosing party without breach of the confidentiality relationship with the disclosing party; or (v) is required by law to be disclosed, provided that the receiving party uses reasonable efforts to give the disclosing party reasonable notice to contest such required disclosure. 合同任何一方须保密并且防止整份合同及合同中所有的信息与数据(机密信息)对第三方的披露及为使用对第三方的披露、使用。倘若数据被披露时存在以下情形： 任何一方都无须为数据的泄露而负责但是一下情形出外： , 倘若数据被披露时，(1) 相同的披露时数据已在公共域内已被公开; (2) 数据接收方已知晓该数据，并有书面文件为证; (3) 接收方在披露方以外的不违背与披露方保密关系的条件下获得相同数据的数据;数据接受方是通过纰漏方以外的其他途径获取数据，而不会破坏纰漏方与合同另一方的保密关系 (4) 相同数据根据法律需要被披露, 只要若接收方以正当合理的方式提前告知披露方对该披露的质疑。7. Entire Agreement完整合同This Agreement sets forth the entire agreement between the parties on the subject matter hereof and no modification, change and amendment of this Agreement shall be binding upon the parties hereto, except by mutual express consent in writing of subsequent date duly signed by the authorized representatives of each of the parties hereto.本合同为双方针对有关标的物所签订的完整未被修改的合同。除非双方以书面形式明确表示同意并由双方各自的
