Rest 80% amount as $197,683.20 should be paid with full payment by buyer to seller within 7 working days since receiving the copy of B/L (2) 组件一律按照220Wp/片进行结算，根据卖方的组件功率范围为3%，在此公差范围内即符合合同要求的组件。Solar modules are all calculated as 220Wp/pc. According to sellers power tolerance as 3%, all modules within this tolerance are qualified and should be paid as 220Wp.4. 单据要求Documents required(1) 整套已装船海运清洁提单，标明 Freight paid （运费已付）Full set of clean on board OCEAN bills of lading, made out “Freight paid”；(2) 商业发票正本一式3份；Original commercial invoice in triplicate；(3) 装箱单一式3份；Packing list in triplicate；5. 包装与运输Packing and Shipment（1） 包装Packing：海运中性包装，组件需含具有生产日期的条形码或产品编号，每个外包装箱上都须加贴内装组件的产品序号（条码）。外包装上不体现卖方的信息（如附件1）。Seaworthy neutron-packing；each modules shall contain production date and bar code or serial No. Besides, the serial number (bar code) of containing modules must be indicated on the outside of each carton. No any information about seller on the outside package（annex1）.（2 ）铭牌标签Label: 使用买方提供的铭牌标签，买方负责标签的印刷并在生产日之前提供给卖方 （见附件1） Buyer provide label before production day to seller (annex2).（3 ）装运时间Time of shipment: 卖方收到预付款后于 2010 年 8 月20日前全部装运完。shipment to be effected after the manufacturer get the prepayment as requested in this contract, all quantity should be delivered before Aug 20, 2010.（4）运输方式Shipment：CIF Los Angeles6. 保险Insurance：由卖方负责办理/. At the seller s option7. 性能参数及产品质量保证Quality, performance, the Sellers warranty of the solar module（1）性能参数Specification：太阳能电池板的性能参数将标示在组件标签, 即组件铭牌上。The specification of solar panel will be indicated in the NAME PLATE. （2）卖方质量保证条款 the sellers warranty to the quality of solar module 海润承诺：太阳能组件，包括可替换的接线头、缆线等，在正常的应用、安装、使用以及维护的情况下，从组件销售给买方当日（以海润的装运单日期起算）算起60个月之内，不会出现质量问题。如果产品不符合此承诺，海润会根据情况，按照当时的售价，或修理，或换货，或返还货款。 (“Hareon”) warrants its Photovoltaic modules (“PV-modules”), including field replaceable DC connector cables assemblies, to be free from defects in materials and workmanship under normal, application, installation, use and service conditions. If the PV-modules fail to conform to this warranty, then for a period ending 60 months from date of sale to the first customer (“ the customer”) as shown in shipping invoice of Hareon, Hareon will, at its option, either repair or replace the product, or refund the purchase price as paid by the Customer (“Purchase price”). The repair, replacement of refund remedy shall be the sole and exclusive remedy provided under the limited Product Warranty and shall not extend beyond the 60 month period set forth herein. This limited Product Warranty does not warrant a specific power output. （3）海润对太阳能组件功率输出承诺如下： 以海润的装运单日期起算，自组件销售给买方之日起10年内，任何太阳能组件，与海润所提供产品测试报告对比，功率不足最小峰值功率的90%；自组件销售给买方之日起25年内，与海润所提供产品测试报告对比，功率不足最小峰值功率的80%；同时海润确认短缺功率的问题是因为材料本身以及工艺问题造成的，则海润可以选择或提供额外电池板补足功率，或对不良电池板进行修理或换货，或是按照当时售价返还货款；峰值功率是组件在最大功率点上产生的峰值瓦数。测试条件为： (a)光谱AM 1.5；(b)辐照度1,000 W / m2 (c)电池片温度25摄氏度。测试由海润参照IEC904和海润制造被售出组件的标准以及测试标准进行。测得数据取自接线盒引线。 功率输出数据以海润或海润指定的第三方测试机构的测试结果为准。 For the PV-modules, Hareon additionally warrants：If within the first ten(10) years from date of sale to the buyer as shown in shipping invoice of Hareon, any PV-module(s) exhibits a power output less than 90% of the minimum Peak Power at STC1 as specified at the date of delivery in Hareons Product information Sheet, within a period of twenty-five(25) years from date of sale to the buyer as shown in shipping invoice of Hareon any PV-module(s) exhibits a power output less than 80% of the minimum Peak Power at STC1 as specified at the date of delivery in Hareons Product information Sheet,provided that such loss in power is determined by Hareon ( at its sole and absolute discretion) to be due to defects in material or workmanship, Hareon will replace such loss in power by either providing to the customer additional PV-modules to make up such loss in power, or by repairing or replacing the defective PV module(s), or by refunding the Purchase Price at the option of Hareon. “Peak Power” is the power in watt peak that a PV- module generates in its maximum power point. ”STC” are as follows (a) light spectrum of AM 1.5, (b) an irradiation of 1,000 W per m2 and (c) a cell temperature of 25 degree Centigrade. The measurements are carried out in accordance with IEC904 as tested at the junction box terminals per the calibration and testing standards of Hareon valid at the date of manufacture of the PV-modules. Hareons calibration standards shall be in compliance with the standards applied by international institutions accredited for this purpose. fpower output inspection report should be issued by Hareon or by Public recognized inspection institute designated by Hareon.8. 检验和索赔 Inspection of quality and Claims: 买方应于货到目的口岸出关后20天内完成货物质量、数量检验，质量、数量异议须以书面形式向卖方提出，如经过核实，确实与装箱单不符，少装，漏装或发错型号，那么卖方要根据实情补发给买方或换货。Claims about discrepancy of loading , such as less quantity loading than packing list or model mistakes , should be reported to seller within 20 days in written form and the seller should send out the compensate quantity soon after the confirmation .9. 不可抗力Force Majeure 由于发生人力不可抗拒的原因，致使本合约不能履行，部分或全部商品延误交货，卖方和生产商概不负责。本合同所指的不可抗力指不可干预、不能避免且不能克服的客观情况。The Seller and the Manufacturer shall not be held responsible for failure or delay in delivery of the entire lot or a portion of the goods under this Sales Contract in consequence of any Force Majeure incidents, which might occur. Force Majeure as referred to in this contract means unforeseeable, unavoidable and insurmountable objective conditions.10. 仲裁Arbitration一切因执行本合同或与本合同有关的争执, 应由双方友好协商解决。 如经协商仍未能达成协议, 则应提交中国国际经济贸易仲裁委员会裁决。仲裁将按照申请仲裁时该会现行有效的仲裁规则, 由申诉一方选择该会上海分会在上海进行仲裁。仲裁委员会的裁决为终局裁决, 对双方均有约束力。仲裁费用除仲裁委另有决定外, 应由败诉一方负担。All disputes in connection with this Contract or the execution thereof shall be settled friendly through negotiations. In case no settlement can be reached, the case may then be submitted to China International Economic and Trade Arbitration Commission for arbitration which shall be conducted by its Shanghai Sub-Commission in Shanghai at the Claimants option in accordance with the Commissions arbitration rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon
