简单私人购房协议书合同编号：__________simplePrivateHousingPurchaseAgreementParties：PartyA:____________________Address:____________________ContactPerson:____________________PartyB:____________________Address:____________________ContactPerson:____________________Background：PartyAwishestopurchasearesidentialpropertyfromPartyB,andPartyBiswillingtosellthepropertytoPartyAonthetermsandconditionssetforthinthisAgreement.TermsandConditions：1.PurchaseandSaleofProperty1.1PartyBagreestosellandtransfertoPartyAtheresidentialpropertylocatedat____________________,includingallfixturesandfittingsattachedthereto,freefromanyencumbranceorlien.1.2PartyAagreestopurchaseandtakeownershipofthepropertydescribedinClause1.1atthePurchasePricesetforthinClause3below.2.PurchasePrice2.1ThePurchasePriceforthepropertyshallbe_____________(____________________Currency)(the"PurchasePrice").2.2ThePurchasePriceshallbepaidPartyAtoPartyBinthemannerandwithinthetimeframesetforthinExhibitAattachedhereto.3.DeliveryandPossession3.1PartyBshalldeliverthepropertytoPartyAfreefromanyencumbranceorlienontheearlierofthefollowingdates:(a)thedateonwhichPartyAhaspaidtheentirePurchasePricetoPartyBinaccordancewithClause2;or(b)thedateonwhichallgovernmentrequiredpermits,approvals,andregistrationsforthepropertyhavebeenobtainedPartyA.3.2Upondeliveryoftheproperty,PartyAshalltakepossessionandownershipofthepropertyandassumeallrisksassociatedtherewith.4.RepresentationsandWarranties4.1PartyBrepresentsandwarrantstoPartyAthat:(a)ithasgoodandmarketabletotheproperty,freefromanyencumbranceorlien;(b)ithastherighttosellandtransferthepropertytoPartyA;(c)thepropertyisfreefromanyadversepossessoryinterests,liens,orencumbrances;4.2PartyArepresentsandwarrantstoPartyBthat:(a)ithasthelegalcapacityandauthoritytoenterintothisAgreementandtoperformitsobligationshereunder;(b)ithasnotreliedonanyrepresentationsorwarrantiesmadePartyBthatarenotexpresslysetforthinthisAgreement;and(c)itisnotawareofanyfactsorcircumstancesthatwouldpreventitfromfulfillingitsobligationsunderthisAgreement.5.Indemnification5.1PartyBshallindemnifyandholdharmlessPartyAfromandagainstanyandalllosses,damages,claims,liabilities,andexpenses(including,withoutlimitation,reasonableattorney'sfeesandcosts)incurredPartyAarisingoutoforinconnectionwithanyofthefollowing:(a)anybreachofPartyB'srepresentationsandwarrantiessetforthinClause4.1;(b)anyclaimsordemandsmadethirdpartiesagainstPartyAinconnectionwiththeproperty;and(c)anyinjuriestopersonsordamagetopropertyarisingoutoforinconnectionwiththecondition,use,oroccupancyoftheproperty.5.2PartyAshallindemnifyandholdharmlessPartyBfromandagainstanyandalllosses,damages,claims,liabilities,andexpenses(including,withoutlimitation,reasonableattorney'sfeesandcosts)incurredPartyBarisingoutoforinconnectionwithanyofthefollowing:(a)anybreachofPartyA'srepresentationsandwarrantiessetforthinClause4.2;(b)anyclaimsordemandsmadethirdpartiesagainstPartyBinconnectionwithPartyA'suse,occupancy,orpossessionoftheproperty;and(c)anyinjuriestopersonsordamagetopropertyarisingoutoforinconnectionwithPartyA'suse,occupancy,orpossessionoftheproperty.6.DefaultandTermination6.1IfeitherPartyfailstoperformanymaterialobligationunderthisAgreementandsuchfailurecontinuesforaperiodofthirty(30)daysafterwrittennoticethereoffromtheotherParty,theotherPartymayterminatethisAgreementwrittennoticetothedefaultingParty.6.2IntheeventofterminationofthisAgreementpursuanttoClause6.1,一、附件列表：1.房产证复印件2.房屋所有权转移登记申请书3.购房款支付证明4.房屋现状说明书5.政府要求的permits,approvals,和registrations文件6.双方身份证明复印件7.房屋买卖合同草稿8.房屋买卖合同确认书9.补充协议二、违约行为及认定：1.卖方违约行为：未能按约定时间交付无抵押的房产房产状况与合同描述不符未能取得必要的政府许可或批准2.买方违约行为：未能按约定时间支付全款未能履行合同约定的其他义务三、法律名词及解释：1.卖方：指承担出售房产义务的自然人或法人。2.买方：指承担购买房产义务的自然人或法人。3.购房款：指买方根据合同约定支付给卖方的款项。4.房产：指位于特定地址，具有明确界限的住宅物业。5.违约：指未履行合同约定的义务。四、执行中遇到的问题及解决办法：1.卖方延迟交付房产：买方有权根据情况要求卖方支付违约金。买方有权要求卖方承担因延迟交付导致的额外费用。2.房产状况与合同描述不符：买方有权要求卖方修复
