2025年度汽车销售居间代理合同协议书英文版本合同共三部分组成，仅供学习使用，第一部分如下：2025ANNUALMOTORVEHICLESALESBROKERAGECONTRACTThisBrokerageContractforthesaleofmotorvehicles(hereinafterreferredtoasthe“Contract”)ismadeandenteredintoandbetweenthefollowingparties:Principal:Name:________________Address:________________ContactPerson:________________Title:________________Broker:Name:________________Address:________________ContactPerson:________________Title:________________WHEREAS,thePrincipalisengagedinthebusinessofsellingmotorvehiclesanddesirestoengagetheBrokerageservicesoftheBrokerforthesaleofmotorvehiclesduringtheyear2025;ANDWHEREAS,theBrokeriswillingtoactasabrokertoassistthePrincipalinthesaleofmotorvehiclesasdescribedherein;NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromiseshereincontained,thePrincipalandtheBrokeragreeasfollows:1.TermoftheContract:2.ScopeofServices:TheBrokeragreestousereasonableeffortstoprocurebuyersformotorvehiclessoldthePrincipal,subjecttothefollowingterms:TheBrokershalldiligentlypursueallpotentialbuyerleadsandopportunities.TheBrokershallassistinnegotiatingthetermsofsalewithpotentialbuyers.TheBrokershallprovidethePrincipalwithregularupdatesontheprogressofsalesefforts.3.Compensation:4.Exclusivity:ThisContractisexclusiveandthePrincipalagreesnottoengagetheservicesofanyotherbrokerforthesaleofmotorvehiclesduringthetermofthisContractwithoutthepriorwrittenconsentoftheBroker.5.Confidentiality:ThePrincipalandtheBrokeragreetokeepconfidentialanyandallinformationobtainedfromeachotherduringthetermofthisContract,includingbutnotlimitedto,businessplans,marketingstrategies,customerlists,andothersensitiveinformation.6.Termination:ThisContractmaybeterminatedeitherpartyuponwrittennoticetotheotherparty,providedthat:Thenoticeofterminationshallbegivenatleast___________dayspriortotheeffectivedateoftermination.7.GoverningLaw:ThisContractshallbegovernedandconstruedinaccordancewiththelawsofthejurisdictionwherethePrincipalislocated.8.EntireAgreement:ThisContractconstitutestheentireagreementbetweenthePrincipalandtheBrokerandsupersedesallprioragreements,oralorwritten,relatingtothesubjectmatterofthisContract.INWITNESSWHEREOF,thePrincipalandtheBrokerhaveexecutedthisContractasofthedatefirstabovewritten.Principal:________________________Name:________________Date:________________Broker:________________________Name:________________Date:________________第二部分：第三方介入后的修正ThissectionoftheContractaddressesthepotentialinvolvementofthirdparties,includingbutnotlimitedtointermediaries,consultants,orserviceproviders,andprovidesadditionaltermsandconditionsthatshallapplywhensuchthirdpartiesareengagedinconnectionwiththeperformanceofthisContract.1.DefinitionofThirdParties:ForthepurposesofthisContract,theterm“ThirdParty”shallmeananyindividual,entity,ororganizationotherthanthePrincipalandtheBrokerwhoisengagedeitherpartytoprovideservices,products,oradviceinconnectionwiththesaleofmotorvehicles.2.ThirdPartyEngagementPrincipal:ThePrincipalmayengageoneormoreThirdPartiestoassistinthesaleofmotorvehicles.ThePrincipalshallprovidetheBrokerwithwrittennoticeofanyThirdPartyengagementatleast___________dayspriortotheengagement.3.ThirdPartyEngagementBroker:TheBrokermayengageoneormoreThirdPartiestoassistinthesaleofmotorvehicles.TheBrokershallprovidethePrincipalwithwrittennoticeofanyThirdPartyengagementatleast___________dayspriortotheengagement.4.ResponsibilitiesofThirdParties:ThirdPartiesshallperformtheirdutiesinaccordancewiththetermsoftheirrespectiveagreementswiththePrincipalortheBroker.ThePrincipalandtheBrokershallensurethatanyThirdPartyengagedisadequatelylicensed,insured,andqualifiedtoperformtheservicesrequired.5.LimitationofLiabilityforThirdParties:TheliabilityofanyThirdPartyforanyactoromissioninconnectionwiththeperformanceofthisContractshallbelimitedtotheextentprovidedintheThirdParty'sagreementwiththePrincipalortheBroker.InnoeventshallthePrincipalortheBrokerbeliableforanyactsoromissionsofanyThirdParty.6.Indemnification:ThePrincipalandtheBrokershallindemnifyandholdeachotherharmlessfromandagainstanyandallclaims,liabilities,losses,damages,andexpenses(includingreasonablelegalfees)arisingoutoforinconnectionwiththeactsoromissionsofanyThirdParty.7.ThirdParty'sRelationshipwithPrincipalandBroker:8.ThirdParty'sCompliancewithLaws:9.Confidentiality:ThirdPartiesshallmaintaintheconfidentialityofanyandallinformationobtainedfromthePrincipal,theBroker,oranyotherThirdPartyinconnectionwiththeperformanceofthisContract.10.DisputeResolution:IntheeventofanydisputebetweenthePrincipal,theBroker,andanyThirdPartyarisingoutoforinconnectionwiththisContract,thepartiesagreetoseekresolutionthroughgoodfaithnegotiations.Ifsuchnegotiationsfailtoresolvethedisputewithin___________days,thepartiesmayseekresolutionthrougharbitrationorlitigationinaccordancewiththegoverninglawofthisContract.11.ThirdParty'sAuthority:12.ThirdParty'sPerformance:ThePrincipalandtheBrokershallhavetherighttoinspecttheperformanceofanyThirdPartyengagedinconnectionwiththisContractandtorequiretheThirdPartytocorrectanydeficienciesintheperformanceofitsd
