artyAhastherighttorequirePartyBtomakecorrections.3.PartyAenjoystheintellectualpropertyrightsofthetranslatedtexts.WithoutPartyA'swrittenconsent,PartyBshallnotusethetranslatedtextsforanyotherpurposes.Obligations1.PartyAshallpaythetranslationfeestoPartyBinaccordancewiththetimeandmethodagreedinthecontract.2.PartyAshallprovidePartyBwiththeoriginalmaterialsofthedocumentstobetranslatedandensuretheauthenticity,completenessandlegalityofthematerials.3.PartyAshallkeepconfidentialthebusinesssecretsandsensitiveinformationofPartyBknownduringthetranslationprocessandshallnotdisclosethemtoanythirdparty.RightsandObligationsofPartyBRights1.PartyBhastherighttocollectthetranslationfeesfromPartyAinaccordancewiththestandardsandtimeagreedinthecontract.2.Duringthetranslationprocess,ifPartyBfindsanyerrors,ambiguitiesorincompletenessinthedocumentsprovidedbyPartyA,PartyBhastherighttorequirePartyAtoclarifyorsupplementtheinformation.Obligations1.PartyBshallcompletethetranslationworkinaccordancewiththestandardsandtimeagreedinthecontractandensurethequalityofthetranslatedtexts.2.PartyBshallkeepconfidentialthedocumentsprovidedbyPartyAandthebusinesssecretsandsensitiveinformationofPartyAknownduringthetranslationprocessandshallnotdisclosethemtoanythirdparty.3.WithoutPartyA'swrittenconsent,PartyBshallnotsubcontractthetranslationworktoanythirdparty.FeesandPaymentMethodFeeStandardsPartyAshallpaythetranslationfeestoPartyBaccordingtothefollowingstandards:1.ThetranslationservicefeeforEnglishChinesetranslationshallbecalculatedat[X]yuanperthousandcharacters.Forthepartlessthanonethousandcharacters,itshallbecalculatedasonethousandcharacters.2.Forurgenttranslationservices(translationworkrequiredtobecompletedwithin[X]workingdays),PartyAshallpayanadditional[X]%oftheurgentservicefeeonthebasisoftheabovementionedfeestandard.PaymentMethod1.PartyAshallpay[X]%ofthetranslationfeesasanadvancepaymenttoPartyBwithin[X]workingdaysafterthesigningofthecontract.2.AfterPartyBcompletesthetranslationworkandthetranslatedtextsareacceptedbyPartyA,PartyAshallpaytheremainingtranslationfeestoPartyBwithin[X]workingdays.3.PartyAshallpaythefeestoPartyB'sdesignatedbankaccountbybanktransfer.LiabilityforBreachofContractLiabilityofPartyAforBreachofContract1.IfPartyAfailstopaythetranslationfeestoPartyBinaccordancewiththetimeandmethodagreedinthecontract,PartyAshallpayaliquidateddamagesof[X]%oftheunpaidamountforeachdayofdelay.Ifthedelayexceeds[X]workingdays,PartyBhastherighttosuspendthetranslationworkuntilPartyApaysthefeesandliquidateddamages,andPartyAshallbearthelossescausedthereby.2.IfPartyAviolatestheconfidentialityobligationanddisclosesthebusinesssecretsandsensitiveinformationofPartyBknownduringthetranslationprocesstoanythirdparty,PartyAshallcompensatePartyBforthelossessufferedthereby.LiabilityofPartyBforBreachofContract1.IfPartyBfailstocompletethetranslationworkinaccordancewiththetimeagreedinthecontract,PartyBshallpayaliquidateddamagesof[X]%ofthetranslationfeesforeachdayofdelay.Ifthedelayexceeds[X]workingdays,PartyAhastherighttoterminatethecontract,requirePartyBtorefundtheadvancepaymentreceived,andatthesametime,requirePartyBtocompensatePartyAforthelossessufferedthereby.2.IfthequalityofthetranslatedtextsprovidedbyPartyBdoesnotmeetthestandardsagreedinthecontract,PartyAhastherighttorequirePartyBtomakecorrections.IfPartyBfailstocompletethecorrectionswithinthetimespecifiedbyPartyAorthecorrectedtextsstilldonotmeettherequirements,PartyAhastherighttodeductthecorrespondingtranslationfees,andeventerminatethecontract,andrequirePartyBtocompensatePartyAforthelossessufferedthereby.3.IfPartyBviolatestheconfidentialityobligationanddisclosesthebusinesssecretsandsensitiveinformationofPartyAtoanythirdparty,PartyBshallcompensatePartyAforthelossessufferedthereby.4.IfPartyBsubcontractsthetranslationworktoathirdpartywithoutPartyA'swrittenconsent,PartyAhastherighttoterminatethecontract,requirePartyBtorefundtheadvancepaymentreceived,andatthesametime,requirePartyBtocompensatePartyAforthelossessufferedthereby.DisputeResolution1.Incaseofanydisputesarisingduringtheperformanceofthiscontract,thetwopartiesshallfirsttrytoresolvethemthroughfriendlyconsultations.Iftheconsultationsfail,eitherpartyhastherighttofilealawsuitwiththepeople'scourtwithjurisdictionattheplacewherethecontractissigned.2.Duringthedisputeresolutionperiod,exceptforthedisputedmatters,thetwopartiesshallcontinuetoperformtheotherobligationsagreedinthiscontract.ConfidentialityClause1.Bothpartiesshallkeepconfidentialthebusinesssecrets,technicalsecrets,customerinformationandothersensitiveinformationoftheotherpartyknownduringthesigningandperformanceofthiscontract
