2025年船舶配件保养维修合同英文版ThisShipSparePartsMaintenanceandRepairContract(the"Contract")ismadeandenteredintoasofJanuary1,2025,byandbetween[Shipowner'sCompanyName]("Client"),havingitsprincipalplaceofbusinessat[Shipowner'sAddress],and[MaintenanceProvider'sCompanyName]("ServiceProvider"),havingitsprincipalplaceofbusinessat[MaintenanceProvider'sAddress].WHEREAS,Clientownsandoperatesthevessel[VesselName](the"Vessel"),whichisdescribedinAppendixA;andWHEREAS,ServiceProviderisexperiencedinprovidingmaintenanceandrepairservicestovessels;NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementssetforthherein,thepartiesagreeasfollows:1.ScopeofWorkServiceProvidershallprovidemaintenanceandrepairservicestotheVessel,includingbutnotlimitedtothefollowing:1.1PreventivemaintenanceinaccordancewiththeschedulesetforthinAppendixB,whichshallinclude,butnotbelimitedto,inspecting,cleaning,lubricating,andadjustingthefollowingsystemsandequipment:mainengine,auxiliaryengines,generators,navigationequipment,communicationequipment,deckmachinery,andrefrigerationsystems.1.2Repairstodamagedormalfunctioningequipmentasneeded,whichshallbeperformedusingqualitysparepartsandconformingtoapplicableindustrystandardsandbestpractices.1.3Diagnosticsandtestingofallsystemsandequipmenttoensureproperfunctioning.1.4Providingwrittenreportsdetailingtheworkperformed,includinganyfindingsorrecommendations,uponthecompletionofeachmaintenanceperiodorrepairtask.1.5Sourcingandsupplyingallnecessarysparepartsforthemaintenanceandrepairservices,ensuringthatthepartsmeetorexceedtheoriginalequipmentmanufacturer'sspecifications.1.6Complyingwithallapplicablesafetyregulationsandprocedureswhileperformingthework.2.DurationandTerminationThisContractshallcommenceonJanuary1,2025,andshallcontinueforthedurationofthecalendaryear2025("ContractTerm").ServiceProvidershallperformthemaintenanceandrepairservicesthroughouttheContractTermonacontinuousbasis.ThisContractmaybeterminatedbyeitherpartyuponninety(90)days'writtennoticetotheotherparty.Intheeventoftermination,ServiceProvidershallcompleteallworkinprogressandshallsubmitafinalreportandinvoicetoClient.3.PaymentTermsClientshallpayServiceProvideramonthlyretainerfeeof[Amount]USDforthemaintenanceandrepairservices.Theretainerfeeshallbedueandpayableonthe15thdayofeachmonthfollowingtheendoftheprecedingmonth.Inadditiontotheretainerfee,ClientshallpayServiceProviderforanyadditionalworkperformedthatisnotincludedintheretainerfee.ThecostofsuchadditionalworkshallbebasedonthehourlyratessetforthinAppendixCandshallbebilledmonthly,togetherwiththeretainerfee.Allpaymentsshallbemadewithinthirty(30)daysofreceiptoftheinvoicefromServiceProvider.AllpaymentsshallbemadeinUSDandshallbedepositedtothefollowingbankaccount:[BankName],[AccountNumber],[AccountHolderName].4.ResponsibilitiesofParties4.1ClientResponsibilities:a.ProvideServiceProviderwithaccesstotheVesselandallnecessaryequipmentfortheperformanceofthemaintenanceandrepairservices.b.CooperatewithServiceProviderincarryingouttheworkandprovideallnecessaryinformationandassistancerequestedbyServiceProvider.c.Approveanyadditionalworkorchangestothescopeofworkinwritingpriortotheperformanceofsuchwork.d.Arrangeforthestorageanddisposalofallwastegeneratedduringthemaintenanceandrepairworkinaccordancewithallapplicableenvironmentalregulations.4.2ServiceProviderResponsibilities:a.Performthemaintenanceandrepairservicesinaccordancewiththescopeofwork,theschedulesetforthinAppendixB,andapplicableindustrystandardsandbestpractices.b.Usequalifiedtechniciansandqualitysparepartsthatmeetorexceedtheoriginalequipmentmanufacturer'sspecifications.c.ProvideClientwithawrittenreportdetailingtheworkperformed,includinganyfindingsorrecommendations,uponthecompletionofeachmaintenanceperiodorrepairtask.d.Keepaccuraterecordsofallmaintenanceandrepairactivities,includingworklogs,invoices,andpartsinventory.e.Complywithallapplicablesafetyregulationsandprocedures,includingbutnotlimitedto,theInternationalSafetyManagementCode(ISMCode)andtheInternationalShipandPortFacilitySecurity(ISPS)Code.5.InsuranceandLiability5.1InsuranceRequirements:a.ServiceProvidershallmaintainduringthetermofthisContractliabilityinsuranceintheamountof[Amount]USDperoccurrenceforbodilyinjuryandpropertydamagearisingoutoftheperformanceoftheservicesunderthisContract.b.ServiceProvidershallmaintainduringthetermofthisContractpropertyinsurancecoveringitstools,equipment,andinventoryusedinconnectionwiththisContractintheamountof[Amount]USD.c.ClientshallmaintainduringthetermofthisContractliabilityinsuranceintheamountof[Amount]USDperoccurrenceforbodilyinjuryandpropertydamagearisingoutoftheoperationoftheVessel.5.2LiabilityLimits:a.ServiceProvider'sliabilityunderthisContractshallbelimitedtotheamountofitsliabilityinsurance.b.Client'sliabilityunderthisContractshallbelimitedtotheamountofitsliabilityinsurance.5.3Indemnification:a.ServiceProvidershallindemnifyandholdharmlessClientfromandagainstanyandallclaims,losses,damages,andliabilitiesarisingoutoforinconnectionwiththeperformanceoftheservicesunderthisContract,providedthatClient'snegligenceorwillfulmisconductisnotaproximatecauseofsuchclaims,losses,damages,orliabilities.b.ClientshallindemnifyandholdharmlessServiceProviderfromandagainstanyandallclaims,losses,damages,andliabilitiesarisingoutoforinconnectionwiththeClient'sfailuretoprovidethenecessaryaccess,information,orassistancerequiredtoperformtheservicesunderthisContract,providedthatServiceProvider'snegligenceorwillfulmisconductisnotaproximatecauseofsuchclaims,losses,damages,orliabilities.6.Confidentiality6.1Eachpartyherebyagreestoholdtheotherparty'sconfidentialinformationinstrictconfidenceandnottodisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherparty.6.2"ConfidentialInformation"shallmeananynon-publicinformation,includingbutnotlimitedtotechnicaldata,tradesecrets,businessplans,customerlists,andfinancialinformation,disclosedbyonepartytotheotherpartyinconnectionwiththisContract.6.3ThisconfidentialityobligationshallsurvivetheterminationofthisContractforaperiodof[Number]yearsaftertermination.7.DisputeResolution7.1GoverningLaw:ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsoftheStateof[State].7.2DisputeResolutionMechanism:Intheeventofanydispute,controversy,orclaimarisingoutoforrelatingtothisContract,thepartiesshallfirstattempttoresolvethedisputethroughgoodfaithnegotiationbetweenauthorizedrepresentativesoftheparties.7.3Ifthedisputecannotberesolvedthroughnegotiationwithinthirty(30)daysoftheoccurrenceofthedispute,thepartiesshallmutuallyagreetosubmitthedisputeto[ArbitrationInstitution]forarbitrationinaccordancewiththerulesof[ArbitrationInstitution].Theplaceofarbitrationshallbe[City,Country],andthelanguageofarbitrationshallbeEnglish.8.Miscellaneous8.1Amendments:ThisContractmayonlybeamendedormodifiedinwritingandsignedbyauthorizedrepresentativesofbothparties.8.2EntireAgreement:ThisContract,includingallattachmentsandexhibits,constitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,relatingtothesubjectmattero
