2026年IT服务合同信息技术服务合作专用模板PartiesThisServiceAgreement("Agreement")ismadeandenteredintoasof[InsertEffectiveDate],byandbetween:[ServiceProviderName],havingitsprincipalplaceofbusinessat[ServiceProviderAddress]("Provider"),and[ClientName],havingitsprincipalplaceofbusinessat[ClientAddress]("Client").DefinitionsForthepurposesofthisAgreement,thefollowingtermsshallhavethemeaningssetforthbelow:1."Agreement"meansthisServiceAgreement,includingallexhibits,attachments,andamendmentsthereto.2."Provider"means[ServiceProviderName]anditsaffiliates,employees,officers,andagents.3."Client"means[ClientName]anditsaffiliates,employees,officers,andagents.4."Services"meanstheITservices,support,andrelatedprofessionalservicesdescribedinSection5ofthisAgreement.5."ServiceLevelAgreements(SLAs)"meansthespecificperformancestandardsandmetricsagreeduponbythePartiesfortheServices,asdetailedinSection7.6."ServiceDesk"meansthedesignatedchannelforClientrequestsandcommunicationsrelatedtotheServices,asestablishedbyProvider.7."ConfidentialInformation"meansanynon-publicinformationdisclosedbyaPartytotheotherParty,includingbutnotlimitedtobusinessplans,financialdata,customerlists,technicalinformation,andintellectualproperty,asdefinedinSection10.8."IntellectualPropertyRights"meansallrights,title,andinterestinandtoanyintellectualproperty,includingbutnotlimitedtocopyrights,trademarks,patents,tradesecrets,andknow-how,whetherexistingorhereaftercreated.9."GoverningLaw"means[SpecifyJurisdiction,e.g.,thelawsoftheStateofNewYorkwithoutregardtoitsconflictoflawprinciples]underwhichthisAgreementwillbegovernedandinterpreted.10."ForceMajeure"meansanunforeseenevent,actofGod,war,terrorism,riot,civilcommotion,insurrection,embargo,actofagovernmentorgovernmentalagency,orothereventbeyondthereasonablecontrolofaParty,whichpreventsorhinderstheperformanceofitsobligationsunderthisAgreement.ScopeofServices1.ProvidershallprovidetheServicestoClientasdescribedbelow.TheServicesshallinclude,butnotbelimitedto:a.ManagementandadministrationofClient'sITinfrastructure,includingservers,networks,andstoragesystems.b.MonitoringofClient'scriticalITsystemsandinfrastructureforperformanceandavailabilityissues.c.ProvisionofhelpdesksupportandincidentresolutionforClient'send-usersandITsystems.d.ManagementofchangestoClient'sITenvironment,includingrequestassessment,approvalworkflows,implementation,anddocumentation.e.ImplementationandmanagementofsecuritymeasurestoprotectClient'sITsystemsanddata.f.[Insertanyotherspecificservices,e.g.,databaseadministration,applicationdevelopmentsupport,cloudservicesmanagement].2.TheServicesareintendedto[Statetheprimaryobjective,e.g.,ensurethereliableoperationofClient'sITenvironmentandprovideefficientusersupport].ProvidershalluseitsbesteffortstoperformtheServicesinaccordancewiththetermsofthisAgreementandtheapplicableSLAs.ServiceManagement1.ServiceDelivery:ProvidershalldelivertheServicesusingqualifiedpersonnel,appropriatetools,andtechnologies.ProvidershallestablishandmaintainaServiceDesktoserveastheprimarypointofcontactforClientrequestsandcommunicationregardingtheServices.2.ServiceRequests:ClientshallsubmitServiceRequeststotheProviderviathedesignatedServiceDeskchannel[Specifychannel,e.g.,email,webportal].ProvidershallestablishreasonableresponsetimesforServiceRequestsbasedontheirprioritylevel,asoutlinedintheServiceDeskprocesses.3.IncidentManagement:ProvidershallestablishandmaintainanIncidentManagementprocesstorestorenormalserviceoperationasquicklyaspossible.Incidentsshallbecategorized,prioritized,logged,investigated,resolved,andclosed.ProvidershallmeettheSLAtargetsforincidentresolutiontimesasspecifiedintheapplicableSLAs.4.ProblemManagement:Providershallinvestigatetherootcauseofrecurringincidentsandimplementpermanentsolutionstopreventrecurrence.ProblemManagementactivitiesshallbecoordinatedwiththeIncidentManagementprocess.5.ChangeManagement:ClientshallsubmitChangeRequeststoProviderthroughtheestablishedChangeManagementprocess.Providershallassess,approve(ordeny),schedule,andimplementchangesinacontrolledmanner.ProvidershallcommunicatesignificantchangestoClientasappropriate.6.ConfigurationManagement:ProvidershallmaintainaccuraterecordsoftheClient'sITconfigurationitems(CIs)aspartoftheITServiceCatalogandConfigurationManagementDatabase(CMDB).ServiceLevels1.ProviderandClienthaveagreeduponthefollowingServiceLevelAgreements(SLAs)regardingtheperformanceandavailabilityoftheServices:a.SystemAvailability:Criticalsystemsshallhaveanavailabilityofatleast[SpecifyPercentage,e.g.,99.9%]measuredintermsofuptimeduringstandardbusinesshours([SpecifyHours,e.g.,8:00AMto6:00PM,MondaythroughFriday]).b.ServiceDeskResponseTime:First-levelsupportrequestsshallberespondedtowithin[SpecifyTime,e.g.,15minutes]forP1incidentsand[SpecifyTime,e.g.,30minutes]forP2incidentsduringstandardbusinesshours.c.IncidentResolutionTime:ProvidershallresolveP1incidentswithin[SpecifyTime,e.g.,4hours]andP2incidentswithin[SpecifyTime,e.g.,8hours]duringstandardbusinesshours,whereresolutionisdefinedastherestorationofnormalserviceoperation.d.[InsertanyotherspecificSLAmetricsrelevanttotheServices,e.g.,patchmanagementcoverage,backupsuccessrate].2.ProvidershallmonitorcompliancewiththeSLAsandreportperformanceagainsttheagreedtargetsonaregularbasis,asspecifiedintheapplicableSLAdocumentation.Clientshallreviewtheperformancereportsandacknowledgereceiptthereof.Providershallbeentitledto[SpecifyconsequencesforfailingtomeetSLAs,e.g.,servicecredits]iftheSLAmetricsarenotmetforaspecifiedperiod.GeneralTermsandConditions1.TermandTerminationa.Duration:ThisAgreementshallcommenceontheEffectiveDateandcontinueforatermof[SpecifyTerm,e.g.,one(1)year],unlessterminatedearlierinaccordancewiththeprovisionsofthisSectionorotherwiseterminatedasprovidedherein.Uponexpirationoftheinitialterm,thisAgreementshallautomaticallyrenewforsuccessive[SpecifyNumber,e.g.,one(1)]yearterms(eacha"RenewalTerm"),unlesseitherPartyprovideswrittennoticeofitsintentionnottorenewatleast[SpecifyNumber,e.g.,ninety(90)]dayspriortotheendofthethen-currentterm.b.TerminationforCause:EitherPartymayterminatethisAgreementimmediatelyuponwrittennoticetotheotherPartyiftheotherParty:i.materiallybreachesanytermorconditionofthisAgreementandfailstocuresuchbreachwithinthirty(30)daysafterreceiptofwrittennoticefromthenon-breachingPartyspecifyingthebreachandrequiringitscure;ii.becomesinsolvent,filesforbankruptcy,orentersintoanyarrangementorproceedingswithcreditors;iii.engagesinconductthatisillegal,fraudulent,orharmfultotheotherParty;iv.providesServicesthatareconsistentlybelowacceptablestandardsdespitereasonableopportunitiesforimprovementprovidedbytheotherParty.c.TerminationwithoutCause:ClientmayterminatethisAgreementatanytimeupon[SpecifyNoticePeriod,e.g.,ninety(90)]dayswrittennoticetoProvider.ProvidermayterminatethisAgreementatanytimeupon[SpecifyNoticePeriod,e.g.,ninety(90)]dayswrittennoticetoClient.d.ConsequencesofTermination:UponterminationorexpirationofthisAgreement,Providershall:i.ceaseprovisionoftheServices;ii.destroyorreturnallConfidentialInformationandIntellectualPropertyoftheterminatingParty;iii.provideClientwithfinalinvoicesforallServicesrendereduptotheterminationdate;iv.[Insertanyotherspecificterminationobligations,e.g.,handoverofdocumentation,databackup].2.PaymentTermsa.Fees:ClientshallpayProviderthefeesfortheServicesassetforthinthe[SpecifyDocument,e.g.,attachedStatementofWorkorpricingschedule],inaccordancewiththetermsthereof.b.PaymentSchedule:Paymentsshallbedue[SpecifyNumber,e.g.,netfifteen(15)]daysafterthedateofProvider'sinvoice.Allpaymentsshallbemadein[SpecifyCurrency,e.g.,UnitedStatesDollars]toProvider'saddress[InsertProviderBillingAddress]oraccountnumber[InsertAccountNumber,ifapplicable].c.AcceptedPayments:Providershallacceptpaymentby[SpecifyMethods,e.g.,wiretransfer,creditcard].d.LatePayment:Ifanypaymentisoverdue,Providermaychargeaninterestrateof[SpecifyRate,e.g.,oneandone-half(1.5%)perannum]ontheoverdueamountfromtheduedateuntilthedateofpayment.3.AcceptanceofServicesClientshallbedeemedtohaveacceptedtheServiceswhenClientcontinuestoutilizetheServicesafternoticeofanyfailurebyProvidertomeetanSLA,unlessClientprovideswrittennoticeofnon-acceptancetoProviderwithin[SpecifyTime,e.g.,ten(10)]daysafterthedatethefailureoccurred.4.IntellectualPropertyRightsa.Clientretainsallownershipandintellectualpropertyrightsinitsowndata,information,andmaterialsprovidedtoProvider.b.ProvidershallownallintellectualpropertyrightsintheServices,documentation,anddeliverablescreatedbyProviderinconnectionwiththisAgreement,exceptasotherwiseagreedinwriting.Clientshallhaveanon-exclusive,royalty-freelicensetousesuchdeliverablessolelyforthepurposeoftheServicesunderthisAgreement.c.NeitherPartyshallreverseengineer,decompile,disassemble,ormakederivativeworksoftheotherParty'ssoftwareordocumentationwithouttheotherParty'spriorwrittenconsent.5.Confidentialitya.EachParty("DisclosingParty")shallholdinthestrictestconfidenceandnotdisclosetoanythirdparty(otherthanitsemployees,officers,agents,legalcounsel,andauditorswhoareboundbyconfidentialityobligations)anyConfidentialInformationoftheotherParty("ReceivingParty")obtainedduringthetermofthisAgreement.b.TheReceivingPartyshallusetheConfidentialInformationsolelyforthepurposeofprovidingandperformingtheServicesunderthisAgreementandshallnotuseitforanyotherpurpose.c.TheobligationsofconfidentialityshallsurvivetheterminationorexpirationofthisAgreementforaperiodof[SpecifyNumber,e.g.,three(3)]yearsfollowingtheendoftheAgreement.d.Thisconfidentialityobligationshallnotapplytoinformationthat:(i)isorbecomespubliclyknownwithoutbreachofthisAgreement;(ii)isindependentlydevelopedbytheReceivingPartywithoutaccesstotheDisclosingParty'sConfidentialInformation;or(iii)isobtainedfromathirdpartywithoutbreachofsuchthirdparty'sobligationsofconfidentiality.6.DataProtectionandSecuritya.Providershallcomplywithallapplicablelawsandregulationsregardingtheprotectionofdata,includingpersonaldata,inconnectionwiththeServices.b.Providershallimplementandmaintainreasonableadministrative,physical,andtechnicalsafeguardstoprotectClient'sdatafromunauthorizedaccess,use,disclosure,alteration,ordestruction.c.ProvidershallnotifyClientwithoutunduedelayuponbecomingawareofanysecuritybreachaffectingClient'sdata,andshallcooperatewithClientininvestigatingandremediatingthebreach.7.WarrantiesandIndemnificationa.ProviderWarranties:ProviderwarrantsthatithastherightandabilitytoperformtheServicesinaccordancewiththisAgreementandthattheServiceswillbeperformedwithreasonablecareandskill.Providershallusecommerciallyreasonableeffortstocomplywithapplicablelaws.b.ClientWarranties:ClientwarrantsthatithastherightsandpermissionsnecessarytopermitProvidertoperformtheServices.c.Indemnification:EachPartyshallindemnifyandholdharmlesstheotherParty,itsaffiliates,officers,directors,employees,andagentsfromandagainstanylosses,damages,claims,liabilities,judgments,awards,settlements,costs,andexpenses(includingreasonableattorneys'fees)arisingoutoforresultingfromtheotherParty'sbreachofthisAgreementoritsnegligence.d.LimitationofLiability:ExceptasexpresslystatedinthisAgreement,neitherPartyshallbeliabletotheotherPartyforanyindirect,incidental,special,consequential,orpunitivedamages,includinglossofprofits,data,orgoodwill,arisingoutoforinconnectionwiththisAgreement,regardlessofthecauseofaction.8.LiabilityProvider'stotalliabilitytoClientunderthisAgreementforanycauseshallnotexceed[SpecifyLimit,e.g.,thetotalamountofServiceFeespaidbyClienttoProviderunderthisAgreementduringthetwelve(12)monthspriortothedateoftheclaim].*Note:Clientmaynegotiateforhigherliabilitycapsorspecificexclusionclauses.*9.ForceMajeurePerformanceoftheobligationsunderthisAgreementbyeitherPartyshallbesuspendedordelayedbyreasonofForceMajeure.Ifadelayorsuspensioncontinuesformorethan[SpecifyNumber,e.g.,ninety(90)]days,eitherPartymayterminatethisAgreementwithoutliability.10.GoverningLawandDisputeResolutiona.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningLaw],withoutregardtoitsconflictoflawprinciples.b.Anydispute,controversy,orclaimarisingoutoforrelatingtothisAgreement,includingitsbreach,termination,orinvalidity,shallbesubmittedto[SpecifyForum,e.g.,theexclusivejurisdictionofthecourtsoftheStateof[StateName]in[CountyName],orarbitrationundertherulesofthe[SpecifyArbitrationAssociation,e.g.,AmericanArbitrationAssociation]effectiveasofthedatehereof]("Forum").ThePartiesagreethattheForumshallbelocatedin[SpecifyCity,State/Country]forthepurposeofanyarbitrationorlitigation.TheprevailingPartyinanylegalproceedingshallbeentitledtorecoveritsreasonableattorney'sfeesandcosts.11.NoticesAllnotices,requests,demands,andothercommunicationshereundershallbeinwritingandshallbedeemedgiven(a)whendeliveredpersonally,(b)uponconfirmationofreceiptwhensentbyemail,or(c)three(3)businessdaysafterdepositwithanationallyrecognizedovernightcourierserviceordeliverytotheaddressspecifiedintheDefinitions.NoticesshallbedirectedtothePartiesattheaddressessetforthinSection1ortosuchotheraddressoremailaddressasaPartymaydesignatebynoticetotheotherParty.12.AmendmentsNoamendment,modification,orwaiverofthisAgreementshallbeeffectiveunlessinwritingandsignedbyauthorizedrepresentativesofbothParties.13.EntireAgreementThisAgreement,includingthereferencedSLAsandanyattachmentsthereto(ifapplicable)
