(新)海运代理合同-中英文对照(2026版)1.缔约双方1.1委托人（以下简称“甲方”）：统一社会信用代码/注册号：__________，法定代表人：__________，住所地：__________，联系方式：__________。1.1Parties(Principal)(hereinafterreferredtoas"PartyA"):UnifiedSocialCreditCode/RegistrationNumber:__________,LegalRepresentative:__________,Domicile:__________,ContactInformation:__________.1.2海运代理人（以下简称“乙方”）：具备合法无船承运业务经营资格（NVOCC）或国际船舶代理经营资格，统一社会信用代码/注册号：__________，法定代表人：__________，住所地：__________，联系方式：__________。1.2MaritimeFreightForwarder(hereinafterreferredtoas"PartyB"):PossessesvalidqualificationasNon-VesselOperatingCommonCarrier(NVOCC)orinternationalshippingagencyqualification,UnifiedSocialCreditCode/RegistrationNumber:__________,LegalRepresentative:__________,Domicile:__________,ContactInformation:__________.2.定义2.1“委托货物”：指甲方委托乙方代理海运运输的所有货物，包括但不限于散装货物、集装箱货物、特种货物、危险品货物（如适用）等，具体以每票委托单载明的信息为准。2.1"AuthorizedGoods":AllgoodsentrustedbyPartyAtoPartyBformaritimetransportation,includingbutnotlimitedtobulkgoods,containerizedgoods,specialcargoes,dangerousgoods(ifapplicable),etc.,subjecttotheinformationspecifiedineachindividualbookingrequest.2.2“海运提单/海运单”：指乙方作为代理人或无船承运人签发的，用于证明海上货物运输合同和货物已由承运人接收或装船的运输单证，包括电子提单、电子海运单等符合现行法律规定的电子运输单证。2.2"BillofLading/SeaWaybill":ThetransportdocumentissuedbyPartyBasagentorNVOCC,whichprovesthemaritimecargotransportcontractandthatthegoodshavebeenreceivedbythecarrierorloadedonboard,includingelectronicbillsoflading,electronicseawaybillsandotherelectronictransportdocumentscompliantwithcurrentlaws.2.3“不可抗力”：指不能预见、不能避免且不能克服的客观情况，包括但不限于自然灾害、战争、武装冲突、政府管制、港口拥堵、承运人舱位临时调整、公共卫生事件等。2.3"ForceMajeure":Anobjectivecircumstancethatcannotbeforeseen,avoidedandovercome,includingbutnotlimitedtonaturaldisasters,wars,armedconflicts,governmentregulations,portcongestion,temporarycarrierspaceadjustment,publichealthemergencies,etc.3.委托服务范围3.1甲方委托乙方提供以下一项或多项海运代理服务：（1）国际海运订舱、舱位确认及舱位调整；（2）货物上门提货、港口装卸、集装箱装箱/拆箱、内陆拖运、仓储保管；（3）进出口货物报关、报检、报验及相关单证办理；（4）提单/海运单签发、更正、换单及电子单证操作；（5）货物运输状态跟踪、运输信息及时反馈；（6）代理办理货物运输保险（如甲方委托）；（7）其他与海运货物运输相关的配套服务。3.1PartyAentrustsPartyBtoprovideoneormoreofthefollowingmaritimefreightforwardingservices:(1)Internationalmaritimeshippingbooking,spaceconfirmationandspaceadjustment;(2)Goodspickup,portloadingandunloading,containerstuffing/CFSstripping,inlandtrucking,storageandcustody;(3)Customsdeclaration,inspectiondeclarationandrelevantdocumentprocessingforimportandexportgoods;(4)Billoflading/seawaybillissuance,amendment,deliveryagainstpresentationandelectronicdocumentoperation;(5)Cargotransportationstatustrackingandtimelytransportationinformationfeedback;(6)Actingasagentforcargotransportationinsurance(ifentrustedbyPartyA);(7)Othersupportingservicesrelatedtomaritimecargotransportation.4.甲方的权利与义务4.1甲方应如实向乙方提供委托货物的全部准确信息，包括但不限于货物名称、数量、重量、体积、危险品等级及SDS（如适用）、收发货人完整信息、报关报检所需全套单证等，确保所提供的信息无虚假记载、误导性陈述或重大遗漏。4.1PartyAshalltruthfullyprovidePartyBwithallaccurateinformationoftheauthorizedgoods,includingbutnotlimitedtogoodsname,quantity,weight,volume,dangerousgoodsgradeandSDS(ifapplicable),completeinformationofconsignorandconsignee,alldocumentsrequiredforcustomsandinspectiondeclaration,etc.,ensuringthattheprovidedinformationhasnofalserecords,misleadingstatementsormajoromissions.4.2甲方应按照本合同约定的时间、金额及时足额支付代理费用及所有相关杂费，不得无故拖延。4.2PartyAshallpaytheagencyfeesandallrelevantmiscellaneousexpensestimelyandinfullinaccordancewiththetimeandamountagreedinthiscontract,andshallnotdelaywithoutjustcause.4.3甲方有权随时查询委托货物的运输进度，要求乙方提供运输单证、运输记录及相关证明文件，乙方应在合理期限内予以配合。4.3PartyAhastherighttoinquireaboutthetransportationprogressoftheauthorizedgoodsatanytime,andrequestPartyBtoprovidetransportdocuments,transportationrecordsandrelevantcertificationdocuments,andPartyBshallcooperatewithinareasonableperiod.4.4因甲方提供的信息不实、未及时提供必要单证或其他甲方过错导致的货物延误、灭失、损坏、罚款或第三方损失，全部责任由甲方承担，乙方有权向甲方追偿因此遭受的损失。4.4Alllossesincludingcargodelay,loss,damage,finesorthird-partylossescausedbyfalseinformationprovidedbyPartyA,failuretoprovidenecessarydocumentsintimeorotherfaultsofPartyAshallbebornebyPartyA,andPartyBhastherighttorecoverthelossessufferedtherefromfromPartyA.4.5甲方应配合乙方完成货物运输过程中的各项配合义务，包括但不限于协助办理海关查验、提供查验所需货物样品、处理运输途中的异常情况等。4.5PartyAshallcooperatewithPartyBincompletingvariouscooperationobligationsduringthecargotransportation,includingbutnotlimitedtoassistingincustomsinspection,providingcargosamplesrequiredforinspection,handlingabnormalsituationsduringtransportation,etc.5.乙方的权利与义务5.1乙方应按照甲方的委托要求、相关法律法规及INCOTERMS®2024（最新版本国际贸易术语解释通则）的规定，勤勉尽责地办理各项代理服务事项，尽到合理的谨慎义务，维护甲方的合法权益。5.1PartyBshallhandlevariousagencyservicemattersdiligentlyandcarefullyinaccordancewithPartyA'sentrustmentrequirements,relevantlawsandregulationsandINCOTERMS®2024(thelatestversionofInternationalRulesfortheInterpretationofTradeTerms),andfulfillreasonableduediligenceobligationstosafeguardthelegitimaterightsandinterestsofPartyA.5.2乙方应及时向甲方反馈委托货物的运输进度、异常情况及单证办理进展，遇有影响货物运输的重大事项时，应在24小时内书面通知甲方。5.2PartyBshalltimelyfeedbackthetransportationprogress,abnormalsituationsanddocumentprocessingprogressoftheauthorizedgoodstoPartyA,andshallnotifyPartyAinwritingwithin24hourswhenencounteringmajormattersaffectingcargotransportation.5.3乙方应按照甲方的书面要求签发符合规定的运输单证，确保单证内容与实际货物情况一致，因乙方过错导致单证错误给甲方造成损失的，乙方应承担相应赔偿责任。5.3PartyBshallissuecomplianttransportdocumentsinaccordancewithPartyA'swrittenrequirements,ensuringthatthedocumentcontentsareconsistentwiththeactualcargosituation.IfPartyB'sfaultcausesdocumenterrorsandcauseslossestoPartyA,PartyBshallbearcorrespondingcompensationliability.5.4乙方有权按照本合同约定收取代理费用及相关杂费，有权要求甲方提供办理代理服务所需的全部资料和单证。5.4PartyBhastherighttocollectagencyfeesandrelevantmiscellaneousexpensesinaccordancewiththiscontract,andhastherighttorequestPartyAtoprovideallmaterialsanddocumentsrequiredforhandlingagencyservices.5.5乙方应对在履行本合同过程中知悉的甲方商业秘密、货物信息及其他未公开信息承担严格的保密义务，未经甲方书面同意，不得向任何第三方泄露，法律法规另有规定或为履行本合同所必需的除外。5.5PartyBshallassumestrictconfidentialityobligationsforthecommercialsecrets,cargoinformationandotherundisclosedinformationofPartyAlearnedduringtheperformanceofthiscontract,andshallnotdisclosetoanythirdpartywithoutPartyA'swrittenconsent,exceptasotherwiserequiredbylawsandregulationsornecessaryforperformingthiscontract.5.6因乙方过错导致货物延误、灭失、损坏的，乙方应按照本合同第8条的约定承担赔偿责任。5.6IfPartyB'sfaultcausescargodelay,lossordamage,PartyBshallbearcompensationliabilityinaccordancewiththeprovisionsofArticle8ofthiscontract.6.费用及支付方式6.1本合同项下的代理费用及相关杂费（包括但不限于港杂费、拖车费、报关费、报检费、仓储费等）的具体标准，由双方在每票委托业务前通过《费用确认单》或书面报价单予以确认；未达成书面确认的，按照乙方当时公示的有效收费标准执行。6.1Thespecificstandardsofagencyfeesandrelevantmiscellaneousexpenses(includingbutnotlimitedtoportcharges,truckingfees,customsdeclarationfees,inspectiondeclarationfees,storagefees,etc.)underthiscontractshallbeconfirmedbybothpartiesthroughthe"FeeConfirmationForm"orwrittenquotationsheetbeforeeachindividualentrustedbusiness.Ifnowrittenconfirmationisreached,thevalidchargingstandardspubliclyannouncedbyPartyBatthattimeshallbeimplemented.6.2乙方应在完成每票委托业务后3个工作日内向甲方出具合法有效的增值税发票，甲方应在收到发票后的15个工作日内，通过银行转账方式将全部费用支付至乙方指定的银行账户。6.2PartyBshallissueavalidVATinvoicetoPartyAwithin3workingdaysaftercompletingeachindividualentrustedbusiness,andPartyAshallpayallfeestothebankaccountdesignatedbyPartyBviabanktransferwithin15workingdaysafterreceivingtheinvoice.6.3若甲方逾期支付费用，每逾期一日应按照未付金额的0.05%向乙方支付违约金；逾期超过30日的，乙方有权暂停提供后续代理服务；逾期超过60日的，乙方有权解除本合同并追究甲方的全部违约责任。6.3IfPartyAdelayspayingthefees,itshallpayPartyBaliquidateddamagesat0.05%oftheunpaidamountperdayofdelay.Ifthedelayexceeds30days,PartyBhastherighttosuspendprovidingsubsequentagencyservices;ifthedelayexceeds60days,PartyBhastherighttoterminatethiscontractandpursueallliabilityforbreachofcontractofPartyA.6.4本合同项下的所有费用均为不含税金额，甲方应承担因本合同及本合同项下业务产生的全部税费，包括但不限于增值税、城市维护建设税、教育费附加等；若乙方代为缴纳相关税费的，甲方应在乙方发出缴费通知后的7个工作日内将代缴税费足额支付给乙方。6.4Allfeesunderthiscontractaretax-excludedamounts,andPartyAshallbearalltaxesandfeesarisingfromthiscontractandthebusinessesunderthiscontract,includingbutnotlimitedtovalue-addedtax,urbanmaintenanceandconstructiontax,educationsurcharge,etc.;ifPartyBpaysrelevanttaxesandfeesonbehalfofPartyA,PartyAshallpaythepaidtaxesandfeesinfulltoPartyBwithin7workingdaysafterreceivingthepaymentnoticefromPartyB.7.协议期限与续展7.1本合同自双方法定代表人或授权代表签字并加盖公章（或合同专用章）之日起生效，有效期为1年，自______年______月______日至______年______月______日。7.1Thiscontractshalltakeeffectfromthedatewhenthelegalrepresentativesorauthorizedrepresentativesofbothpartiessignandaffixtheofficialseal(orcontractspecialseal),withavalidityperiodof1year,from__________to__________.7.2若任何一方未在本合同到期前30日以书面形式（包括电子邮件、挂号信）通知另一方终止本合同，则本合同自动续展1年，续展次数不受限制。7.2Ifeitherpartyfailstonotifytheotherpartyinwriting(includingemail,registeredmail)toterminatethiscontract30daysbeforetheexpirationofthiscontract,thiscontractshallautomaticallyrenewforanother1year,andthenumberofrenewalsisnotlimited.8.违约责任8.1任何一方违反本合同约定给另一方造成直接经济损失的，应承担相应的赔偿责任，赔偿范围仅限于直接损失，不包括间接损失、可得利益损失、利润损失等间接损失。8.1Ifanypartybreachesthiscontractandcausesdirecteconomiclossestotheotherparty,itshallbearcorrespondingcompensationliability,andthecompensationscopeshallbelimitedtodirectlosses,excludingindirectlosses,lostprofits,profitlossesandotherindirectlosses.8.2乙方因过错导致委托货物灭失、损坏的，赔偿责任限额按照以下两者中较低者计算：（1）每公斤人民币20元；（2）提单/海运单载明的货物实际价值。若乙方已投保货物运输责任险的，赔偿责任按照保险合同的约定执行，但不得低于本条款约定的最低限额。8.2IfPartyB'sfaultcauseslossordamagetotheauthorizedgoods,thecompensationliabilitylimitshallbecalculatedasthelowerofthefollowingtwo:(1)RMB20perkilogram;(2)theactualvalueofthegoodsstatedonthebilloflading/seawaybill.IfPartyBhasinsuredcargotransportationliabilityinsurance,thecompensationliabilityshallbeimplementedinaccordancewiththeinsurancecontract,butshallnotbelowerthantheminimumlimitagreedinthisclause.8.3若乙方未按照本合同约定及时反馈货物运输信息或提供运输单证，给甲方造成损失的，应按照该票业务代理费用的30%向甲方支付违约金；情节严重的，甲方有权解除本合同。8.3IfPartyBfailstofeedbackthecargotransportationinformationorprovidetransportdocumentsintimeinaccordancewiththiscontractandcauseslossestoPartyA,itshallpayPartyAaliquidateddamagesat30%oftheagencyfeeofthatbusiness;ifthecircumstancesareserious,PartyAhastherighttoterminatethiscontract.8.4若甲方未如实提供委托货物信息或未及时提供必要单证，导致乙方无法正常办理代理业务或遭受第三方索赔的，甲方应赔偿乙方因此遭受的全部损失。8.4IfPartyAfailstotruthfullyprovidetheinformationoftheauthorizedgoodsorfailstoprovidenecessarydocumentsintime,resultinginPartyBbeingunabletonormallyhandleagencyservicesorsufferingthird-partyclaims,PartyAshallcompensatePartyBforalllossessufferedtherefrom.9.不可抗力9.1因不可抗力导致本合同无法履行或部分无法履行的，遭受不可抗力的一方应在不可抗力发生后24小时内书面通知另一方，并在15日内提供相关证明文件，根据不可抗力的影响程度，部分或全部免除责任，但应及时采取措施减少损失扩大。9.1Ifthiscontractcannotbeperformedorpartiallyperformedduetoforcemajeure,thepartysufferingfromforcemajeureshallnotifytheotherpartyinwritingwithin24hoursaftertheoccurrenceofforcemajeure,andproviderelevantcertificationdocumentswithin15days,andshallbepartiallyorcompletelyexemptedfromliabilityaccordingtotheimpactofforcemajeure,butshalltaketimelymeasurestoreducetheexpansionoflosses.9.2遭受不可抗力的一方应在不可抗力消除后10日内通知另一方恢复履行本合同，若不可抗力持续超过30日的，任何一方均有权解除本合同。9.2Thepartysufferingfromforcemajeureshallnotifytheotherpartytoresumeperformanceofthiscontractwithin10daysaftertheforcemajeureiseliminated.Iftheforcemajeurelastsformorethan30days,eitherpartyhastherighttoterminatethiscontract.10.争议解决10.1因本合同的订立、履行、解释及终止产生的或与本合同有关的任何争议，双方应首先通过友好协商解决；协商不成的，任何一方均有权将争议提交至中国国际经济贸易仲裁委员会（CIETAC），按照申请仲裁时该会现行有效的仲裁规则进行仲裁，仲裁地点为北京，仲裁裁决为终局裁决，对双方均具有约束力。10.1Anydisputearisingfromtheformation,performance,interpretationandterminationofthiscontractorrelatedtothiscontractshallfirstberesolvedthroughfriendlyconsultationbetweenthetwoparties;iftheconsultationfails,eitherpartyhastherighttosubmitthedisputetoChinaInternationalEconomicandTradeArbitrationCommission(CIETAC)forarbitrationinaccordancewiththecurrenteffectivearbitrationrulesofthecommissionatthetimeofapplicationforarbitration.ThearbitrationplaceisBeijing,andthearbitrationawardisafinalaward,whichisbindingonbothparties.10.2仲裁期间，除争议事项外，双方应继续履行本合同的其他条款。10.2Duringthearbitrationperiod,bothpartiesshallcontinuetoperformtheotherclausesofthiscontractexceptforthedisputedmatters.11.法律适用11.1本合同的订立、效力、解释、履行、争议解决及终止均适用中华人民共和国法律（不包括香港特别行政区、澳门特别行政区及台湾地区的法律）。11.1Theformation,validity,interpretation,performance,disputeresolutionandterminationofthiscontractshallbegovernedbythelawsofthePeople'sRepublicofChina(excludingthelawsofHongKongSpecialAdministrativeRegion,MacaoSpecialAdministrativeRegionandTaiwanRegion).12.其他条款12.1本合同构成双方就本合同项下委托事项达成的完整、排他的协议，取代此前双方就同一事项达成的所有口头或书面协议、谅解或安排。12.1Thiscontractconstitutesthecompleteandexclusiveagreementbetweenthetwopartiesregardingtheentrustedmattersunderthiscon
