1、技术人员派遣协议参考译文技术人员派遣协议本协议于xx年xx月1日由株式会社(以下简称“甲方”)和有限 公司(以下简称“乙方”)订立。证明鉴于乙方请求甲方派遣人员为乙方提供管理和/或技术协助,鉴于甲方应乙方请求,愿向乙方派遣人员。因此,各方相互承诺并达成协议如下:1,甲方应向乙方派遣人员 (以下简称“EP”,为英语派遣人员expatriate personnel的缩写)实现上述目的,派遣的时间和期限由协议各方协商确定。2,EP在乙方组织内部中的职称和职位由协议各方共同协商确定。3,派遣的EP报酬和其他待遇在协议附件中另有规定。4,除非本协议另有改动,EP应全面遵守乙方工作方面的规章制度,5,必要
2、时,甲方可以EP中国居留期间随时通知乙方将其召回,相关费用由甲方负担,召回EP事宜应经协议各方协商一致,经要求,甲方还应另行派遣 称职人员,前往乙方接替此前EP的工作,同样,乙方如要求提前终止中延长EP的居留期间,应提前一段时间告知甲方,使各方就如何提前终止EP居留能协商一 致。对此,各方应相互合作。6,乙方应采取所有必要措 施,保证EP在中国居留期间不因骚乱,敌对或仇视活动受到伤害或损害。7,乙方应协助EP到政府和管理部门办理在中国居留,工作的相关所有手续。8,本协议效力高于此前甲 方和乙方各方达成的所有协议和/或各方的往来通信。本协议由各方授权代表于前文所述日期签字,特此证明。株式会社有限
3、公司董事总经理董事总经理附件I工作环境乙方应为EP提供适当的,与其在乙方职位相称的办公设备和条件。应将EP与坐落于乙方同一级别的 其他同事同等对待。适当的办公设备和条件其中包括必要是的办公桌椅、空调、电话、办公用品和秘书。II工作规章制度、节假日和休假除为其另行制定的下列特殊待遇者外,EP应全面遵守乙方的工作规章制度;1,探亲假经EP主管和乙方领导事先批准,应准许EP每年享受一次连续14天的带薪探亲假(如EP单身或 无随行配偶,应准许其每年享受两次)探亲假不得与乙方的公司节假日合并,但途中旅行时间则包括在探亲假内,EP的探亲假可经EP主 管和乙方领导根据日本业务需要和特别决定,予以延长。EP往
4、返于日本的机票和其他xx费用应由乙方负担。2特殊探亲假未出于延长探亲假日的而将探亲假与乙方的公司节假日合并,途中旅行时间包括在探亲假内,且EP 往返于日本的机票和其他xx费用由乙方负担的,应允许将下列情形作为特殊探亲假,享受连续带薪假待遇,具体期限规定如下:(a)EP在日本结婚的,最多10天假期;(b)EP子女在日本结婚的,最多7天假期(c)EP参加近亲(如配偶、子女、父母、兄弟姐妹)葬礼的,最多10天假期;(d)EP孩子出生的,最多10假期。3病假如EP患病必须加日本接受治序、甲方和乙方应根据具体病情协商后,允许请特殊病假。在些情形下,乙方应依照本附件第1章规定向EP支付特殊病假前3个月工资
5、,但EP及民/或其家 属往返于日本的机票和其他xx费用应由甲方负担。III报酬和福利1工资乙方向EP支付的工资数额应由甲方和乙方根据EP在乙方的职称和职位情况协商决定。经一方要 求,甲方和乙方应对EP工资进行审议协商。2,个人所得税应由EP个人根据中国相关法律规定支付个人所得税。为此,应由乙方根据规定在给付EP的工资中 扣除其个人所得税税额,代扣代缴。3医疗费乙方应向中国居留的EP支付医疗费,其数额应与中国当地雇员同等情形下的待遇相同。EP与乙方 经营相关的所有医疗费应由乙方负担。1特殊语言培训应依照各方商定为EP举办特殊语言培训课程,培训费用由甲方负担。2住宿(1)住房乙方应为EP安排一套绝
6、对安全的住房或公寓,住房或公寓应配有必备家具,包括但不限于床、冰 箱、电烤箱,橱柜、洗衣机、空调餐桌椅子、电视和电话,配备上述家具费用由乙方负担,(1)家政服务经EP要求,乙方应协助EP选聘佣人并协商佣人工资,佣人工资应由EP负担,(2)公用设备费诸如EP使用的水、电、闭路电视等公用设备费应由乙方负担,私人电话费应由EP负担。3小车EP有小车待遇问题,应根据EP在乙方的职位和乙方的 政策规定予以确定。4出差乙方的出差制度对EP同样适用,其待遇等同于乙方其他雇员同等条件的待遇标准。IV其他事项1对EP的总体协助乙方应为EP在华生活提供总体协助和必要支持。2机票等级乙方或甲方应根据本协议规定,依照
7、各自公司关于海外出差机票等级的相关规定,分别支付机票费用。3报销程序和安家费甲方应负担EP前往中国的诸如xx费等费用,其中包括机票和个人财物的包装运输费用。乙方应负担EP返回日本的诸如xx费费用,其中包括商务级别机票和个人财物的包装和空运和/或 海运费用,负担标准规定如下:派遣的人员配偶子女其他随行人员空运30千克30千克每人30千克每人30千克海运102立方英尺400立方英尺每人50立方英尺每人50立方英尺This agreement is made and entered into on March 1st, xx, by and between _ LTD, (hereinafter r
8、eferred to as “PARTY A”) and CO. LTD, (hereinafter referred to as “PARTY B”).WITNESSETHWHEREAS, PARTY, B has requested PARTY A to dispatch its personnel for the purpose of providing managerial and/or technical assistance to PARTY B, and WHRERS, PARTY A is willing to dispatch its personnel to PARTY B
9、 in response to such PARTY Bs request.NOW, THEREFORE, in consideration of the mutual promises herein contained the parties hereto agree as follows;1. PARTY A shall dispatch its personnel (hereinafter referred to as EP. An acronym for expatriate personnel) to PARTY B for the purpose mentioned hereina
10、bove, The time and period of such dispatch shall be agreed upon by the parties.2The title and position of the EP in PARTY Bs internal organization shall be agreed upon and determined by the parties.3. The remuneration and other conditions for the dispatch of the EP are described in the Annex hereto.
11、4. The EP shall fully observe PARTY Bs working rules, unless otherwise altered by this agreement.5. PARTY A may, at any time when such is considered necessary, inform PARTY B of the recall of the EP at PARTY As own expenses during the period of his/her stay in China, Such recall shall be made upon c
12、onsultation between the parties hereto, and suitable replacement, if required, shall be sent by PARTY A to PARTY B, Similarly, should PARTY B require the short closure or extension of stay of any EP, PARTY B shall inform PARTY A well in advance, and mutually consult and agree as to how such disclosu
13、re shall be made. Both parties shall cooperate with each other in this matter,6. PARTY B shall take all the necessary measures to protect the EP from any harm or injury in such events as riots, hostilities or enemy actions during his/her stay in China.7. PARTY B shall assist the EP in complying with
14、 all governmental and regulatory formalities to stay and work in China.8. This agreement supersedes all previous agreements and/or communications between PARTY A and PARTY B.IN WITNESS WHEREOF, the parties hereto have caused this Agreement to be executed by their respective duly authorized officers

WORKING ENVIRONMENTPARTY B should provide suitable office facilities for the EP commensurate with his/her position in PARTY B. The EP should be treated as same as an equivalent
16、 class associate of PART B, The suitable office facilities include appropriate furniture, air-conditioning, telephone, office supplies and secretarial assistance.II. WORKING RULES, HOLIDAYS AND LEAVESThe EP shall fully observe PARTY Bs working rules, unless otherwise altered as special treatment for
17、 him/her as described below1. Home LeaveWith the prior approval of the chief of EP and PARTY Bs supervisor, the EP shall be allowed to take successive fourteen (14) paid days off as Home Leave once a year (or twice a year for the EP who is single or unaccompanied by his/her spouse).The period of Hom
18、e Leave may not be used in combination with PARTY Bs company holidays and traveling time shall be included in such period, The period of Home Leave may be extended by special decision of the chief of all EP and PARTY Bs supervisor relevant to business necessity in Japan.The round trip airfare to and
19、 from Japan and other transportation fees for the EP shall be borne by PARTY B.2. Special Home LeavesIn the following events, successive paid days off shall be allowed as Special Home Leaves for the respective period described below, provided that, the period of Home Leave may not be used in combina
20、tion with PARTY Bs company holidays to extend such Home Leave; traveling time shall be included in such period; and the round trip airfare to and from Japan and other transportation fees for the EP shall be borne by PARTY B.(a) Marriage of EP in Japan; maximum ten (10) days;(b) Marriage of EPs child
21、ren in Japan: maximum seven (7) days;(c) Funeral of EPs immediate family (I, e, spouse, children, or parents): maximum ten (10) days; and(d) Birth of child of EP; maximum ten (10) days;3. Sick LeavesIn the event that the EP must return to Japan for medical treatment for himself/herself, a special si
22、ck leave shall be allowed as agreed upon by PARTY A and PARTY B on a case-by-case basis.In such event, PARTY B shall pay the EP the salaries in accordance with Section I. Article III of this ANNEX, for the first three (3) months during such special sick leave, provided that round trip airfare to and
23、 from Japan and other transportation fees for the EP and/or his/her family shall be borne by PARTY A.III. COMPENSATION AND BENEFITS1. SalaryThe amount of salary to be paid by PARTY B to the EP shall be agreed upon by PARTY A and PARTY B commensurate with his/her title and position in PARTY B, The sa
24、lary shall be reviewed and/or negotiated by PARTY A and PARTY B in response to request by either party.2. Personal Income TaxesPersonal income taxes shall be paid by the EP as applicable laws of China require, For that purpose, appropriate withholdings shall be made by PARTY B from the salaries to b
25、e paid to the EP.3. Medical ExpensesPARTY B shall pay medical expenses for the EP in China to the same extent as PARTY B pays for its local employees in the same situation, and all medical expenses resulting from causes in relation to PARTY Bs business shall be borne by PARTY B.4. Special Language T
26、rainingA special languagetraining program shall be arranged by PARTY B as agreed upon by the parties, The cost for such training shall be borne by PARTY A.5. Accommodations(1) HousingPARTY B shall provide one (1) fully secured house or apartment to each EP, Each house or apartment shall be furnished
27、 with basic furniture, including, but not limited to, bed(s), refrigerator, electric oven, cupboard, washing machine, air-conditioner, dining table and chairs, television and telephone, The cost for such furnishing shall be borne by PARTY B.(2) Domestic ServiceUpon the request by the EP, PARTY B sha
28、ll assist the EP to seek and hire maid(s) and to negotiate her/their salary (ies) which shall be borne by the EP,(3) Utilities Expenses;Utilities expenses, such as electricity, water and cable TV fees for the EP, shall be paid by PARTY B. Personal telephone calls shall be borne by the EP.8. CarTreatment for car service shall be decided based on EPs position, in accordance with PARTY B policy.9. Business TripPARTY Bs rules for business trips shall apply to the EP on a level comparable to the equivalent role of PARTY B.IV. OT
