联合开发海外华语数字影院及多功能文化商业中心战略合作协议

1、PAGE PAGE 4关于联合开发海外华语数字影院及多功能文化商业中心意向协议甲方：日本XX协会（以下简称甲方）乙方：XXX（xx）有限公司（以下简称乙方）一、合作前提 随着中国“十二五”规划中关于文化改革发展规划纲要的出炉，中国对文化产业的发展提出了更高的要求：“要精心做好对外宣传工作，创新对外宣传方式，着力打造融通中外的新概念新范畴新表述，讲好中国故事，传播好中国声音”。为了加强中日之间文化交流，结合中国和日本实际情况，xx实质性的、可操作的、务实的中日交流合作平台，乙方结合自身行业优势，将携手甲方在日本建立“华人数字影院及多功能文化商业中心”，共同开拓中日文化市场，促进中日文化交流。二、

2、基本情况 1、甲方介绍。甲方保证本条款属实。 2、乙方XXX（xx）有限公司是XX下级的企业，拥有广播电影电视行业资源、客户资源和政策优势。其下级的X有限公司是由国家广电总局批准，立足于中国县级城市和海外华语数字影院投资、xx、运营及服务的专业院线。乙方保证本条款属实。三、合作原则 、甲乙各方在优势互补、平等诚信的基础上，本着公平、自愿的原则进行合作； 、甲乙各方建立合作关系后，充分利用各自资源优势或专业优势，积极为合作创造有力条件，落实本协议内容； 、甲乙各方保证遵守项目xx和营运所在地的国家和地方政府法律法规，勤勉尽责，实现互利共赢。合作内容 、秉承把中国优秀文化传出去的精神，甲乙各方根据

3、日本华人分布的具体情况，结合实际，在日本共同合作xx开发华人数字影院。以影院为核心载体，以文化展示和文化交流为主体功能，把优秀的国产影片、电视剧和节目推出国门，推广到日本;并以此为基础在日本合适区域开发、xx和运营带有中国符号，集商务会所、数字图书馆、数字博物馆、数字教室、餐饮、电玩、主题商场、体育、文化、居住等多种功能为一体的地标式城市文化商业中心。、各方责任： 乙方责任： 1、筹集影院和文化商业中心xx和前期营运资金。 2、和甲方共同负责影院及文化商业中心的规划、设计、施工及运营计划的制订， 并享有最终决定权。 3、为各方合作的影院同步提供和分享中国国内优秀华语数字影片、电视节目。 4、各

4、方在其它协议和协议中所规定的责任。 甲方责任： 1、沟通协调日本关于政府资源，协助乙方与日本当地政府的接洽以及与当地合作单 位的沟通，办理影院及文化商业中心开发xx所需的资质和手续。 2、协助影院和文化商业中心在当地的宣传和推广，乙方予以全力配合。 3、和乙方共同负责影院及文化商业中心的规划、设计、施工和运营计划的制订， 4、发挥日本的优势，为影院和文化商业中心推荐优秀营运及管理人才，使合作项目尽快造成或产生预期效益。 5、各方在其它协议和协议中所规定的责任。五、其他商定 未尽事宜各方可在协商后签订补充协议，补充协议与本协议具有同等法律效力。六、本协议一式中文版本四份，英文版本四份，各方各执中
