ContractforProject编号:201209-01合同签字日期:2013年月Seller:POMAGALSKI波马嘉仕其(北京)索道有限责任公司Poma(Beijing)RopewayCo.,Ltd.Clause1auseuselauseClause6Clause7ClauseClausentractontractofOriginntractDocumentsandInformationiaisonTheContractPriceCountryofOriginandManufacturersClause10Clause11use风险InsuranceandRisksontheWayofTransportationTermsofDeliveryceSparePartsandGondolasinDesignWarrantyandPerformanceGuaranteeTermsofPaymentandDocumentsTechnicalDescription&DocumentsmmissioningPerformanceTestandAcceptanceequestsmendmentsignmentfBreachTerminationforDefaulteTerminationforInsolvencyTerminationforConveniencestLanguage定义1.1本合同下列术语应解释为:述文件所提到的构成合同的所有文件，但各方在协议中明确指明不作为各方实质性权利义务约定，而仅作为履行相关程序而订立的格式文件除外。2)“合同价”系指根据本合同规定卖方在正确地完全履行合同义务后买方应支付给卖方的价格。3)“货物”系指卖方根据本合同规定须向买方提供的一切设备、机械和/或其它材料。4)“伴随文件”指依照中华人民共和国法律要求的本合同设备出厂时应当一并提供的文件和办理监督检验证明文件所需的其他文件。5)“伴随服务”系指根据本合同规定卖方承担与供货有关的辅助服务，如运输、保险以及其它的伴随服务，例如设计、安装技术指导、调试、提供技术支持、培训和合同中规定卖方务。6)“合同条款”系指本合同条款。7)“买方”系指在合同条款中指明的购买货物和服务的单位，指。8)“卖方”系指在合同条款中指明的提供本合同项下货物和服务的公司或实体，POMAGALSKI公司(以下简称“波马法国”)、波马嘉仕其(北京)索道有限责任公司(以下简称“波马北京”)。9)“买方进口代理”系指为买卖双方此次设备进口提供买方进口代理服务的公司，指10)“项目现场”系指本合同项下货物安装、运行的现场，指。11)“交货现场”指中。12)“天”指日历天数。13)“验收证书”指由中国国家客运架空索道安全监督检验中心签署的证明，以表示按照合同条款及附件所规定的合同设备安装完成且性能测试顺利完成，合同设备批准投入使用1DEFINITIONS1.1Inthiscontract,thefollowingtermsshallbeinterpretedasindicated:1)“TheContract”meanstheagreemententeredintobetweenTheBuyerandSeller,asrecordedintheContractsignedbytheparties,includingallattachmentsandappendicestheretoandalldocumentsincorporatedbyreferencetherein,withtheexceptionofthoseformatdocumentsasspecifiedintheagreementnotforsubstantialrightsandobligationbindingofthepartieswhereasforimplementingrelevantproceduresonly.2)“TheContractPrice”meansthepricepayabletoTheSellerbyTheBuyerundertheContractforthefullandproperperformanceofitscontractualobligations.3)“TheGoods”meansalloftheequipment,machinery,and/orothermaterials,whichTheSellerisrequiredtosupplytoTheBuyerundertheContract.4)“TheIncidentalDocuments”meansthosedocumentsandmaterialsthatshallbeprovidedwhenthecontractualequipmentleavesthefactoryinaccordancewiththelawsofPeople’sRepublicofChina,includingthedesigndocumentasrequiredbythesafetytechnicalcode,productqualityqualificationcertificate,installationusageandmaintenanceinstruction,andotherdocumentneededforsupervisioninspectiondocumentaryevidence.5)“TheIncidentalServices”meansthoseservicesancillarytothesupplyoftheGoods,suchastransportationandinsurance,andanyotherincidentalservices,suchasdesign,installationsupervision,commissioning,provisionoftechnicalassistance,TCCmeanstheTermsandConditionsofthisContract.theGoodsandServicesunderthisingshanTourismInvestmentAndDevelopmentCoLtdandServicesunderthisanceandPomaBeijingreinafterreferredtoasPOMABeijingrovidingimportagencyservicemportedequipmentthatisTheProjectSitemeansthelocationwheretheGoodsaretobeinstalledandoperated,ngCountySichuanProvince,P.R.C.icAreaanProvincePRCmeanscalendardayywaysOfChinastatingstofCONTRACTEQUIPMENThasbeencompletedintheCorrespondingispermittedintoapplication2合同范围2.1买方同意从卖方购买，卖方同意向买方提供合同设备:单线循环脱挂抱索器八人吊厢式索道一附件的规定顺利运行(设备安装中安装方责任导致的问题除外)的包括不限于该合同设备的设计、技术服务及技术培训、售后服务、质量保证等附属服务，本合同中统一称为合同设备。2.2在初步设计的线路图(见附件)所约定的上下站点不变的情况下，最终线路图在不增加吊箱数量和改变索道中心线的情况下，卖方将对合同设备及备件清单的完整性及准确性负责，要求增加合同包干价款。在买方根据卖方提供的说明和手册(包括日志)恰当地安装、操作和维护了合同设备、配件的情况下，如发现某些部件缺失(买方原因导致的丢失除外)，卖方将无偿地、及时地向买方提供缺失部件。若最终交货范围低于或少于建议清单的应当相应降低合同价款。若最终线路图需要增加吊箱数量和索道中心线改变的，按照“建议清单”中分项报价确定。2.3合同设备保质期内，因质量问题不能正常使用的设备和配件卖方有义务免费并及时的向买方届时将另签协议，但卖方保证给予中华人民共和国国内客户最优惠条件。2.5备件和设计内吊箱增补的卖方承诺：2.5.1增补的备件和吊箱，卖方应当按照合同质保要求为其承担质保义务；2.5.2在备件和吊箱停止生产的情况下，卖方应事先将要停止生产的计划通知买方，使买方有足够的时间采购所需的备件和吊箱；规格和材质；2.6卖方应当对买方指定的安装公司进行详细的技术交底，并指派技术人员在项目现场对设备安装进行技术指导。2.SCOPEOFCONTRACT2.1TheBuyeragreestobuyfromTheSellerandTheSelleragreestosupplytoTheBuyerthecontractualequipment:OneMonocableCirculatingDetachableGripsfor8SeatsSuspensionCableRopeway(includingaccessoriesandIncidentalDocuments),andtheIncidentalServicetomakethecontractualequipmentrunsuccessfully(withexceptionoftheproblemscausedbytheinstallationpartyduringtheequipmentinstallation)atsiteinaccordancewiththisContractanditsAppendix,includingbutnotlimitedtodesign,technicalserviceandtechnicaltraining,after-salesservices,qualitywarrantyetc.AllareoascontractualequipmentintheContract2.2.UnderconditionsthatthetopandbottomstationsspecifiedintheProfile(seeAppendix)inthepreliminarydesignremainunchangedandthatthenumberofgondolasremainunaddedandthecentrelineoftheropewayunchangedinthefinalProfile,TheSellershallberesponsibleforthecompletenessandcorrectnessofthecontractualequipmentandsparepartslist.TheSellershallnotbeexemptedfromanyliabilitiesduetothelackofitems/missingoftheAppendix2,Appendix3,Appendix4andAppendix5(hereinafterreferredtoas“suggestionlist”,orshallTheSellerrequiretoincreasetheturn-keycontractprice.TheSellershallprovideIfitisfoundthatcertainpartslistedinthecorrespondingAppendixaremissing(withtheexceptionofthelosscausedbytheBuyer’sreason),thellershallsupplytheaforesaidpartstotheBuyerfreeofchargeintimeprovidedthattheBuyerhasinstalled,operatedandmaintainedthecontractequipmentandtherelevantpartsproperlyandinaccordancewiththeSeller’sinstructionsandmanuals(includinglogs)foroperationandmaintenance.ThecontractpriceshallbedecreasedcorrespondinglyiflowerorlessthanthesuggestionlistIfthefinalprofileneedstoaddgondolasorchangetheropewaycentreline,itwillbetemizedpriceinthesuggestionlistovideforfreeandintimetoTheBuyerthecomponentsandaccessorieswhichcannotbeusednormallyduetolesserviceinaccordancewithrequirements2.4InaccordancewiththerequirementsofTheBuyer,TheSellershallbeunderobligationstoprovideequipment,sparepartsandafter-salesserviceaftertheexpiryofthewarrantyperiodofthecontractualequipment.Bothpartieswillsignanotheragreementthen.TheSellershallpromisetooffermostfavourableconditionsfortheclientsinthePeople’sRepublicofChina.heSellerscommitmentontheincreaseofsparepartsandgondolasinthedesigneincreasedsparepartsandgondolasquirementsintheContractllershallgiveadvancenotificationtotheBuyerofthependingterminationsufficienttimeshallbegiventopermittheBuyertoprocureneededsparepartsandgondolas,inthertsandgondolas2.5.3TheSellershallfurnishatnocosttotheBuyer,theblueprints,drawings,specifications,typeofmaterialsofthespareparts,ifrequested,followingtheterminationofthesparepartsandgondolas.2.6TheSellershallconductdetailedtechnicaldisclosurewiththeinstallationcompanydesignatedbytheBuyeranddispatchtechnicalpersonnelatsitetodothetechnicalftheequipmentinstallation3原产地3.1本合同项下所提供的货物及服务均应来自于中华人民共和国或与中华人民共和国有正常贸易往来的国家和地区(以下简称“合格来源国”)。3.2本条款所述的“原产地”是指货物生产或提供有关服务的来源地。所述的“货物”是指制造、加工或实质上装配了主要部件而形成的货物。商业上公认的产品是指在基本特征、性能或功能上与部件有着实质性区别的产品。3.3货物和服务的原产地有别于卖方的国籍。3COUNTRYOFORIGINsssubstantiallydifferentinbasiclityfromitscomponents4标准4.1本合同下交付的货物应符合中华人民共和国有关客运索道相关要求和标准。如果中华人民共和国内没有适用标准的，则应符合货物来源国适用的官方标准。这些标准必须是有关机构发的标准。4.2除非合同中另有规定，计量单位均采用中华人民共和国法定计量单位。4STANDARDS4.1TheGoodssuppliedunderthisContractshallconformtotherequirementsandstandardsrelatingtopassengerropewayoftheP.R.C.,and,whennoapplicablestandardismentionedinP.R.C.,totheauthoritativestandardsappropriatetotheGoods’countryoforigin.Suchstandardsshallbethelatestissuedbytheconcernedinstitution.4.2AllmeasurementsshallbethemeasuringunitofficiallypublishedbyPRC,unlessotherwisespecifiedintheTechnicalSpecifications.5使用合同文件和资料5.1没有其他方事先书面同意，合同任何一方不得将由另一方提供的有关合同或任何合同条文、规格、计划、图纸、模型、样品或资料提供给与履行本合同无关的任何其他人。即使向与履提供，也应注意保密并限于履行合同必须的范围。列举的任何文件和资料。5.3合同各方应保护对方对所有违反本合同第五条规定使用技术文件和资料的索赔并在向其提交此类索赔后三十天内赔偿相当于不当使用文件和/或资料当时市值五倍的金额。5USEOFCONTRACTDOCUMENTSANDINFORMATION5.1Anypartyshallnot,withoutpriorwrittenconsentoftheotherparties,disclosetheContract,oranyprovisionthereof,oranyspecification,plan,drawing,pattern,sample,orinformationfurnishedbyoronbehalfofthepartyinconnectiontherewith,toanypersonotherthanapersonemployedbythemintheperformanceoftheContract.Disclosuretoanysuchemployedpersonshallbemadeinconfidenceandshallextendonlysofarasmaybenecessaryforpurposesofsuchperformance.5.2Anypartyshallnot,withoutpriorwrittenconsentoftheotherparties,makeuseofanydocumentorinformationenumeratedinContractClause5.1exceptforpurposesofperformingtheContract.5.3AllpartiesshallindemnifytheotherpartiesagainstallclaimsofinfringementarisingfromtheuseofdocumentsorinformationinviolationtoClause5oftheContractandshallpayae知识产权卖方应保证，买方在中华人民共和国境内使用该货物或货物的任何一部分时，免受第三方提出的侵犯其专利权、商标权、知识产权及非专利技术等的起诉。\.J买方应当按照中华人民共和国有关客运索道设计要求提供附件s第三条第J款约定的设计实\.s进度要求：\.s.J买方向卖方交付索道线路测量资料之日起30日内，卖方应当向买方交付进一步设计的线路图，经双方会审并签字确认后，作为双方认定的最终线路图。\.s.s最终线路图确认且买方向其提供地勘资料后e0日内，卖方应当向买方提交合格的支架基础设计图纸、站内基础设计图纸、站房设备配置图纸，以及该等图纸相应的施工图纸。\.s.3在最终线路图确认且买方向其提供地勘资料之日起30日内，卖方应当向国家客运架空索道通过设计审查并承担相应\.3卖方明确并承诺因其对本项目支架、站内基础设计图纸(含施工图纸)的设计不具备中华人民共和国法律要求的相应资质，为此卖方负责将相应设计内容分包给具有相应资质的设计单位完成并承担相应费用，但卖方应当对分包单位的设计提供指导并对其设计责任承担连带责确认和移交：J产通知后方可用于本项\.寸.3卖方应将设计成果一式套，以书面和电子文档的方式向买方移交。\.Q最终图纸确认以后的设计变更\.Q.J买方有权提出进行设计修改和增补的意见，而卖方应认真对待，并尽量同意意见。\.Q.s因地质情况不符合地勘资料而导致设计图纸必须变更以及非因卖方原因导致的吊箱数量增加和索道中心线变更除外，本项目任何设计变更导致的费用增加责任均应当由卖方承担。\DEeICVYVDDEeICV「IYIeOVin-stationfoundationdesigndrawing,stationequipmentlayoutdrawingandtheconstructiondrawingoftheaforesaiddrawings,within60daysafterthefinalprofileisconfirmedandtheBuyerprovidesthegeologicalsurveydocument.7.2.3TheSellershallprovidetoTheStateSafetySupervisionandInspectionCenterForPassengerAerialRopewaysOfChinaallthedocumentsnecessaryfordesignreviewofthisproject,within30daysafterthefinalprofileisconfirmedandtheBuyerprovidesthegeologicalsurveydocument,finishandpassthedesignreviewandbearrelevantexpenses,7.3TheSellershallstateclearlyandpromisethattheSellershallberesponsibleforsubcontractingthedesignoftower,in-stationfoundationdesigndrawing(includingconstructiondrawing)tothedesigncompanyowningtherelevantqualificationandbearrelevantexpensesiftheSellerdoesnothavetherelevantqualificationrequiredbythelawsfPRCforthedesignoftowerinstationfoundationdesigndrawingincludingconstructiondrawing).TheSellershallprovidedesignsupervisiontothesubcontractingcompanyandilitiesforthedesignsult7.4.1.AftertheSellerfinishesthedesignofthisproject,theSellershallsubmitthedesigntotheBuyerforwrittenapproval.OnlyaftertheproductionnoticebytheBuyerisreceived,cantheequipmentproductionofthisprojectersionthedesignsetseachrmed7.5.1TheBuyerhastherighttoraisecommentsondesignalterationandsupplementation,stotreatseriouslyandtrytoagreewiththecomments7.5.2TheSellershallbearalltheincreasedexpensescausedbythedesignalterationofthisproject,withtheexceptionofthenecessarydesignalterationduetogeologicalconditionsmitywiththegeologicalsurveydocumentsandofincreasednumberofgondolasandaycentrelinecausedbynonsellerreasons8合同价格:THECONTRACTPRICE:PortionofPOMAFrance:FTheturnkeypricefortheimportedpartofthecontractualequipmentis4225000EURO(CIFTianjinPort),composedofthefollowingparts:8.1.2进口设备范围和标准不应当低于附件的约定。ThescopeandstandardsoftheimportedequipmentshallnotbelowerthanthosestipulatedintheAppendix.8.2:波马北京部分：PortionofPOMABJ:由以下部分组成：(详见附件3.2)TheturnkeypriceforthedomesticpartofthecontractualequipmentisRMB(deliverytotheprojectsite),composedofthefollowingparts(refertoAppendix3,2):8.2.2国内设备范围和标准不应当低于附件的约定。ThescopeandstandardsofthedomesticequipmentshallnotbelowerthanthosestipulatedintheAppendix.8.3本条确认的包干价格包含了第二条合同范围及其他条款约定的卖方义务的所有费用。ThetotalpriceconfirmedinthisclauseincludesalltheexpensesundertheSeller’sobligationstipulatedinArticle2ScopeofContractandotherclauses.项目现场(索道下站或距离下站最近的集装箱货车所能到达的货场。不包括缷货及二次转运Althoughit’sstipulatedintheContractthattheimportedpartofthecontractualequipmentisCIF,bothpartiesconfirmthatthedeliveryplaceofallimportedanddomesticequipmentshallbedeliveredtotheprojectsitebytheSeller(bottomstationoftheropewayorgoodsyardaccessibletothetruckwithcontainersnearesttothebottomstation,notincludingunloadingandsecondtransportationexpenses)名义办理波马法国合同设备到港之时至到达项目现场的保险和运输，并确保期间不存在任何可能导致风险的空隙，费用包括在进口部分和国内部分包干价格中。POMABeijingshallpromisethatPOMABeijingshallhandleinthenameofPOMABeijingtheinsuranceandtransportationofPOMAFrance’sequipmentfromseaporttoprojectsiteandmakesurethereisnopossiblegapwhenrisksmayoccurduringthisperiod,ifPOMAFrancecannothandletheinsuranceandtransportationofthecontractualequipmenttotheprojectsiteduetotheCIFdescribedintheContract.rtheotherEuropeanUnionCountries,POMAGALSKI.10.1本合同下提供的货物应对其在制造、购置、运输、存放及交货过程中的丢失或损坏按本条款规定的方式，用合同货币进行全面保险。10.2卖方应用合同货币办理以发票金额百分之一百一十(110%)投保的一切险和战争险至交货现场，并以买方为受益人，保险费用已包含在本合同价款中。无论保险理赔与否，卖方应根据买方的要求先行按照原样和原合同约定价款增补相应货物，以尽量减少对项目工期的影响，买方应当在获得保险公司理赔之日起五个工作日内将该货物对应价款支付给卖方。10.1TheGoodssuppliedundertheContractbySellershallbefullyinsuredinContractcurrencyagainstlossordamageincidentaltomanufacture,acquisition,transportation,storageanddeliveryinthemannerspecifiedinContract.10.2InsuranceistobeeffectedbytheSellerinContractcurrencyforonehundredandtenpercent(110%)invoicedvalueonan“allrisks”and“warrisk”basistodeliverysite.ThebeneficiaryshallbetheBuyer.10.3TheBuyershallbeartherisksafterthegoodsdeliveredtothedeliverysite.Incaseoflossordamageofpartorallthegoodsonthewayoftransportation,nomattertheinsurancesettlestheclaimornot,theBuyershallresendrelevantgoodsaspertheoriginalsampleandpricestipulatedintheoriginalcontractontherequirementsoftheBuyersoastoreducetheinfluencetotheprojectschedule.TheBuyershallpaytotheSellerthecorrespondingpriceofthegoodswithin5workingdaysaftertheBuyerreceivesthesettlementoftheclaimbytheinsurancecompany.11.1卖方应提供货物运至合同规定的项目现场所需要的包装，以防止货物在转运中损坏或变质。这类包装应采取防潮、防雨、防锈防腐蚀、防震动及防止其它损坏的必要保护措施，从而保护货物能够经受必需的搬运、装卸及远洋和内陆的长途运输。卖方应承担由于其包装或其防护措施不妥而引起货物锈蚀、损坏和丢失的任何损失的责任。11.2货物严禁采用松木类包装，如包装材料为其他木质品，则该木质包装必须经过制造商所在国的IPPC(国际植物保护组织)机构的熏蒸处理，并在包装箱外部显著位置盖有IPPC标志。11.3为考虑运输方便，上站和线路设备(钢丝绳除外)的单件重量不得超过4吨。11PACKING11.1TheSellershallprovideproperpackingforthegoodsdeliveredtotheprojectsiteasstipulatedintheContract.ThepackingshallpreventthegoodsfromdamageordeteriorationduringthetransferandshalltakenecessaryprotectionmeasurestoprotecttheContractGoodsfrommoisture,rain,rust,corrosionandshock,andotherdamagesoastomakethegoodsendurablewithnecessaryhandling,loadingandunloadingaswellaslong-distanceseaandinlandtransportations.TheSellershallbeliableforanyrust,damageandlosscausedbyinadequateorimproperpackingprovidedbytheSeller.11.2Thegoodsareprohibitedfrombeingpackedwithpinewood.Ifthepackagesaremadeinwoodenmaterialexceptpinelikewood,theyneedtobefumigatingtreatedbyIPPC(InternationalPlantProtectionConvention)locatedinthemanufacturer’scountryandmarkedatnotablepositionofoutsideoftheboxwiththewordsI.P.P.C.11.3Fortheeasiertransport,theweightofasinglepieceofequipmentforthelineandtopstationshouldnotexceed4tons,withtheexceptionofsteelwirerope.11.4Thesteelwireropeshallbepackedwithsteeldrumanddeliveredintwopiecesinoneshipment.装运标记12.1卖方应在每包装箱相邻的四面用不可擦除的油漆和明显做出以下标记(进口部分标注英文)：2)合同号:3)发货标记(唛头):4)收货人编号:5)目的港:6)货物名称、品目号和箱号12.2如果单件包装箱的重量在2吨或2吨以上，卖方应在包装箱两侧用英语和国际贸易通用的运包装箱上清楚地标注“小心轻放”、“此端朝上，请勿倒置”、“保持干燥”等字样和其他国际贸易中使用的适当标记。12MARKINGFORSHIPMENT12.1TheSellershallmarkthefollowingonthefouradjacentsidesofeachpackagewithindeliblepaintinconspicuousEnglishprintedwords:)CONTRACTNUMBER:SHIPPINGMARK:4)CONSIGNEECODE:PORTOFDESTINATION6)NAMEOFGOODSANDITEMNO.,CASENO.ROSSNETWEIGHTKGMEASUREMENTLENGTHxWIDTHxHEIGHTINCM)ernationaltradengandifferentrequirementsintransportation,packagesshallbemarkedlegiblybytheSellerwithwords"HandlewithCare","RightsideUp","KeepDry",etc.andwithotherte
