(b)Licensorshalldefend,indemnify,andholdLicenseeharmlessfromandagainstanyandallclaims,actions,suits,demands,liabilities,costs,andexpenses(includingreasonableattorneys’fees)arisingoutoforinconnectionwiththePatentRights.

**5.RoyaltiesandPayments**

(a)LicenseeshallpaytoLicensoraroyaltyof___________percent(___________%)ofthenetsalesoftheproductsorservicescoveredbythePatentRightsduringtheTerm.

**6.Confidentiality**

(a)ThisAgreementmaybeterminatedbyeitherPartyuponwrittennoticetotheotherPartyiftheotherPartybreachesanymaterialtermorconditionofthisAgreementandfailstocuresuchbreachwithin___________daysofreceiptofwrittennoticethereof.

(c)UponterminationofthisAgreement,LicenseeshallceasealluseofthePatentRightsandreturntoLicensorallcopiesofthePatentRights.

**8.GoverningLawandDisputeResolution**
