二、合同引言鉴于甲方需要聘请外教提供英语教学服务，乙方具备相应的教学资质和经验，双方经友好协商，依据《中华人民共和国民法典》及相关法律法规的规定，就甲方聘用乙方担任外教事宜达成如下协议。

七、双方的权利与义务（一）甲方权利与义务1.权利有权对乙方的教学工作进行监督、检查和评估，提出意见和建议。根据学校教学需要和乙方工作表现，有权调整乙方的工作内容、工作时间或终止本合同。2.义务按照本合同约定向乙方支付报酬及提供福利待遇。为乙方提供必要的教学条件和工作环境，协助乙方解决工作中遇到的问题。向乙方提供详细的教学计划、课程安排及相关教学资料。

（二）乙方权利与义务1.权利按照本合同约定获取报酬及享受福利待遇。对甲方的教学管理工作提出意见和建议。2.义务遵守中国法律法规和甲方的各项规章制度，诚实守信，勤勉尽责地履行工作职责。按照本合同约定的工作内容和要求，认真完成教学任务，保证教学质量。尊重学生和甲方工作人员，不得从事有损甲方声誉和利益的行为。未经甲方书面同意，乙方不得在合同期内兼职从事其他与甲方有竞争关系的工作。

八、合同的变更、解除与终止（一）合同变更1.本合同履行期间，如有需要变更合同内容，双方应协商一致，并签订书面补充协议。补充协议与本合同具有同等法律效力。2.因不可抗力或政府政策调整等不可预见、不可避免的原因导致合同无法履行或部分无法履行的，双方应协商变更合同内容。

（二）合同解除1.经双方协商一致，可以提前解除本合同。解除合同应签订书面协议，并按照合同约定办理相关手续。2.若乙方出现下列情形之一，甲方有权解除本合同：严重违反中国法律法规或甲方规章制度，给甲方造成重大损失的。未能按照本合同约定完成教学任务，经甲方多次指出仍不改正，影响教学质量的。擅自离职或连续旷工超过[X]天的。提供虚假学历、证书等相关资料，骗取甲方聘用的。3.若甲方出现下列情形之一，乙方有权解除本合同：未按照本合同约定支付报酬或提供福利待遇，经乙方书面通知后仍未改正的。因不可抗力或其他不可预见、不可避免的原因，导致乙方无法正常履行工作职责，且甲方未能采取有效措施解决的。

（三）合同终止1.本合同期满，双方未续签合同的，本合同自动终止。2.本合同因解除或其他原因终止后，双方应按照法律法规和合同约定办理相关手续，结清费用。

九、保密条款1.双方应对在履行本合同过程中知悉的对方商业秘密、教学资料、学生信息等予以保密。未经对方书面同意，不得向任何第三方披露或使用。2.本条款的保密期限为本合同履行期间及合同终止或解除后[X]年内。

十、违约责任1.若甲方未按照本合同约定支付报酬或提供福利待遇，每逾期一天，应按照未支付金额的[X%]向乙方支付违约金。2.若乙方未按照本合同约定履行工作职责，给甲方造成损失的，应承担相应的赔偿责任。3.任何一方违反保密条款的约定，应向对方支付违约金人民币[X]元，并赔偿对方因此遭受的全部损失。

II.IntroductiontotheContractWhereasPartyAneedstohireaforeignteachertoprovideEnglishteachingservices,andPartyBhasthecorrespondingteachingqualificationsandexperience.Throughfriendlynegotiationbetweenthetwopartiesandinaccordancewiththeprovisionsofthe"CivilCodeofthePeople'sRepublicofChina"andrelevantlawsandregulations,thefollowingagreementisreachedonPartyA'semploymentofPartyBasaforeignteacher.

III.WorkContentandRequirements(I)WorkContent1.PartyBshallundertaketheteachingtasksof[SpecificCourseName]inaccordancewithPartyA'steachingplanandcurriculumarrangement,with[X]teachinghoursperweek.2.Beresponsiblefortheorganizationandimplementationofclassroomteaching,andusediversifiedteachingmethodstostimulatestudents'interestinlearningandimprovestudents'Englishlistening,speaking,readingandwritingabilities.3.Participateincurriculumdevelopmentandteachingmaterialpilation,andprovidesuggestionsandsupportforimprovingteachingquality.4.AssistPartyAinorganizingEnglishrelatedextracurricularactivities,suchasEnglishcorners,speechcontests,etc.,tocreateagoodEnglishlearningatmosphere.

(II)WorkRequirements1.HaveasolidfoundationinEnglishprofessionalknowledgeandrichteachingexperience,andholdinternationallyrecognizedEnglishteachingrelatedcertificates,suchas[CertificateName].2.UseEnglishforteachingduringtheteachingprocesstoensureaccuratepronunciation,intonationandclearexpression.3.Followthelawsofeducationandteaching,teachstudentsinaccordancewiththeiraptitude,payattentiontoindividualdifferencesofstudents,andfocusoncultivatingstudents'prehensivequalities.4.StrictlyabidebyPartyA'steachingmanagementsystem,attendclassesontime,andshallnotbeabsentfromclass,belateorleaveearlywithoutreason.5.RegularlymunicatewithPartyA'steachingresponsiblepersonabouttheteachingsituation,acceptteachingevaluationandguidance,andcontinuouslyimproveteachingmethodsandteachingeffects.

VI.WelfareTreatments1.PartyAshallpaysocialinsuranceforPartyBinaccordancewithrelevantnationalandlocalregulations,includingoldageinsurance,medicalinsurance,unemploymentinsurance,workrelatedinjuryinsuranceandmaternityinsurance.2.PartyBshallenjoypaidholidays,annualleave,sickleave,etc.inaccordancewiththelaw,andthespecificleavearrangementsshallbeimplementedinaccordancewithPartyA'srelevantregulations.3.PartyAshallprovidePartyBwithnecessaryteachingfacilitiesandteachingresourcesupporttoassistPartyBincarryingoutteachingwork.4.Accordingtotheactualsituationoftheschool,PartyBcanenjoyactivitiesorganizedbytheschool,suchasteachertraining,academicexchanges,etc.

VII.RightsandObligationsofBothParties(I)RightsandObligationsofPartyA1.RightsHavetherighttosupervise,inspectandevaluatePartyB'steachingwork,andputforwardopinionsandsuggestions.AccordingtotheteachingneedsoftheschoolandPartyB'sworkperformance,havetherighttoadjustPartyB'sworkcontent,workinghoursorterminatethiscontract.2.ObligationsPayPartyBtheremunerationandprovidewelfaretreatmentsinaccordancewiththiscontract.ProvidePartyBwithnecessaryteachingconditionsandworkingenvironment,andassistPartyBinsolvingproblemsencounteredinwork.ProvidePartyBwithdetailedteachingplans,curriculumarrangementsandrelevantteachingmaterials.

(II)RightsandObligationsofPartyB1.RightsObtainremunerationandenjoywelfaretreatmentsinaccordancewiththiscontract.PutforwardopinionsandsuggestionsonPartyA'steachingmanagementwork.2.ObligationsAbidebyChineselawsandregulationsandvariousrulesandregulationsofPartyA,behonestandtrustworthy,andperformworkdutiesdiligentlyandresponsibly.Completeteachingtaskscarefullyinaccordancewiththeworkcontentandrequirementsofthiscontract,andensureteachingquality.RespectstudentsandPartyA'sstaff,andshallnotengageinanybehaviorthatdamagesPartyA'sreputationandinterests.WithoutthepriorwrittenconsentofPartyA,PartyBshallnotengageinotherpetingjobswithPartyAduringthecontractperiod.

VIII.Change,CancellationandTerminationoftheContract(I)ContractChange1.Duringtheperformanceofthiscontract,ifitisnecessarytochangethecontractcontent,bothpartiesshallreachanagreementthroughconsultationandsignawrittensupplementaryagreement.Thesupplementaryagreementshallhavethesamelegaleffectasthiscontract.2.Duetoforcemajeureorgovernmentpolicyadjustmentsandotherunforeseeableandunavoidablereasonsthatcausethecontracttobeunabletobeperformedorpartiallyunabletobeperformed,bothpartiesshallnegotiatetochangethecontractcontent.

(II)ContractCancellation1.Withtheconsensusofbothpartiesthroughconsultation,thiscontractcanbeterminatedinadvance.Theterminationofthecontractshallbesignedinawrittenagreementandrelevantproceduresshallbehandledinaccordancewiththecontractagreement.2.IfPartyBhasanyofthefollowingcircumstances,PartyAhastherighttoterminatethiscontract:SeriouslyviolateChineselawsandregulationsorPartyA'srulesandregulations,causingheavylossestoPartyA.Failtopleteteachingtasksinaccordancewiththeagreementofthiscontract,andstilldonotcorrectafterbeingpointedoutbyPartyAformanytimes,affectingteachingquality.Leavewithoutpermissionorbeabsentfromworkcontinuouslyformorethan[X]days.Providefalseacademicqualifications,certificatesandotherrelevantmaterialstodeceivePartyAforemployment.3.IfPartyAhasanyofthefollowingcircumstances,PartyBhastherighttoterminatethiscontract:Failtopayremunerationorprovidewelfaretreatmentsinaccordancewiththeagreementofthiscontract,andstilldonotcorrectafterbeingnotifiedinwritingbyPartyB.Duetoforcemajeureorotherunforeseeableandunavoidablereasons,resultinginPartyBbeingunabletoperformworkdutiesnormally,andPartyAfailstotakeeffectivemeasurestosolveit.

(III)ContractTermination1.Whenthiscontractexpiresandbothpartiesdonotrenewthecontract,thiscontractshallterminateautomatically.2.Afterthiscontractisterminatedorcancelledduetootherreasons,bothpartiesshallhandlerelevantproceduresinaccordancewithlawsandregulationsandcontractagreements,andsettletheexpenses.

IX.ConfidentialityClause1.Bothpartiesshallkeepconfidentialthebusinesssecrets,teachingmaterials,studentinformation,etc.oftheotherpartyknownduringtheperformanceofthiscontract.Withoutthepriorwrittenconsentoftheotherparty,neitherpartyshalldiscloseorusethemtoanythirdparty.2.Theconfidentialityperiodofthisclauseisduringtheperformanceofthiscontractandwithin[X]yearsaftertheterminationorcancellationofthecontract.

X.LiabilityforBreachofContract1.IfPartyAfailstopayremunerationorprovidewelfaretreatmentsinaccordancewiththeagreementofthiscontract,itshallpayliquidateddamagestoPartyBattherateof[X%]o
