RussianCoalImportContract

ThisContractismadeandenteredintoonthis[InsertDate]byandbetween[Seller'sName],acompanyincorporatedunderthelawsoftheRussianFederation,withitsregisteredofficeat[Seller'sAddress](hereinafterreferredtoas"Seller"),and[Buyer'sName],acompanyincorporatedunderthelawsof[Buyer'sCountry],withitsregisteredofficeat[Buyer'sAddress](hereinafterreferredtoas"Buyer").

Article1:SubjectMatteroftheContract

1.1TheSelleragreestosellandtheBuyeragreestopurchasethefollowinggoods(the"Goods"):CoaloriginatingfromRussia,asperthespecificationsdetailedinSchedule1(the"Specifications")attachedheretoandforminganintegralpartofthisContract.

1.2Thequantity,quality,andpriceoftheGoodsshallbeasspecifiedinSchedule1.

Article2:PriceandPaymentTerms

2.1ThepriceoftheGoodsshallbe[InsertPrice]permetrictonFOB[PortofLoading],Russia,aspertheIncoterms2020rules.

2.2PaymentshallbemadebytheBuyertotheSellerin[Currency]within[InsertNumber]daysafterthereceiptoftheshippingdocuments.

Article3:DeliveryandShipment

3.1TheSellershalldelivertheGoodstotheportofloadinginRussianotlaterthan[InsertDate].

3.2TheGoodsshallbeshippedbytheSellerwithin[InsertNumber]daysafterthereceiptofthepayment.

3.3TheSellershallprovidetheBuyerwiththeshippingdocuments,includingbutnotlimitedto,thebilloflading,invoice,andcertificateoforigin.

Article4:QualityandQuantity

4.1TheSellerwarrantsthattheGoodsshallconformtotheSpecificationsandshallbeofmerchantablequality.

4.2ThequantityoftheGoodsshallbedeterminedbytheweightattheportofloading,ascertifiedbytheportauthority.

Article5:InspectionandClaim

5.1TheBuyershallhavetherighttoinspecttheGoodsattheportofloadingandattheportofdestination.

5.2TheBuyershallnotifytheSellerinwritingofanyclaimsfornon-conformityoftheGoodswithin[InsertNumber]daysafterthearrivaloftheGoodsattheportofdestination.

Article6:ForceMajeure

6.1NeitherpartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisContracttotheextentthatsuchfailureordelayiscausedbyeventsbeyonditsreasonablecontrol("ForceMajeure").

6.2ForceMajeureeventsinclude,butarenotlimitedto,actsofGod,war,civilunrest,laborstrikes,andgovernmentactions.

6.3ThepartyaffectedbyForceMajeureshallpromptlynotifytheotherpartyinwritingandshalluseitsbesteffortstomitigatetheeffectsoftheForceMajeureevent.

Article7:Termination

7.1ThisContractmaybeterminatedbyeitherpartyintheeventofamaterialbreachbytheotherparty,providedthatthebreachingpartyhasnotcuredthebreachwithin[InsertNumber]daysafterreceivingwrittennoticeofthebreach.

7.2Terminationshallnotaffectanyrightsorremedieswhichtheterminatingpartymayhaveinrespectofanybreachcommittedpriortothetermination.

Article8:GoverningLawandDisputeResolution

8.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsoftheRussianFederation.

8.2AnydisputearisingoutoforinconnectionwiththisContractshallbesubmittedtoarbitrationinaccordancewiththeRulesoftheInternationalChamberofCommerce.

Article9:Confidentiality

9.1BothpartiesagreetokeepconfidentialallinformationobtainedfromtheotherpartyinconnectionwiththisContract,exceptasrequiredbylaworregulatoryauthority.

Article10:Assignment

10.1NeitherpartymayassignitsrightsorobligationsunderthisContractwithoutthepriorwrittenconsentoftheotherparty.

Article11:Notices

11.1AllnoticesunderthisContractshallbeinwritingandshallbesenttotheaddressesspecifiedinthepreambletothisContractortosuchotheraddressaseitherpartymayspecifyinwriting.

Article12:EntireAgreement

12.1ThisContractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,andcommunications,whetheroralorwritten.

Article13:Amendments

13.1ThisContractmaybeamendedonlybyawrittenagreementsignedbybothparties.

Article14:Severability

14.1IfanyprovisionofthisContractisheldtobeinvalidorunenforceable,theremainingprovisionsshallremaininfullforceandeffect.
