振动处理厂保密租赁协议2026PartiesThisLeaseAgreement(“Agreement”)isenteredintoasof[StartDatein2026],byandbetween:[FullLegalNameofLessor],havingitsprincipalplaceofbusinessat[Lessor'sAddress](“Lessor”),and[FullLegalNameofLessee],havingitsprincipalplaceofbusinessat[Lessee'sAddress](“Lessee”).LeaseObject1.1LessorherebyleasestoLessee,andLesseeherebyrentsfromLessor,thevibrationtreatmentfacilitylocatedat[FullAddressoftheVibrationTreatmentFacility](the“LeasedPremises”).1.2ThedescriptionoftheLeasedPremisessetforthaboveshallbedeemedtobeapartofthisAgreement.TheLeasedPremisesinclude,butarenotlimitedto,thelanduponwhichitissituated,allbuildings,structures,equipment,machinery,tools,instruments,andotherfixturesandappurtenancessituatedtherein,collectivelyreferredtoasthe“VibrationTreatmentPlant”.Thisincludes,withoutlimitation,[Listspecifickeyequipmentorsystems,e.g.,VibrationGeneratorsModelXYZ,ControlSystemsSoftwareVersion2025,TestingBenches,OfficeSpace].1.3TheconditionoftheLeasedPremisesatthecommencementoftheLeaseshallbedisclosedintheLeaseAgreementdocumentsand,unlessotherwiseagreedinwriting,shallbeacceptedbyLesseeasis.TermofLease2.1ThetermofthisLeaseshallcommenceon[StartDatein2026]andshallcontinueforaperiodof[Number]years(the“LeaseTerm”),unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.2.2SubjecttotheprovisionsofthisAgreement,LesseemayhavetheoptiontorenewtheLeasefor[Number,e.g.,one]additionaltermof[Duration,e.g.,one]year,upongiving[Number,e.g.,ninety(90)]days’writtennoticepriortotheendofthecurrentLeaseTerm.Therentfortherenewaltermshallbedeterminedasfollows:[Specifyrenewalrentcalculation,e.g.,ataratepersquarefootequaltothethen-currentmarketrateforsimilarfacilities,oratafixedamount].RentandPayment3.1InconsiderationfortheuseandpossessionoftheLeasedPremisesduringtheLeaseTerm,LesseeshallpaytoLessoramonthlyrentof[Amount][Currency](the“Rent”),payableinadvanceonthe[Day,e.g.,first]dayofeachmonthcoveringthemonththenensuing.3.2LesseeshallpaytheRenttoLessorat[Lessor'sAddressorDesignatedBankAccountInformation].3.3Lessee’sfailuretopayanyinstallmentofRentwhendueshallconstituteadefaultunderthisAgreement.Intheeventofsuchdefault,Lessormay,atitsoptionandinadditiontoanyotherremediesavailableunderthisAgreementoratlaw,chargeLesseeinterestontheoverdueamountatarateof[Rate,e.g.,oneandone-half(1½)]percentperannumcomputedfromtheduedateuntilpaymentismade,andmayterminatethisAgreementandtakepossessionoftheLeasedPremisesasprovidedherein.UseandPurpose4.1LesseeshallhavetherighttousetheLeasedPremisessolelyforthepurposeof[Clearlydefinethepermitteduse,e.g.,conductingvibrationtestingandanalysisforindustrialmachinery,manufacturingcomponentsthatrequirespecificvibrationprofiles,conductingresearchanddevelopmentrelatedtovibrationdampingtechnologies].LesseeshallnotusetheLeasedPremisesforanypurposethatisillegal,harmful,dangerous,orincompatiblewiththenatureoftheVibrationTreatmentPlant,includingbutnotlimitedto,usesthatgenerateexcessivenoiseorvibrationthatnegativelyimpactsneighboringproperties,oractivitiesprohibitedbyapplicableenvironmentalorsafetyregulations.4.2Lesseeshallnotsublease,assign,ortransferitsrightsorobligationsunderthisAgreementwithoutthepriorwrittenconsentofLessor.MaintenanceandRepairs5.1LessorshallberesponsibleforthemaintenanceandrepairofthestructuralcomponentsofthebuildingsandthefoundationuponwhichtheLeasedPremisesaresituated,andforallsystemsandequipmentthatare固有partoftheLeasedPremisesandnotspecificallyinstalledbyLessee.LessorshallperformsuchmaintenanceandrepairsasmaybenecessarytokeeptheLeasedPremisesinareasonablysafeandhabitablecondition,subjecttoapplicablelawsandregulations.5.2Lesseeshallberesponsibleforthemaintenanceandrepairofanyequipment,machinery,orsystemsinstalledoraddedbyLesseeoritsagents,andforanydamagetotheLeasedPremisescausedbyLessee’soperationsoractions.LesseeshallpromptlynotifyLessorofanynecessarymaintenanceorrepairswithinitsresponsibility.5.3LessorshallhavetherighttoentertheLeasedPremisesatreasonabletimesnotinconveniencingLesseeforthepurposeofinspectingtheconditionoftheLeasedPremisesandmakingorarrangingfornecessaryrepairs.LessorshallgiveLesseeatleast[Number,e.g.,two(2)]days’priorwrittennoticeofitsintentiontomakesuchentries,exceptinthecaseofanemergency.AlterationsandImprovements6.1Lesseeshallnotmakeanyalterations,additions,improvements,orotherchangestotheLeasedPremiseswithoutthepriorwrittenconsentofLessor.AnyproposedalterationsshallbesubmittedtoLessoratleast[Number,e.g.,sixty(60)]dayspriortocommencingsuchwork.6.2AllcostsincurredbyLesseeinmakingAlterationsshallbeentirelyatLessee’sownexpense.LessorshallhavenoobligationtomakeanyallowanceorcredittowardsLesseeforsuchAlterations.6.3UpontheexpirationorterminationofthisAgreement,anyAlterationsmadebyLesseeshallremainontheLeasedPremises.UnlessLessorhasgivenpriorwrittenconsent,LesseeshallnotremoveanyAlterationsorthematerialsusedtherein.Ifnosuchconsentisgiven,LessorshallhavetherighttorequireLesseetoremoveitsAlterationsatLessee’sexpense,andtomakesuchrepairstotheLeasedPremisesasmaybenecessarytorestorethemtotheirconditionpriortothemakingoftheAlterationsbyLessee.IfthecostofsuchrestorationexceedsthevalueoftheAlterations,LessormayrequireLesseetopayLessorsuchexcess.Insurance7.1LesseeshallprocureandmaintainduringtheentiretermofthisAgreementcompleteinsurancecoverageforitsownbenefit,intheamountsandtypesofinsuranceasfollows:(a)CommercialGeneralLiabilityInsurancewithlimitsofnotlessthan[Amount][Currency]peroccurrenceand[Amount][Currency]intheaggregate.(b)PropertyInsurancecoveringtheLeasedPremisesandallLessee’spersonalpropertythereinintheamountofnotlessthan[Amount][Currency].(c)[Specifyotherrequiredinsurancetypes,e.g.,Workers’CompensationInsuranceifapplicable].7.2LesseeshallnameLessorasanadditionalinsuredpartyonthepoliciesofinsurancerequiredunderSection7.1(a)and7.1(b)withlimitsofnotlessthan[Amount][Currency]peroccurrenceand[Amount][Currency]intheaggregateforbodilyinjuryandpropertydamagetoLessor.7.3LesseeshallprovideLessorwithcertificatesofinsuranceevidencingthemaintenanceoftheinsurancerequiredunderthisSectionwithin[Number,e.g.,thirty(30)]daysaftertheeffectivedateofeachpolicy.UpontherequestofLessor,LesseeshallprovideLessorwithcopiesofthepoliciesandanyendorsements.ConfidentialityObligations8.1“ConfidentialInformation”meansanyandallnon-publicinformation,whethertangibleorintangible,disclosedbyLessortoLessee,directlyorindirectly,inwriting,orally,orbyinspection,includingbutnotlimitedtotechnicaldata,designs,drawings,specifications,formulas,know-how,manufacturingprocesses,businessplans,customerlists,supplierinformation,financialdata,operationaldata,computerprograms,andthisAgreementitself(excludingpublicportions).ThisincludesinformationlearnedbyLesseeabouttheVibrationTreatmentPlant’soperations,capabilities,andlimitations.8.2LesseeagreestoholdallConfidentialInformationinstrictconfidenceandtouseitsolelyforthepurposeofoperatingtheLeasedPremisesunderthisAgreement.LesseeshallnotdiscloseanyConfidentialInformationtoanythirdpartywithoutthepriorwrittenconsentofLessor,exceptasfollows:(a)disclosureisrequiredbylaw,regulation,orcourtorder;(b)disclosureisnecessarytodefendlegalclaimsagainstLessee,providedLessorispromptlynotifiedofsuchdisclosure;(c)theinformationhasbecomepubliclyknownthroughnofaultofLessee.8.3LesseeshalltakeallreasonableprecautionstoprotecttheConfidentialInformationfromunauthorizeddisclosureoruse,commensuratewiththelevelofprotectionusedforitsownsimilarinformation,butinnoeventlessthanacommerciallyreasonablestandardofcare.8.4TheobligationsofconfidentialitysetforthinthisSection8shallsurvivetheterminationorexpirationofthisAgreementandshallapplytoallConfidentialInformationdisclosedbyLessorduringthetermthereof,whetherornotsuchinformationisstilldesignatedasConfidentialInformationatthetimeofterminationorexpiration.8.5UpontheterminationorexpirationofthisAgreement,oruponLessor’swrittenrequest,LesseeshallpromptlyreturnordestroyalldocumentsandothermaterialscontainingorreflectinganyConfidentialInformation,andshallcertifyinwritingthedestructionthereoftoLessor.8.6LesseeagreesthatanybreachoftheobligationsofconfidentialityunderthisSectionshallconstituteamaterialbreachofthisAgreement,andLessorshallbeentitledtoallremediesavailableunderthisAgreementandatlawforsuchbreach,includingdamagesequaltothevalueoftheConfidentialInformationdisclosed.DefaultandRemedies9.1IfanypartyfailstoperformorcomplywithanyobligationunderthisAgreementwhendue,itshallbedeemedadefault.AdefaultshallalsooccurifLesseefailstopayanyrentwhendue.9.2IntheeventofLessee’sdefault,Lessormay,atitsoptionandinadditiontoanyotherremediesavailable,takethefollowingactions:(a)ChargeinterestontheoverdueamountattheratespecifiedinSection3.3.(b)EntertheLeasedPremisesandtakepossessionthereofwithoutfurthernotice.(c)CauseLessee’spersonalpropertytoberemovedfromtheLeasedPremisesatLessee’sexpense.(d)TerminatethisAgreementanddemandimmediatepaymentofallunpaidrent,damages,andotheramountsowingunderthisAgreement.9.3LessorshallnotbeliableforanydamagessufferedbyLesseeresultingfromLessor’sexerciseofanyrightorremedyprovidedforinthisSection.Termination10.1ThisAgreementmaybeterminatedbyeitherpartyupon[Number,e.g.,ninety(90)]days’writtennoticetotheotherpartyiftheotherpartycommitsamaterialbreachofanyprovisionofthisAgreementandfailstocuresuchbreachwithin[Number,e.g.,thirty(30)]daysafterreceiptofwrittennoticefromthenon-breachingparty.10.2LessormayterminatethisAgreementimmediatelyuponwrittennoticetoLesseeifLesseeusestheLeasedPremisesforanyillegalpurpose,commitsabreachoftheconfidentialityobligationsunderSection8,orfailstopayrentfor[Number,e.g.,thirty(30)]consecutivedays.10.3UponterminationorexpirationofthisAgreementforanyreason,LesseeshallpayLessorallrentandotheramountsduebutunpaidunderthisAgreement,plusalldamagesandliabilitiesincurredbyLessor.LesseeshallvacatetheLeasedPremisesandreturnpossessionthereoftoLessorwithin[Number,e.g.,fifteen(15)]daysafterterminationorexpiration,unlessotherwiseagreedinwriting.10.4Uponterminationorexpiration,Lesseeshallreturnallkeys,locks,accesscards,andotheritemsofLessor’spropertyheldbyLessee.GoverningLawandDisputeResolution11.1ThisAgreementandanytransactionorrelationshipbetweenthePartiesarisingoutoforinconnectionwiththisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsoftheStateof[StateName],withoutregardtoitsconflictoflawsprinciples.11.2Anydispute,controversy,orclaimarisingoutoforrelatingtothisAgreement,includingitsbreach,termination,orinvalidity,shallfirstbeattemptedtobesettledamicablythroughgoodfaithnegotiationsbetweentheParties.11.3Ifthedisputecannotbesettledthroughnegotiationwithin[Number,e.g.,sixty(60)]daysfromthedateofthelastattemptatnegotiation,suchdisputeshallbesubmittedto[SpecifyArbitrationInstitution,e.g.,theInternationalChamberofCommerce(ICC)InternationalCourtofArbitration]forfinalandbindingarbitration.Thearbitrationshallbeheldin[City,Country]andconductedinaccordancewiththe[SpecifyArbitrationRules,e.g.,RulesofArbitrationoftheICC]ineffectatthetimeofthesubmission.ThePartiesagreethattheTribunalshallconsistof[Number,e.g.,three(3)]arbitratorsappointedinaccordancewiththe[SpecifyAppointmentProcedure,e.g.,RulesoftheICC].11.4ThePartiesagreethattheTribunalshallrenderitsawardintheEnglishlanguage.TheawardshallbefinalandbindinguponthePartiesandshallbeenforceableinaccordancewiththelawsinforceinthecountrywhereenforcementissought.Miscellaneous12.1Allnotices,requests,demands,andothercommunicationsrequiredorpermittedunderthisAgreementshallbeinwritingandshallbedeemedtohavebeendulygivenwhendeliveredpersonally,sentbyreputableovernightcourier,orsentbyregisteredorcertifiedmail,postageprepaid,returnreceiptrequested,totheaddressessetforthinthePartiessection,ortosuchotheraddressaseitherPartymaydesignateinwriting.12.2ThisAgreementconstitutestheentireagreementbetweenthePartiesconcerningthesubjectmatterhereofandsupe
