国际海运运输合同范本ThisInternationalSeaFreightContract("Contract")ismadeandenteredintoonthis______dayof______,20__,byandbetween______,havingitsprincipalplaceofbusinessat[Shipper'sAddress]("Shipper"),and______,havingitsprincipalplaceofbusinessat[Carrier'sAddress]("Carrier").NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereincontained,theShipperandtheCarrieragreeasfollows:1.GoodsDescription:TheShipperherebyentruststheCarrierwiththetransportationofthefollowinggoods("Goods"):*Description:[Fulldescriptionofgoods,e.g.,Containerizedgeneralcargo,危险品类别和UN编号等]*Quantity:[Quantityofgoods,e.g.,3pieces,2containers]*Weight:GrossWeight(G.Wt)[Totalweight],NetWeight(N.Wt)[Totalnetweight],inkilograms*Measurement:CubicMeters[Totalvolume]*Value:[Declaredvalueofgoods,ifany]*Origin:[Countryoforigin]*PortofLoading/PlaceofReceipt:[Port/CityandCountry]("Port/Landlord")*PortofDischarge/PlaceofDelivery:[Port/CityandCountry]("Port/Consignee")2.VoyageandVessel:TheCarriershallarrangethetransportationoftheGoodsbyseafromthePortofLoadingtothePortofDischargeviathemostsuitableandeconomicrouteusingitsownvesselorvessels.ThespecificvesselnameshallbeindicatedontheBillofLadingissued,whichshallbeissuedasa"ShippedonBoard"BillofLadinguponactualloadingoftheGoods,unlessotherwiseagreedinwriting.TheCarrierisnotobligatedtoprovideaspecificvesselnameintheContract.3.FreightandCharges:*TheShipperagreestopaythetotalfreightandallotherchargesrelatedtothisshipmentaspertheratelist[Specifyratelistnumberorname]effectiveasof[Date],whichratesinclude[Specifyincludeditems,e.g.,carrier'sfreight,BAF,portduesatloadingport].Thetotalfreightamountis[Amount][Currency].*Paymentshallbemadeby[Methodofpayment,e.g.,T/T100%inadvancewithin5workingdaysafterBillofLadingissuance]totheCarrier'saccount[Bankdetails]uponpresentationoftherelevantinvoice(s)andcopy(s)oftheBillofLading.*AllotherchargesincurredatthePortofLoading(includingbutnotlimitedtoterminalhandlingcharges,THC,localtaxes,etc.)andatthePortofDischarge(includingbutnotlimitedtoterminalhandlingcharges,THC,localtaxes,etc.,demurrage,detention)shallbefortheaccountoftheShipper/Consigneeaspertherespectiveport'spublishedratesandregulations.TheCarriershallprovidetheShipper/Consigneewiththedetailedbreakdownofsuchchargesuponrequest.4.BillofLading:TheCarriershallissueoneoriginal(orasmanyoriginal(s)asspecified)BillofLading,[Specifytype,e.g.,CleanOnBoard,Order]Ocean/Multi-modalBillofLading,uponloadingtheGoodsatthePortofLoading.TheBillofLading,whenissuedtoorder,shallbeNegotiable.ThetermsandconditionsprintedonorreferredtointheBillofLadingconstituteanintegralpartofthisContract.TheCarrier'sobligations,liabilities,andexemptionsunderthisContractshallbegovernedbythetermsoftheBillofLading.5.Carrier'sObligations:*TheCarriershallloadtheGoodsontoitsvesselatthePortofLoadingbeforeoronthedatespecified[orasarranged]andshalldeliverthemtotheConsigneeatthePortofDischarge.*TheCarriershallexerciseduediligencetomakethevesselseaworthy,toprovideaproperlyequippedvessel,andtoemployqualifiedcrew.*TheCarriershallload,stow,carry,keep,carefor,anddischargetheGoodscarefullyandskillfully,takingallpropercaretoavoidlossordamagehowsoevercaused.*TheCarriershallberesponsibleforthesafecarriageoftheGoodsfromthetimetheyaretakeninchargeatthePortofLoadingbytheCarrieroritsagentsuntiltheyaredeliveredatthePortofDischargetotheConsigneeorthepersonentitledtodelivery.6.Carrier'sLiabilityandExemptions:*TheCarrier'sliabilityforlossordamagetotheGoodsshallbegovernedbythe[Chooseone:HagueRules,Hague-VisbyRules,HamburgRules,RotterdamRules]asmayapply,subjecttotheapplicablelaw[Specifygoverninglaw,e.g.,Englishlaw].Theliabilityshallbelimitedto[Specifylimit,e.g.,thevalueofthegoodsoraspecificsumperpackage/kilogramasperthechosenrules].*TheCarriershallnotbeliableforlossordamagecausedby:*ThenatureandqualityoftheGoods;*Inadequateorimproperpackagingormarking;*Theactofanyperson(s)otherthantheCarrier'sservantsoragents;*CausesbeyondtheCarrier'scontrol,includingbutnotlimitedtoactofGod,war,terrorism,piracy,检疫限制,Strikes,Lockouts,andcivilcommotion;*ThenegligenceoftheShipperortheiragentsintheloading,stowing,orsecuringoftheGoods;*TheneglectoftheMasterorcrewinthenavigationormanagementofthevessel;*Anysaving,sacrifice,orexpendituremadeinorinconnectionwiththepreservationoftheGoods;*Anylossordamagearisingfromaninherentdefect,quality,ornatureoftheGoods;*TheuseorconsumptionoftheGoodsbythecrew;*Anydelay,detention,orunloadingatanyportduetoanycausebeyondtheCarrier'scontrol.7.DemurrageandDetention:*TheShippershallberesponsibleforanyandalldemurragechargesincurredatthePortofLoadingforwaitingtimebeyondthefreetimeallowedforloading.*TheConsigneeshallberesponsibleforanyandalldetentionchargesincurredatthePortofDischargeforkeepingthevesselwaitingbeyondthefreetimeallowedforunloading.*Thefreetime/demurrageanddetentiontime/chargesshallbeaspertheIncotermstermsagreed[SpecifyIncoterms,e.g.,FOB,CFR]orthelocalportregulations,whicheverapplies.8.Delivery:TheGoodsshallbedeemeddeliveredwhenplacedatthedisposaloftheConsigneeatthePortofDischargeaccordingtothecustomarypracticesoftheport,afterdischargefromthevessel.RiskoflossordamageshallpassfromtheCarriertotheConsigneeuponsuchdelivery.9.Inspection:NoinspectionoftheGoodsshallbemadebytheCarrieratthePortofLoadingorPortofDischargeunlessspecificallyrequestedbytheShipper/Consigneeinwritingandpaidforbythem.AnyinspectionshallbeconductedduringtheCarrier'sfreetime;otherwise,thecostsshallbefortheShipper/Consignee'saccount.10.Notices:TheCarriershallgiveallreasonablenoticesandinstructionsnecessaryforthesafecarriageoftheGoodsandshallbeentitledtodeliveranynoticesordocumentstothefirstnamedpersonoraddressappearingthereonortoanypersonholdingtheGoodsordocumentsoftitle.11.ForceMajeure:NeithertheShippernortheCarriershallbeliableforanyfailuretoperformanyofitsobligationsunderthisContractifsuchfailureiscausedbyForceMajeure,thatis,aneventbeyondtheirreasonablecontrol,includingbutnotlimitedtoactsofGod,war,hostilities(whetherdeclaredornot),civilwar,insurrection,revolution,riots,strikes,lockouts,andgovernmentalactions,actsofpublicauthorities,quarantinerestrictions,andactsoromissionsofanygovernmentalorsemi-governmentalauthority.12.GoverningLawandDisputeResolution:ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[SpecifyJurisdiction,e.g.,England].Anydispute,controversy,orclaimarisingoutoforrelatingtothisContract,includinganyquestionregardingitsexistence,validity,ortermination,shallbefinallysettledbyarbitrationadministeredbythe[SpecifyArbitrationInstitution,e.g.,LondonMaritimeArbitratorsAssociation(LMAA)]inaccordancewiththe[SpecifyArbitrationRules,e.g.,LMAARules]forthetimebeinginforce,whichrulesaredeemedtobeincorporatedbyreferenceinthisclause.Theplaceofarbitrationshallbe[SpecifyCit
