US 肆仟壹佰捌拾陆圆）整UnitPriceTheTotalPrice,whichisapackagepricethattheSellerprovidestotheBuyerunderthetermsoftheContract,shouldnotbethefoundationtoworkouttheunitpriceofthecommodity.InthecasethattheBuyerintendstopurchaseextraquantitiesofthecommodityaftertheexecutionofCHAPTER3DeliveryoftheCommodityTheCommoditywillbepackedanddeliveredtotheBuyerbyexpressdelivery,andthepackagewillbedeliveredbyanexpressdeliveryservicethathasagoodreputationsuchasFedEx,TNT,DHLetc.,,ThedateforthedeliveryofthecommoditytotheexpressdeliverycompanybytheSelleristheDeliveryDate(hereinafterreferredtoastheDeliveryDate).TheexpressdeliveryfeewillbebornebytheBuyer.TheBuyerwillhavetherighttochoosetheexpressdeliveryserviceandwillnotifytheSellerofitschoiceinwriting.Intheabsenceofsuchnotification,theSellerwillselecttheexpressdeliveryservice,butwillnottherebybeburdenedbyanyliabilityinconnectionwiththeexpressdelivery,norwilltheexpressdeliveryservicebeconsideredanagentoftheSeller.UnlessrequestedbytheBuyer,theSellerwillhavenoobligationtobuyexpressdeliveryinsurancefortheBuyer.TheSellerwilldeliverthecommoditywithinfifteen(15)calendardays(legalholidaysareexcluded)afterthesigningoftheContract.Inthecaseofunforeseencircumstancesthatmayleadtoadelayindeliveryofcalendardays,theSellerwillinformtheBuyerbeforehandofapossibledelaytodelivery,andsuchadelaywillnotberegardedasabreachofcontract.可能发生个日历日的交付延迟，卖方应提前通知买方交付延迟可能发生，并且，该种延迟RiskofLossorDamageTheriskoflossordamagetothecommoditypurchasedbytheBuyerwillbebornebytheSelleruntilthecommodityisdeliveredtotheexpressdeliverycompany.AfterdeliveryofthecommoditypurchasedbytheBuyertotheexpressdeliverycompany,theriskoflossordamagetothecommoditypurchasedbytheBuyerwillbebornebytheBuyer.AfterthedeliveryofthecommoditypurchasedbytheBuyerhaspassedtotheBuyer,theSellerisentitledtogettheTotalPriceevenifthecommodityislostorPackingoftheCommodityThecommoditywillbepackedinapaperbox/boxes.Thefollowinggoodswillbeenclosedwitheachunitofthecommodity:Theexpressdeliverycompanyisresponsiblefortheexternalpackingofthepackage.TheSellerwillnotbearanylossesfordamagetothecommodityfromthedestructionoftheexternalpacking.AcceptanceoftheCommodityOncetheBuyersignsforthepackagedeliveredbytheexpressdeliverycompany,thecommodityisregardedasbeingacceptedbytheBuyer.CHAPTER4TermsofPaymentTheTotalPricewillbefullypaidinUSdollarsbytheBuyerwithinthirty(30)calendardaysofreceiptofthecommodity.Thepaymentwillbemadebybanktransfer/T/TtothefollowingaccountoftheAccountName:ARCINFORMATIQUECurrencyRateFluctuationsThecurrencyratefortheabovepaymentistherateatthetimeofthesigningoftheContract.Anycurrencyratefluctuationsarelimitedtoa2%differencebetweenthetimeofpaymentandthesigningoftheContract.Ifthecurrencyratefluctuationsarebeyond2%,theTotalPriceundertheContractwillbeotherwiseconfirmedbybothpartiesafternegotiation.CHAPTER5GuaranteeofQualityTheSellerwillguaranteethatthecommodityisdevelopedbyexcellentsoftwareengineersandcorrespondsinallrespectstothequality,specifications,andperformancestipulatedintheContract.Formoredetailedtechnicaldataconcerningthequality,specifications,andperformanceofthecommodity,pleaserefertoAPPENDIXI(TheInstructionBookforSCADASoftware). Forthefunctionalityofthecommodity,pleaserefertoAPPENDIX (TheOfficialProductCatalogueofARCInformatiqueLLC). InthecasethatthecommoditydoesnotincludethefunctionalitiesdescribedintheOfficialProductCatalogueofARCInformatiqueLLC,theBuyerreservestherighttoreceivearefund.CHAPTER6DescriptionofTechnicalServicesTrainingServiceTheSellerprovidesatrainingserviceconcerningtheoperationoftheSCADAsoftware.ThefeeforthetrainingserviceisUSD$perday. ParticipationinProjectDevelopmentServiceTheSellerprovidesparticipationintheprojectdevelopmentservice,whichinvolvesthefollowingIntheearlyphase,engineersfromtheSellercantakepartinthedesignphaseoftheapplicationand/ortheconfigurationoftheapplicationnetwork.ThefeeforservicesintheearlyphaseisUSD$perday(orUSD$ perperson). Inthecommissioningphase,engineersfromtheSellercanbesentonsitetodebugandfinalisetheapplication.ThefeeforservicesinthecommissioningphaseisUSD perday(or per HotlineServiceAhotlineservice(viamailandphone)comeswiththepurchaseofasoftwarelicense.InthecasethatengineersfromtheSelleraresummonedonsitebytheBuyer,aservicefeeofUSD$perday(orUSD$ perperson)willbecharged. DevelopmentServiceInthecasethatthecustomerneedsanewfunctiontobeaddedtotheSCADAsoftware,theSellercanbebasedonaman/dayrate.GraphicDesignServiceTheSellerprovidesa2Dand3Dgraphicdesignservice.Thequotationwilltypicallybebasedonaman/dayrateorcouldbebasedonthenumberofgraphicalobjectstobedesigned.ServiceFeePaymentwillexcludetransportationandaccommodationcosts,whichshouldbebornebythecustomer.Choice(s)ofTechnicalServices InthecasethattheBuyerchoosestobuyatechnicalservice(s),aserviceagreementwillbereachedbybothparties.PleaserefertoAPPENDIX(TechnicalServiceAgreement). FreeAfter-SalesMaintenanceThemaintenanceserviceforthecommodityisfreeforthefirstsix(6)monthsafterpurchase.Thismaintenanceservicereferstokeepingthesoftwareup-to-date,andhasnothingtodowithtechnicalInthecasethattheSellerrefusestoexecutetheafter-salesmaintenanceservice,theBuyerreservestherighttoclaimforlossesincurred.PlatinumAfter-SalesMaintenanceAftersix(6)monthsoffreemaintenance,theSellercanprovideaplatinumafter-salesmaintenanceservice.Thismaintenanceservicecoverssoftwarelicenseupgradesandupdates.Theplatinumafter-salesmaintenanceservicefeeisUSD$ ,whichisbasedonapercentageofthesoftwarelicenseprice. InthecasethattheBuyerintendstopurchasetheplatinumafter-salesmaintenanceservice,amaintenancecontractwillbereachedbybothparties.PleaserefertoAPPENDIX(Maintenance CHAPTER8RestrictionsonReproductionTheBuyerwillmakenocopiesoftheSCADAsoftware,oranypartthereof,exceptfortheLicensee,whomaymakecopiesoftheSCADAsoftwaresolelyforthepurposeofbackup,archivalstorage,andformattingtheSCADAsoftwaretomakeitsuitableforexecution.AllpermittedcopieswillbeclearlymarkedwiththesameproprietaryandcopyrightrestrictionsthatappearontheSCADAsoftwareoriginallysuppliedtotheBuyer.Authorisedcopieswillbestoredinasecuremanner.RestrictionsonTransfersTheBuyerwillnotsell,assign,sub-licenseorotherwisemakeavailabletheSCADAsoftware,exceptincircumstancesauthorisedbytheSeller.RestrictionsonDisclosureExceptasexpresslypermittedherein,theBuyerwillnotdiscloseorotherwisemakeavailabletheSCADAsoftware,oranyportionthereof,toanythirdpartyortoanyemployeeoftheBuyerwhodoesnotneedtousetheSCADAsoftwareintheBuyer'splaceofbusiness.TheBuyerwilltakeallreasonableandnecessarystepstoensuretheSCADAsoftware,oranyportionthereof,isnotdisclosedorotherwisemadeavailablebytheBuyeroremployeesoftheBuyertoanythirdparty.InfringementandGuaranteesTheSellerwarrantsithastherighttograntthelicensetotheSCADAsoftware.InthecourseoftheimplementationoftheContract,ifanythirdpartyaccusestheBuyerofinfringement,oneoftheReplaceormodifytheSCADAsoftwaresothatitisnolongerinfringingandactuallyperformsthesameservicewiththesamequality;GranttheBuyercredit,minusreasonabledepreciationforuse,damage,andobsolescence,uponthereturnoftheSCADAsoftwaretotheSeller.EndUserLicenseAgreementInordertousetheSCADAsoftware,theBuyeragreestoaccepttheEndUserLicenseAgreementalongwiththesigningoftheContract.InthecasethattheBuyersells,assignsorsub-licensestheSCADAsoftwaretoathirdparty,theBuyerwillguaranteethatthethirdpartyacceptstheEndUserLicenseAgreement.PleaserefertoAPPENDIX(EndUserLicenseAgreement).LiabilityforFailureofDeliveryInthecasethattheSellerisunabletodeliverthecommodity,theBuyerreservestherighttoclaimforLiabilityforUnqualifiedCommodityInthecasethatthecommoditydoesnon-conformtotheContract,theBuyercanrejectthecommodityandreservestherighttoclaimforlosses.LiabilityforFailureofPaymentFailurebytheBuyertomakeduepayment(s)willresultintheaccrualofinterestontheremainingunpaidbalanceatarateequaltowhicheveristhelowestof12percentperyearorthemaximumrateallowedbylaw.LiabilityforDelayedPaymentInthecasethatpaymentisdelayed,theBuyerisrequiredtocompensatetheSeller0.5%ofthetotalamountofthecontractperdayasanoverduefine.CHAPTER10DefinitionofForceMajeureShouldeitherpartybepreventedfromexecutingtheContractduetothecaseofforcemajeuresuchaswar,terroristattacks,coupd’état,strike,seriousfire,flood,typhoon,earthquake,andothercasesbeyondthereasonablecontrolofthepartyaffected,whichareherebyrecognisedasbeingcasesofoftheoccurrences.Neitherpartywillhavetherighttoclaimfromtheotherpartyanylossessustainedincasesofforcemajeure.NotificationofForceMajeureThepartyaffectedbyforcemajeurewillinformtheotherpartyoftheoccurrenceofforcemajeurewithoutdelay.Thepartyaffectedbyforcemajeurewillinformtheotherpartyassoonaspossibleoftheterminationoreliminationofthecaseofforcemajeure,andcommunicatewiththeotherpartytoconfirmnewtermsofdeliveryofthecommodity.CHAPTER11ArbitrationIncasenosettlementcanbereachedthroughnegotiationwithinthirty(30)daysafterwrittennotificationofadisputefromonepartytotheotherparty,suchadisputewillbereferredtoandsettledbyarbitrationinShanghaiinaccordancewiththeArbitrationRulesoftheChinaInternationalEconomicandTradeCommission(“CIETAC”)byCIETACShanghai.ThearbitrationproceedingswillbeconductedinChinese.Throughoutthearbitration,theContractwillcontinuetobeexecutedbybothparties,exceptforthosepartsunderarbitration.Anyexpensesarisingfromdisputes,includingbutnotlimitedtolawyerfees,arbitrationfees,investigationcharges,andtravelexpenses,willbebornebythelosingparty.GoverningLawThePartiesexplicitlyagreethatthenationallawsofthePeople’sRepublicofChinaandlocallawsandsettlementofdispute(s)betweentheParties.CHAPTER12ModificationoftheContractAnyamendments,supplements,andalterationstothetermsandconditionsoftheContractwillbemadeinwrittenformandsignedbytheauthorisedrepresentativesofbothpartiesuponanagreementreachedbetweenbothpartiesthroughconsultation,andthusformintegralpartsoftheContractandhavethesameforceastheContractitself.However,suchamendments,supplements,andalterationswillnotreleaseeitherpartyfromitsresponsibilitiesandliabilitiesasstipulatedintheContractunlessotherwisestipulatedinsuchamendments,supplements,andalterations.EffectivenessoftheContractTheContractandattachmentsarewritteninbothChineseandEnglish.InthecaseofanyinconsistenciesbetweentheChineseandEnglishversions,theChineseversionwillprevail.TheContractisproducedinduplicateform.TheBuyerandtheSellerbothholdonecopyeachandeachofthecopieshasthesameeffectiveness.TheContractismadeeffectivebythesignaturesoftheBuyerandtheSeller.Allpreviousoraland/orwrittenstatements,documents,letters,andotherformsofcorrespondenceeffectivedateoftheContract.TerminationoftheContractEitherpartyisentitledtoterminatetheContractbysendingawrittennoticetotheotherpartyinthefollowingcircumstances:Whenthereisareasonoranindicationtobelievetheotherpartyis,orforstatutorypurposesisdeemed,orappearstobe,unabletopayitsdebtsastheybecomedue,orthevalueofitsassetsisinsolventorsuspendspaymentorthreatenstodoso;TheotherpartywillgointoliquidationwhethervoluntaryorcompulsoryorisdissolvedorbecomesinsolventorifapetitionwillbepresentedoranordermadefortheappointmentofanAppendicestotheContractTheAppendicestotheContractareintegralpartsoftheContractandwillhavethesameforceastheContractitself.H
