2025外贸合同中常见的英文条款PartiesThisContract(the“Contract”)isenteredintoon(the“EffectiveDate”)byandbetween,acompanyincorporatedunderthelawsof(the“Buyer”),withregisteredofficeat,and,acompanyincorporatedunderthelawsof(the“Seller”),withregisteredofficeat.RecitalsWHEREAS,theBuyerdesirestopurchasecertaingoodsand/orservices(the“Goods”)fromtheSeller;andWHEREAS,theSelleriswillingtosupplytheGoodstotheBuyerunderthetermsandconditionssetforthherein.NOW,THEREFORE,thepartiesheretoagreeasfollows:1.DefinitionsForthepurposesofthisContract,thefollowingtermsshallhavethefollowingmeanings:1.1“Goods”shallmeantheproducts,items,and/orservicesdescribedinExhibitAattachedhereto.1.2“Price”shallmeanthetotalamounttobepaidbytheBuyertotheSellerfortheGoods,asspecifiedinExhibitA.1.3“DeliveryDate”shallmeanthedatebywhichtheGoodsaretobedeliveredbytheSellertotheBuyer,assetforthinExhibitA.1.4“ForceMajeure”shallmeananyeventbeyondthereasonablecontrolofeitherparty,includingbutnotlimitedtoactsofGod,war,riot,火灾,flood,orgovernmentaction.2.SupplyofGoods2.1TheSellershallsupplytheGoodstotheBuyerinaccordancewiththespecificationssetforthinExhibitA.2.2TheSellershallensurethattheGoodsmeetallapplicablestandardsandregulationsandarefreefromdefectsinmaterialandworkmanship.2.3TheBuyershallinspecttheGoodsupondelivery.Anyclaimofdefectornon-conformityshallbemadebytheBuyertotheSellerwithindaysofdelivery.3.PaymentTerms3.1TheBuyershallpaythePriceasspecifiedinExhibitA,unlessotherwiseagreedinwriting.3.2AllpaymentsshallbemadeinandtransferredtotheSeller’sbankaccountasspecifiedinExhibitA.3.3TheSellershallissueaninvoicetotheBuyerupondispatchoftheGoods,whichshallincludethedetailsofthetransaction.3.4TheBuyershallnotmakeanydeductionsoroffsetsagainstthePricewithoutthepriorwrittenconsentoftheSeller.4.DeliveryTerms4.1TheGoodsshallbedeliveredtotheBuyerattheaddressspecifiedinExhibitA,unlessotherwiseagreedinwriting.4.2TheDeliveryDateisapproximate,andtheSellershallmakereasonableeffortstodelivertheGoodsonorbeforesuchdate.4.3TheBuyershallberesponsibleforanyadditionalcostsincurredifthedeliveryaddressischangedaftertheContracthasbeensigned.4.4IftheGoodsaredelayedduetocircumstancesbeyondtheSeller’scontrol,theSellershallnotifytheBuyerinwritingassoonasreasonablypossibleandagreeonarevisedDeliveryDate.5.WarrantiesandLiability5.1TheSellerwarrantsthattheGoodsarefreefromdefectsinmaterialandworkmanshipforaperiodofmonthsfromthedateofdelivery.5.2TheSellershallnotbeliableforanyindirect,incidental,orconsequentialdamagesarisingoutofthesupplyoftheGoods,unlesssuchdamagesareadirectresultoftheSeller’sbreachofthisContract.5.3TheBuyershallindemnifyandholdtheSellerharmlessfromanyclaims,losses,ordamagesarisingfromtheuseoftheGoodsinamannernotinlinewiththeirintendedpurpose.6.Confidentiality6.1BothpartiesagreetokeepconfidentialallinformationexchangedduringthenegotiationandperformanceofthisContract.6.2ConfidentialityobligationsshallsurvivetheterminationofthisContract.6.3Neitherpartyshalldiscloseanyconfidentialinformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherparty.7.GoverningLaw7.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof.7.2AnydisputeorcontroversyarisingoutoforrelatedtothisContractshallberesolvedthrougharbitrationinaccordancewiththerulesofArbitrationInstitution.8.DisputeResolution8.1IntheeventofanydisputearisingoutoforinconnectionwiththisContract,thepartiesshallfirstattempttoresolvethematterthroughfriendlynegotiation.8.2Ifthepartiesfailtoreachamutuallyacceptableresolutionwithindays,themattershallbereferredtoarbitrationasprovidedinClause7.2.9.Miscellaneous9.1ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,representations,orunderstandings,whetherwrittenororal.9.2AnyamendmentsormodificationstothisContractshallonlybevalidifmadeinwritingandsignedbybothparties.9.3IfanyprovisionofthisContractisfoundtobeinvalidorunenforceable,theremainingprovisionsshallremaininfullforceandeffect.9.4ThisContractmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.INWITNESSWHEREOF,thepartiesheretohaveexecutedthisContractthroughtheirdulyauthorizedrepresentativesasofthedatefirstabovewritten.Buyer:Name:Title:Company:Seller:Name:Title:Company:ExhibitA-ScheduleofGoodsandServices[InsertdetaileddescriptionofGoods,including
