InternationalTradeSalesContract

ThisInternationalTradeSalesContract(hereinafterreferredtoasthe"Contract")isenteredintobyandbetween[Seller'sName],acompanydulyorganizedandexistingunderthelawsof[Seller'sCountry],withitsprincipalplaceofbusinessat[Seller'sAddress],and[Buyer'sName],acompanydulyorganizedandexistingunderthelawsof[Buyer'sCountry],withitsprincipalplaceofbusinessat[Buyer'sAddress],collectivelyreferredtoasthe"Parties."

1.ProductDescription

1.1TheSelleragreestosellanddeliverthefollowingproducts(hereinafterreferredtoasthe"Products")totheBuyer:

-Price:[Price]

2.PaymentTerms

2.1TheBuyeragreestopaytheSellerthetotalamountof[TotalAmount]inthecurrencyof[Currency]fortheProductsasspecifiedinClause1.1.Thepaymentshallbemadeby[PaymentMethod]within[PaymentTerm]daysuponthesigningofthisContract.

2.2AnybankchargesincurredduringthepaymentprocessshallbebornebytheBuyer.

3.DeliveryTerms

3.1TheSellershalldelivertheProductstotheBuyer'sdesignatedlocationat[DeliveryAddress]within[DeliveryTimeframe]daysafterreceivingthepayment.

3.2TheSellershallberesponsibleforarrangingthenecessarytransportationandinsurancefortheProductsduringthedeliveryprocess.

4.QualityAssurance

4.1TheSellerguaranteesthattheProductsshallbefreefromdefectsinmaterialsandworkmanship,andshallconformtotheagreedspecificationsandstandards.

4.2TheBuyershallhavetherighttoinspecttheProductsupondeliveryandshallnotifytheSellerinwritingofanynon-conformitieswithin[InspectionPeriod]days.FailuretonotifywithinthespecifiedperiodshallbedeemedasacceptanceoftheProducts.

5.IntellectualPropertyRights

5.1TheSellerwarrantsthatthesaleanduseoftheProductsshallnotinfringeuponanyintellectualpropertyrightsofanythirdparty.

5.2Intheeventofanyclaimoractionarisingfromtheinfringementofintellectualpropertyrights,theSellershallindemnifyandholdharmlesstheBuyerfromanydamages,liabilities,costs,andexpensesincurred.

6.GoverningLawandJurisdiction

6.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningLaw].

6.2AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthroughamicablenegotiations.IfthePartiesfailtoreachasettlement,thedisputeshallbesubmittedtotheexclusivejurisdictionofthecourtsof[Jurisdiction].

7.EntireAgreement

7.1ThisContractconstitutestheentireagreementbetweenthePartiesandsupersedesanyprioragreements,understandings,orrepresentations,whetheroralorwritten,relatingtothesubjectmatterhereof.
